Home My WebLink AboutContract 58048-A2R2CSC No. 58048-A2R2 AMENDMENT NO.2/RENEWAL NO.2 TO FORT WORTH CITY SECRETARY CONTRACT NO. 58048 This Amendment and Renewal is made between the City of Fort Worth ("Fort Worth") and Franklin Covey Client Sales, Inc. ("Vendor"). WHEREAS, Fort Worth and Vendor previously entered into an Agreement identified as Fort Worth City Secretary Contract No. 58048 (the "Agreement"); and WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the Agreement in order to allow the Parties to enter into a two-year renewal period for a discounted rate; and WHEREAS, it is also the collective desire of both City and Vendor to renew the Agreement for its Second Renewal Term, beginning August 31, 2024 and ending August 30, 2026. NOW THEREFORE, Fort Worth and Vendor agree to the following: I. AMENDMENTS 1. Section 2, Term, to the Agreement is hereby amended and replaced and its entirety with the following: The Agreement shall become effective beginning on the date executed by the City's Assistant City Manager ("Effective Date"), and shall expire (1) one year after the Effective Date (the "expiration date") unless terminated earlier in accordance with this Agreement ("Initial Term"). City will have the option, in its sole discretion, to renew this Agreement under the same terms and conditions, for one (1) one-year renewal option ("First Renewal Term"). The First Renewal Term will run from August 31, 2023 to August 30, 2024. Afterwards, City will have the option, in its sole discretion, to renew this Agreement under the same terms and conditions, for one (1) two-year renewal option ("Second Renewal Term"). The Second Renewal Term will run from August 31, 2024 to August 30, 2026. 2. Section 3.1, Compensation, to the Agreement is hereby amended and replaced in its entirety with the following: 3.1 Total compensation due under this Agreement for the Initial Term and First Renewal Term, which includes both All Access Passes and supplemental training kits provided on an as -needed basis, will not exceed Forty -Five Thousand Dollars ($45,000.00). Total compensation due under this Agreement for the Second Renewal Term will not exceed Eighty -Four Thousand Dollars ($84,000.00), which includes Forty -Two OFFICIAL RECORD CITY SECRETARY Amendment 2/Renewal 2 to Fort Worth City Secretary Contract No. 58048 FT. It is understood by both Parties that in the event City terminates the Agreement prior to August 1, 2025, it is not responsible for the second payment of $42,000.00. 3. The Agreement is hereby amended by adding the attached document, which reflects pricing from August 31, 2024 to August 30, 2026, to Exhibit A- "Scope of Services & Price Schedule." II. RENEWAL The Parties agree to renew the term of the Agreement for an additional two year -term beginning August 31, 2024 and expiring August 30, 2026 ("Second Renewal Term"), unless earlier terminated in accordance with the terms of the Agreement. M. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect.
