SECOND AMENDMENT TO INTERLOCAL AGREEMENT
BETWEEN
RESEARCH AND INNOVATION LOCAL GOVERNMENT CORPORATION
AND
TEXAS A&M UNIVERSITY SYSTEM
This Second Amendment to Interlocal Agreement ("Second Amendment") is made
between the Research and Innovation Local Government Corporation ("RELGC") and The Texas
A&M University System ("TAMUS").
WHEREAS, RILGC and TAMUS entered into an Interlocal Agreement dated October 24,
2023 ("Agreement");
WHEREAS, RILGC and TAMUS entered into a First Amendment ("First Amendment")
to the Agreement dated June 25, 2024; and
WHEREAS, its the collective desire of both the RILGC and TAMUS to amend the
Agreement to add additional scope of services and increase the total compensation of the
Agreement.
NOW THEREFORE, IN CONSIDERATION of the mutual promises and agreements
contained herein, the parties do hereby agree to the following terms, which amend the Agreement
as follows:

Sections 2.a. and 2.b. of the Agreement are hereby replaced in their entirety with
a Followingfull execution ofthis Agreement and the SecondAmendment;
TAMUS shall be responsible fo r prepaying a total o fone million nine
hundred thousand and 00/100 ($1,900,000.00) to the RILGC upon
receipt ofinvoicesfrom the RUGC, which the RILGC will use to pay
the Developerfo r the Plan
b TAMUS shall be responsiblefor all costs ofthe Plan ip to one million
nine hundred thousand and 00/100 dollars ($1,900,000.00). Any
amounts not spent on the development ofthe Plan shall be returned b
TAMUS when the Plan is complete.
2. Section 2 of the First Amendment is hereby deleted and replaced with the
following: Exhibit "A" - Scope of Services ofthe Agreements hereby amended by adding the
following additional services before the section entitled "Concept Design Work Product
Utilization":

Continuing Program ofRequirements and Concept Design Refinement
(May 30, 2024 - October 31, 2024)
1. Update the project Development Budget; supported by market
research and Pre -Construction services and report to the RILGC appropriate
recommendations to adjust the projectparameters, tfneedeg 2b advance the next
stages ofthe work
2 Update the project Develo p ment Schedule, inc01 porating all the key
components ofthe world identifying critical paths and milestones, and integrating
RILGC and Developer Team responsibilities and approvals into the timeline.

easement abandonments through the City of Fort Worth's easement vacation
program, is required
4 Develop b2 consultation with the RILGC and TAMUS an entitlement
andpermittingstrategyfor the Research andlnnovation Building ("RIB') site and
the Pe jorming, Visualization and Fine Arts Building ('PVFA 'j Lancaster Avenue
('PVFA Lancaster') site to assure timelyprocurement ofnecessary permits and
licenses to construct and operate the Project.
S Develop, in consultation with the RILGC and TAMUS, a utility and
public services procurement strategyfo r the RIB site and the PVFA Lancaster site
to assure timely acquisition ofnecessary utility design, equipmentprocurement and
connection to such utilities.
b Ongoing engagement with the Authorities Having Jurisdiction
("AHJ') over all or aportion ofthe project to inform permitting and entitlement
cost estimates and expectations.
Design Management
(May 30, 2024-October 31, 2024)
1. Utilize the partially developed Concept Design Package and
Program of Requirements developed in the First Amendment and Second
Amendment to the Pre -Development Agreement tb provide ongoing design
refinement servicesfor the Project, including:
a Re-masterplan the site to accountforfuture development at
the north end of Block 2 to preserve land area for future
development, preserving available FARforfuture use.
b Meet with building user groups and assist TAMUS in the
evaluation and adjustment of the Program of Requirements to
correlate with cost objectives.
c Update the Program of Requirements after conclusion of
meetings with user groups and evaluation ofcostsfor compliance
with stated budget values.
d Concept Design refinement of the RIB with associated
parking and the PVFA Lancaster site with associatedparking based
on space reduction requests and costfeedback.

e All planning and design to comply with TAMUS Facility
Design Guidelines and Developer Project Guidelines, and City of
Fort Worth planning and zoning i fapplicable, the FAA, and codes
and standards o fdesign established by the AHJ.
f Updated and refined Concept Design deliverablesfor the
RIB and PVFA Lancaster Corn and Shell and the interiorfit-out of
the Academic Space that include thefollowing:
i Updated conceptual architectural site and landscape plan;
ii Updated conceptual architecturalfloorplans;
iii. Updated conceptual exterfor architectural elevations and
building cross sections;
iv. An updated written and graphic conceptual building
program;
u Other illustrative materials -renderings, or drawings -
needed b adequatelypresent the concept.
2 Facilitate stakeholder reviews, comment collection, comment
reconciliation and RILGC and TAMUS approvals at appropriate stages ofdesign
progress.
3 Review, inspect and comment on all physical, structural, seismic,
environmental, topogrcphica4 subswface conditions, geological and any existing
condWon studies.
4 Ch behalfof TAMUS andpursuant b the requirements ojTAMUS,
obtain site survey, and geotechnical investigations, to defne development
parameters on the project site(s) including thefollowing:
a Engage Terracon to perform new geotechnical
investigations on the PVFA Lancaster parcels and its associated
parking.
h Assist the City ofFort Worth n the preparation ofa title
investigation and corresponding ALTA survey plat of the PVFA
Lancasterparcels.
Pre-Constructioll Activities During Collcept Desgll Refinement
(May 30, 2024 - October 31, 2024)
I. Review and recommend facility design systems, and material
choices n support ofthe design team based on revisedprogram ofrequirements.
2 Update the project construction budget with cost estimates based on
the final approved Program of Requirements and the updated concept design
package.
3 Provide market research and cost analysis to guide project value
decisions.
4 Update the construction and development schedule based on the
updated Concept Design.
3. All other terms, provisions, conditions, covenants and recitals ofthe Agreement not
expressly amended herein shall remain in full force and effect
