HomeMy WebLinkAboutContract 61897Date Received: 8/23/2024 Permit No.: SWFNU-24-0040 Time Received: 4:48 p.m. City Secretary No.: 61897 RETAINING WALL MAINTENANCE AGREEMENT THIS AGREEMENT, made and entered into this 23rd day of August 20 24 by and between Target Corporation, a Minnesota corporation, hereinafter referred to as "Landowner", and the City of Fort Worth, hereinafter referred to as "City". WITNESSETH WHEREAS, the Landowner is the owner of certain real property described as a tract of land situated in the Juan Jose Albirado Survey, Abstract No. 4, Tarrant County, Texas according to the deed recorded in Document No. D224040676, Deed Records, Tarrant County, Texas, hereinafter called the "Property". WHEREAS, the Landowner is proceeding to build on and develop the Property according to the Site Plan/Subdivision Plan known as Target — Chisholm Trail Ranch, hereinafter called the "Plan", which is expressly made a part hereof, as approved or to be approved by the City and the Landowner provides for the construction and maintenance of a Retaining Wall Facility on a portion of the Property being more particularly described by the metes and bounds in Exhibit "A"; and; WHEREAS, the City and the Landowner, and their successors and assigns, agree that the health, safety and welfare of the residents of the City of Fort Worth, Texas require that a Retaining Wall Facility be constructed and maintained on a portion of the Property; and; WHEREAS, the City requires that a Retaining Wall Facility ("Facility") as shown on the Plan be constructed and adequately maintained by the Landowner, its successors RETAINING WALL MAINTENANCE AGREEMENT OFFICIAL RECORD 1 Rev. 03/15/2022 BN CITY SECRETARY FT. WORTH, TX and assigns, the location and dimensions of which is shown on the attached Exhibit "A" ("Facility Property"); and; NOW, THEREFORE, in consideration of the foregoing premises, the mutual covenants contained herein, and the following terms and conditions, the parties hereto agree as follows: 1. The Landowner, its successors and assigns, shall adequately construct and maintain the on -site Retaining Wall Facility ("Facility") at no expense to the City of Fort Worth in accordance with the design specifications for the Facility, attached as Exhibit `B", and the current standards then in force and effect in the City of Fort Worth. Adequate maintenance is herein defined as good working condition so that these facilities are performing their design functions. 2. The Landowner, its successors and assigns, shall inspect the Facility and submit an inspection report to the City annually. The purpose of the inspection is to assure safe and proper functioning of the Facility. The inspection shall cover the entire Facility and any needed maintenance or replacement to perform the Facility's design function shall be noted in the inspection report along with the corrective actions to be taken. 3. The Landowner, its successors and assigns, hereby grants permission to the City, its authorized agents and employees, to enter upon the Property and to inspect the Facility whenever the City deems reasonably necessary. In the event the Landowner, its successors and assigns, fails to maintain the Facility in good working condition, as specified herein, the City, its authorized agents and employees, may enter upon the Property and take such reasonable and necessary steps to repair any such deficiencies and to charge the costs of such repairs to the Landowner, its successors and assigns. It is expressly understood and agreed that the City is under no obligation to routinely maintain or repair said Facility, and in no event shall this Agreement be construed to impose any such obligation on the City, such obligation is Landowner's. RETAINING WALL MAINTENANCE AGREEMENT 2 Rev. 03/15/2022 BN 4. The Landowner, its successors and assigns, will perform the work necessary to keep the Facility in good working order as appropriate. In the event the City pursuant to this Agreement, performs work of any nature, or expends any funds in performance of said work for labor, use of equipment, supplies, materials, and the like, the Landowner, its successors and assigns, shall reimburse the City upon demand, within thirty (30) days of receipt thereof for all actual costs incurred by the City hereunder. In the event that Landowner or its successors or assigns fail to pay the City for the costs incurred under this section, the City shall impress a lien for the costs of such work upon other lots owned by the Landowner. Such lien shall be perfected by filing in the office of the County Clerk of Tarrant County, Texas an affidavit identifying the property to be charged with such lien, stating the amount thereof, and making reference to this Agreement. 5. This Agreement imposes no liability of any kind whatsoever on the City. THE LANDOWNER AGREES TO HOLD THE CITY HARMLESS FROM ANY LIABILITY IN THE EVENT THE FACILITY FAILS TO OPERATE PROPERLY. LANDOWNER COVENANT AND AGREE AND DOES HEREBY INDEMNIFY, HOLD HARMLESS AND DEFEND THE CITY OF FORT WORTH, ITS AGENTS, SERVANTS AND EMPLOYEES FROM AND AGAINST ALL COSTS, EXPENSES, LOSSES, DAMAGES, CLAIMS OR CAUSES OF ACTION WHATSOEVER ARISING, OR WHICH MIGHT ARISE, FROM THE FAILURE OF OWNER OR ANY FUTURE OWNERS OF THE ABOVE FACILITITY PROPERTY TO MAINTAIN THE RETAINING WALL IN ACCORDANCE HEREWITH, OR AS A RESULT OF ANY DAMAGES CAUSED TO PERSON OR PROPERTY DUE TO (1) EROSION OF THE SOIL BELOW THE RETAINING WALL AND ITS FOOTING, AND (2) AND FAILURE OF THE RETAINING WALL AND ITS FOOTING TO OPERATE IN A MANNER CONSISTENT WITH CITY OF FORT WORTH CRITERIA TO PERFORM ANY OF ITS DUTIES OR OBLIGATIONS HEREUNDER. This Agreement shall be recorded among the land records of Tarrant County, Texas, and shall constitute a covenant running with the land, and shall be binding on the Landowner, its administrators, executors, assigns, heirs and any other successors in interests, including any property owners association. Building Codes Used for Design 1. IBC — International Building Code 1.3 DEFINITIONS A. Drainage Zone Materials: Free draining "open" aggregate fill extending as shown on the contract documents. B. Base Soil: Compacted import or in -situ soil beneath (supporting) entire wall. C. Backfill Soil: Compacted import or in -situ soil behind retaining wall. D. Global Stability Base: Extended footing required for global stability purposes. E. Supporting Fill Soils — The fill soils supporting the retaining wall, shall be compacted to 95% standard proctor. F. Contract Documents — The stamped and signed engineering plans for the project. 1.4 QUALITY ASSURANCE Target — Chisolm Trail Fort Worth, Texas 07-02-24 EXHIBIT C - TRACT 2 A. Qualifications: Stone Gravity Wall system installer shall have a minimum of 100,000 square feet of documentable experience installing SGW systems over eight feet in height on minimum of five projects over the previous two years. Provide to the Target Construction Manager at the pre -construction conference, a project list with current references and telephone numbers for the proposed SGW Installer substantiating the required experience. B. Pre -Construction Meeting: A pre -construction meeting shall be conducted by the General Contractor prior to be- ginning construction on stone gravity retaining walls. Owner's Construction Manager shall be notified of the date, time, and location of the meeting. Mandatory attendees include the General Contractor, the wall design engineer of record, the project geotechnical engineer, the Contractor's testing agency, Owner's independent testing laboratory, and representatives of all sub -contractors involved with the foundation preparation, erection, and backfilling of the SGW. Meeting topics shall include, but are not limited to contractor qualifications as stated above; schedule and phasing of wall construction; coordination with other on -site construction activities; responsibilities of parties; and sources, quality, and acceptance of materials. 1.5 DELIVERY, STORAGE AND HANDLING A. Dimension Stone: 1. Check the materials upon delivery to assure the quality of the stone. 2. Prevent excessive mud, wet concrete, epoxies, and like materials which may affix themselves from coming in contact with the materials. B. Mortar: 1. Check the mortar upon delivery to assure the batch mix matches the contract documents. 2. Mortar shall be placed with a barrier between the soil and the mortar to protect against contamination. C. Drainage Materials: 1. Store plastic pipe in accordance with the manufacturer's recommendations to prevent deleterious materials from becoming affixed or deterioration from sun exposure. 2. Store drainage aggregate to prevent contamination with other materials. 3. Store filter fabric to prevent contamination with other materials. PART 2 - PRODUCTS 2.1 PORTLAND CEMENT MORTAR A. Mortar shall be batched at a plant and delivered to the site. The batch shall match or be an approved equal to the one shown on the contract documents. B. Facing stone, color and type to be coordinated with Architect. C. Retempering of mortar is allowed. 2.2 DRAINAGE MATERIALS A. Drainage collection pipe shall be PVC pipe or corrugated polyethylene (PE) pipe as specified in the contract docu- ments. B. Drainage aggregate shall be free -draining material, relative to the surrounding soil in order to prevent build-up of hydrostatic pressure. C. Drainage Geotextile: 1. Mirafi 140N or approved equal. 2.3 RETAINED BACKFILL OR COMMON BACKFILL Target — Chisolm Trail Fort Worth, Texas 07-02-24 EXHIBIT C - TRACT 3 A. Soil placed behind the drainage zone shall be satisfactory fill material as specified in in the contract documents or shall be existing onsite soils. PART 3 - EXECUTION 3.1 PREPARATION A. Comply with federal, state and local requirements for execution of the work, including local building codes and current OSHA excavation regulations. Provide excavation support as required to maintain stability of the area dur- ing excavation and wall construction and to protect existing structures, utilities, landscape features, or property or improvements. B. Prior to grading or excavation of the site, confirm the location of the retaining walls and all underground features, including utility locations within the area of construction. Ensure surrounding structures are protected from effects of wall excavation. C. Coordinate installation of underground utilities and other improvements with wall installation. D. Control surface water drainage and prevent inundation of the retaining wall area during construction. 3.2 EXCAVATION A. Excavate to lines and grades shown on the Construction Drawings. Take precautions to minimize over -excavation. Over -excavation shall be backfilled with dimension stone. If a mortared footing is over -excavated, then the di- mension stone shall be placed mortared. If a dry stone footing is over excavated, then the dimension stone does not need to be mortared. B. Inspect excavation prior to placement of footing. C. In areas where soft, disturbed or otherwise unsuitable soils are encountered within the zone of the wall loading in the excavations, such unsuitable soils shall be over -excavated to the depths and extents required and replaced. If a mortared footing is over -excavated, then the dimension stone shall be placed mortared. If a dry stone footing is over excavated, then the dimension stone does not need to be mortared. D. Fill over -excavated areas in front of wall footing with approved compacted material before wall construction reaches 4 feet in height. E. In areas where a retaining wall or portion of a retaining wall is to be installed into cut, the required excavation shall extend horizontally to the extent of the width of the retaining wall. The wall may be built to the cut. If the wall is over cut, then soil shall either be compacted or the drainage zone may be widened. F. A sloping heel may be required for some of the SGW's. Care should be taken in excavation to ensure a sloping heel where required. 3.3 WALL CONSTRUCTION A. The wall shall be constructed to the dimensions as shown on the contract documents. Front leads, back leads, and string lines shall be set for each wall. B. Walls shall be inspected during construction to verify mortar use, wall thickness, weep pipes, and control joints. This is not meant to be an exhaustive list, and the walls in general should be inspected to verify they are con- structed per the contract documents. C. The cap of the wall shall be constructed per the contract documents. 3.4 RETAINED BACKFILL PLACEMENT Target — Chisolm Trail Fort Worth, Texas 07-02-24 EXHIBIT C - TRACT 4 A. Retained backfill shall be placed in maximum 8-inch-thick compacted lifts and compacted to minimum 93 % Standard Proctor Maximum Dry Density (ASTM D698), unless a greater requirement is specified by the geotech- nical engineer. This may be the case if soils behind the retaining wall are supporting buildings, drives, or other structures. The compaction requirement behind the retaining wall shall be coordinated between the SGW contrac- tor and the geotechnical engineer prior to construction. B. If the wall is in a cut situation the wall may be built to the cut. 3.5 DRAINAGE SYSTEM A. Weep Pipe: 1. Install the weep pipes per the contract documents. B. Drainage Aggregate: 1. Install drainage aggregate to line, grades, and sections shown on the Drawings. 2. Geotextile shall be installed prior to aggregate placement in accordance with the Drawings. 3.6 CONSTRUCTION A. SGW Tolerances: Installation of SGW face location shall be within all the following tolerances: 1. Vertical control from plan: f 1.25 inches over a 10 ft. distance. 2. Horizontal location control from plan: a. Straight lines: ± 1.25 inches over a 10 ft. distance. b. Straight & radius corner locations: f 1.0 ft. C. Curves and serpentine radius: f 2.0 ft. 3. Rotation of the wall face during construction: a. Maximum 2.0 degrees from established wall plan batter. b. Maximum, f 10.0 % from total established horizontal setback. 4. Bulging: f 1.25 inches over a 10.0 ft. distance. B. Construction equipment used above retaining walls after they are finished can damage the walls. Care shall be taken to protect the walls during site development. Below is a list of considerations that should be made to protect the walls. 1. Examples of construction equipment that have been shown to cause damage include skytraks, telehandlers, concrete trucks, skid steers, excavators ,and others. 2. Walls shall be a minimum of 2 weeks old prior to equipment use above the wall. 3. Equipment shall not be used on wet/saturated soils above the wall where rutting occurs. This condition increases the likelihood of damage to the retaining walls. 4. Equipment may be used when it is at least 10'0" from the front of cap of walls or 150% of the wall height which ever is greater. 5. If equipment needs to be used closer than stated in item 4 above, the Design Engineer of Record for the retaining walls shall be contacted to verify the wall can support the weight of the construction equipment. The construction equipment type and weights will need to be provided. Additionally, mats or plywood will need to be provided to protect the backfill and wall during equipment use. 3.7 FIELD QUALITY CONTROL A. Field quality control shall be the responsibility of the Contractor in accordance with the contract documents. Ex- cept for specified mandatory testing, field quality control testing and inspection shall be at the discretion of the Contractor as necessary to assure compliance with Contract requirements. Owner T&I specified below shall not be considered a substitute for the Contractor's responsibility to perform similar routine, necessary, and customary testing and inspection of the methods and frequency suitable for the type of work involved. Target — Chisolm Trail Fort Worth, Texas 07-02-24 EXHIBIT C - TRACT 5 3.8 RETAINING WALL PERFORMANCE, MAINTENANCE, AND OTHER COMMENTS A. Control Joints are provided in the retaining wall to allow for minor movements due to settlement and shrink swell of the soils. Some cracking may occur in the face of the retaining wall. This cracking, if minor (less than 3/8), may be cosmetically repaired as desired. B. The retaining walls are designed to allow surface water to flow over the tops of the retaining walls. Care should be taken during and after construction to not allow water to pond behind the retaining walls, as this can have a negative impact on the stability of the retaining walls. Retaining walls are often constructed early in the site development phase. Surface water management above the top of the walls is the general contractors responsibility prior to the site being finished. If necessary temporary swales, replacement of eroded soils, and other water maintenance items may be necessary to protect the retaining walls. C. If downspouts are located near the back of the retaining wall, they should either be plumbed through the retaining wall to drain below the wall or collected and tied into the storm sewer. Perforated subsurface pipes shall not be used behind the retaining walls. D. Positive drainage (sheet flow) over the top of the walls shall be maintained throughout the life of the structure. If swales are placed behind the wall, they shall remain clean and free draining. If water is found to be ponding in the swale it shall be fixed to allow water to freely drain as soon as possible. If swales are found to be eroding, they should be repaired and maintained. E. Any broken sprinklers behind the retaining wall shall be turned off and repaired as soon as possible. F. Over time erosion below or above the retaining wall can occur. Eroded soils shall be replaced and maintained to protect the and extend the life of the retaining walls. G. Cranes shall not be used above the retaining wall without approval from the Engineer of Record for the retaining walls. Cranes apply very large loads to the retaining walls and require special design considerations. A. OWNER TESTING AND INSPECTION (T&I) B. The Owner will perform testing and inspection (T & I) but only as a means of verification to the Owner of Con- tractor quality control performance. C. Owner T&I specified herein below will be performed by the following: Materials testing will be performed by the Owner's Construction Testing Laboratory (CTL) in accordance with the contract documents. Construction Obser- vations will be performed by the Engineer of Record or their representative. D. Submit test reports in accordance with the contract documents. Test reports shall be sent to the Engineer of Rec- ord (EOR) for the project. Inspections shall be performed daily. Test reports shall include a minimum of 4 pictures of construction. The special inspector shall note any noncompliance's with contract documents. Noncompliance shall either be addressed by the contractor, or may be approved by the EOR. Upon review of the reports with no outstanding noncompliance issues, and at the end of the project, the FOR shall provide a letter stating that the walls were constructed in acceptable accordance with their drawings. E. Soil and Backfill Testing: Shall be performed by a qualified laboratory. Unless otherwise directed by the Owner or required by this technical scope of work, type and minimum frequency of testing for soils -related portions of construction shall be as follows. 1. Field density tests in accordance with ASTM D2922 ASTM D2937 and ASTM D 1556: 2. ASTM D2937 and ASTM D 1556 shall be performed in conjunction with ASTM D 2922 at a frequency of at least one test per 10 nuclear tests, or one per day, whichever is greater: a. Backfill: One test for every 2,500 square feet per lift. Every other lift shall be tested. 3. Laboratory moisture -density relationships, ASTM D698: One test for every compacted material type.
