RECITALS WHEREAS Licensee i the owner of the real property located at 501 We t Risinger Road, Fort Worth Texas 76140 ('Property') being more particularly described as, Lot 3, Block I, Ri inger South, an addition to the City of Fort Worth, Tarrant County, Texas, as recorded in Tarrant County Deed Records, by Instrument umber D217135618;and WHEREAS the City owns a sewer easement (the 'Public Property') adjacent to the Property, dedi ated to the City by plat, as depicted on the final plat of the property (FP-20-042) which plat is recorded in the plat records of Tarrant Countv as instrument number D220346237; and WHEREAS, Licensee de ires to construct, place, and maintain certain improvements which will encroach in on above or below the Public Property; and WHEREAS, to accommodate then ed of the Licensee the City will allow th encroachment under the terms and conditions as set forth in this Agreement. NOW, THEREFORE, the City and Licensee agree a follow : AGREEMENT l. The City, in consideration of the payment by Licen ee of the fee set out below and covenants and agreement hereinafter contained to be kept and performed by Licen ee, hereby grants permis ion to Licensee to encroach in on above or below and occupy a portion of the Cit 's Public Property as described in and at the location hown on Exhibit "A" but only to the e tent hown thereon for the purpose of con tructing installing, and maintaining an irrigation line (the "Encroachment"). pon completion of Tier 11 Easement Encroachment greement Page I of 11 Revised 12/2022

���ithin the Public Property. 1_iccnsee shall naE expand or otherwise cause the

described in Exhibit "A."
2.
All constructi<�n, installation. �naintenancc, and operation of the Encroach�i�ent
and the use or occupancy ai� the Puhlic Property shall comply with and be performed in
strict coTnpliance witE� this Agreement and ���ith the charter, ordinances. cades. and
policies of the Cic�. Prior to the construction or instaliatioE� af the Encroachment,
Licensee shall subrrit all plans and speciiications to the Director of the Develo�ment
Services Departmcni or duly authorized representative. Lic�nsee shall not cornmence
construction or installation of the Encroact�mcnt nor make any use of the Puhlic Property
until after the execution of�this Agreement.
3.
Lice«see, at no e�cpense to the City, shall makc proper pravisians tor thc
relocatio� and installation of anti existing or future uti�ities af_lected by such
Encroachment anci the use and occupancy of� the P��blic Yro�ertti, including the securin�
the approvai and conser�t of thc ap}�ropriatc utiEity companies and a�enci�s of thc State of
Texas and its political subdivisions. I« thc cvcnt that any installation, rcinstallation,
relocation, ar repair o1� aR}� existing or future utilit� or imprc�vetnenCs owned by or
canstructcd by or on behalf af the public or at public expense is made more cc�stly by
virt�i� of the construction, maintcnance, or exister�ce of the 1=,ncroac�m�nt and use of
Public E'roperty, L.icensee shall pay to City an additianal amount cqual to sucE� additional
cost as detennined hy th� Director of'I�ransportatior� and I'ublic Warks, the Director of
the Water Department, the Director of the Dcve[�pment Serv�ces Departmcnt, or ti�eir
duly auEharized represenkati�e.

Liccnsee agrees that City ma` cntcr and uti9ire the Public Property at any tirne for
any public purpose, incl�idin�� installin�, repairi�ia, rcplacin�, ar maintaining
improvcmcnts Ea its public facilitics or utilities necessar}' for the health, salety, and
welFare pf the public. 'I�hc CitJ shall have no responsibility or liabilitv for an� dama�es
related to the Ener�achment resultint� fi•o�n th� City's use of the Public Property;
however, the City shall make reasonable efforts to minimiie sucl� damage.
5.
Upo� tcrmination of this Agreement, Licensec shai�, at the option of and at no
expe��se to the City, rernu�e lhe l�:r�croachmeni and restore che Public Property to a
condition acccptablc ta the Directar of "i'ranspc�rtation and Public Works. thc l�irector of

duly authorized representative. �ny such remo�al of the F.ncroachment shall bc in
accordance with thcn-existing City re�ulations and palicies. [t is E�nderslood and agreeci
t� by �.icensee that if this Agreement [enninates and Licer�see fails to rcmo�e the
Encroachment and restore the Public E'ropc:riy, I.icensee hereby gives City permission to
rernnve the Encroachment and any suppo�tin� slructures From the Public Pro�crty, to
restore the f'ublEc Praperty, and ta asse5s a lien on the Property tar the costs expended by
thc City in takin�4 such actians.
6.
Ir� order to defray all costs of� inspection and supervision which the City has
incurred or will incur as a result of the constr�iction, maintenance, inspectian or
management ol� the Encroachment and €�s�; of f'ublic Property as pr���ided for by lhis
A��reement, Licensee agrces to pay to Cit}- ai the ti�r�c this Agreement is requested an
ap�lication fee in the sum of Nine 1-iundred Do�lars (S90U.00).
7.
"['he term af this Agrecmcnt sha{1 be fo� thirty (3U) ycars, commencin�.: on t��e
date this Agree�ncnt is executed by City. l3owever. the City may ter�r�inate this
Agreement upon Li�ensee's noncampliance with any a�� thc terms of this Agrecment.
City shall nqtify Licensee in writing nf�a�y such noncompiiance anc� ii_l.icensee does not
curc the noncompliance within thirty (30) days of noiice from Cit�, the City rnay
tcrrninate this Agrecmcnt. h{owever, thc Cit� cnay, at its sole aption, allow the Agreement
tu remain in effect so Icang as Licensee has taken rca�onable measures to cure the
noncompliance or is cor�tinuing to diligently attempt to remedy tl�c noncompliance.

contract away i�s duty a�d its legislative power to co��trol the Public Prnperty i��r the use

at any time during �hc tcrm hereof deter«�ine in its tiole discretion to use or cause or
pe►-�nit the i'ublic Property to be used i�tir any other p�Eblic purpose, including but not
heing limited to �mdergrutmd. surface, or overhead comn�unication. drainag�, sanitary
se.�era�e, transmissian af natural ��as or electrici[y, or an�� ot��cr public purpose, whethcr

propc�sed use and accupancy oi� public properly as locatcd and described in F.a��ibit "A."

revised upwarc� at City's optic�r� and that Licensee shall so re�ise such amaunis

12.
Licensee agrees to camply fully with all applicab�e federal, state, an� local laws,
statutes, ordinanccs, codes, and regulations in connection with the constructinn,
operation, and maintena�ce: of the Encrc�achment and usc af the Public i'roperiy.
13.
Licensee a�r�es to pay �romptly when duc all fees, taxes, or rentals �rovided for
by this A�reement or by any fcderal, state, or local statute, law, ar rebulation.

Licensee covenants and agrees that it shall operate hereunder as an independent
contractor as [o all rights and privileges granted hereunder and not as an ofticer, agent,
servant, or em�lo��ee c�f City, and Licc:nsee shall have exclusivc control of a�id thc
exclusive rigl�t ta control the detaiis of its operations, and ali persons performing same,
and st�all be solely responsible for the acts and om issions of its aff icers, agents. servants,
e�nployees, contractors, subcontractors, licensees, and invitees. -fhe dactrine of�
respondeat superior sk�all not ap�ly as hettiveen City and Licensee, its officers, agents,
servants, e��i�loyees, contraccors, and suhcontractors, and nothir�g herein shal) be
canstrued as creating a partnershi� orjoint enterprise between City and Licensee.
15.
Licensce a��rees and acknowledges ihat this Agreeme�it is solely for the pttrpose
of pennitting I,icensc;e Eu c:anstruct, maintain, and �ocate the Encroachment aver or within
the E'ublic Property and is not a conveyance of any ri��ht, titic, or interest in or to the
Public 1'roperty, nor is it meant to convey any right to use or occupy property in which a
third-party �nay ha��e an intcrest. Licensce agrees that it will obtain ali necessary
penr�issions befare occupying such pro�erty.
16.
[n any action hraug�E by the City for the enforcement of the ob[igations of the
Licensee. C'ity sha[1 bc entitled tq recover interest and reasonable attorncys' Fees.

Licensee covenanTs and agrees that it will nol assign al[ or any of� its rights,
priviieges, or duties under this Agreement without the �vri�ten approval of� the City, and
ar�y attempte� assignment without such written approval shall be void. in the event
l,icens�e conveys the Property, Licensee may assign all of' its rights and c3bligations under
this Agreement to tk�e new owner oi� the F'roperiy, and Licensee sha11 be d�;e�ned released
from its duties and obligations hereunder upon City's approval in writing ol' such
assignment, which approval shall not be unreasanably conditianed c�r withheld.
Foreclos�re by a s�curcd lender of Licensee or assignment to a secured lenc�cr by
l.icensee in the event of default or otherwise shall not require City approval provided that
said lender notifies City in writin�, within sixty (b0) days ot� such #'orcclosure or
assign�ncni and assumes all of�Licensee's ri�hts and obligatians hereunc�er. However, no
change of ownership due to foreclosure ar assignment to any secured lender of� L.icensee
shal] be ef'fecti�e as ta City unless and until written notice oF such foreclosure nr
assignment is provided to City.

Any causE af action For brcach af this Abreement shall be brought in Tarrant
County. Texas. "I"his Agreement shall be govcrncd by the laws ot'thc State of`I'exas.
