HomeMy WebLinkAboutContract 53692-A3CSC NO. 53692-A� THIRD AMENDMENT TO THE FACILITIES LEASE AGREEMENT BETWEEN THE CITY OF FORT WORTH AND OMNI AIR INTERNATIONAL, LLC This Third Amendment to the Facility Lease Agreement (City Secretary Contract No. 53692 ("Third Amendment") is made and entered into by and between the City of Fort Worth, a home -rule miulicipal corporation of tine State of Texas ("Landlord"), acting herein by and through Dana Burghdoff, its duly authorized Assistant City Manager, and Omni Air International, LLC, a subsidiary of Air Transport Services Group, Incorporated ("Tenant"), acting herein by and through Shonda Fisher, its duly authorized Vice President of Finance. WHEREAS, Landlord and Tenant executed a certain Facilities Lease Agreement ("Lease") (City Secretary Contract No. 53692) to lease space in the Structures Building #16, located at 2070 Eagle Parkway, Fort Worth, Texas 76177 ("Structures Building"), the Parts Warehouse Building # 11 located at 2050 Eagle Parkway, Fort Worth, Texas 76177 ("Parts Building"), a portion of a building located on the apron area of the Base, and aircraft parking spaces located on the apron area of the Base; and WHEREAS, Landlord and Tenant executed a First Amendment to the Lease (City Secretary Contract No. 53692-Al) to increase the square feet occupied by Tenant in the Structures Building; and WHEREAS, Landlord and Tenant executed a Second Amendment to the Lease (City Secretary Contract No. 53692-A2) to increase the square feet occupied by Tenant in tine Parts Building; and WHEREAS, Tenant now desires, and Landlord has agreed, to increase the square feet occupied by Tenant in the Parts Building; and NOW THEREFORE, in consideration of the covenants and agreements set forth in the Lease and lierein, Landlord and Tenant agree to amend the Lease as follows: 1. Article I1, Section 2.1(a)(i) of the Lease is deleted in its entirety and replaced with the following: (i) Landlord hereby leases to Tenant, and Tenant hereby leases from Landlord, the Leased Premises to include approxunately 53,436 square feet in the Structures Building # 16 located at 2070 Eagle Parkway, Fort Worth, Texas 76177, approximately 17,465 square feet ill the Parts Warehouse Building # 11 located at 2050 Eagle Parkway, Fort Worth, Texas 76177, and approxunately 319 square feet in a building located on the apron area of the Base as further described in Exhibit B-2; and Third A mendment to City Secretary Contract No. 53692 OFFICIAL RECORD Page CITY SECRETARY t FT. WORTH, TX 2. Article IX, Section 9.1 of the Lease is deleted in its entirety and replaced with the following: Base Rent. Tenant agrees to pay "Base Rent" to Landlord in advance, without demand or notice, based oil the following amounts. The rent will be prorated on a per diem basis for any partial month and is based on the Leased Premises' total square footage of 71,220 square feet. Term Base Rent Rate Monthly Annually Execution date of Third Amendment through expiration of $1.37 / SF $9,130.95 $97,571.40 the Primary Term 3. Exhibit B-1 (Site Plan) and Exhibit B-2 (Leased Premises) of the Lease are hereby deleted and replaced with the attached Exhibit 13-1 and Exhibit B-2 and are incorporated 'into the Lease by this reference. DISCUSSION: The City of Fort Worth (City) entered into a Facilities Lease Agreement with Omni Air International, LLC (Omni) on February 20, 2020 to lease approximately 26,470 square feet of space in the Structures Building #16 and in a building located on the apron portion of the Alliance Fort Worth Maintenance Base (Base) for storage, aircraft maintenance, and aircraft parking for operation of airline charter services, as City Secretary No. 53692 (Lease). City and Omni amended the Lease on September 15, 2021 to add 27,285 square feet to the space occupied by Omni in the Structures Building #16, for a total of 53,755 square feet. City and Omni further amended the Lease on November 18, 2022 to add 2,446 square feet to be occupied by Omni in the Parts/Warehouse Building #11, for a total of 56,201 square feet. The Property Management Department and Omni have agreed to further amend the Lease to add 15,019 square feet to the space occupied by Omni in the Parts/Warehouse Building #11. This third amendment to the Lease will increase the space in the Parts/Warehouse Building #11 from 2,446 SF to 17,465 SF. This increase of 15,019 SF will bring the total leased space from 56,201 SF to 71,220 SF. The total space under the Lease will be apportioned between three separate buildings at the Base as follows: Approximately 17,465 square feet in the Parts/Warehouse Building #11 located at 2050 Eagle Parkway, Fort Worth, Texas 76177; Approximately 53,436 square feet in the Structures Building #16 located at 2070 Eagle Parkway, Fort Worth, Texas 76177; and Approximately 319 square feet in a building located on the apron portion of the Base.
