AMENDMENT No.1 CSC No. 60142-A1 TO CITY SECRETARY CONTRACT No. 60142 WHEREAS, the City of Fort Worth (CITY) and Williams Tharp Architects, PLLC, formerly known as OWT Architects, PLLC (ARCHITECT) made and entered into City Secretary Contract No. 60142, (the CONTRACT) which was administratively authorized on the 20'h day of September, 2023 in the amount of $94,500.00; and WHEREAS, the CONTRACT involves architectural services for the following project: Fire Station Community Center — Renovation & Addition, City Project Number 104196; and WHEREAS, it has become necessary to execute Amendment No. 1 to the CONTRACT to include an increased scope of work and revised fee. NOW THEREFORE, CITY and ARCHITECT, acting herein by and through their duly authorized representatives, enter into the following agreement, which amends the CONTRACT: 1. Article I of the CONTRACT is amended to include the additional Architectural Services specified in proposal attached hereto and incorporated herein. The cost to City for the additional design services to be performed by Architect totals $635,500.00. (See Attached Funding Breakdown Sheet, Page -3 of 3) 2. Article 11 of the CONTRACT is amended to provide for an increase in the fee to be paid to Architect for all work and services performed under the Contract, as amended, so that the total fee paid by the City for all work and services shall be an amount of $730,000.00. 3. A. PROJECT A.1 Project Description: Phase 2 The following proposal is for the Design Development, Contract Documents, Construction Bidding & Negotiation and Contract Administration phase for an approximately 20,000 SF addition and renovation of the existing Fire Station Community Center facility comprised of a renovated 1923 fire station structure and a 1993 entry and gymnasium addition. This phase is a continuation of Phase 1 as previously submitted. A.2 Project Budget: OWT and designated City of Fort Worth representatives (The Owner) will review the city's budget goals for the overall project upon commencement of the proposed Phase 2 scope of work. During this phase, OWT and the Owner will monitor the budget and may make necessary adjustments to reflect any changes in the project requirements or may adjust the requirements to satisfy the project budget. 5049 Edwards Ranch Road #04-138 817.993.9844 Fort Worth, Texas 76109 info@owtarchitects.com Currently it is understood that the total project budget is $11 M-11.5M with $7M- $7.5M dedicated to renovation of the existing 1923 fire station and new construction addition. A.3 Project Schedule: OWT will work with the Owner to maintain the project schedule and adjust critical milestone dates as needed. During Phase 2, OWT and the Owner will monitor the schedule to ensure the project is in conformance. OWT will notify the Owner of any issues that may necessitate a change in the schedule. The following is a preliminary schedule for this phase of the work. ■ Design Development 10-12 weeks o Review 2-3 weeks ■ Contract Documents 12-14 weeks o Review 2-3 weeks ■ Bidding & Negotiation 4-5 weeks o Evaluation & Approval 2-3 weeks ■ Contract Administration 52 weeks B. SCOPE OF SERVICES B.1 OWT's scope of services to include the following: Design Development: During the design development phase, OWT and our consultants will translate the conceptual/schematic design ideas into more detailed plans and specifications. These plans and specifications will be reviewed and approved by the city prior to moving into the Contract Documents phase. 1. Refining Design Concepts: The design team will take the design concepts developed in the SD phase and refine them further. We will work closely with the client to ensure that the design aligns with the client's goals, budget, and requirements. Any necessary adjustments or revisions will be made to the design based on feedback and practical considerations. 2. Materials and Systems Selection: The design team will begin choosing specific materials, finishes, and systems to be used in the building. This includes decisions about structural systems, HVAC (heating, ventilation, and air conditioning) systems, electrical systems, plumbing, lighting, and more. Selections will be made based on factors such as performance, durability, aesthetics, price, and sustainability. 3. Coordination with Consultants: OWT will coordinate with their consultants, (structural engineer, mechanical engineer, electrical engineer, and landscape architect) to integrate their specialized expertise into the design. This ensures that all aspects of the building are well -coordinated and function seamlessly together. 4. 3D Modeling and Visualization: OWT will use software tools to create detailed 3D models and visualizations of the building design. These visual representations will help stakeholders better understand how the final building will look and function. 5. User Experience and Accessibility: The design team will consider the user experience and accessibility of the building design to ensure that the building is user-friendly, inclusive, and provides easy access for all occupants, including those with disabilities. 6. Client Communication: Throughout the design development phase, OWT will maintain open communication with the city and stakeholders, presenting design updates and gathering feedback. OWT will address any concerns or changes that may arise and work to ensure that the city's vision is being realized. 7. Value Engineering: If needed, OWT may collaborate with the client and consultants to explore cost -saving alternatives without compromising the project's quality or design intent. Contract Documents: During the contract documents phase, OWT will further develop the design concepts into detailed and comprehensive documents that will guide the construction process. This phase is a critical step in turning the creative vision into a tangible building structure. These documents will be reviewed and approved by the city prior to moving into the bidding & negotiating phase. 1. Detailed Drawings and Specifications: The design team will develop highly detailed drawings, plans, and specifications that outline every aspect of the project. These documents include floor plans, elevations, sections, and details that provide a clear understanding of the building's layout, dimensions, and materials. 2. Coordination and Integration: The design team will ensure that different components of the design are coordinated and integrated properly. This involves collaborating with various consultants to incorporate civil, structural, mechanical, electrical, plumbing, landscaping, and other technical systems seamlessly into the design. 3. Bid Documentation: The design team will prepare bid documents that contractors use to submit competitive bids for the construction work. These documents typically include the drawings, specifications, and other relevant information necessary for contractors to provide accurate pricing. 4. Quality Control: Throughout the contract documents phase, OWT will ensure the design intent is maintained and that the documents are accurate, coordinated, and complete. This helps prevent errors and discrepancies during the construction phase. 5. Value Engineering: If needed, OWT may collaborate with the client and consultants to explore cost -saving alternatives without compromising the project's quality or design intent. Bidding & Negotiation: During the bidding & negotiation phase, OWT will facilitate communication between various stakeholders, assist the city in selecting a suitable contractor through competitive bidding, and ensure that the project's design and budget align with the client's vision and requirements. 1. Bid Invitation and Distribution: OWT, in collaboration with the city, will issue bid documents for open bidding by general contractors and ensure they have all the necessary information to prepare their bids. 2. Pre -Bid Meeting: OWT will assist the city in organizing and conducting a pre - bid meeting with prospective contractors to clarify any ambiguities in the bid documents, answer questions, and ensure that all bidders have a clear understanding of the project's scope, budget, and requirements. Bid Review and Analysis: Once the bids are submitted by contractors, OWT will assist the city in reviewing and analyzing the bids. This involves assessing the completeness of the bids, evaluating proposed construction schedules, evaluating previous work experience, checking references, and comparing the bids to the project budget. 4. Recommendation: Based on the analysis, OWT will prepare a recommendation for the city regarding the selection of a preferred contractor. This recommendation considers various factors, including cost, expertise, track record, and overall fit with the project's goals. 5. Negotiations: OWT may assist the city in negotiating with the selected contractor. This could involve further clarifications, adjustments to the scope of work, value engineering, and potentially renegotiating terms to ensure alignment with the project's budget and timeline. Contract Administration: During the construction administration phase, OWT and its consultants will work with the city and contractor to ensure the successful execution of the construction process, that the project is built in accordance with the design intent, established quality standards, and contractual agreements while managing unforeseen challenges and changes that may arise during construction. 1. Site Visits and Observations: OWT will regularly visit the construction site to monitor the progress of the work and ensure that it aligns with the approved design drawings and specifications. OWT will assess the quality of workmanship, materials, and compliance with building codes and regulations. 2. Issue Clarifications: OWT will respond to requests for information (RFIs) from the contractor, which may involve clarifying design intent, resolving discrepancies, or providing additional details to ensure accurate construction and adherence to the contract documents. 3. Change Management: If changes or modifications to the design become necessary due to unforeseen conditions or city requests, OWT will assess the impact of these changes on the project's budget, schedule, and overall design intent and bring the assessments to the city for consideration and appropriate action. 4. Review of Submittals: OWT and its consultants will review and take appropriate action on various submittals, including shop drawings, product samples, and material specifications, to verify that they meet the project's requirements, standards, and design intent. 5. Conflict Resolution: In case of disagreements or conflicts between the contractor, subcontractors, and design team, OWT, in collaboration with the city, may facilitate discussions to find solutions that maintain design quality and meet the project's objectives. 6. Progress Reporting: OWT will keep the city informed about the construction progress, potential issues, and any significant developments. We will provide regular progress reports and attend project meetings. 7. Design Quality Control: OWT will focus on maintaining the quality and integrity of the design throughout construction. We will verify that the finished work meets design intent, standards, and specifications. 8. Contract Administration: OWT will administer the construction contract, including reviewing and processing payment applications, tracking change orders, and verifying compliance with contract terms. 9. Punch List and Closeout: Towards the completion of the construction, OWT, in collaboration with the general contractor, will create a punch list of any remaining deficiencies or incomplete items. Once these issues are resolved, we will facilitate the project's closeout, which includes issuing necessary certificates of completion, obtaining certificates of occupancy, and ensuring proper turnover to the city. Estimate of Probable Cost: 1. Design Development: OWT will provide the completed design development phase package to our cost estimator who will produce a detailed DD level estimate of probable cost. 2. Contract Documents: OWT will provide a 90% contract documents phase package to our cost estimator who will produce a detailed 90% CD level estimate of probable cost. Providing estimates at the end of each phase helps ensure that the design aligns with the budget and allows for necessary adjustments if costs exceed expectations. C. OTHER CONSIDERATIONS D.1 Additional Services: Compensation for additional services, if not agreed upon as a lump sum, shall be billed at OWT's standard hourly rates. D.4 Ownership of Documents: The Contract Documents and Specifications or reproduction of them in whole or part shall not be used on any project without the prior written approval from OWT Architects. OWT can provide CAD files for the Owner's ongoing management of the facility upon completion of the project. D.5 Payment Terms: Invoicing will be monthly based on the percentage of work completed through the end of the month. Payment is due within 30 days of the invoice statement date. Non- payment within the 30 days may result in suspension of the work described above. E. AGREEMENT AND ACCEPTANCE E.1 Summary: Mr. Meza, by signing below, you accept the general terms of this proposal. DISCUSSION: The 2022 Bond Program includes demolition of part of existing facility due to age, functional obsolescence, and insufficient space for programming needs; and design and construction of new facility (approximately 20,000 SF) and associated infrastructure and site improvements, including, but not limited to gymnasium, fitness area, and meeting rooms. The project will also include the preservation, renovation, and expansion of portions of the existing facility.
