Home My WebLink AboutContract 41204-R6A7CSC No. 41204-R6A7 RENEWAL NO. 6 AND AMENDMENT NO. 7 TO CITY OF FORT WORTH CONTRACT 41204 This Amendment and Renewal is entered into by and between the City of Fort Worth ("City"), a Texas home -rule municipality, and ProQuest ("Vendor"). City and Vendor shall be referred to individually as a "Party" and collectively as the "Parties". WHEREAS, Parties previously entered into City Secretary Contract 41204 ("Agreement") on November 16, 2010; WHEREAS, the Agreement was executed for Vendor to provide the Fort Worth Public Library ("Library") access to Ancestry Library and was procured for an original amount of $4,515.00, in accordance with then current state and local laws; WHEREAS, the Agreement was amended on May 8, 2018 to update the terms of the Agreement and to continue to provide services more specifically described in the Agreement (CSC 41204-A1); WHEREAS, the Agreement was amended on January 15, 2020 to align the term of the Agreement and the subscription term to run from October 1 of each year to September 30 of the following year and to allow for a first renewal effective until September 30, 2020 (CSC 41204-R1A2); WHEREAS, the Agreement was amended on September 24, 2020 to update the list of current Library locations and pricing schedule, and to allow for a second renewal effective until September 30, 2021 (CSC 41204-R2A3); WHEREAS, the Agreement was amended on November 16, 2021 to update the list of current Library locations and pricing schedule, and to allow for a third renewal effective until September 30, 2022 (CSC 41204-R3A4); WHEREAS, the Agreement was amended on August 16, 2022 to update the list of current Library locations and pricing schedule, and to renew the Agreement for a fourth term effective until September 30, 2023 (CSC 41204-R4A5); WHEREAS, the Agreement was amended on November 13, 2023 to update the list of current Library locations and pricing schedule, and to renew the Agreement for a fifth term effective until September 30, 2024 (CSC 41204-R5A6); WHEREAS, the Agreement may be renewed annually at the City's discretion (Renewal Term) for additional one-year renewal options; WHEREAS, Parties wish to amend the Agreement to update the list of current Library locations as well as to amend the price schedule to increase the current rate to ten thousand three hundred twenty-six dollars and sixty-three cents ($10,326.63); and WHEREAS, Parties also wish to renew the Agreement for an additional term from October 1, 2024 to September 30, 2025. NOW, THEREFORE, Parties, acting herein by the through their duly -authorized representatives, enter into the following agreement: OFFICIAL RECORD CITY SECRETARY FT. COMPENSATION AND INVOICING shall be amended and replaced in its entirety with the following: City shall pay Vendor an annual amount in accordance with the provisions of this Agreement and the Service Pricing Schedule attached as Exhibit C. Annual price for the Service shall not increase by more than 2% for any Renewal Term unless both Parties agree in writing. Vendor must provide City at least 90 days' written notice if the Renewal Term price will increase by more than 2%. In no event will total annual compensation under this Agreement exceed FORTY-NINE THOUSAND DOLLARS ($49,000). For the 2024-2025 term, the agreed amount is ten thousand three hundred twenty-six dollars and sixty-three cents ($10,326.63). Vendor shall not perform any additional services for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City shall not be liable for any additional expenses of Vendor not specified by this License unless City first approves such expenses in writing. Vendor shall not invoice City for Renewal Terms until both Parties have signed City' s Contract Renewal. 2. Exhibit A — DESCRIPTION OF SERVICE shall be amended and replaced in its entirety with the attached Exhibit A — DESCRIPTION OF SERVICE. 3. Exhibit C- SERVICE PRICING SCHEDULE shall be amended and replaced in its entirety with the attached Exhibit C- SERVICE PRICING SCHEDULE. 2. RENEWAL The term of the Agreement, as amended, is hereby renewed for an additional year to begin on October 1, 2024 and to expire on September 30, 2025, unless terminated earlier in accordance with the Agreement. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. 4. ELECTRONIC SIGNATURE This Amendment and Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal.
