Home My WebLink AboutContract 59750-A1CSC No. 59750-Al FIRST AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 59750 This First Amendment to Fort Worth City Secretary Contract No. 59750 is made by and between the City of Fort Worth ("City"), a Texas home -rule municipal corporation acting by and through its duly authorized Assistant City Manager, and Bode Cellmark Forensics, Inc. ("Vendor"), a Delaware C-Corporation owned by MLC Holdings and acting by and through it duly authorized representative, each individually referred to as a "party" and collectively as the "parties". WHEREAS, City and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 59750 beginning July 11, 2023 ("Agreement"); WHEREAS, under the terms of the Agreement, services began on the date signed by the City's signatory ("Effective Date") and expired on July 10, 2024 ("Expiration Date"), unless terminated earlier in accordance with this Agreement ("Initial Term"). City will have the option, in its sole discretion, to renew this Agreement under the same terms and conditions, for up to four (4) one-year renewal options (each a "Renewal Term"), with the first renewal executed on July 11, 2024 and expiring on July 10, 2025; and WHEREAS, it is the collective desire of both City and Vendor to amend the Agreement to update Exhibit B in the Agreement due to price changes found in Vendor's attached 2024 Pricing. NOW THEREFORE City and Vendor do hereby agree to the following: I. AMENDMENT TO AGREEMENT The following terms are hereby amended to replace any conflicting terms in the Agreement or will be added to the terms and will be binding and enforceable as if they were originally included therein. Exhibit B in the Agreement is deleted and replaced with the attached Vendor's 2024 Pricing. In the event of any conflict between terms and conditions in the attached Exhibit B, aside from the new pricing, and the terms and conditions of the Agreement, the terms and conditions of the Agreement control. II. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement that are not expressly amended herein shall remain in full force and effect. OFFICIAL RECORD CITY SECRETARY FT. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, of a signature, shall be treated as and shall have the same effect as an original.
