THIRD AMENDMENT TO CITY SECRETARY CONTRACT NUMBER 55657
A VENDOR SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH
AND VENTREX ENVIRONMENTAL SERVICES LLC
This THIRD AMENDMENT TO CITY SECRETARY CONTRACT NUMBER 55657
("Third Amendment") is entered into by and between the City of Fort Worth ("City"), a home -rule
municipal corporation of the State of Texas, acting by and through its duly authorized Assistant City
Manager, and Ventrex Environmental Services LLC ("Vendor"), a Texas limited liability company,
acting by and through its duly authorized representative, each individually referred to as a "party" and
collectively referred to as the "parties."
WHEREAS, on April 27, 2021, the City and Vendor entered into City Secretary Contract 55657
for Vendor to provide City with cleaning and decontamination services for three underpasses
("Agreement"); and
WHEREAS, the City and Vendor executed the First Amendment to the Agreement to revise the
term of the agreement to begin on April 27, 2021 and to expire on September 30, 2022; and
WHEREAS, the City and Vendor executed the Second Amendment to the Agreement to increase
the total payments authorized under the Agreement to $160,000.00; and
WHEREAS, the City and Vendor have executed the first, second, and third renewals of the
Agreement; and
WHEREAS, the City's Environmental Services Department and Transportation and Public Works
Department have agreed to share contract management responsibilities on behalf of the City for this
Agreement; and
WHEREAS, the City and Vendor desire to amend the Agreement for Vendor to provide City with
underpass cleaning and decontamination services at a fourth underpass and to clarify and update certain
terms and conditions of the Agreement;
NOW, THEREFORE, the Parties, acting herein by the through their duly authorized
representatives, enter into the following agreement:

Section 13 of the Agreement is amended in its entirety to be and read as follows:
13. Notices. Notices required pursuant to the provision of this Agreement shall be
conclusively determined to have been delivered when (1) hand -delivered to the other party, its agents,
employees, servants or representatives, or (2) received by the other party by United States Mail, registered,
return receipt requested, addressed as follows:

Exhibit A of the Agreement is amended in its entirety to be and read as set forth in Exhibit "A" of
this Third Amendment which is attached hereto and incorporated herein by reference.
Exhibit B of the Agreement is amended in its entirety to be and read as set forth in Exhibit `B" of
this Third Amendment which is attached hereto and incorporated herein by reference.
IV.
a. All other provisions of the Agreement which are not expressly amended herein shall remain in full
force and effect.
b. All terms in this Third Amendment that are capitalized, but defined, shall have the meanings
assigned to those terms in the Agreement.

EXHIBIT A
SCOPE OF SERVICES
A. DEFINITIONS
(1) "Biohazards" means the following items, including, but not limited to: Blood Borne
Pathogens, urine, feces, vomit, dead animals, sewage, or other materials believed to be
containing the following pathogens: Hepatitis (A, B, or C), Staph, MSRA (Methicillin
resistant Staphylococcus aureus), HIV, tuberculosis, or other infectious diseases.
(2) "Biomedical Waste" means sharps, hypodermic needles, syringes, microbial cultures,
tissue cultures, animal tissue, laboratory containers, slides and any other waste that meet
the definition of Regulated Waste under Code of Federal Regulations title 29.
(3) "Blood Borne Pathogens" means pathogenic microorganisms that are present in human
blood and can cause diseases.
(4) "Contaminated" means the presence or the reasonably anticipated presence of blood or
other potentially infectious fluids.
(5) "Decontamination" means the use of physical or chemical means to remove inactivate or
destroy Blood Borne Pathogens or other Biohazards to the point where they are no longer
capable of transmitting infectious particles and/or are safe and odor free.
(6) "Litter" means any debris within the project area and rights -of -way including, but not
limited to, furniture, appliances, tires, construction material, paper, plastic, cans, bottles
(including broken glass), cardboard, rags, limbs and branches smaller than four (4) inches
in diameter, rocks, cigarette butts, bottle caps and other similar solid materials and foreign
debris which is not intended to be present as part of the right-of-way and landscape.
(7) "Other Hazardous Waste" means the following including, but not limited to: decomposing
materials, items related or incidental to outdoor camping, wastewater not containing urine
or feces, and other potentially infectious fluids or materials
(8) "Solid Waste" means any solid waste as defined by Appx. B, Art. II, Div. 1 § 11A-7 of the
City Code of the City of Fort Worth (2015), as amended.
B. SERVICES PERFORMED
(1) Vendor shall provide all necessary labor, material, and equipment to perform the following
services in underpasses on an "as needed" basis at 187 Henderson Street, 1317 Jennings
Avenue, 1731 Main Street, and 2501 Pine Street:
A. Disinfect and clean with chemicals;
B. Collection and disposal of Biohazards, Blood Borne Pathogens, Medical Waste,
Other Hazardous Waste, Litter, and Solid Waste; and
C. Decontamination of Biohazards.

Vendor shall also perform the above identified services in all areas of the street and rights -
of -way in the underpasses at these addresses.
(2) All body fluids shall be considered potentially infectious material. Vendor shall observe
precautions to prevent contact with blood or other potentially infectious fluids or materials.
(3) New service locations may be added upon mutual, written agreement by the City and
Vendor.
C. REOUIREMENTS
(1) Vendor shall set-up signage and lane closure notices for traffic control. The Traffic Control
Plan shall be in accordance with City of Fort Worth and Texas Manual on Uniform Traffic
Control Devices (TMUTCD).
(2) Vendor shall notify the local Police liaison for interaction with unhoused residents.
(3) Vendor shall remove all Litter and Solid Waste along walkways for disposal in accordance
with all applicable regulations.
(4) Vendor shall identify and collect all Biohazards, Biomedical Waste, and Other Hazardous
Waste and dispose of the same in accordance with all applicable regulations.
(5) Vendor shall set-up a wash -water collection system (if soap is to be utilized)
(6) Vendor shall power -wash the entire area according to the following:
6.1. Outer solid wall from ground level to 48" above (as needed)
6.2. Sidewalk side of inner wall from sidewalk level up to 48" (as needed)
6.3. Vehicle lane side of inner wall from street level to top of wall (as needed)
6.4. Collect and dispose of power -wash wastewater (if soap is to be utilized) at
approved disposal sites.
D. BIOMEDICAL WASTE
(1) Vendor shall transport and incinerate Biomedical Waste found in the underpasses of 187
Henderson Street, 1317 Jennings Ave, 1731 Main Street, and 2501 Pine Street.
(2) Vendor shall be responsible for properly loading Biomedical Waste on the transportation
equipment unless other provisions are specified.
(3) All work performed under this Agreement shall be done in accordance with the Texas
Administrative Code. The transporter and disposal facility shall have all applicable licenses
and permits necessary to perform the work required under this Agreement and shall make
such facility licenses and permits available for inspection. At any time during the term of
this Agreement when such licenses and permits are amended, renewed, or replaced, Vendor
shall provide a letter notifying City of such within ten (10) calendar days prior to that
amendment, renewal, or replacement.

(4) During the term of this Agreement, Vendor shall submit copies of all formal written notices
of violation concerning noncompliance of operating permits that occur at Treatment,
Storage, Disposal Facilities (TSDF) used to dispose City waste streams. Notices of
violation shall be sent to the City within thirty (30) days from the day the notice was issued.

PRICE SCHEDULE
(1) The cost for the services described in Exhibit "A" shall be $16,000 for each cleaning performed
at 187 Henderson St., 1731 Main St., and 1317 Jennings Ave. The cost for services described
in Exhibit "A" shall be $4,000 for each cleaning performed at 2501 Pine St.
(2) The prices identified in this Exhibit B shall include all collection and disposal costs for USDA
garbage and waste including, but not limited to, fuel, travel and/or time lost. No additional
charges will be accepted or paid by the City.
