Home My WebLink AboutContract 58578-A3R2Docusign Envelope ID: BOOAAC8B-FEEE-4B65-A6C3-27439DEA6AA1 CSC No. 58578-A3R2 THIRD AMENDMENT AND SECOND RENEWAL TO CITY OF FORT WORTH CONTRACT NO. 58578 This THIRD AMENDMENT AND SECOND RENEWAL is made and entered into by and between the CITY OF FORT WORTH, a home -rule municipal corporation of the State of Texas, acting by and through its duly authorized representative ("City"), and Fulcrum Management Solutions, Inc. ("Vendor"). WHEREAS, City and Vendor entered into an agreement identified as Fort Worth City Secretary Contract No. 58578 (the "Agreement'), with the initial term from November 29, 2022 to September 30, 2023; WHEREAS, the parties previously renewed the agreement for a term of October 1, 2023 through September 30, 2024; WHEREAS, the parties desire to amend the Agreement to update Exhibit B of the Agreement and increase the maximum spend to $90,000.00 for the second renewal term; WHEREAS, the Agreement provides that the term may be renewed for two additional one-year periods; WHEREAS, the parties wish to continue their relationship by exercising the second renewal option beginning October 1, 2024 and to expire September 30, 2025; and NOW, THEREFORE, City and Vendor agree to amend and to renew and extend the Agreement as follows: I. AMENDMENT City and Vendor hereby agree to amend the Agreement as follows: Exhibit B of the Agreement is deleted and replaced with the Exhibit B attached to this Third Amendment and Second Renewal. In accordance with Exhibit B, the maximum spend under the Agreement is increased to $90,000.00 for any single annual term. H. RENEWAL The parties further agree to renew and extend the Agreement for its second renewal term, effective beginning on October 1, 2024 and ending on September 30, 2025 (2nd Renewal Term). This shall be the second of two possible one-year renewal periods. IH. (1) All terms and conditions of the Agreement that are not expressly amended pursuant to this First Amendment and First Renewal shall remain in full force and effect.
