HomeMy WebLinkAboutContract 62292CSC No. 62292 FORT WORTH CITY OF FORT WORTH COOPERATIVE PURCHASE AGREEMENT This Cooperative Purchase Agreement ("Agreement") is entered into by and between Pavecon Ltd. ("Vendor") and the City of Fort Worth ("City"), a Texas home rule municipality. The Cooperative Purchase Agreement includes the following documents which shall be construed in the order of precedence in which they are listed: 1. This Cooperative Purchase Agreement; 2. Exhibit A - Vendor's Proposal & Contract; 3. Exhibit B-The BuyBoard Contract #700-23; and 4. Exhibit C - Conflict of Interest Questionnaire Exhibits A, B, and C, which are attached hereto and incorporated herein, are made apart ofthis Agreement for all purposes. Vendor agrees to provide City with the services and goods included in Exhibit A pursuant to the terms and conditions of this Cooperative Purchase Agreement, including all exhibits thereto. If any provision of the attached Exhibits conflict with the terms herein, are prohibited by applicable law, conflict with any applicable rule, regulation or ordinance of City, the term in this Cooperative Purchase Agreement shall control. City shall pay Vendor in accordance with the fee schedule in Exhibit A and in accordance with the provisions of this Agreement. Total annual payment made under this Agreement by City will not exceed One Hundred Thousand Dollars and Zero Cents ($100,000.00). Vendor shall not provide any additional items or services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City shall not be liable for any additional expenses o f Vendor not specified by this Agreement unless City first approves such expenses in writing. The term of this Agreement is effective beginning on the date signed by the Assistant City Manager below ("Effective Date") and expires on May 31, 2025. The City shall be able to renew this agreement for one (1) one-year renewal options by written agreement of the parties. Vendor agrees that City shall, until the expiration of three (3) years after final payment under this Agreement, or the final conclusion of any audit commenced during the said three years, have access to and the right to examine at reasonable times any directly pertinent books, documents, papers and records, including, but not limited to, all electronic records, o f Vendor involving transactions relating to this Agreement at no additional cost to City. Vendor agrees that City shall have access during n o r a1 working hours to all necessary Vendor facilities and shall be provided adequate and appropriate work space in order to conduct audits in compliance with the provisions of this section. City shall give Vendor reasonable advance notice of intended audits. The Agreement and the rights and obligations ofthe parties hereto shall be governed by, and construed in accordance with the laws ofthe United States and state of Texas, exclusive of conflicts oflaws provisions. Venue for any suit brought under the Agreement shall be in a court of competent jurisdiction in Tarrant County, Texas. To the extent the Agreement is required to be governed by any state law other than Texas or venue in Tarrant County, City objects to such terms and any such terms are hereby deleted from the Agreement and shall have no force or effect. Nothing herein constitutes a waiver of City's sovereign immunity. To the extent any of the attached Exhibits requires City to waive its rights or immunities as a government entity, such provisions are hereby deleted and shall have no force or effect. Excavate concrete pavement to a depth of 11". Remove excess material and compact base to a minimum thickness of 8 inches. Tack edges with an asphaltic material for bonding and pave with Type "D" hot mix asphaltic concrete wearing course to achieve a compacted thickness of 3 inches. Recycled Asphalt with Cement Stabilization Mill (pulverize) existing failed asphalt pavement and base to a depth of 11 inches. Mix with a minimum of 8% portland cement and water. Remove excess material and compact base to a minimum thickness of 8 inches. Tack edges with an asphaltic material for bonding and pave with Type "D" hot mix asphaltic concrete wearing course to achieve a compacted thickness of 3 inches. Backfill edge of pavement. Concrete Repair - Base Compaction - Split Pour - 2 Mobilizations Saw cut defined limits of areas. Excavate failed pavement to a depth of 8". Drill ,dowel and epoxy grout edges of repair with #4 deformed dowels. Place 8" concrete with a broom finish. Reinforce with #4 rebar at 18" on center. Concrete shall be 4500 PSI with air entrainment for durability and resistance to surface scaling. Cure concrete with liquid membrane curing compound to insure strength development. Sawcut control joints as necessary. Asphalt Crack Seal Remove all grass, dirt, and loose foreign material by blowing out the crack with compressed air until completely free of dust and water. Material shall be a hot or cold pour rubber material, capable of effectively sealing cracks in the pavement against the infiltration of surface moisture. THIS IS A UNIT PRICE BID. Should Pavecon, Ltd. use the allotted Ibs, the owner will be notified immediately for approval before additional material is used. Seal Coat A two -coat material application rate shall be 30 Gals/1,000Sf. Pavement surface will be prepared for protective sealcoat application by thoroughly cleaning surface of dirt, dust, and debris with high speed wind blowers, powered street brooms. Oily build-up areas will be wire brushed and primed, if necessary, before protective coating is applied. A protective sealcoat will then be applied per manufacturer's recommended application rates and methods. The sealcoat will then be allowed to dry and cure for a period of 24 to 48 hours before allowing automobile traffic on pavement. (Even with a prime coat, adhesion of the protective coating to the oil spot cannot be guaranteed. It is recommended that these areas be repaired prior to the sealcoat application.) PAVECON, Ltd., (PAVECON) will carry workmen's compensation insurance covering its employees and shall provide public liability and property damage insurance. 2. Any changes from the specifications or modifications of the terms of this contract shall be set put in writing and signed by both parties. 3. This proposal expires 30 days from the date hereof but may be accepted at any later date at the sole option of the Company. 4. By accepting this proposal, Owner agrees to indemnify and to hold PAVECON, Ltd. harmless from all claims, including its reasonable attorneys' fee incurred in defending any claim, resulting from damages to any utility line, irrigation line, private electrical, or sub structure not identified or clearly marked. Any damage to clearly marked utility lines, irrigation line, private electrical lines, or sub structures shall be the responsibility of PAVECON, Ltd. S. Unless a lump sum price is to be paid for the foregoing work and is clearly so stated it is understood and agreed that the quantities referred to above are estimates only and that payment shall be made at the stated unit prices on the actual quantities of work performed by PAVECON as determined upon completion of the work. 6. PAVECON shall not be responsible for any damage to or deterioration of any of our work, whether completed or in process, resulting from any cause or causes beyond our control, but not limited to failure of subgrade, including soil volume changes, or failure of inadequacy of any labor or materials not furnished and installed by us, whether or not such failure or inadequacy was or could have been known at the time our work was undertaken. 7. PAVECON is not responsible for removing vehicles from repair areas. PAVECON will notify you in advance and you must make arrangements to have vehicles removed at your expense. 8. In the event all work under this contract is not completed in one operation, Company shall be paid in full for all items of work completed upon the completion thereof. Any work under this contract for which PAVECON has not received a "work order" calling for completion within one year from the date of this agreement will be subject to renegotiations of prices, or cancellation at PAVECON's option. 9. Terms of Payment - Final and complete payment for all work performed herein shall be made within 30 days of invoice date. Interest at the rate of (18) percent per annum shall be charged you and paid by you on all unpaid balances from the due date to the date of receipt of payment by PAVECON. On Site Training. - If additional onsite training is required for workers, pricing is subject to change. Pumping, heating, or cooling of concrete. Handrails. All work areas must be free of materials & equipment. Rock excavation, soil treatments, tree removal. Demo, sawing, haul off of spoils created by others. Pavement markings, wheel stops, signage. Traffic Control. Reflective cracking, vegetation sterilization. The scope of work herein will be completed in (2) trip(s). I understand additional trip(s) necessitated by obstructions, lack of preparedness, water, cars or other impediments that would inhibit the service from being completed will result in a rescheduling fee of $1,000.00 per trip. Vendor agrees to pay National Cooperative the service fee provided for in the Underlying Award based on the amount of purchases generated from National Cooperative members through the Piggy -Back Award. Further, upon request, Vendor shall provide National Cooperative with copies of all purchase orders generated from National Cooperative members, vendor invoices, and/or such other documentation regarding those purchase orders as the Cooperative's administrators may require in their reasonable discretion for purposes of reviewing and verifying purchase activity. Vendor further agrees that National Cooperative shall have the right, upon reasonable written notice, to review Vendor's records pertaining to purchases made by National Cooperative members in order to verify the accuracy of service fees. 6.
