PUBLIC PROPERTY EASEMENT �NCROACHMENT LICENSE AGREEMENT

THIS AGREEMENT is made and entered into by and between THE CITY OF
FORT WORTH, a home rule municipal carporation of Tarrant Cotinty, Texas ("City"),
acting by and through its duly authorized City Manager, Assistant City Manager, ar
Director of the Deve�opment Serv'rces Department, and The 13usiness Paric at Trinity
LLC, a Texas limited lia�ility company ("Licensee"), acting by and thz•o��gh its duly
authorized representative.
REC�TALS
WHEREAS, Licensee is the owner of the real property lacated at 12200 Trinity
Boul�vard, Fort Worth, Texas 76040("Pro�erty"}, l�eing more particularly described as,
being Lots 2R, 3R, 4R, and 5R, BIock 1, Trinity Crossing, an ac�dition to the City of Fart
Worth, Tairant County, "1"exas. as recorded in Deed Records, by Instrument Number
D223072712, in Tarrant County, Texas, and;
WH�RF,AS, the City owns a sanitary sewer, and waier easement (the "Public
ProPerty") adjacent to the Property, dedicated by plat, depicted on the final plat of the
property (FS-23-172), �vhich is recorded in the plat record� of Tarrant County as
Instrument NumbEr D224040429; and
WHEREAS, Licensee desires to construct, place, and maintain certain
improvetnents which will encroach in, on, above, or below tl�e Public Property; and
WHEREAS, to accatnmodate tl�e needs oF the Licensee, the City will allaw the
encroachment under the terms and conditions as set forth in this Agreement.
NOW, THEREFORE, the City and Licensee agree as follows:
AGREEMENT
1.
The City, in consideration of the payraent by Licensee of the fee set out below
and cavenants and agreerr�ents hereinafter contained to be kept and performed by
Licensee, l�ereby �rants permission to Licensee to encroach in, on, above, ar below and
accupy a portion af the City's Public Praperty as described in and at the location shown
on Exhibit "A," but only to the extent shown thereon, for the purpose af constructing,
installing, and maintaining a canopy, carnice, footings, and a gas line (the

"Eneroachment"). Upan con�pletioi� of the Encroachment, Licensee agrees to be
responsible far maintaining the Encroachrnent within the 1'ublic Property. Licens�e shall
not expand ar otherwise cause the Encroachment to further infringe in or on tl�e Public
Property beyond what is specifically ciescribed in Exhib'rt "A."
2.
AI1 constructian, installation, maintenance, and operation of the Encroachment
and the use or accupancy of the Public Pi�operty shall comply with and be performed in
strict compliance with this Agreement and with tlie charter, ordinances, codes, and
policies of the City. Pxior to the construction or installation of the Encroachment,
Licensee shall s�ibmit all plans and specifications to the Dir�etor af tl�e Develapment
Services Department or duly authorizcd representative. Licensee shall not commence
construction or installation of the Encroachment nor rnake any use of the Public Property
until after the execution af tl�is Agreenlent.
3.
Lice�lsee, at no expense to the City, shall make proper provisiotls for the
relacation and ins#allation of any existinb or future utilities affected by such
Encraachment and the use and occupancy oP the Publ�c Property, incltiding the securin�
i��e approval and c�nsent of the appropriate utility companie$ and agencies of the State af
Texas and its political subdivisions. In the event that any installation, reinstallatian,
relocation, or repair of any existing or future utility or irnprovements owned by or
construct�d by or on behalf o�� the p��blic or at ��blic expense is made more costly by
virtue of the construction, maintenance, or existence of the Encroachm�ilt anci use of
Public Property, Licensee shall pay to City an additional amount equal to such additional
cost as determined by the Director of Transportation and Public Works, the Direcic�r of
the Water Department, the Director of the D�velapment Services Department, or their
duIy autharized representative.
4.
Licensee agree� that City may en#er and utilize the Public Property at any time for
any public purpose, incluc�ing installing, repairing, replacing, or maintaining
improvements to its pt�blic facilities or utilities necessary for the health, safety, and
welfare of the �ublic. The City shall have no responsibility or liab�lity for any damages
related to the Encroachment resulting from the City's use of the Public Property;
however, the City shall make reasonable efforts to minimize such damage.
5.
Upon termination of this Abreement, Licensee shall, at the option of ancf at no
expense to the City, retnove the Encroachm�;nt ai�d restore the Public Property to a
condition acceptable to the Dir�:ctar of Transportatian and Public WorEcs, the Director of
the Water Department, the Directar of the Development Ser�ices Department ot• their

c�uly authorized representative. �iny such removal of the Encroachn�ent shall be in
accordance wrih then-existing City regulations atld policies. It is understood and agreed
to by Licensee that if this Agreement ter�ninates and Licensee fails to remove the
Encroachment and restore the Public Property, Licensee hereby gives City permission to
remove the Encroachment and any sup�orting structures from the Public Property, to
restore the Public Property, and to assess a lien on the Froperty for the costs expended by
the City in #aking such actions.

In order ta defray all costs o� inspection and supervision which ti�e City has
incurred or will incur as a restilt of the construction, maint�nance, inspection or
mana�ement of the Encroac�ment and use of Public Praperty as provided for by this
Agreement, Licensee agrees to pay ta City at the time this Agreerrient is requesteci an
a�plication i'e� in the sum ot' Nine Hundred Dollars ($900.00).
7.
The #erm of #his Agreement shall be for thirty (30} years, commei�cin�; on the
date this Agreement is exec�Eted by City. However, the City may terminate ti�is
Agreement upon Licensee's nancompliance with any of thc terms of this Agreement.
City shall notify Liecnsee in vvriting of aily such noncomplia��ce and if L�censee does not
cure the noncompliance within thirty (30) days of raotice �rom City, tfle City may
terminate this Agre�;ment. However, the City may, at its sole option, allow the Agreement
to remain in effect so long as Licensee has taken reasonable measures to cure tne
noncompliance or is continuing to diligently attempt to ramedy t��� noncompliance.

It is further understood and abreed between the parties hereta that the Public
Property to be used and encroached t�pon is held by City as trustee for the public; that
City exercises such powers over the Public Property as have been delegated to it by the
Constitution of the State of Texas or by the Texas Legislature; and that City cannot
contract away its duty and its legislative power to control the Public Property for the use
and benefit of the public. It is accardingly agreed that if the gavernxng body of City may
at any time during the term hereof determine in its sole discretion to use or cause or
permit the P�bIic Property to be used for any other public purpose, including but not
being �imited to underground, surface, ot' overhead cornmunication, draina�e, sanitary
sewerage, transmission ot natural gas or electricity, or any other public purpose, whether
presently coniemplated or not, that the parties agr�e ta negotiate in goad faith in order to
accomcnodate both the Encroachment and the public ptiirpose.

LICENSE� COVENANTS AND AGREES TO IND�MNIFY, AND DOES
HEREBY INDEMNIFY, HOLD HARML�SS, AND DEFENll CITY, ITS
OFFICERS, AG�NTS, SEI�VANTS, EMPLOYEES, AND ELECTED QFFICIALS
FROM AND AGAINST ANY AND ALL CLAIMS QR SUITS FOR PROPERTY
DAMAGF OR LOSS AND/OR PERSQNAL INJURY, INCLUD�NG DEATH, TO
ANY AND ALL PERSONS, OF WHATSOEVER KIND OR CHARA�CTER,
WHETHER REAL OR ASSERTED, ARISING OUT OF OR IN CONNECTIQN
WITH, DIRECTLY OR INDIRECTLY, THE CONSTRUCTION,
MAINTENANCE, OCCUPANCY, USE, EXiSTENCE, OR LOCATION OF THE
ENCROACHMENT AND USES GRANTED HEREUNDER, WHETHER OR NOT
CAUSED, IN WHOLE OR IN PART, BY THE ALLEGED NEGLIGENCE OF
OFFICERS, AGENT�, SERVANTS, EMPLOYEES, CONTRACTOR�,
SUBCONTRACTORS, LICEN�EES, ELECTED OFFICIALS, OR INVITEES OF
THE CITY; AND LICENSEE HEREBY ASSUMES ALL LIABILITY AND
RESPON,�IBILITY FOR SUCH CLAIMS 012 SUITS. LICENSEF SHALL
LIK�WISE ASSUME ALL L�ABILITY AND RESPONSiBILITY AND �HALL
INDEMNIFY CITY FOR ANY AND ALL INJURY OR DAMAGE TO CiTY
PROP�RTY ARISING OUT �F OR IN CONNECTION WITH TH�
ENCROACHMENTS AND ANY AND ALL ACTS 012 OMISSIONS OF
LICENSEE, ITS OFFICERS, AGENTS, S�RVANTS, EMPLOYEE�,
CONTRACT�RS, SUBCONTRACTO�S, LiCENSEES, OR INVITEES.
10.
While this Agreement is in effect, Licensee abrees ta �urnish City with a
Certificate of Insurance naming City as certificate holdee as proof that is l�as secured and
paid fo�- a policy of public liability insurance covering all public risks related to the
proposed use and occupancy of public property as Iocated and described in Exhibit `�A."
The amaunts of such insurance shall be no� less than
� 1,000,000
with the understar�dir�g and agreement by Licensee ti�at such insurance amounis may �e
revised upward at City's option and that Licensee shall so revise such amounts
itnmediately follawing notice to Licensee of such requYretnent. Such insurance policy
s�all not be canceled or afnenc�cd without at least thirty {30} cEays prior writte€� notice to
the Building Official of the City. A copy of such Certificate of Insurance is attached as
Exhibit "B" and incorporated herein for a�l purposes. Licensee agrees, binds, and
obligates itself and its successors and assigns ta maintain and keep in farce such public
liability insurance at all times d�iring the term of this A�reement and until the remo�al of
the Encroachfnent and restoration of tl1c; Public Property. All insurai�ce coverage
required herein shall include co�•erabe of alI License�'s contractors and subcontractors.

11.
Licens�e agrees to deposit with the City when this Agreenlent is executed a
sufficient sutn af money to be used to pay necessary fees to recorcf this Agreement in the
real property records of the couclty in which the Encroachment �s locaied. After being
recordeci, the original sha�l be returned to the City Secretary of the City of Fort Worth.
12.
Licensee agrees ta comply Ftiilly with ali applicable federal, state, and local la�vs,
statutes, ordinances, codes, and regutations in connection with the constriiction,
operation, and maintenance of the Encroachmeilt and use of the Public Property.
13.
Licensee agrees ta pay promptly when due all fees, taxes, or rentals pravided for
by this Agreen�ent or by any federal, state, or lacal statute, Iaw, or regulation.

Licensee covenants and agrees t11at it shall operate hereun�.er as an independent
cozztractor as to all ri�hts and privileges branted hereu�lder and not as an officer, agent,
servant, or employee of City, and Licensee shall have exclusive control of and the
excl��sive rig�t to control the details of its operations, and all persons performing same,
and shall be salely res�onsible for the acts and omissions oC its officers, agents, servants,
employees, contractors, subcontractars, license�s, and invitees. The dactrine of
respondeat superior shall not apply as between City and L,icensee, its ofFicers, agents,
servants, emplayees, contractars, and subcontractars, and nothing herein shall be
construed as creating a part:nership or joint enteiprise between City and Licensee.
15.
Licensee agrees and acknowledges that this Agreement is solely for the purposc�
of permitting Licer�see to construct, maintain, and loeate the Encroachment aver ar within
the Public Property and is not a conveyance of any right, title, ar interest in or to the
Public Property, nor is it meant to con�ey any right to use or occupy property in which a
third-party may have an interest. Licens�e agrees that i� will obtain all n�cessary
pei�nlissions be�ore occupying such prop�rty.
16.
In any action brought by the City for the enforcement of the obligations of the
Licensee, City shall be entitled to recover interest and r�asonable attorneys' fees.

17.
The parties agree that the duties and obligaiions cantained in Sectio� 5 shall
survive the terinination of this Agre�ment.
i8.
Licensee covenants and a�rees that it will not assign all or any of its rights,
privileges, or duties under this Agre�ment without the written approva[ of the City, and
any attempted assignment without such writte�l approval shall be vaid. In tl�e event
Licensee eanveys the Prope�•ty, License� may assign all of its rights and obli�aiions under
this Agreement to the new owner af the Property, and Licensee shall be deemed released
from its duties and obligatians hereunder upon City's approval in writinb of such
assigninent, which appeoval shall not be unreasonably canditioned or witlih�ld.
Foreclosure by a secured lender of L,icens�e or assignment ta a secured lender by
I.icensee in the �vent of default or atherwise shall not require City approval provided tha#
said lender notifies City in writing within sixty (fi0) days of such foreclosure or
assignment and assumes all of Licensee's rights and obligations hereunder. However, no
change of ownership due to foreclosure or assignment to any secured l�nd�r of Licensee
shall be ef%ctive as to City unless and until tivritten natice of such foreclosure or
assi�nmen� is provided to City.
19.
Any ca��se of actioi� foY• breach of this Agreement shall be brali;ht in Tarrant
Coui�ty, Texas. This Agreement shall be governed by the laws of the State of Texas.

assigns.
21.
This Agreement may be executed in mul#iple cQunterparts, each of which shall 6e
considered an original, but all of which shall constitute one instrum�nt
