HomeMy WebLinkAboutContract 62306Docusign Envelope ID: A6F4E7D6-8A33-4FC5-B7B8-2C4959733B60 CSC No. 62306 Agreement for Transportation Services The City of Fort Worth ("Organization") and Fort Worth Transportation Authority, doing business as Trinity Metro ("Trinity Metro"), a regional transportation authority existing and operating under Chapter 452 of the Texas Transportation Code enter into this Agreement for Transportation Services ("Agreement") when the Organization's cold weather emergency overflow shelters are activated. Organization and Trinity Metro may be collectively referred to as the "Parties" or individually as a "Party." A. Collaborative Goals/Purpose: (1) The purpose of this Agreement is to document a framework for transportation services provided by Trinity Metro for the Organization's cold weather emergency overflow operations for those experiencing homelessness as detailed in Exhibit "A." B. Organization Responsibilities/Obligations: (1) Agree that the Organization will provide approximately 48 hour notice when cold weather emergency overflow shelter operations are on standby as detailed in Exhibit «A» (2) Agree that the Organization will provide an hour and half notice of the need for transportation services when cold weather emergency overflow shelter operations are activated as detailed in Exhibit "A". (3) Agree that the Organization will sand the roads necessary to allow for cold weather shelter transportation services (see Exhibit "B"). (4) Agree that the Organization shall pay Trinity Metro for the services provided under this Agreement, pursuant to the hourly rate schedule set forth in Exhibit "D" attached hereto. The Organization shall pay a minimum of a one -hour rate for each notice of the need for transportation services by the Organization. The Organization shall provide payment within thirty (30) days of receipt of an invoice from Trinity Metro. C. Trinity Metro Responsibilities/Obligations: (1) Agree Trinity Metro will provide regularly scheduled transportation from 1100 E. Lancaster, Fort Worth TX 76102 (WhenWeLove building also known as the "Flag Building"), to those experiencing homelessness with a WhenWeLove-provided wristband to the parking lot at the main entrance of Handley-Meadowbrook Community Center, 6201 Beaty Street, Fort Worth TX 76112, from approximately 8:00 p. in to 9:30 p.m. or until no one is waiting on nights when the Organization's cold weather overflow sheltering operations are activated. (2) Agree Trinity Metro will provide regularly scheduled transportation from Handley- Meadowbrook Community Center, 6201 Beaty Street, Fort Worth TX 76112 to True Worth Place, 1513 E. (3) Agree that if Handley-Meadowbrook Community Center is offline, Trinity Metro will provide regularly scheduled transportation, to those experiencing homelessness in possession of a WhenWeLove-provided wristband, from 1100 E. Lancaster, Fort Worth TX 76102 (WhenWeLove building also known as the "Flag Building") to the parking lot at the main entrance of Riverside Community Center, 3700 E. Belknap Street, Fort Worth TX 76111, from approximately 8:00 p. m to 9:30 p.m. or until no one is waiting on nights when the Organization's cold weather overflow sheltering operations are activated. (4) Agree that if Handley-Meadowbrook Community Center is offline, Trinity Metro will provide regularly scheduled transportation, to those experiencing homelessness in possession of a WhenWeLove-provided wristband, from Riverside Community Center, 3700 E. Belknap Street, Fort Worth TX 76111, to True Worth Place, 1513 E. Presidio, Fort Worth TX 76102 from approximately 8:00 a.m. to 9:30 a.m. or until all overflow shelter guests have been transported on the morning after the Organization's cold weather overflow sheltering operations are activated. (5) Agree Trinity Metro will provide regularly scheduled transportation from 1100 E. Lancaster, Fort Worth TX 76102 (WhenWeLove building also known as the "Flag Building"), to those experiencing homelessness with a WhenWeLove-provided wristband to the parking lot near the main entrance of Haw's Athletic Center, 600 Congress Street, Fort Worth TX 76102, from approximately 8:00 p. m to 9:30 p.m. or until no one is waiting on nights when the Organization's cold weather overflow sheltering operations are activated and second overflow facility is needed. (6) Agree Trinity Metro will provide regularly scheduled transportation from Haw's Athletic Center, 600 Congress Street, Fort Worth TX 76102, to True Worth Place, 1513 E. Presidio, Fort Worth TX 76102 to those experiencing homelessness with a WhenWeLove-provided wristband from approximately 8:00 a.m. to 9:30 a.m. or until all overflow shelter guests have been transported on the morning after the Organization's cold weather overflow sheltering operations are activated. Notwithstanding the foregoing, Organization acknowledges and agrees that if extreme weather conditions; inadequacy or unavailability of personnel, equipment, or fuel; or similar considerations or circumstances related to inclement weather would in the opinion of Trinity Metro's Chief Operating Officer or his designee make Trinity Metro's 2 Docusign Envelope ID: A6F4E7D6-8A33-4FC5-B7B8-2C4959733B60 provisions of services impracticable, impossible, or unsafe for a period of time, Trinity Metro shall be relieved of its obligations under this Agreement during such period. Trinity Metro shall not make a determination of any non-performance before conferring with the Organization's Assistant City Manager over the Office of Emergency Management. Trinity Metro will use its best efforts to deliver services, and if a period of non-performance occurs, Trinity Metro will make its best efforts to overcome such impediments and return to services as quickly as possible. Trinity Metro acknowledges and agrees that during a period of non-performance it is not entitled to receive pay. D. Joint Responsibilities/Obligations: (1) Recognize that each Party to this Agreement retains primary responsibility and management discretion for property and equipment under their jurisdiction. (2) Recognize that other entities may assist in endeavors critical to the purposes of this Agreement under separate formal arrangements. Such assistance does not affect the principles of this agreement. E. Term: This Agreement will be effective from the date of signing and shall terminate on March 31, 2025 ("Initial Term") unless earlier terminated under the terms of this Agreement. For a period of five years, this Agreement will automatically renew on an annual basis, subject to the Parties' termination rights under Section F. This Agreement may be modified or extended at any time by mutual written consent of both Parties. F. Termination This Agreement may only be terminated by written notification of either Party at least ninety (90) days before the intended termination date. The Parties agree to use their best efforts to resolve any issues before resorting to termination. G. INDEMNIFICATION (1) TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE ORGANIZATION MUST AND DOES AGREE TO INDEMNIFY, PROTECT, DEFEND, AND HOLD HARMLESS TRINITY METRO, ITS TRUSTEES, OFFICERS, DIRECTORS, OFFICIALS, CONTRACTORS, VOLUNTEERS, EMPLOYEES, SUCCESSORS, AND ASSIGNEES, (COLLECTIVELY, "THE INDEMNIFIED PARTIES") OF, FROM AND AGAINST ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, LIENS, CAUSES OF ACTION, SUITS, JUDGMENTS, PENALTIES, AND EXPENSES, INCLUDING ATTORNEY FEES AND COURT COSTS, OF ANY NATURE, KIND, OR DESCRIPTION OF ANY PERSON OR ENTITY, TO THE EXTENT DIRECTLY OR INDIRECTLY ARISING OUT OF, CAUSED BY, OR RESULTING FROM ANY NEGLIGENT, WRONGFUL OR TORTIOUS ACT OR OMISSION OF THE ORGANIZATION, ANY SUBCONTRACTOR, ANYONE DIRECTLY OR INDIRECTLY EMPLOYED BY Docusign Envelope ID: A6F4E7D6-8A33-4FC5-B7B8-2C4959733B60 ORGANIZATION OR ANYONE THAT ORGANIZATION CONTROLS OR EXERCISES CONTROL OVER (COLLECTIVELY, "THE LIABILITIES"). (2) It is understood and agreed that this provision is subject to, and expressly limited by, the terms and conditions of the Texas Civ. Prac. & Rem. Code Ann. §§ 130.001- 131.005, as amended. This section must survive the termination of the Agreement. (3) The Organization understands and agrees that Trinity Metro is prohibited from indemnifying another entity under Article III, Section 52 of the Texas Constitution. H. General Provisions (1) Limitations of Authority. No Party has authority for and on behalf of the other except as provided in this Agreement. This Agreement shall not be deemed to create any relationship of agency, partnership, or joint venture between the Parties, and neither of the Parties will make such representation. (2) Nothing in this Agreement waives or relinquishes the Parties' rights to claim any exemptions, privileges, or immunities as may be provided by law. (3) Notices. All notices, consents, approvals, demands, requests, or other communications provided for or permitted to be given under any of the provisions of this Agreement shall be in writing and shall be deemed to have been duly given or served when delivered by delivery or when deposited in the U.S. mail by registered or certified mail, return receipt requested, postage prepaid and addressed as follows: To Trinity Metro: With Copies to: 801 Grove St Fort Worth, Texas 76102 817 215 8600 To Organization: City of Fort Worth 100 Fort Worth Trail Fort Worth TX 76103 817-392-6170 (4) Entire Agreement. This Agreement represents the entire agreement by and between the Parties and supersedes any and all prior oral or written agreements, arrangements, or understandings between the Trinity Metro and Organization that relate to the subject matter of this Agreement. Any representations, promises, or guarantees made but not stated in the body of this Agreement are null and void and of no effect. (5) Assignment. If any portion of this Agreement shall be, for any reason, held invalid or unenforceable, the remaining portion or portions shall nevertheless be valid, enforceable, and carried into effect. (7) Amendments. Any change to this Agreement must be in writing and signed by both Parties. (8) Waiver. The failure of any Party hereto to exercise the rights granted them herein upon the occurrence of any of the contingencies outlined in this Agreement shall not, in any event, constitute a waiver of any such rights upon the occurrence of any such contingencies. (9) Applicable Law. This Agreement and all materials and/or issues collateral thereto shall be governed by the laws of the State of Texas applicable to contracts made and performed entirely therein. (10) Public Records. Trinity Metro is subject to the Texas Public Information Act ("TPIA") and if required by the TPIA, will provide notice to the Organization of a request under the TPIA for information covered under this Agreement. (11) Force Maj eure. Neither Party will be liable to the other Party hereunder or in default under this Agreement for failures of performance resulting from acts or events beyond the reasonable control of such Party, including, by way of example and not limitation, acts of God, civil disturbances, war, and strikes. (12) Venue. The venue to enforce this Agreement shall lie exclusively in Tarrant County, Texas. (13) No Third -Party Beneficiary. This agreement is made solely between the Organization and Trinity Metro and is intended solely for their benefit. No other person or entity shall be deemed a beneficiary of this Agreement, whether directly or indirectly, and no third party shall have any rights, claims, or interests in this Agreement or its enforcement. The rights and obligations contained herein are personal to the Organization and Trinity Metro and may not be assigned or transferred to any third party without the prior written consent of both Parties. H. Signatory Clause The individuals executing this Agreement on behalf of the Trinity Metro and Organization acknowledge that they are duly authorized to execute this Agreement on behalf of their respective supervisors or directors. WORTH, TX Docusign Envelope ID: A6F4E7D6-8A33-4FC5-B7B8-2C4959733B60 EXHIBIT "A" CITY COLD WEATHER SHELTERING OPERATIONS OVERVIEW The City's cold weather emergency overflow sheltering operation runs from October 15 to March 31 each year. During this time period, if certain cold weather triggers are met and regular emergency shelter beds are full, the City activates overflow emergency shelter for those experiencing homelessness. Weather conditions that trigger cold weather standby: • Temperature will be below 40 degrees in wet conditions for three consecutive overnight hours; • 35 degrees in dry conditions for three consecutive overnight hours; • Wind chill of 32 degrees for three consecutive overnight hours A standby does not always result in activation because sometimes there are open emergency shelter beds in which case, cold weather overflow sheltering does not activate. For example, in the winter 2023 season, the overflow activated only 4 1 % of standby nights. At that time: - Directions Home notifies Trinity Metro of the cold weather shelter standby - Directions Home notifies When We Love, the nonprofit the City contracts with to provide overflow shelter services. - When We Love ensures that contracted staff are ready to report to work as needed. - Directions Home sends an email notification to community partners letting them know that we are on standby due to meeting weather triggers. The email notification is sent to approximately 70 individuals. Internal partners: HOPE -Police, HOPE -Fire and Park Department. Time of Activation Approximately 6:30pm (or before if all shelter beds are full before 6:30 P.M.): - Directions Home or When We Love will notify Trinity Metro by approximately 6:30 p.m. - Directions Home emails contact list that overflow is activated - OEM notifies police dispatch — 1) Requests officers patrol overflow site, and 2) Requests all patrol officers to call the after-hours drop off number if they encounter someone seeking shelter, 3) if needed, contact Transportation and Public Works department (TPW) to see if streets need to be sanded - If streets need to be sanded, TPW will sand streets on the route from WhenWeLove to the overflow sites - When We Love contracted staff report to Handley-Meadowbrook Community Center at 6201 Beaty Street, Fort Worth TX 76112 by 7:30pm and if needed to Haw's Athletic Center at 600 Congress Street, Fort Worth TX 76107 - Emergency shelters begin sending guests seeking shelter to 1100 E.
