HomeMy WebLinkAboutContract 53262-A4E1CSC No. 53262-A4El FOURTH AMENDMENT AND FIRST EXTENSION TO FORT WORTH CITY SECRETARY CONTRACT NO. 53262 This Fourth Amendment and First Extension to Fort Worth City Secretary Contract No. 53262 is made between the City of Fort Worth ("City"), a municipal corporation and Origami Risk, LLC ("Vendor,") a Delaware limited liability company. City and Vendor are each individually referred to herein as a "party" and collectively referred to as the "parties." WHEREAS, pursuant to Mayor & Council Communication (M&C) 19-0367, City and Vendor entered into an Agreement identified as City Secretary Contract No. 53262 beginning December 20, 2019 (the "Agreement") for one five-year term; WHEREAS, in September 2021, the parties entered into the First Amendment to the Agreement by adding three Claims Adjuster User licenses for a one-time cost of $24,975.00 and maintenance for the Risk Management Information System ("RMIS") licenses in the amount of $6,750.00 annually; and WHEREAS, on August 23, 2022, through M&C 22-0602, the Fort Worth City Council authorized the execution of the Second Amendment to the Agreement, by which the parties added a staging environment and ongoing support hours for the Water Department and implemented two additional data fees, dashboards, and reporting configuration for RMIS at a one-time cost of $40,142.00 and annual maintenance cost of $34,100.00, which increased the total five-year contract total to $665,492.00; and WHEREAS, on June 27, 2023, through M&C 23-0530, the Fort Worth City Council authorized the execution of the Third Amendment to the Agreement, by which the parties added the Origami safety module to the RMIS for $51,667.00 for subscription licenses and hosting fees, and an implementation cost of$43,755.00 for FY2023. For FY2024, the Third Amendment added $43,755.00 for the second half of implementation, with an additional $77,500.00 for subscription licenses and hosting fees, thereby increasing the total amount of the contract to $882,179.00; and WHEREAS, M&C 23-0530 contained incorrect calculations regarding the addition of the one-time cost and annual maintenance payments in multiple years of the Agreement for added services subject to the First Amendment and the Third Amendment; and WHEREAS, the Agreement was approved for a five ( 5) year term with the option to extend the term by mutual agreement of the parties; and WHEREAS, the Agreement will expire on December 19, 2024; and WHEREAS, it is the collective desire of the parties to amend the Agreement by extending the length of the Term by two months, and increase the overall value of the Agreement by One­ Hundred Thousand Dollars ($100,000.00) pursuant to an administrative change order. Fourth Amendment and First Extension to Fort Worth City Secretary Contract No. 53262 Page 1 of3 NOW THEREFORE, known by all these present, the Parties, acting herein by and through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: 1. AMENDMENT AND EXTENSION OF TERM A. Section 1 of the "Addendum to Software License and Services Agreement Between the City of Fort Worth and Origami Risk, LLC" is hereby repealed to be and read as follows: 1. Term. The Agreement is entered into as of December 20, 2019 effective upon the signing of the Agreement by an Assistant City Manager of the City (the "Effective Date") and shall expire five years and two months after the Effective Date (the "Expiration Date"), unless terminated earlier in accordance with the provisions of the Agreement or otherwise extended by the parties. The Agreement may be renewed at the mutual agreement of the parties, each a "Renewal Term." City shall provide Vendor with written notice of its intent to renew at least thirty (30) days prior to the end of each term. B. The Agreement is amended by adding Exhibit A-2 `Bxtension Letter," attached to this Fourth Amendment, as Exhibit A-2 of the Agreement. The City is exercising its authority to increase the amount of the contract for the final year of the Original Term by $100,000.00 pursuant to an administrative change order. 2. MISCELLANEOUS All other terms, provisions, conditions, covenants and recitals of the Agreement not eXpressly amended herein shall remain in full force and effect. DISCUSSION: City Council approved Mayor and Council Communication (M&C) 19-0367 on December 10, 2019 authorizing a service agreement with Origami Risk, LLC for a Risk Management Information System (RMIS) cloud-based software. The City executed City Secretary Contract (CSC) 53262 on December 17, 2019 for a five-year agreement in the amount of $511,925.00. On July 30, 2021, the City executed CSC 53262 Amendment No. 1 adding a one-time fee of $24,975.00 and three (3) claims adjusting user licenses and recurring fees of $6,750.00 each. City Council approved M&C 22-0602 on August 23, 2022 authorizing an amendment to CSC 53262 to add a staging environment, ongoing support hours, and implement two new data feeds, dashboards and reporting configuration for the RMIS. September 22, 2022, the City executed CSC 53262 Amendment No. 2 to add a staging environment for a onetime cost of $40,141.66 and recurring costs of $34,100.00 for years 2022 and 2023. The annual maintenance amount for support for Year 4 and Year 5 of the contract is $142,550.00, which is the recurring amounts in the original contract for each year and the total five-year cost for the contract is $665,492.00. Risk Management is seeking to enhance the safety culture in the City of Fort Worth by introducing a platform to report injuries, identify root cause analysis and contributing factors, track corrective and preventive actions, and ultimately reduce the likelihood of future incidents. The proposed new Origami safety module will allow for employees to report injuries and illnesses from anywhere in the field via mobile device and streamline the investigation process. It also provides data analysis insights with dashboards for each department for trending purposes and regulatory statistics reporting. This will drive the safety division to make training recommendations and focused decisions regarding programs and policies. This M&C is to request authorization to execute CSC 53262 Amendment No. 3 to add the Origami safety module to the existing RMIS. Costs for the proposed amendment include $51,667.00 for subscription licenses and hosting fees and implementation cost of $43,755.00 for Fiscal Year 2023. The amendment will also allow for Fiscal Year 2024 expenses in the amount of $43,755.00 for the second half of implementation and subscription licenses and hosting fees in the amount of $77,500.00. DVIN: A waiver of the goal for Business Equity subcontracting requirements was requested, and approved by the DVIN, in accordance with the applicable Ordinance, because the waiver request is based on the sole source information provided. Funding is budgeted in the Human Resources Department's rollup within the Risk Financing Fund. ADMINISTRATIVE CHANGE ORDER: An administrative change order or increase may be made by the City Manager up to the amount allowed by relevant law and the Fort Worth City Code and does not require specific City Council approval as long as sufficient funds have been appropriated. AGREEMENT TERMS: Upon City Council approval, this agreement shall begin upon execution of the amendment and expire December 20, 2024. FISCAL INFORMATION/CERTIFICATION: The Director of Finance certifies that upon approval of the above recommendation funds are available in the current operating budget, as previously appropriated, and upon adoption of the Fiscal Year 2024 Budget by the City Council, funds will be available in the Fiscal Year 2024 Operating Budget, as appropriated, in the Risk Financing Fund.
