HomeMy WebLinkAboutContract 54940-A2CSC No. 54940-A2 AMENDMENT No.2 TO CITY SECRETARY CONTRACT No, 54940 WHEREAS, the City of Fort Worth (CITY) and Arcadis U.S., Inc., (ENGINEER) made and entered into City Secretary Contract No. 54940, (the CONTRACT) which was authorized M&C 20-0833 on the 10th day of November, 2020, in the amount of $548,797.00; and WHEREAS, the CONTRACT was subsequently revised by: Amendment No .1 in the amount of $326,300.00 authorized by M&C 23-0880 on October 17th, 2023; and WHEREAS, the CONTRACT involves engineering services for the following project: City of Fort Worth Water Department SCA.DA .Rep1acement Support Project, CPN 103086; and WHEREAS, it has become necessary to execute Amendment No. 2 to the CONTRACT to include an increased scope of work and revised fee. NOW THEJmFORE, CITY and ENGI:NEEB., acting herein by and through their duly authorized representatives, enter into the .following agreement, which amends the CONTRACT: 1. Article I of th.e CONTRACT is amended to include the additional engineering serv:ices specified in proposal attached hereto and incorporated herein. The cost to City for the ad.di tional design services to be performed by Engineer totals $526,600.00. 2. Article II of the CONTRACT is am.ended to provide for an :increase in the fee to be paid to Eng:ineer for all work and services performed under the Contract, as amended, so that the total fee paid by the City for all work and services shall be an amount of $1,401.,697.00. 3. Arcadis was previously tasl<ed by the City of Fort Worth to support development of standards and documents to procure design and construction services. The effort culminated with a Competitive Sealed Proposal (CSPs) bid procurement process, and an NTP to the Successful Offeror is expected to occur on or about October 215`, 2024. With the completion of the CSP process, Arcadis' current contract scope is at a close. The purpose of this letter is to request an Amendment to our Contract (Amendment No.2) to provide Owner's Agent assistance services, as outlined below, to facilitate implementation of the Contract. The Owner's Agent Services amendment would consist of the following ■ Task 11A. OA Base Services. This consists of traditional Owner's Agent work assisting the City of Fort Worth with administration of the contract with the Successful Offeror (Contractor), technical assistance and other various associated tasks. ■ Task 116. OA Additional Services. This consists of optional services, that may be necessary, including the effort to secure, distribute, and manage project Documentation on City-furnished directories in the City's document management system, E-Builder. Additionally, Arcadis will provide staff augmentation services to support City personnel with onsite activities (testing, startup, inspections, maintenance) or offsite testing (Factory Testing), which will be performed under an allowance and subject to City approval. This breal<down lists assumptions and expected hours associated with each tasl<. The services are brol<en down as follows: Part A — Base Services Subject to the fee limits noted below, this tasl< consists of OA services related to project management, administration of the City's Agreement with the Contractor, review of contractor deliverables, and attendance to selected meetings and workshops virtually and/or in person. Further details are as follows: Subtaslc A.1— Project Management This includes an initiation meeting with the City, project management activities, and monthly-based invoicing. Subtaslc A.2 — Contract Administration This includes initiation work with the Contractor, review of Project Plan and Project Schedule submittals, review of Contractor's Payment Requests, and attendance to progress meetings with the City and/or Contractor on a bi-weel<ly basis. Subtasl< A.3 —Familiarization & Preliminary Assessment Phase This includes reviewing Loop Inspection Forms and Reports, As-Installed Functional Control Narrative (FCN) submittals, Condition Assessment Reports, and participating in System Assessment Coordination and As-Installed FCN Development Workshops. It is assumed that all specified familiarization and preliminary assessment worl< will be completed by the Contractor within the two-year amendment timeline. Arcadis will be participating in half of the As-Installed FCN workshops outlined in the Contract Documents. Subtask A.4 —Design Phase This includes reviewing SCADA System Architecture Design Submittals, SCADA System Component Specifications, FCN Submittals, and participating in the associated design coordination workshops. It is assumed that all design activities outlined in the Contract Documents will be completed within the two-year amendment timeline. Arcadis will participate in all specified SCADA System Architecture and Component Selection Workshops, as well as a total of ten FCN Development Workshops. Subtask A.5 — Programming and Configuration This includes reviewing HMI/OIT Graphics Submittals, PLC Configuration Submittals, Alarm Management Submittals, Historian Configuration Submittals, and SCADA Report Configuration Submittals, as well as participating in related software development coordination workshops. It is assumed that three WTPs will undergo programming and configuration within the two-year amendment timeline, with Arcadis participating in half of the worl<shops outlined in the Contract Documents. Imagine the result Page 2/4 Ms. Shela Chowdhury October 15, 2024 Subtaslc A.6 — Factory Acceptance Testing This includes reviewing Factory Testing Plans and Reports for three water treatment plants (WTPs). The remaining WTPs and the Centralized SCADA system are expected to undergo factory testing beyond the two-year amendment timeline. Subtaslc A.7 — Cutover, Startup and Field Testing This includes reviewing Cutover Plans, Startup and Field-Testing Plans and Reports, Operational Acceptance Demonstration (OAD) Letters, Training Plan Submittals, as well as Record Drawings and Final System Documentation for two water treatment plants (WTPs). The remaining WTPs and the Centralized SCADA system are expected to be cut over after the two-year amendment timeline. Subtask A.8 — Contract Clarifications & Modifications This includes providing support in reviewing and responding to Requests for Information (RFIs), as well as reviewing and approving Change Orders (COs). A total of 25 RFIs and 5 COs are assumed within the two-year amendment timeline. Part B — Additional Services Subject to the fee limits noted below, this task consists of optional OA tasl< and associated project management, including review of the Contractor's worl<, attendance to selected meetings virtually and/or in person, and attendance to selected workshops. Further details are as follows: ■ Leading the effort to secure, distribute, and manage project Documentation on City-furnished directories in the City's document management system, E-Builder. ■ Additional Effort for Submittal, RFI, CO Review and/or Attendance to Meetings and Worl<shops. ■ Onsite/Factory Assistance relative to Condition Assessment, Factory Testing Witnessing, Field Inspection, Loop Check Witness, WTP Cutover and Startup Witness, Post-OAD Maintenance of Facilities. Fee Prior to the additional fees noted below the City's Agreement with Arcadis, dated November 30, 2020, included a Contract Amount of $548,797.00. Amendment No. 1 Revised the Contract Amount to $875,098.00. The additional efforts described are subject to the fee amounts budgeted below. When authorized in writing by the City's Project Manager, Task 11.6 will be performed subject to the fee limit noted above. It is anticipated that Tasl< 11.B may be authorized in part or in full by the City's Project Manager. Proposed MWBE Sub-Consultants include Signature Automation. The MWBE Fee is expected to be approximately 12.8% of the Amendment No. 2 Total Fee. Signature Automation will provide review of the Contractor submittals for PLC/HMI configuration and Alarm Management under Subtaslc A.5 — Programming and Configuration, with fees estimated to be $15,300. For optional services provided in Task 11.6 Additional Services, Arcadis estimates $52,200 of the fee will be tasl<ed to Signature Automation if all optional tasks are authorized. Arcadis will provide a monthly invoice summary noting the progress of MWBE Fees. Schedule Based on an expected NTP on or about October 2151, 2024, this Amendment would cover a period of approximately 24 months, through 10/21/2026. The exact duration of services will depend on many factors, principally the availability of City staff and the progress of the City's contract with Successful Offeror (Contractor) selected via the recently concluded Competitive Sealed Proposal procurement process. Should the Contractor fail to meet his submittal, deliverables, and work activity progress as identified or specific City staff inembers be unavailable, the number of months covered may be significant lower. Arcadis will mal<e regular reviews of budget status vs. expected spending to periodically assess, and gauge contractor progress to proactively identify areas of concern. If the City elects to have Arcadis to perform any of the Additional Services, such services are expected to occur within the same timeline as the Base Services. Authorize the execution of Amendment No. 2 in the amount of $526,600.00 to a Professional Services Agreement with Arcadis U.S., Inc. (City Secretary No. 54940) for replacement of the existing Supervisory Control and Data Acquisition System for the Water Department project for a revised contract amount of $1,401,679.00; and 2. Adopt the attached appropriation ordinance adjusting appropriations in the Water & Sewer Revenue Bonds Series 2021 by increasing appropriations in the SCADA Replacement project (City Project No. 103086) in the amount of $526,600.00 and decreasing appropriations in the Unspecified —All Funds project (City Project No. UNSPEC) by the same amount, to effect a portion of Water's contribution to the Fiscal Years 2025-2029 Capital Improvement Program. DISCUSSION: On November 10, 2020, Mayor and Council Communication (M&C) 20-0833, the City Council authorized execution of an agreement with Arcadis U.S., Inc. in the amount of $548,797.00 for the preparation of Engineering, Performance and Contractual Standards and Specifications to be incorporated into a Request for Proposals for the Replacement of the Existing Supervisory Control and Data Acquisition System (SCADA) for the Water Department. The Water Department utilizes a SCADA system to monitor and control the water treatment and distribution facilities, along with remotely located sanitary sewer lift stations. The existing SCADA system, initially installed in 1987, utilizes proprietary components, that are no longer manufactured and in need of replacement. Amendment No. 1 in the amount of $326,300.00 (M&C 23-0880) authorized October 17,2023 provided for transitioning the project procurement format from a design build solicitation to competitive sealed proposals, included both Request for Qualifications (RFQ) and Request for Proposals (RFP) as part of a two-step procurement process. The amendment allowed for the recommendation of appropriate division of work, the modification and conformance of contract documents, analysis of existing water treatment plant process programmable logic controllers (PLCs), responding to requests for information during the procurement process, and technical analysis and recommendations during the evaluation of vendor submittals. Amendment No. 2 will allow Arcadis to provide technical assistance on the project consisting of document management, staff augmentation services to support City staff with inspections, testing, startup, maintenance and contract clarifications/modifications. It is the practice of the Water Department to appropriate its CIP plan throughout the Fiscal Year (FY), instead of within the annual budget ordinance, as projects commence, additional funding needs are identified, and to comply with bond covenants. The Business Equity Division placed a 12.80 percent business equity goal on this solicitation/contract.
