THIS AGREEMENT is made and ente�ed into by and beiween
the City of Fort Worth, a municipal cozporaiion of Tarrant County,
Texas, acting herein by and through its duly authorized Building

'�ITNE�SETH:
1.
For and in �consideratian of the payment by Grantee of the
charges set out beiow and the true and faithfii� perfarmance of the
rnutual covenants herein contained, Ci�y hereby grants to Grantee
permission to tempora�ily encroach upan, uses and occupy po�tions o�
the space under, on ancUor above th� streets, alleys, sidewalks or ofher
publzc rights-o� way as follows:

The location and description of said encroachment is more particularly
described in E�ib�t "B" attachecl hereto, incorpora�ed herein and made
a part hereof for a11 purposes.

A11 use and occupancy of public streets; alleys, side�valks or.other
public rights-of way under i�is agre�ment shall be in strict-compliance
with the Cha�er, �rdinances and Codes o£ City and in acco�dance wit.h.
the directians of tlle Building �ff cial and the Director of Transportation
and Public �Varks of City.

Upon expiration o�this agreement arid �he privilege� granted
hereunder,=ihere sha�� be no encroachment by Grantee zn, under, on or
above the sur£ace of the public rights-of-way invol�ed. -

Grantee agrees �o pay in advance an encxaachment fee for the
temporary privilege o� encroaching upon a poriion of the public rights-
of-way as described in Exhibit "B". Said fe� is calculated in the manner
and amounts prescribed by the Building Code of the City af Fort Wor�h
fo�� temporary use or oc�,cupancy of �ublic property. The esiimated total

Graniee, at no expense to City, shall make proper provzsion for
the relocation andfor ins�allation of any existing or iuture txaffic cont�o�
devices or oiher �mprovements a£�'ec�ted by such encroachmen�, use and
occupanc�, including the securing of approval and conseni from the
appropriate agencies o�the State and its political subdivisions. �n the
event i;hat any insta�lation; reinstatlaiion, relocation or repair of any
existing ox future iraffic eontrol device or improvement own�d or
constructed by or on behal� of the public or at public expense is made .

Grantee shall pay �to City an additional:amount equal to such additional
cost as determined by City.
6.
The term of ihis agreement sha11 be �'or �� days, from 9`�`� "��

granted hereunder at any time cease, Gran�ee agrees to immediately
noti� City o� such condition; and, upon receipt o�'such notice by thE

7.
It is expressly understood and agre�d that this Conseni Agreement
is for a temporary encroaehment in, under, over and upon the pubiic
... �property as located and described in ��ibit "B". .This aga�eem�nt s�.all
r�ot be construed as th� g�anting o� a permanent easement, encroachmer�t
or.licens� upon C��y's publzc streets, alleys, sidewalks or other �ights--o�
way.

City, through its duly authorized representati�es, shall have the fix11
and unrestric�ed xight to enter upon all public riglits-o� way far the
purpose of making inspec#ions to determine compliance with ihe terms,
covenants and conditions hez�in. In the event that any insp�ckion should
reveai a brcaeh o�'any terms, covenants or conditions herein,.City sha�l
give G•r�.ntee notiee of such breach. . Shauld �uch breach not be �
coi-rected by Graniee wi�hin twenty-four (24} hours of rece�pt of the
noiice, or within such shor�er period v�time as deemed necessary by �he
Building C}fficial for the protection of public health or saf�ty, City may
f��rx�znate and canC�l ihis agreement. . �
9.
Upon expiration or te�mination of this agreemeni for any reason
whatsoever, Gran�ee shall, at no expense to City, restore the pul�lic
rights�of-way and adjacent supporting structures �o �. condition
acceptable to the Directoi of T�ansportation and Public Warks or his
duly authorized representative and in accordance with then exi.sting Czty
speci�'ications, and C�rran�ee shall remove a�l bai-ticac�e�, BC�L1I�Ji11�.I1�.�

terminatian of this Consent Agreement, Cx�ante� wzll repair all conditions
ar damages too the stree�ts and sidewalks or oth�r xights-o� way that
have resulted from �Grantee's use or oc�upancy of the s�reets and
sidewalks or other rights-of�way, as det�rmined by the Director o�'
Transpoi-tatian and Public Works or his desxgnee. Grant�� agrees to
begin such �epaii•s within thirty (30) days of receipt of notice from the
Director of Transportatian and Public yU'orks or his designee. AIi
xepaizs shall be pe.rformed�in an expeditious and workmanlike maz�.ner
and shall coznply with al� applicable �laws, codes, o�dinances and City
specificat�ons,
In the event that. Grantee fails to com�ly- wi�h the covez�ants her�in
contained with res�eci.to.such removal or.restoration,�the City sha11 k�a�e
�he right to z-emove or d'zspvse o� any barricades, equipm,ent, supplies,
materials or ather pz-operty and z-epair any condition� which in �he
op�n�on af the Ctiy �re necessary ta bring the public r�ghts-af-way ia the
conditian prescribed herein, and City sha�l not b� responsible foz-
trespa5s or az�y other damage or �iability in connec�ion tivith such remvval
or restoratzan. Grrantee shall reimburse City for the cost and expense of
such xernoval and/or r�pairs irnmediaiely fo�lowing billing far same by
City. �
Nothing herein sha�I be cons#rued as a waiver by City to enfarce
penal sanciians pzescrib�d by the Code of the City of Fort �Vorth and
the Jaws of the State of Texas for �rraniee's continued encroachment '

�t is furth�r und�rstood and agreed between the parties hereio that
City holds the city stre�ts, alleys, sidewalks and ather public rightis-of
way, including the portions of such stxeets used and encroached upon as
describ�d hereir�, as trustee for the public; tha�t Cify exercises such
pawers over the streeis as have been de�egated fo it by the Constitution
of ihe State of Texas ox by the Legis�ature; and that City c.annoi contract
a�vay its duty and its legislative power to control the streets for the use
and benefit of the public. It is accordingly agre�d �ha# if the governing
. body of City, to wit, its Ciiy Council, should a� any t�me during the term
�� he�eof det�rrr�ine in its sole discretion to use or cause ar �p�rmit to be
used for any public purpose the said encroached portion of the streets,
then this agreement shall be automatically canceled and te�nina�ed.

Grantee agrees �o comply fully wi�� a�l applicable federal, state
and local laws, statutes, ordinances, codes or regulatior�s in cannectzon
w�th the constructian, operation and maintenance of saia encroae�ments
and uses.

Grantee agrees to pay promptly when due �11 fees, taxes or �entals
provided for by this agreement or by any federal, state or local siatute,

Grantee covenants and agrees that it .shai� exercise all righ.ts and
priv�leges g�ranted hereunder as an independent cor�tracior, and not as an
officer, ager�t, servant or�emp�ayee of City; that Grantee shall have
exclusive cont:rol-of and the exclusive right to control the details a� �ts
operations and activitzes on said described public prop�rty and al�
persons performing same, and shall be sol�ly res�onsible for �he acts
and ornissions of its off ce�s, agents, servants, empinyees, contractors,
subconi.�actors, �icensees and inviie�s; that the doctr�ne of xespondeat
superior s�lall not apply as between City. and Grantee; .its off cers, agents,
servants; employees, contractors and subcontractors, and nothing he�ein
shal� be construed as creating a partn�rship or joint enterprise�between
City and C�rantee.

Grantee cov�nants and agrees to indemni�y, and does hereby
indemnify, ho�d ha.r•mless and defend City, its officers, agents, servants
and employees, from and against any and all e�aizns or suits for properry
daznage or loss andlor personal anjury, inc�uding dea�h, to any and all
persons, of whatsoever kind or character, whether real oi• asserted,
arising out of or in connection with, di�-ectly or indirectly, the
maintenance, occupancy, use, existence or Iocation of said �
encroachmeni and uses granted hereunder, whether or not caused, in ..
whole or in part, by alieged neg�igenc� o� officers, agents,-sez-vants,
employees,. contractors, subcontractors,licensees or invite�s o� City;
and grantee hereby assumes a111iability and responsibility of City, its
oificers, agents, se�rvants and employees, for such claims or suits.
Crran�ee shall lik�wise assume all liability and responsibiiity and shall
indemnify Ciiy for any and all injury ax damag� to City property, axising
out of or in connection with any and all acts ar omissions of Gran�ee, its
off�cers, ag�nts, sezvants, employees, cantractors, subcontractors,
licensees, invitees or tre�passers.

Grantee agr�es to �urnish City with a Certificate of Insurance, naming
City as certificate holder, as proof that it has secured and paid for a policy of
public liabili�y insurance covering all public risks zelat�d to the proposed use
and occupancy of public prop�rty.as.located and described in Ex�iibit "B".
The amounts of such insurance shall �b� not �ess than the following:
Property damage, per occurrence $].��,000

tiVith the understanding of and agreem�nt by Grant�e that such insurance
amounts shal� be xevised uptivard at City's option and that Crrantee shall so
revise such amounts immed'zately following notice to grantee af such
requir�ment. Such insurancc po�icy shall provide that it cannot be canceled
or amended without ai least th�rty (30) days' prior written notice to the �
�� Building O�ficial o� the City of Fo:r� Worth. A copy of such. Certifica�e of
Snsuranc� is attached as Exhibit "A'.'. C'rran�ee agrees to submit a similar
Cer�if cate of Tnsurance annually to City on the anniversary da�e of the
execution of this agreement.
Grantee agrees, bir�ds and obl�gates itself, its successars and �asszgns,
to maintain and.keep in force such public liability insurance at all fimes
during the term o�.this agreement and unti� the removal of a�l encroachments
and the cleaning and r�stora�ion of the city stree�s. All insurance coverage
required herein shall include coverag� of ali of Gxantee's contractors.

Grantee covenants and agrees that it will not assign a.Il or any o� i�s
rights, privileges or dufies under this contract without �he prior written
approval of City, and any attempted assignment without such pxior written
approval shall be void.

Thzs agreement shall b� binding upon the parties hereto, thezr
successors and assigns.

Should any action, whether rea� or asserted, at law or in equity, arise
out of the terms and conditions of this ag�eement or out ot'the us� and
occupancy of City p�operty as permitted hereunder, venue for said action
shall be in Tarrant County, Texas. ��

In any action brought by City for the enforcement of the obligations o�'
Grantee, City shall be entitl�d ta recover interest and reasonable attorneys'
