HomeMy WebLinkAboutContract 55580CSC No. 55580 SEWER INFRASTRUCTURE AGREEMENT This Sewer Infrastructure Agreement (this "Agreement") is entered into by the City of Fort Worth, Texas, a home -rule municipal corporation situated in Tarrant, Denton, Parker, Johnson and Wise Counties, Texas (the "City"), acting by and through its duly authorized Assistant City Manager, and GBTM Sendera, LLC, a Delaware limited liability company ("GBTM") (each, a "Party," and, collectively, the "Parties"). RECITALS A. The City and Sendera Ranch, Ltd., a Texas limited partnership, entered into that certain Developer's Agreement Between the City of Fort Worth and Sendera Ranch, Ltd. for Sendera Ranch, effective January 7, 2002 (City Secretary Contract No. 27354) (the "Developer's Agreement") concerning development of approximately 1,894 acres of land described in the Agreement as the "Property". B. The Developer's Agreement provided that, in exchange for annexation of the Property by the City, abolition of an existing fresh water supply district and other consideration, the City agreed to design and construct, at City expense, off -site sanitary sewer infrastructure to serve the Property and to waive payment of sewer per acre charges for the Property. C. Pursuant to the Developer's Agreement, Sendera Ranch, Ltd. is responsible for constructing on -site sewer infrastructure within the boundaries of the Property, at its cost and expense, and is required to pay standard sewer tap fees and an additional $250 fee for each sewer tap. D. GBTM, Lennar Homes of Texas Land and Construction, Ltd. and W.S. Mineral Holdings, LLC, are the owners of approximately 1,100 acres of the Property and are cooperating to develop such land as the Madero development. E. LJA Engineering, on behalf of the Madero developers, submitted a sanitary sewer study for Madero to the City in connection with submittal of a preliminary plat for Madero, which study reflected that wastewater flows from approximately 400 acres at the northwest corner of the Property owned by GBTM depicted on Exhibit A attached hereto and incorporated herein (the "NW Madero Tract") naturally flow to the north and wastewater flows from the remainder of the Property naturally flow to the south (the "Sanitary Sewer Study"). F. The Sanitary Sewer Study provides for construction of an on -site lift station (the "Lift Station") at GBTM's expense to pump flows from the NW Madero Tract to the south through the Property by force main and an on -site gravity sewer system connecting to the existing downstream City sewer infrastructure. G. The City opposes construction of the Lift Station and has an offered an alternative solution to sewer the NW Madero Tract to the north by a sanitary sewer main to be constructed through the Alpha Ranch development, as generally shown on Exhibit B (the "Off -Site Gravity Sewer Infrastructure Agreement Page 1 OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX Main"). The Off -Site Gravity Main improvements may also include a parallel sanitary sewer main to the existing Brookfield sewer line. H. The City and GBTM have agreed that, in lieu of constructing the Lift Station, GBTM will contribute the estimated cost of the Lift Station in the amount of $1,156,550 to the City, to be applied by the City toward the cost of construction of the Off -Site Gravity Main, provided the Off -Site Gravity Main is constructed in a timely manner to serve the NW Madero Tract. NOW THEREFORE, for and in consideration of the mutual agreements, covenants, and conditions hereinafter set forth, the Parties agree as follows: 1. GBTM Contribution. GBTM shall contribute $1,156,550 to the City to be applied toward the cost of the Off -Site Gravity Main (the "GBTM Contribution"). The GBTM Contribution shall increase by a 2.5% inflation factor on January 1 of each year commencing January 1, 2022 until paid in full. GBTM will pay fifty percent (50%) of the GBTM Contribution to the City in conjunction with recording the final plat that contains the 1,000th single-family residential lot within the GBTM controlled portion of Madero, consisting of approximately 889.686 acres of land out of the Property shown and described in Exhibit C (the "GBTM Property"). GBTM shall have no other obligations with respect to funding, designing or constructing the Off -Site Gravity Main. 2. Design and Construction of Off -Site Gravity Main. The City agrees, upon receipt of the 50% payment of the GBTM Contribution, to initiate design of the Off -Site Gravity Main through Alpha Ranch or to work with developers of Alpha Ranch to design the Off -Site Gravity Main, and to provide a point of connection for the NW Madero Tract at its north property boundary, generally in the lowest elevation outside of floodway and floodplain, The City agrees to complete construction of the Off -Site Gravity Main within three (3) years after receipt of the 50% payment from GBTM. GBTM will remit payment to City of the remaining 50% of the GBTM Contribution within 30 days after GBTM receive notice from the City of completion and documentation of City green sheet acceptance of the Off -Site Gravity Main. 3. Deadline to Construct Off -Site Gravity Main. If the City does not meet the three (3) year deadline to complete the Off -Site Gravity Main, the City will refund the initial 50% GBTM Contribution to GBTM within 30 days after GBTM's written request and GBTM shall have no obligation to pay the remaining 50% of the GBTM Contribution. GBTM shall be authorized to construct the Lift Station, at GBTM's expense, to serve the Madero NW Tract. City shall not oppose construction of the Lift Station and shall not delay or deny any City approvals for development of the Property on account of the Lift Station. 4. Collection of Sewer Fees. The City will continue to collect sewer tap fees and an additional fee of $250 per sewer tap for the Property, in accordance with the Developer's Agreement. 5. Approval Process. This Agreement shall be approved administratively by the City. The City agrees that processing of this Agreement will not delay approval of the Sanitary Sewer Study or submission of the preliminary plat for Madero. The Sanitary Sewer Study shall Sewer Infrastructure Agreement Page 2 be consistent with this Agreement with respect to the alternatives for construction of sewer infrastructure to serve the Madero NW Tract set out in Sections 1-3 above. 6. Binding Agreement. This Agreement is binding on GBTM and all successor owners of all or any portion of the GBTM Property for payment of the GBTM Contribution. No other owner of the Property has any obligations pursuant to this Agreement or is otherwise bound by this Agreement. Nothing in this Agreement is intended to modify the Developer's Agreement or the parties' obligations pursuant to such agreement, except as between GBTM, successor owners of the GBTM Property, and the City as expressly set out herein. 7. Dedication of Land for City Facilities. GBTM agrees to dedicate an approximately 3.5- acre parcel to the City for City facilities, which shall be consolidated with an existing 5.0- acre tract dedicated to the City adjacent to the existing water tower and pump station, as shown on Exhibit D. The community facilities tract in the northwest quadrant of the Property shall be reduced by 3.5 acres, as shown on Exhibit D. 8. Default. If a Party commits a breach of this Agreement, the non -breaching Party shall give Notice to the breaching Party that describes the breach in reasonable detail. The breaching Party shall commence curing such breach within fourteen (14) calendar days after receipt of such Notice and shall complete the cure within fourteen (14) calendar days from the date of commencement of the cure; however, if the breach is not reasonably susceptible to cure by the breaching Party within such fourteen (14) day period, the non - breaching Party shall not bring any action so long as the breaching Party has commenced to cure the default within such fourteen (14) day period and diligently completes the work within a reasonable time (not to exceed an additional thirty (30) days) without unreasonable cessation of the work. If the breaching Party does not substantially cure such breach within the stated period of time, the non -breaching Party may, in its sole discretion, and without prejudice to any other right under this Agreement, law, or equity, seek any relief available at law or in equity, including, but not limited to, an action under the Uniform Declaratory Judgment Act, specific performance, mandamus and injunctive relief, and attorney's fees. 9. Notice. Any notices, certifications, approvals, or other communications required to be given by one Party to another under this Agreement (a "Notice") shall be given in writing addressed to the Party to be notified at the address set forth below and shall be deemed given: (i) when the Notice is delivered in person to the person to whose attention the Notice is addressed; (ii) when received if the Notice is deposited in the United States Mail, certified or registered mail, return receipt requested, postage prepaid; or (iii) when the Notice is delivered by Federal Express, UPS, or another nationally recognized courier service with evidence of delivery signed by any person at the delivery address. If any date or period provided in this Agreement ends on a Saturday, Sunday, or legal holiday, the applicable period for calculating the notice shall be extended to the first business day following the Saturday, Sunday, or legal holiday. For the purpose of giving any Notice, the addresses of the Parties are set forth below. The Parties may change the information set forth below by sending Notice of such changes to the other Party as provided in this section. Choice of Law. This Agreement shall be construed and enforced in accordance with the laws of the State of Texas, as they apply to contracts performed within the State of Texas and without regard to any choice of law rules or principles to the contrary. The Parties acknowledge that this Agreement is performable in Tarrant County, Texas, and hereby submit to the jurisdiction of the courts of Tarrant County, Texas, and hereby agree that any such court shall be a proper forum for the determination of any dispute arising hereunder. 12. Severability. The provisions of this Agreement are severable. If any word, phrase, clause, sentence, paragraph, section, or other provision of this Agreement, or the application thereof to any person or circumstance, shall ever be held or determined to be invalid, illegal, or unenforceable for any reason, and the extent of such invalidity or unenforceability does not cause substantial deviation from the underlying intent of the Parties as expressed in this Agreement, then such provision shall be deemed severed from this Agreement with respect to such person, entity or circumstance, without invalidating the remainder of this Agreement or the application of such provision to other persons, entities or circumstances, and a new provision shall be deemed substituted in lieu of the severed provision which new provision shall, to the extent possible, accomplish the intent of the Parties evidenced by the severed provision. 13. Additional Documents and Acts. The Parties agree that at any time after execution of this Agreement, they will, upon request of the other Party, execute and/or exchange any other documents necessary to effectuate the terms of this Agreement and perform any further acts or things as the other Party may reasonably request to effectuate the terms of this Agreement. 14. Amendment. This Agreement may be amended only with the written consent of the Parties. 15. Authority to Execute. The City warrants the individual executing this Agreement on behalf of the City has been authorized to do so. GBTM warrants that the execution of this Agreement is duly authorized in conformity with the articles of incorporation, bylaws, Sewer Infrastructure Agreement Page 4 partnership agreement or other applicable organizational documents of GBTM and that the individual executing this Agreement on behalf of GBTM has been authorized to do so. 16. Counterpart Originals. This Agreement may be executed in counterparts, each of which shall be deemed to be an original.
