Subject: Request for Bids/Alliance Airport
The Request for Bids (RFB) for the management of Alliance Airport was issued to
twenty-seven (27) prospective bidders on December 14, 1992. A pre-bid conference
will be held on January 22, 1993 to answer any questions. Bids are to be submitted
by February 4, 1993, and it's anticipated that the selected bidder will be in place by
April 1, 1993.
The RFB (Exhibit A) includes changes which were discussed and agreed to by the
Aviation Advisory Board and the City Council. The "Terms of the Agreement"
(Exhibit B) which was shared with the City Council and the Aviation Advisory Board
outlines these changes.
One of the changes allows the successful bidder, if he or she chooses to exercise the
option to lease land at the airport, to negotiate a ground lease. The RFB further
states that the successful bidder may opt to execute the sample lease agreement
which is to be an exhibit of the Management Agreement. As of this date, the sample
lease has not been provided to prospective bidders. Staff is of the opinion that the
sample lease should include minimum terms and conditions that are acceptable to the
City.
Because the successful bidder will have the option to sign the sample lease, the City
Council, at the time the Management Agreement is awarded, must grant the
authorization to execute the sample lease. Therefore, the sample ground lease must
have the City Council's approval before it is provided to each prospective bidder. The
general terms of the sample ground lease will be discussed with the City Council
during the January 5 City Council Worksession. Staff requests direction from the
City Council regarding the terms and conditions of the sample ground lease. In order
to provide prospective bidders sufficient time to consider the sample ground lease, it
should be made available no later than January 15, 1993.
Should the City Council desire additional information it will be provided upon
request.

Management and operation of the Airport is currently accomplished through

a team effort involving the FAA, the Fort Worth Fire Department, Pinnacle Air
Services, Inc. and the Fort Worth Department of Aviation. The FAA operates the
Control Tower and takes the necessary meteorological observations. The Fort Worth
Fire Department provides aircraft rescue and fire fighting (ARFF) services to the
Airport via City funding. The City will continue to fund ARFF services. The level
of City ARFF coverage is limited Index E.
The City of Fort Worth entered into a management agreement for the Airport
with Pinnacle Air Services, Inc. on March 14, 1990. This agreement provides for the
following services by Pinnacle Air Services:
1) Advise and make recommendations to the City with respect to the
design and construction of airport improvements;
2) Subject to the direction of the City, supervise and manage the design
and construction of improvements;
3) Subject to the direction of the City, supervise and manage maintenance,
repair and operations of the Airport, its facilities, equipment,
improvements and navigational aids not maintained by the FAA;
4) Advise and make recommendations regarding an annual operating
budget, operating plan and capital budget, subject to the final approval
of the City;

5) Advise and make recommendations regarding the marketing and further
development of the Airport;
6) Advise and make recommendations regarding proposed airport leases
and contracts with vendors, and the administration and monitoring of
same; and
7) Provide upon request of the City an airport emergency contingency plan,
reports and statistical data, and provide advice and assistance in
dealing with the FAA and all federal, state and local agencies in matters
relating to the Airport.
All of the above services are provided under the day to day direction and
supervision of the City of Fort Worth Department of Aviation. The management
agreement is dated March 14, 1990 and is for a term of five years ending March 13,
1995. The agreement may be terminated by Pinnacle,without cause on 30 days notice
to the City. It may be terminated by the City only in the event of an uncured
material breach by Pinnacle. All of the services to be provided under Pinnacles
management agreement are provided for the sum of one dollar annually and neither
party is obligated to expend funds in performance of the agreement. In December
1991, Pinnacle's management agreement was amended to require Pinnacle, subject
to the direction of the City, to supervise and manage all professional services related
to the design and construction of the proposed expansion of the Airport. Pinnacle is
to act as Project Coordinator for the City for Airport expansion projects and shall

remain the primary contact for the City with all consultants, contractors and
professionals retained for design and construction related to the expansion of the
Airport. The selected bidder will not be required to provide any services related to
Airport expansion except for coordination necessary for the safety of and minimal
impact to Airport operations. The City and Pinnacle have proposed to further amend
the management agreement so that services 3) 4) and 6) as set forth on Page 3 of this
RFB, may be deleted from that management agreement effective March 31, 1993.
b) Purpose
1. General The City of Fort Worth is seeking bids from qualified firms
interested in providing contract airport management services for
Alliance Airport. The City's primary objective is to have Alliance
Airport, in conjunction with the Alliance Center, become an
international trade center.
2. Proposed Bidders are invited to submit a bid on the performance of all
Effort management, operation and maintenance services, employment
of personnel and acquisition of equipment necessary to fulfill the
responsibilities outlined in Section III of this RFB and detailed in
the Airport Management Agreement attached as Exhibit D. The
Management Agreement will require the successful bidder to
perform such services and furnish such personnel and equipment
as are necessary for Alliance Airport to maintain at all times its
FAA Part 139 Certification.
3. Incentives (1) The selected bidder will be given an option to lease a parcel or
0Pk parcels of land at the Airport for the provision of Fixed Based
Operations and other aeronautical activities at the Airport. The
parcel or parcels available for lease under the options are
described in Exhibit A of the Master Lease Agreement which is
attached to these bid documents as Exhibit E of the Management
Agreement. For those options exercised, the term of the lease
agreement will be for a period of thirty (30) years beginning on
the date the lease agreement is executed, subject to the provisions
of Article 23 of the Management Agreement and to the City's
determination that the lease term is justified by the proposed
level of investment in Airport facilities.
If the selected bidder desires to exercise said option (s), he
must give the City written notice of such desire, which notice
must be delivered to the City no sooner than May 1, 1993 and no
later than 5:00 p.m. CST on May 31, 1993. If such notice is not
delivered to the City within the prescribed time, then said
option(s) shall expire. In the event the bidder desires to exercise
the option(s), he will have ninety (90) days from the date such
notice is delivered to the City to either:
a.) Execute the sample lease agreement which is
Exhibit E of the Management Agreement; or
b.) Negotiate additional terms or modifications to the
sample lease agreement and execute

In the event the City and the bidder cannot agree upon a

negotiated or modified lease agreement, then the bidder may
execute the sample lease agreement which shall be binding upon
the City. In the event the City and the bidder cannot agree upon
a negotiated or modified lease agreement within the prescribed
ninety (90) day period, and the bidder does not execute the
sample lease agreement within the same prescribed ninety (90)
day period, then the option(s) shall expire and bidder shall have
no further rights thereunder.
All facilities constructed on the leased parcels shall be
constructed at least to the Minimum Standards for Alliance
Airport as established by the City of Fort Worth from time to
time. The current Minimum Standards are shown on Exhibit D
attached hereto.

II. PROJECT SCOPE AND OBJECTIVES
a. Scope - The selected bidder will act on behalf of the City and will be
responsible for the management,daily operation and maintenance of the
Airport. All responsibilities are more fully described in Section III
hereof.
b. City Ob jectives - The City intends to award a twenty-five year contract
for management, operation and maintenance of the Airport. The City
intends to have the selected bidder pay all management, operating and
maintenance costs and make all capital investments in equipment and
vehicles necessary to fulfill its responsibilities under the Management
Agreement. The City will make an advance payment to the selected
bidder for these financial commitments to the extent funds are available
from Airport revenues. The City will be responsible for and provide, at
its own cost and expense,Airport Rescue and Firefighting Services. The
City will be responsible for obtaining the Sponsor's(City's) share of FAA
AIP Grants. The City believes, but does not warrant, that the Airport
will become a profitable operation for the bidder and, in time, for the
City through revenue sharing as explained in Section IV, Part III of this
RFB. In addition, as noted earlier, the City is willing, as an additional
incentive to the selected bidder, to offer a ground lease option on
parcel(s) to be specified for the provision of FBO services and other
aeronautical activities. Revenues generated from the provision of these

services, if a lease is executed, shall belong to selected bidder except for
City imposed Airport rates and charges such as land rent, fuel flowage
and landing fees which the selected bidder will be collecting on behalf
of the City or negotiated terms of the ground lease . Ground rent and
fuel flowage fees paid by the selected bidder for the optioned parcel(s)
will be considered Airport revenue. Other payments to the City which
may be negotiated in the ground lease will not be considered Airport
revenue.
C. Organization - The selected bidder will report directly to the City
Manager or his designee to obtain policy direction and necessary
approvals. The selected bidder will be required to work as part of a
team with City staff to advise the City Manager and City Council with
respect to the management, operation and maintenance of the Airport.
The City will assign a staff person to oversee the Airport Management
Agreement, provide for City liaison and coordinate Airport public affairs
and community relations.
The selected bidder will prepare for the City various reports and
documents for the City Manager's review. The City Manager will
consult with and obtain the guidance, advice and assistance of the City
Council as required on policy decisions regarding the Airport's
management, operation and development. The following page presents
an organization chart showing the proposed relationship with the

III. SCOPE OF WORK - ALLIANCE AIRPORT
The responsibilities and services to be provided can be classified into two
categories:
a. Operations and Maintenance
b. Management
Prospective bidders are encouraged to carefully review the Airport
Management Agreement, which is attached hereto Exhibit C, to more, fully
understand the stated requirements of this Section of the bid solicitation.
a. Operations and Maintenance - The selected bidder will be required to provide
an Airport Manager and appropriate staff and equipment necessary to provide
airport services on a seven-day-a-week, 24 hours per day, basis. The operation
and maintenance of Alliance Airport must be of a quality that will allow
Alliance Airport to maintain its FAA Part 139 Certification at all times.
The selected bidder's Airport Manager will have full responsibility for all the
operation and maintenance of the Airport consistent with the City's policy
direction, but in no event shall the quality of such operation and maintenance
be less than the minimum FAA Part 139 certification standards. Those
responsibilities include but are not limited to:
1. Coordination and maintenance of Airport security.
2. S#f*,ofirunways and taxiways.
3. Coordination with FAA personnel regarding operational matters.
4. Coordination of any construction, maintenance or other activities at the
Airport to minimize interference with operations.
5. Enforcement of Airport Rules and Regulations and Minimum Standards.
6. Enforcement of leases, permits, concessions and other agreements to
insure that lessees, permittees, concessionaires and contractors
continually meet the terms of such agreements and to assure the
collection of all revenue due and owing the City and the selected
manager for services and facilities provided with appropriate follow up
as required.
7. Supervision and performance of all services including maintenance and
snow and ice removal.
8. Community relations, including meeting with Airport tenants, receiving
and responding to noise complaints.
9. Cooperate with City staff in conducting liaison with State and Federal
agencies on matters relating to funding programs, Airport operations
and noise matters.
10. General good care and maintenance of the Airport to insure cleanliness,
good appearance and safe, efficient operation.
11. Recommendations for revised Airport Rules and Regulations for review
and acceptance.
12. Recommendations for ARFF emergency plan revisions with the City Fire

13. Fulfill the City's contractual service obligations with third parties at the
Airport if the City does not elect to perform such services.
14. General administration of the Airport including:
i) Budgets - The selected Airport Manager will be required to
annually submit to the City by August 1st, for the City's next
fiscal year(s) beginning October 1 and ending September 30, an
annual Airport operating budget, including forecast Airport
revenues, and operating expenses as delineated in the
Management Agreement.
ii) Financial accounting controls and reports - The selected bidder
will maintain separate financial accounting records to properly
record and categorize revenues and expenditures by standard
airport accounting practices as directed by the City. Such records
should be of sufficient detail to assure control and safekeeping of
the Airport's properties, equipment and contractual agreements
and obligations. Monthly and year to date financial statements
of operating results will be submitted to the City for the Airport's
financial performance in accordance with the terms of the Airport
Management Agreement. The City reserves the right to audit the
operations so reported through its auditors or independent public
accountants/auditors, as it deems appropriate.
iii) Reports and audits-Every three months the selected bidder shall
submit a quarterly operating report to the City delineating such
items as the City and the selected bidder shall agree upon. In
addition, the selected bidder will submit interim reports to the
City on any aspect of its operations, upon request. The books and
records of the selected bidder, both financial and operational,
shall be available for inspection by the City. The City shall have
the right to make periodic financial and performance audits. The
selected bidder will perform periodic financial and performance
audits of lessees, permittees, contractors, etc., as deemed
necessary or appropriate by the City and/or the selected bidder.
iv) Capital planning - the selected bidder will be required to
participate in the updating of Airport master/layout plans and
other long range Airport planning efforts when required and will
annually submit to the City by August 1, a five year capital
facilities program addressing the operational needs of the Airport,
in a manner prescribed by the City. This will include cost/benefit
analyses for the recommended program as appropriate.
b. Management - A major goal of the City is to develop the Airport into an
international cargo/industrial center Airport for the City of Fort Worth and the
surrounding communities in a cost effective, efficient manner. The
management of the Airport must be comprehensive and targeted to accomplish

To complement this effort, the selected bidder will, on behalf of the City,

provide support services to the City for the negotiation of all leases, licenses,
permits, agreements, contracts, etc. that will be entered into between the City
and other parties retained to provide services at the Airport. These support
services will be performed in conformity with established City policy
guidelines, and to the extent practicable, using contract language pre-approved
by the City. All such agreements require the approval of the City Manager
and City Council. Each meeting providing such support services will be
documented by the selected bidder with a memo to the file. Copies shall be
sent to the City, setting forth the position of both parties, areas of dispute,
suggested possible options and/or changes of policy or contract language which
may be useful to the City in achieving agreement.
The selected bidder will have a working knowledge of the typical prospective
markets to which Alliance Airport would appeal and shall work closely with
the business development and marketing staff of Alliance Center to assure that
attractive, competitive presentations and proposals, consistent with City policy,
are made to interested parties.

IV. BID FORMAT AND CONTENTS
In order to permit the efficient and effective comparison of bids, it is necessary
that all submissions follow the same organization. Therefore, all bids must use the
following three part format:
PART I
TECIINICAL AND MANAGEMENT SUBMITTAL
The technical and management submittal represents the bidders qualifications
for fulfilling the responsibilities of the Management Agreement. Bidders must use
the following format and demonstrate to the City that the bidder is responsible and
is fully qualified to perform the required Airport management, operating and
maintenance responsibilities safely and efficiently.
1. Title Page, indicating:
Name, address and phone number of the bidder, including a contact
person, and the name of the person(s) who prepared the bid;
2. A table of contents;
3. Executive Summary - provide a brief description of the firm or firms
bidding this project. If more than one firm is included in the bid, the
role of each firm must be identified.

4. Staffing AM%
a) Include an Airport and specific organization chart that your firm
would implement for the day to day provision of required services.
Charts should be of sufficient detail to identify job categories. Job
descriptions for each category must also be included.
b) Include an organization chart for the firm indicating how it plans
to provide administrative oversight of the Airport operation by
any personnel not located at the Airport. Identify each person,
their title, responsibilities, address and phone number.
5. Experience - Provide evidence of previous experience of the firm in the
performance of the services required under the Scope of Work. Please
provide specific references. Include resumes of personnel who will
function as your firm's top management team at the Airport and of any
oversight personnel not based at the Airport. If such persons are not
already employed by the firm, include resumes of persons being
seriously considered for such positions, and/or position descriptions and
qualification summaries for the recruitment of candidates.
6. Outside Services - If your firm plans to provide basic professional
services utilizing other firms (subcontractors), provide the same
information about each such firm that is required of your firm by this
solicitation and detail how it will be integrated into the overall
organization.

7. Compliance with City Policy No. 148 Entitled "City-Wide Disadvantaged
Business Enterprise Policy". A copy of the Policy is contained in Exhibit
F attached hereto. All bids submitted shall conform to that policy.

PART 11
ADDITIONAL STATEMENTS
Each prospective bidder shall specifically state acceptance of all terms and
conditions contained in the Management Agreement included as Exhibit C to this
RFB. The City will not accept any bids containing exceptions to the contract
conditions, and no negotiations will be permitted. Any bid containing exceptions,
modifications or alterations to the bid documents or the specimen Management
Agreement will be a basis for the City to disqualify the bid from consideration. Any
questions or exceptions that prospective bidders have about the terms and conditions
of the Management Agreement must be addressed at the Pre-Bid Conference and/or
by the City issuing an addendum to these bid specifications prior to the bid
submission deadline.
Bidders are also cautioned that any exceptions or deviations that result in a
bid that varies from or is not responsive to the minimum Scope of Work and
performance requirements as set forth in the Management Agreement will result in
the bid being rejected.
Each bidder shall provide the following information/statements/and
affirmations with the bid submission confirming and acknowledging that:
(a) The firm has the necessary capability to start performance under the
Management Agreement on April 1, 1993. This includes the ability to
obtain the necessary Federal approvals, if any, and insurance
certificates from a recognized carrier acceptable to the City.

(b) The firm will comply with all applicable Federal, State and local
statutes, rules and regulations concerning: operation of airports, non-
collusion in submission of this bid, non-discrimination and affirmative
action in employment and non-discrimination in the conduct of the
firm's business.
(c) Statement of financial capability, including audited financial statements
for the past three fiscal years and Form 10Y., if any, submitted to the
U.S. Securities and Exchange Commission for the past three years.
Certified true copies of Federal Income Tax returns may be submitted
in lieu of the above.
(d) An Acknowledgement that the City reserves the right to accept or reject
any or all bids and to waive any and all formalities as it deems is in the
City's best interest.
(e) The bid shall be signed by an official authorized to bind the bidder, and
shall contain a statement to the effect that the bid is a firm offer for a
180 day (or more) period.

authority to make representations and commitments on behalf of the
company and to contractually bind the company, and also who may be
contacted during a period of bid evaluation.

REVENUE SEARING AND COST SUBMITTAL.
The revenue sharing submittal represents the bid percentage of Airport
revenue to be shared with the City. The cost submittal represents the total cost to
provide the Scope of Work as outlined in the RFB and detailed in the attached
Management Agreement. Even though the cost submittal will not be used to
determine the lowest bid for the City, it will be required to be a part of all bids
submitted.
a) Revenue Sharing
In this section, bidders are required to state the percentage of the total
airport revenue to be retained by the City. The bid may be a fixed percentage applied
to all revenue, or a percentage which increases as the revenue increases. Bidders
should note that this percentage(s) will be used to determine the lowest bid for the
City.
b) Cost of Service and Capital
In this section,bidders are required to estimate the cost of providing the
Scope of Work over the life of the Management Agreement. This estimation must be
in the form of an airport operating budget. Bidders should note that these budgets
will not be used to determine the lowest bid for the City.
Airport Operating Expense Budget-To include the cost of salaries and benefits
equipment associated with airport personnel, capital improvements, utilities,
insurance, management, maintenance and operating supplies and services, vehicle
fuel and oil -necessary to provide the Scope of Work throughout the life of the
Management Agreement, use the format shown in Table 1.

c) Risk Amount
The Risk Amount represents the dollars the selected bidder will be required
to commit to subsidizing the Airport operation during the term of the Management
Agreement. The Risk Amount will equal one million dollars ($1,000,000). The
selected bidder will be required to provide a performance bond or other financial
instruments acceptable to the City in the amount of the Risk Amount. The selected
bidder will be allowed to collect interest equal to the current prime rate on a
quarterly basis from Airport revenues on accumulated losses.
In the event the selected bidder's losses exceed the Risk Amount, the selected
bidder has the following options:
1) Waive the risk factor and continue the Management Agreement
2) Terminate the Agreement with 90 days notice to the City.
Bidders are hereby notified that the City has used its best efforts to identify
all budget line items necessary and.,appropriate to provide the Scope of Service and
acquire the equipment necessary to fulfill the obligations of the Management
Agreement. However, the City makes no representations or warranties that these
line items are sufficient or in sufficient detail to fulfill such obligations.

Bidders should note that, in accordance with the terms of the Management

Agreement, the City will establish a depository account into which the selected bidder
will deposit all Airport Revenue and from which the City will advance funding, to the
extent it is available in the depository account, after the City retains its percentage
of the revenue.
Bidders are reminded of the additional incentive option to lease prime airport
land and to develop and conduct aeronautical activities/FBO services on a non-
exclusive basis as contained in the Management Agreement.
Note: Under no circumstances should the revenue sharing submittal,
or any part of bids submitted, contain any statements regarding
the ground lease option, whether the option would be exercised

or how it would be used. Such statements will not be a factor in

V. CRITERIA FOR EVALUATION OF BIDS
The City of Fort Worth is required by state law to accept the lowest
responsible\qualified bidder who is responsive to this request for bids. Bidders are
hereby notified that the City will use the information contained in Part I, Technical
and Management Submittal, and Part II, Additional Statements, to determine
whether each bidder is responsible\qualified to perform the functions of the Airport
Management Agreement. The City will use the information outlined in Part III,
Revenue Sharing and Cost Submittal, to determine the lowest bid. The lowest
responsible\qualified bidder will be awarded the Alliance Airport Management
Agreement and the ground lease option(s). The City will use the following criteria
in making the above determinations.
1) Qualified\Resgonsible - A qualified`responsible bidder is defined as a
firm, firms, or firm's top management team that has a minimum of five
years of positive, successful experience in airport management covering
all functions, duties and obligations set forth in the Management
Agreement at airports with equivalent or larger levels of activity and
operations to that of Alliance. Bidders must provide all information
necessary for the City to determine that the bidder is qualified or
responsible under Part I of the Bid.
2) Responsive -A responsive bid is defined as a bid which, at a minimum,
provides all of the required information services, functions and financial
obligations as required in the Management Agreement and as required
by these bid specifications.

3) Lowest Bid - The City of Fort Worth shall determine the lowest bid by
applying the proposed percentage of gross revenue in each bid to the
Alliance Airport Revenue Projections for the years from 1993 through
2009. The bid which will generate the greatest amount of total revenue
to the City for the years 1993 through 2009 will be considered the lowest
bid.

A. Pre-Bid Conference - In order to assist firms in preparing bids in
response to this solicitation, a pre-bid conference will be held on Friday,
January 22, 1993 in the Pre-Council Room on the second floor of City
Hall, 1000 Throckmorton, Fort Worth, Texas, 76102 at 10:30 a.m. A
general review of the solicitation will occur and written and general
questions regarding the solicitation may be answered. A tour of Alliance
Airport will follow the pre-bid conference for all interested bidders.
Written questions must be submitted to the address shown below by
January 15, 1993. Interested firms are encouraged to attend.
B. Bid Submission - If your firm is qualified and has an interest in
supplying the services described in this solicitation, 15 copies of your bid ,,ON

by all potential bidders during normal business hours at the City

is expected by February 25, 1993; with contract execution completed by
March 12, 1993; the effective date of the contract is anticipated to be
April 1, 1993. Depending on the quality of the bids submitted, the City
may elect to interview firms during the evaluation process to accurately
determine whether the bidders are responsible\qualified and the bids
are responsive.
E. City's Rights to Bids - All bids, upon submission to the City of Fort
Worth, shall become its property for use as deemed appropriate. By
submitting a bid, the bidder covenants not to make any claims for or
have any right to damages because of any misinterpretation or
misunderstanding of the specifications or because of any misinformation
or lack of information. The City of Fort Worth has the following
prerogatives with regard to bids submitted:
- to accept or reject any or all bids;
- to correct any arithmetic errors in any or all bids;
- to utilize any or all of the ideas from bids submitted;
- to change the bid's due date upon appropriate notification;
to adopt any or all of the firm's bid;

F. Conflicts of Interest Prohibited - Neither the selected bidder nor any
