SWFMA-24-0020 WHEREAS, City, Developer, and Landowner, and their successors and assigns, agree that the health, safety, and welfare ofthe residents ofthe City ofFort Worth, Texas require that on-site Storrnwater Management Facilities (the "Facility") be constructed and maintained on a portion ofthe Facility Property identified within the Easement; and WHEREAS, City reqmres that the Facility as shown on the plan (hereinafter defined) be constructed and adequately maintained by Developer, its successors and assigns, the location and dimensions ofwhich arc within the Facility Property; and NOW, THEREFORE, � consideration of the foregoing premises, the mutual covenants contained herein, and the following terms and conditions, the parties hereto agree as follows: L Developer, its successors and assigns, shall adequately construct and maintain the Facility at no expense to the City � accordance with the design specifications for the Facility attached as Exhibit "C", and the current standards then in force and effect in the City and with the Operations and Maintenance Plan attached to this Agreement as Exhibit "D". Additionally, Landowner, through this Agreement and in accordance with the Easement, approves the design and specifications for the Facility as outlined in Exhibit "C", provided, however, Landowner's approval is not, and shall not be deemed, an assumption of any responsibility by Landowner for said design's and specifications' accuracy, sufficiency, or confomlity with applicable laws. The Facility includes all pipes, channels, or other conveyances built to convey stoml water to the Facility, as well as all structures, improvements, and vegetation provided to control the quantity and quality of the stonn water. Adequate maintenance is herein defined as good working condition so that the Facility is perfonning its design function. The Stonnwater Structural Control Maintenance Checklists, attached to this Agreement as Exhibit "E", arc to be used to establish what good working condition is acceptable to the City. STORMWATER FACILIN MAINTENANCE AGREEMENT 2 Rev. 03/01/2022 BN 2 Developer, its successors and assigns, shall inspect the Facility and submit an inspection report b� the City annually, with a copy to Landowner. The purpose of the inspection i� to ensure sa% and proper functioning of the Facility. The inspection shall cover the entire Facility, berms, outlet structure, pond areas, access roads, etc. Components of the Facility which need maintenance or replacement to p�fonn their design function shall be noted 'm the inspection report along with the corrective actions to be taken. 3. Landowner, its successors and assigns, hereby grants permission to the City, its authorized agents and employees, to enter upon the Facility Property for the purpose o f inspecting the Facility Properly whenever �e City reasonably deems necessary. The purpose of inspection is to follow up on reported deficiencies and/or to respond b� citizen complaints. The City shall provide Developer, Landowner, and their respective successors and assigns, copies of the inspection findings and a directive b� Developer b� commence with the repairs if necessary. �n r� event shall Landowner have responsibility for repairs, maintenance, or replacement ofthe Facility. 4. In the event the Developer, its successors and assigns, fails to maintain the Facility � good working condition as specified herein, the City shall provide written notice b� Developer, its successors and assigns, describing with reasonable specificity the needed repairs or maintenance. Developer, its successors and assigns, shall ha�e aperiod ofthirty (30) days to complete such repairs or maintenance (or if such repairs or maintenance cannot reasonably be completed within thirty (30) days, Developer, its successors and assigns, shall commence such repairs or maintenance and shall ha�e such time thereafter � reasonably necessary, using reasonable diligence, to complete such repairs or maintenance). If Developer, its successors and assigns, fails to complete such repairs or maintenance within the time set forth n the immediately preceding sentence, then Landowner and Developer grant the City, its authorized agents and employees, permission to enter upon die Facility Property and take whatever steps necessary to correct deficiencies identified 'm the inspection report and to charge the costs of such repairs to Developer, its STORMWATER FACILITY MAINTENANCE AGREEMENT 3 Rev. 03/01I2022 BN succcssors and assigns. 1t is expressly understood and agreed that the City is under no obligation to routinely maintain or repair said Facility, and in no event shall this Agrecment be construed to impose any such obligation on the City, such obli�ation is Develoeer's. 5. Developer, its successors and assigns, will perform the work necessary to keep the Facility in good working order as appropriate. In the event the City pursuant to this Agreement, performs work of any naturc, or cxpends any funds in perforn�ance of said work for labor, use of equipment, supplies, materials, and the like, Developer, its successors and assigns, shall reimburse the City upon demand, within thirty (30) days of receipt thereof for all reasonable costs incurred by the City hereunder. In ihc event that Developer or its successors or assigns fails to pay thc City for the costs incurred wlder this section, the City shall impress a lien for the costs of such work upon the Property. Such lien shall be perfectcd by filing in the office of tl�e County Clerk of Tarrant County, Texas an affdavit identiFying flie property to be charged with such lien, stating the an�ount thcrcof, and making rcfcrcnce to this Agrecmcnt. 6. This Agreement imposes no liability of any kind whatsoever on thc City. DEVELOPER AND LANDOWNER AGREE TO HOLD THE CITY HARMLESS FROM ANY LIABILITY 1N THE EVENT THE FACILITY FAILS TO OPERATE PROPERLY. DEVELOPER COVENANTS AND AGREES AND DO�S HEREBY INDCMNIFY, HOLD HARMLESS AND DEFEND THE CITY OF FORT WORTH, ITS AGENTS, SERVANTS, AND EMPLOYEES FROM AND AGAINST ALL COSTS, EXPENSES, LOSSES, DAMAGES, CLAIMS, OR CAUSES OF ACTION WHATSOEVER ARISING, OR WHICH MIGHT ARISE, FROM THE FAILURE OF DEVELOPER OR ANY FUTURE OWNERS OF THE PROPERTY TO MAINTAIN Tl3E FACILITY, INCLUDING, BUT NOT LIMITED TO, THE SED AND BANKS UF THE FACILITY; ANY DAMAGES CAUSED TO PERSON OR PROPERTY DUE TO (1) FLOODING OF THC FACILITY AND ITS BANKS, (2) SLOPE FAILURE OF THE FACILITY, OR (3) FAILURE OF THE FACILITY ST�RMWATER FACILITY MAINTENANCE AGREEMENT 4 Rev. 03/01/2022 8N TO OPERATE IN A MANNER CONSISTENT WITH CITY OF FORT WORTH CRITERIA OR TO PERFORM ANY OTHER DUTIES OR OBLIGATIONS HEREUNDER. 7. Landowner covenanls and agrees that no habitable building shall bc erected within the Facility Property outlined on Exhibit "A", but this paragraph shall not preclude construction of other improvements within the drainage easement which do not impede drainage. Developer covenants and agrees that no habitable building shall be erected on the Property abuttin� the Facility Property which shall have a finished floor at a» elevation Icss than two fect above the maximum depth of water in the detention pond which would occur during a 100-year frequency flood. This Agreement shall be recorded amo»g the land records of Tarrant County, Texas, shall constitute a covenant running with tl�e Property, and shall be binding on the Developer, its successors and assigns, including ai�y property owner's association. Notwithstanding anytliing to the contrary contained in this a�,n-eemcnt, neither Develaper nor any future owner of the Property shall be liable under an indemnification nf other obligaiions under this Agreement wiih respect to claims, losses, damages, events, or occurrenccs othcr than thosc arising during or rclating to thc respcctive period of Developer's or a future owner's ownership of the Property herein. D3/0112022 BN STORMWATER FACILITY MAINTENANCE AGREEMEN7 3O Rev. 03/01l2022 6N Exhibit "D" CITY OF FORT WORTH STORMWATER FACILITY OPERATION AND MAINTENANCE PLAN The only responsibility the City of Fort Worth has in the operation and maintenance of this Facility is inspection. General Maintenance Procedures The structural and functional integrity of the Facility shall be maintained at all times by removing and preventing drainage interference, obstructioiis, blockages, or other adverse effects into, through, or out of the system. Periodic silt removal shall occur when standing water conditions occur or the pond's storage volume is reduced by more than 10%. Silt shall be removed, and the pondlbasin returned to original lines and grades shown on the approved engineering plans. In addition, corrective measures are required any time a basin does not drain completely within 72 l�ours of cessation of inflow. NO STANDING WATER IS ALLOWED in basins designed for dry dctention purposes. Accumulated litter, sediment, and debris shall be removed every 6 months or as necessary to maintain proper operation of the basin. Disposa] shall be in accordance with federal, state, and local regulations. Detention facilities shall be mowcd monthly between the months of April and October or anytime vegctation exceeds 12-inches in height. To prcvent debris from entering and clogging thc downstream storm sewer systcm a wire mesh screen or similar screening devicc shall be installed over thc outlet until final acceptance. 4. PREVENTIVE MAINTENANCE/INSPECTION Visual inspections of all components will be conducted every 6 months. A log shall be kept of maintenancc actions and inspections. The ]og should documeilt the condition of the Facility's primary components, mowing, and silt, litter, and debris removal datcs. Document acration of the basin bottoms and replanting to prevent the sealing of the basin botrom_ Written maintenance and repair records shalt be maintained by the party or parties signing the attached Agreement and shall be provided to the City upon request.
