AGREEMENT

This Agreement ("Agreement") is entered into by and between SOUTHERN COASTS K9, LLC
("Vendor") a Florida limited liability company acting by and through its duly authorized
representative, and the City of Fort Worth ("City"), a Texas home-rule municipal corporation
acting by and through its duly authorized Assistant City Manager, each individually referred to
as a "party" and collectively as the "parties.".
The Agreement between the parties includes the following documents which shall be construed in
the order of precedence in which they are listed:
1.This Agreement; and
2.Exhibit A -Vendor's Quote, Scope of Services, and Vendor's Terms and
Conditions; and
3.Exhibit B-Conflict oflnterest Questionnaire; and
4.Exhibit C -Verification of Signature Authority
Exhibits A, B and C, which are attached hereto and incorporated herein, are made a part of
this Agreement for all purposes. Vendor agrees to provide City with the services and goods
included in Exhibit A pursuant to the terms and conditions of this Agreement, including all exhibits
thereto.
The Agreement shall become effective upon the signing of the Agreement by an Assistant
City Manager of the City ("Effective Date") and shall expire one (1) year after the Effective Date
("Expiration Date"), unless terminated earlier in accordance with the provisions of the Agreement
or otherwise extended by the parties. The Agreement may be renewed for four ( 4) one-year
renewals at City's option, each a "Renewal Term." City shall provide Vendor with written notice
of its intent to renew at least thirty (30) days prior to the end of each term
City shall pay Vendor in accordance with the fee schedule in Exhibit A and in accordance
with the provisions of this Agreement. In no event will total payment made under this Agreement
exceed Fifty Thousand Dollars ($50,000.00) annually. Vendor shall not provide any additional
items or services or bill for expenses incurred for City not specified by this Agreement unless City
requests and approves in writing the additional costs for such services. City shall not be liable for
any additional expenses of Vendor not specified by this Agreement unless City first approves such
expenses in writing.
Vendor agrees that City shall, until the expiration of three (3) years after final payment
under this Agreement, or the final conclusion of any audit commenced during the said three years,
have access to and the right to examine at reasonable times any directly pertinent books,
documents, papers and records, including, but not limited to, all electronic records, of Vendor
involving transactions relating to this Agreement at no additional cost to City. Vendor agrees that
City shall have access during normal working hours to all necessary Vendor facilities and shall be
provided adequate and appropriate work space in order to conduct audits in compliance with the
provisions of this section. City shall give Vendor reasonable advance notice of intended audits.
In compliance with Article 11 S 5 of the Texas Constitution, it is understood and agceed
that all obligations of City hereunder are subject to the availability of fiuids. If such funds are not
appropriated or beco►ne unavailable, City sliall have the riglit to tecminate the Agi•ee�llent except
for those portions of funds which have Uee�i appi•opi•iated pi•ioi• to termination.
Notices rec�ui►•ed pursuant to the provisions of this Agreement shall be conclusively
detei•mined to have been delivei•ed when (1) hand-delivered to the other pacty, its agents,
employees, secvaiits oi• rept•esentatives, or (2) i•eceived Uy tlle othei• party by United States Mail,
registei•ed, ret�u�n i•eceipt requested, addcessed as follows:

The Agceement and the i•ights and obligations of the parties hereto sl�all be governed by,
and construed in accordance with tlie laws of the United States and state of Texas, eYclusive of
conflicts of laws provisions. Venue for any suit brought undec the Agreement shall be in a court
of competent jurisdiction in Tarrant County, Texas. To the extent the Agreement is requii•ed to be
govei•ned by any state law othei• than Texas or venue in Tat•i•ant County, City objects to such tei•ins
and any such terms ai•e liereby deleted fi•om the Agreement and shall liave no foi•ce oi• effect.
Tliis Agi•eement may be executed by electi•onic signature, which will be considered an
ot•iginal signattu•e for all purposes and have the same force and effect as an ot•iginal signature. For
these ptu•poses, "electronic signature" means electronically scanned and transmitted versions of an
original signatuce or signatm•es electronically iuserted via software such as Adobe Sign.

K9 WARRANTY
SCK9 is proud to provide with each canine purchase a one year skeletal and a six month
workability K9 replacement guaranty, subject to the terms and conditions set forth below.
Our dogs are guaranteed to be free from debilitating genetic skeletal defects in the spine, hips
and elbows for one year from the original date of possession by the customer. X-rays of the
spine, hips and elbows will be provided at the time of purchase of each dog, and will be made
available for review prior to such time upon request. SCK9 maintains a list of reputable local
veterinarians who are available to provide canine health evaluations for our customers.
Our dogs are also provided with a six month workability guarantee that, within six months of
possession of the canine by the customer, the canine will pass certification for the discipline he/
she is being trained in.
Health problems or related issues and behavioral problems or issues must be reported to SCK9
as soon as they are detected. In case of any replacement requested, all veterinary, training, and
work records must be provided. Dogs must be returned in the same physical condition as
purchased. Failure to comply with these terms may void any warranty. This warranty covers the
specific items listed herein and any other issues are specifically disclaimed and not included in
this warranty. Any associated travel and shipping expenses are the responsibility of the
purchasing agency. Cash refunds are not included in this warranty.
Notwithstanding the foregoing, customer service as well as the health, safety and well-being of
each canine and handler team are the top priority of SCK9. It is our goal and in our best
interests as well as the best interests of our dogs to build the most cohesive and successful
teams possible. Post-purchase, SCK9 and its training staff will be available to work with all of
our customers to resolve any issues, problems, or complaints, whether or not specifically
addressed here. It is our goal to ensure that every customer can be matched with their ideal K9
partner.
EXHIBIT B
CONFLICT OF INTEREST QUESTIONNAIRE
Pucsuant to Chaptec 176 of the Local Government Code, any person or agent of a pet•son who
contracts or seelcs to contract for the sale or purchase of property, goods, or services witll a local
governmental entity (i.e. the City of Fort Woi•th) must disclose in the Form CIQ
("Questionnaire") the petson's affiliation or business relationship that might cause a conflict of
interest with the local governmental entity. By law, the Questionnaire must be filed with the Fort
Wot•th City Secretary no later than seven days after the date the person begins contc•act
discussions or negotiations with the Buyer or submits an application or i•esponse to a request for
pi•oposals or bids, coi•respondence, or anothei• writing related to a potential agreetnent with the
Buyer. Updated Questionnaires must be filed in conformance with Chapter 176.
A copy of the Questionnaire is enclosed with the submittal documents. The form is also available
at https://www.ethics.state.tx.us/data/forms/conflict/CIQ.pdf.
If you have any questions about cotnpliance, please consult your own legal counseL Compliance
is the individual responsibility of each person or agent of a person who is subject to the filing
requirement. An offense under Chapter 176 is a Class C misdemeanor.
NOTE: If you ai•e not aware of a Conflict of Interest in any business relationship that you
might have with the Buyer, place Seller name in box # 1 and use "N/A" in each of the areas
on the form. However, a signature is required in box #4 in all cases.
