ALLIANCE AIRPORT ACCESS PERMIT
This ALLIANCE AIRPORT ACCESS PERMIT (tl�is "PERMIT") is executed between the City
of Fort Worth, Texas (the "CITY") and Caterpillar Inc. (the "LESSEE").
WHEREAS, the City is the owner of Fort Worth Alliance Airport; and
WHEREAS, the Lessee leases the real property (the "PROPERTY") described on Exhibit A
attached hereto; and
WHEREAS, on May 17, 1988, the City enacted the Fort Worth Alliance Airport Access 4rdinance
(Ordinance No. 10113) (the "Access Ordinance"} providing for, among other things, a permit for
access to and use of the airport facilities; and
WHEREAS, on May 9, 2006, the City amended the Fort Worth Alliance Airport Access Ordinance
(Ordinance No. 16931-OS-2006) (the "Access Ordinance") to create aircraft user categories and
adjust fees to be paid; and
WHEREAS, the Lessee desires that a permit for access to and use o£ Alliance Airport and its
related improvement and facilities be issued by the Director as a real property right appurtenant to
the Property for the benefit of Property Users;
WHEREAS, the Property is an Off-Airport Parcel; and
WHEREAS, the Lessee has designated 188,789 square feet (4.33 acres) of the Property as an
Access Area as shown on the survey plat attached hereto as E�ibit B; and
W�REAS, the Director has determined that the Lessee has fully complied with the terms and
conditions of the Access Ordinance including all safety and operational rules and regulations
applicable to the Airport;
WHEREAS, the Director has inspected the Access Area; and
WHEREAS, the Director has the authority to issue this Permit.
NOW TI�REFOIZE, in accordance with Section 3-284 of the Access Ordinance, the Director
hereby issues this Permit as follows:
1. DEFII�IITIONS
"Access Area" shall have the same meaning as in the Access Ordinance.
"Access Taxiway" shall have the same meaning as in the Access Ordinance.
"Airport" means the "Airport" (as defined in the Access Ordinance) together with all
Access Taxiways.

"General Aviation or Small Aircraft User" means an owner or operator of aircraft less
than 80,000 pounds MCGLVi� used for providing commercial or noncommercial
aviation services.
"Date of Issuance" means the date this Permit is executed by the Director.
"Director" means the Director of Airport Systems for the City of Fort Worth, "I'exas, or
any successor designated by the City Coiuicil of the City.
"F_,ffective Date" means the date on which any Property User first uses any taxiway
constructed in accordance with this Permit and the Access Ordinance to obtain access
to and use of the taxiways or the runway on the Airport.
"FAA" means the Federal Aviation Administration of the United States Department of
Transportation, or its successor agency.
"Fee" shall have the same meaning as in the Access Ordinance.
"4ff-Airport Parcel" shall have tlie same meaning as in the Access Ordinance.
"Off-Aii•port iJser" shall have the same meaning as in the Access Ordinance.
"Property User ' means the Lessee as an Off-Airport User of the Property, including its
affiliated Genei•al Aviation or Small Aircraft Users.
2. GRANT OF PERMIT RIGHTS
Upon the Date of Issuance, subj ect to the payment of all applicable fees specified in the Access
Ordinance and Section 3 of this Permit, the City grants to Lessee a�ld Lessee's affiliated
General Aviation or Small Aircraft Users, access to the Airport under the terms and conditions
specified in the Access Ordinance.
The rights granted by the Permit shall not be exercised, however, by any Property User until
the initial fee has been paid as provided in Section 3 below.
3. PERMIT FEES
In consideration of the rights granted by this Permit, Lessee agrees to pay a.n initial annual %e
in the amoLult of $7,800.00 for that portion of the Property designated on E�ibit B as the
Access Area (`Permit Fee"). In accordance with the Access Ordina�ice, the Permit Fee shall
be charged on the City's fiscal year basis (October 1 through September 30) and shall be
prorated for any partial yea►- during which the Lessee's Permit is effective. The Permit Fee
will be due and payable on or prior to the Effective Date. Lessee will be billed for the Permit
Fee each year based on the then current Aviation Department's published Schedule of Rates
and Charges ("Exhibit D"), which are updated and published by the City annually in

accordance with the Access Ordinance. No other Permit Fee or fees will be charged for the
exercise by Lessee or any Property User of the rights granted by this Permit.
4. TERM OF PERMIT RIGHTS
The rights granted by this Permit are created upon the Date of Issuance. Except as provided
in Section 3-284(d) of the Access Ordinance, rights granted by this Permit shall be irrevocable
and shall be in effect for the term of the Lessee's ground lease agreement for Lease Site
dated , unless ternunated by the Director, under Section 3-284 (d) or any other
subsequent repeal or modi�ication of the Access Ordinance.
5. GUARANTEE OF GENERAL AVIATION OR SMALL AIRCRAFT USER
PAYMENTS
Lessee shall be jointly and severally liable to the City for the payment of all landing fees and
other fees and charges that are due to the City on account of any Lessee-affiliated General
Aviarion or Small Aircraft User's use of any Airport facilities or services on behalf of Lessee.
6. GENERAI, PROVISIONS
a. Taxiways Constructed b�� Governmental Entities: If any Property User is a
governmental entity that is prohibited by applicable law from dedicating fee title to
a taxiway constructed by such entity, the City agrees that such entity may dedicate
such lesser interest (e.g. an easement or license) as is permitted by applicable law.
In such event, the other rights and duties of the parties with respect to such taxiway
shall be the same as if there had been a dedication of fee title.
b. Notice: Any notice required or permitted to be given under this Permit shall be
given in writing and shall be personally delivered or mailed by prepaid certified or
registered mail to such party at the following addresses:

Any notice shall be deemed to have been given (whether actually received or not)
on the day personally delivered or, if mailed as aforesaid, five days after the day it
is mailed. Any party may add additional Property Users who will be entitled to
receive norice under this Permit by giving notice to all other parties of such addition
in tf�e manner set forth herein. Any party may change its address for notice by
giving all other parties notice of such change in the manner set forth herein not later
than 10 days before the effective date of such new address.
c. Non-Exclusivitv: It is understood and agreed that nothing in the Permit is intended
or shall be construed as granting any eYclusive rights.
d. �uiet Eniovment: The City agrees that Property Users shall be entitled to the
peaceable and quiet enjoyment and exercise of the rights granted herein; provided,
however, that this entitlement shall not be construed to prohibit City from
performing znaintenance to Airport property which may interfere with Lessee's or
a Pt•operty Users use thereof.
e. Modiiication: Except as provided in Section 3-284(d) of the Access Ordinance, the
provisions of this Pernut and the rights herein granted cannot be terminated or
modified except by written agreement of the parties hereto.
£ Bindin�� Effect: This Permit and the rights herein granted shall be binding upon
inure to the benefit of the pa��ties hereto, their successors and assigns, and all current
and future Properiy Users.
g. Choice of Law: This Permit sha11 be construed and interpreted in accordance with
applicable federal law and the laws of the State of Texas to the extent they do not
conflict with federal law. Venue for any legal action arising out of this contract
will be in Tarrant County, Texas.
h. Severabilitv:_ Every covenant contained in the Permit is separate and independent.
If any covenant, or any provision or right related thereto, is determined to be invalid
or unenforceable, the remainder of this Permit will be unaffected and will be as

valid and enforceable as if the invalid or unenforceable covenant, provision, or right
had never been contained herein.
i. Counterparts: Any Property User may execute and record a counterpart of this
Permit.
Lessee agrees that it and any Property User claiming access under this Permit, will
at all times abide by all terms and conditions of the Access Ordinance, a copy of
which is attached l�ereto as Exhibit C and incorporated herein for all purposes, as
that ordinance exists no�v or is hereafter modified by the Fort Worth City Council.
Failure to comply with the provisions of this Permit or the attached Access
Ordinance may lead to revocation of tliis Permit, pui•suant to Section 3-284(d) if
the Access Ordinance.
k. Lessee may assign, or transfer, this Permit with the previous written consent of
Aviation Director.

AVIATION DIRECTOR AUTHORITY— DEPARTMEN7 OF AVIATION (DOA)
The Director is authorized to assess or waive fees that are not specifically addressed in the Rates and Charges
such as the use of office equipment, carports, and miscellaneous construction by Department resources, fees
associated with private development and other aviation related fees and charges that may occur on an
infrequent basis.
Lessee may not undertake or allow any party to undertake any kind of alterations, erection, improvement or
other construction work on or to the premises unless it first requests and receives approval from the Director
or his/her authorized representative.
These rates and charges pertain to all Fort Worth Airports unless otherwise noted per section.
ANNUAL ADJUS7MENT OF RATES AND CHARGES
Existing Lessee's which are subject to an annual Consumer Price Index (CPI) adjustment shall be adjusted by
five-point two percent (5.2%) as of October 1, 2024, per their current lease agreement. Month-to-month leases
will reflect current rates and charges as described below. The CPI adjustment is based on changes to the
Consumer Price Index, Dallas-Fort Worth for all Urban Consumers for All items for November 2022 to
November 2023.
LANDING FEES FOR PEROT FIELD FORT WORTH ALLIANCE AIRPORT
COMMERICAL LANDING FEE
A Commercial Aircraft Operation (Non-
Signatory) is one that does not have a Use or
standard Cargo Carrier Operating Agreement
("Agreement") with the Ciry of Fort Worth; and
conducts operations at Perot Field Fort Worth
Alliance Airport under FAR Parts 121, 125, 129,
135 with a Maximum Certified Gross Landing
Weight (MCGLW} over 40,000 pounds. No
landing fee is assessed at Meacham or
Spinks Airports.
Siqnatory Landina Fee Rate
The Signatory Rate is calculated pursuant to the formula set forth in the Agreement and is applicable to those
Airlines that execute an Agreement with the City of Fort Worth ("Signatory Rate").
Landing Fee per 1,000 pounds $ 1.90
Minimum Landing Fee $ 81.32
Non-Sianatory Landinq Fee Rate
The Non-Signatory Rate for Non-Signatory Airlines is $2.24 per 1,000 pounds maximum landing weight
effective 10/01 /2024 — 9/30/2025.

Minimum Landing Fee $ 95.68
MILITARY OPERATIONS LANDING FEES
Military operations are exempt from landing fees if the aircraft is acting on the behalf of the military under the
jurisdictional control of the armed forces of the United States or the National Guard. Foreign military aircraft
are subject to rates listed above.

MISCELLANEOUS FEES
LATEFEES
Rent is due on the 15' of each month without dernand. Monthly rentals and fees are subject to a late charge at
the rate of � 0% of the monthly rental rate for each month, or portion of the month, that any monthly installment
is past due. A separate computation and payment of such late charge shall be made on the outstanding
balance that is past due. Therefore, if two monthly installments are past due, the late charges shall accrue on
the total outstanding balance.
FEES RELATED TO DEVELOPMENT ON AN AIRPORT (Including but not limited to survey, Easements)
The City of Fort Worth Aviation Department will obtain surveys on any property approved and negotiated to
move forward with development. The survey fee to be collected up front is non-refundable and is based on
Surveyor's cost estimate.
LEASE ASSIGNMENT FEE
Meacham and Spinks Airport: Upon approval, if a tenant assigns their right, title, and interest of their property
to another individual, a$1,000.00 lease assignment fee will apply.
MONTH TO M�NTH LEASES
Month-to-month leases are subject to a 10% premium above the standard rate.
CONTRACT AMENDMENT FEE
For tenant-initiated contract amendments, a$ 400.00 fee will apply.

LEASE VIOLATION FEES _
In an effort to reduce the frequency of common lease violations, and maintain consistency, the DOA has
established a lease violation policy. To continue as a top tier airport it is important that Meacham International
Airport maintain compliance in all areas of airport operations. Lease violations include, but not limited to, the
following violation types:
Examples of aeneral violations requirinct specified time for corrective action
• Overgrown weeds/vegetation
• Debris/Trash
• Recreational vehicles
• Failure to obtain required DOA approvals
• Leftover construction materials and/or equipment
• Improper or unauthorized storage containers
Examales of Lease Adherence Violations:
• Failure to submit proof of insurance and/or insurance renewals
• Reoetitive past due notifications
. Failure to meet contractual deadlines
Examules of safetv and securitv violations requirinu im_mediate corrective action
• Unauthorized parking of any kind
• Unauthorized gate access
• Other safety violations
• Other security violations
• Part 139 violations
Lease violation fees will be imposed as follows, for occurrences of the same violation type

At the discretion of the DOA, Safety and Security violations may be subject to an immediate fee, (up to the
maximum), without verbal or written warning.

After the fifth occurrence of the same violation, Lessee shall maintain no violations for twelve (12) calendar
months to avoid further action, including Lease termination.
ADDITIONAL PROVISIONS
DEVELOPMENT APPLICATION _
For any developer who wishes to enter into a ground lease with associated mandatory improvements, a Fort
Worth Aviation Department Application rnust be completed and submitted, along with the new development
fee. The information submitted must include all additional materials/documentation requested on the
application. Once staff is in receipt of the complete packet, staff will begin the review process to determine if
the proposal is in the best interest of the Airport. 7he initial review process will not commence until all requested
materials are submitted.
LEASE EXPIRATION PENALTY
Any lease agreernent that expires prior to the execution of a renewal lease where the tenant had at least 30
days to execute a new lease prior to the expiration of the existing lease shall be subject to a Lease Expiration
Pen alty.
Such agreement shall automatically revert to a month-to-month occupancy status and the tenant may be
required to pay a premium equal to 10% of the Aviation Department established fair market rental rate in
addition to the standard base rental rate, until such time as either a permanent lease is executed or the tenant
vacates the premises.
