HomeMy WebLinkAboutContract 61470-A1R1CSC 61470, Amendment 1 and Renewal 1 AMENDMENT 1 AND RENEWAL 1 TO CITY SECRETARY CONTRACT NO. 61470 This Amendment and Renewal is entered into by and between the CITY OF FORT WORTH ("City"), a home-rule municipality, and DELVE WEB SERVICES, INC ("Vendor"). City and Vendor shall be referred to individually as a Party and collectively as Parties . WHEREAS, Parties previously entered into City Secretary Contract 61470 for Vendor to provide classes on using native plants to make paper, books, and prints on May 28, 2024; WHEREAS, the Agreement was executed to provide the City with experiences through local farms and producers for the Fort Worth Public Library; WHEREAS, the Agreement may be renewed for up to five (5) one-year renewal options at City's sole discretion; WHEREAS, Parties now wish to renew the Agreement for an additional term from May 28, 2025 to May 27, 2026; and WHEREAS, Parties also wish to update the total amount of allowed compensation to an annual amount and to add additional program dates. NOW, THEREFORE, Parties, acting herein by the through their duly-authorized representatives, enter into the following agreement: 1. AMENDMENT TO AGREEMENT The following terms are hereby amended to replace the referenced terms in the Agreement and shall be binding and enforceable as if they were originally included therein: Exhibit A is hereby replaced with the attached Exhibit A. Exhibit B is hereby replaced with the attached Exhibit B. Section 3.1, Compensation, is hereby replaced by the following language: 3.1 Total compensation under this Agreement will not exceed two thousand eight hundred dollars ($2,800.00) annually. RENEWAL The term of the Agreement, as amended, is hereby renewed for an additional year to begin on May 28, 2025 and expire on May 27, 2026, unless terminated earlier in accordance with the Agreement. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. 4. ELECTRONIC SIGNATURE This Amendment and Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original. By: ______________________________ Name: Kristin Song Title: Owner Date: ____________________________ CSC 61470, Amendment 1 and Renewal 1 EXHIBIT A SCOPE OF SERVICES Program Description Summer Reading Kickoff Delve will have a table with hands-on learning from some of the producers that they work with. They expect this may include exhibits such as examining quail eggs vs chicken eggs, Guess That Grain game, pollination demonstration, mobile "milking" station. This will be a 3-hour, come-and-go event. Mushroom Street Farm Cooking Demo Delve will bring Mushroom Street Farms to the location for a cooking demonstration and discussion of mushrooms. The mycophiles talk as they cook, sharing their wisdom about flavor nuances, sustainability and health advantages of their favorite fungi. The demonstration offers participants a chance to appreciate the flavor of mushrooms, and a custom look into all the ways mushrooms can be used in cooking. Honeybee Show-and-Tell & Honey Tasting Delve will bring We Bee Keepin' beekeepers to the location for a honeybee show-and-tell with a mobile hive-a mobile observation hive demonstration that the audience can see real honeybees working in their hive safely through glass. There will also be a 30-minute honey tasting experience that includes greater detail about honey varieties and processing. CSC 61470, Amendment 1 and Renewal 1 Program Description Global Entrepreneurship Week Presentation Presentation by the Delve Team covering their origin, mission and growth as a DFW startup, and how they enable farms to also grow new agritourism enterprises. Includes resources for how to get started in agritourism (for producers or people who want to share information with producers). Includes look at trends in agritourism and the "experience economy," based on data and research. Growing a Kitchen Garden Class will focus on permaculture-based theory and applications from how to design a regenerative soil raised bed, how to select first seasons crops and holistic garden management. Will include demonstration and some hands-on components to help learners create their own garden plans. Vermicomposting (Worm Composting) Class will review the basics of composting with worms and create their own worm bins with starter colony to take home.
