SECOND AMENDMENT TO AND THIRD RENEWAL OF NON-EXCLUSIVE ELEVATOR AND ESCALATOR MAINTENANCE AND REPAIR SERVICES AGREEMENT FORT WORTH CITY SECRETARY CONTRACT NO. 57376 This Second Amendment to and Third Renewal (“Amendment and Renewal”) of the NON-EXCLUSIVE ELEVATOR AND ESCALATOR MAINTENANCE AND REPAIR SERVICES AGREEMENT (Fort Worth City Secretary Contract No. 57376) is entered into by and between the CITY OF FORT WORTH (“City”), a home rule municipal corporation of the State of Texas, and AMERICAN ELEVATOR TECHNOLOGIES, LLC (“Vendor”), a Texas limited liability company, each individually referred to as a “party” and collectively referred to as the “parties.” WHEREAS City and Vendor entered into an agreement for elevator and escalator maintenance and repair services, said agreement being identified as Fort Worth City Secretary Contract No. 57376 and having an effective date of April 7, 2022 (the “Agreement”); and WHEREAS the Agreement has been renewed to expire on March 30, 2025 (Fort Worth City Secretary Contract No. 57376-R2); and WHEREAS on February 20, 2023, City and Vendor amended the Agreement for the first time to allow for a five percent (5%) increase to the line item unit pricing included in the Agreement’s price schedule and to more accurately reflect the Agreement’s scope of services (Fort Worth City Secretary Contract No. 57376-A1R1); and WHEREAS City and Vendor now wish to amend the Agreement for the second time to add a location and three elevators to the Agreement’s Scope of Services and to increase to the line item unit pricing included in the Agreement’s price schedule; and WHEREAS City and Vendor also wish to renew the Agreement for a third renewal term commencing March 31, 2025 and ending April 1, 2026. NOW THEREFORE, City and Vendor, acting herein by and through their duly authorized representatives, agree amend the Agreement as follows: 1.Exhibit “A” – Scope of Services. Exhibit “A” – Scope of Services of the Agreement is amended to include the following location and equipment to the list of Equipment to be Inspected: Location Equipment 1301 Commerce Street, Fort Worth, TX 76102 Three (3) six landing traction elevators Second Amendment to and Third Renewal of Fort Worth City Secretary Contract No. 57376 Page 2 of 4 American Elevator Technologies, LLC 2.Amendment of Scope of Services and Price Schedule. The services and fees included in Exhibit A-1 attached to this Amendment and Renewal are incorporated into the Agreement’s Exhibit A – “Scope of Services” and Exhibit B – “Price Schedule” as if they had been originally set forth in the Agreement. 3.Renewal. The City hereby exercises its third of four options to renew the Agreement for an additional one (1) year term which will expire on April 1, 2026. 4.All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect.
