SECOND AMENDMENT TO
FORT WORTH CITY SECRETARY CONTRACT NO. 53761
This Amendment to Fort Worth City Secretary Contract No. 53761 ("Amendment") is
made between the City of Fort Worth ("City"), a municipal corporation and Precision Fire
Services, LLC, a Texas Limited Liability Company ("Vendor"), each individually referred to as
a "party" and collectively referred to as the "parties."
WHEREAS, City and Vendor entered into an Agreement identified as Fort Worth City
Secretary Contract No. 53761 with an initial term beginning March 15, 2020 ("Agreement"); and
WHEREAS, it is the collective desire of the parties to amend the Agreement by adding a
holdover provision to the term section of the Agreement.
NOW THEREFORE, known by all these present, City and Vendor, acting herein by and
through their duly authorized representatives, agree to the following terms, which amend the
Agreement as follows:
1. The term section of the Agreement, Section 2, is hereby deleted in its entirety and
replaced with the following:
This Agreement shall begin on March 15, 2020 ("Effective Date") and shall
expire on March 14, 2021 ("Expiration Date"), unless terminated earlier in
accordance with this Agreement ("Initial Term"). City shall have the option, in its
sole discretion, to renew this Agreement under the same terms and conditions, for
up to four (4) one-year renewal options, at City's sole discretion. Upon final
expiration of the Agreement, Vendor agrees to hold over under the terms and
conditions of this Agreement for a reasonable period of time to allow the City to
re -bid an agreement, not to exceed ninety (90) days. Vendor will be reimbursed for
this service at the prior Agreement rates. Vendor shall remain obligated to the City
under all clauses of this Agreement that expressly or by their nature extend beyond
and survive the expiration or termination of this Agreement.
2. All other terms, provisions, conditions, covenants and recitals of the Agreement not
expressly amended herein shall remain in full force and effect.
3. This Amendment may be executed in multiple counterparts, each of which shall be
an original and all of which shall constitute one and the same instrument. A facsimile copy or
computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the
same effect as an original.
