Home My WebLink AboutContract 55928-A2R4CSC No. 55928-A2R4 SECOND AMENDMENT AND FOURTH RENEWAL TO FORT WORTH CITY SECRETARY CONTRACT NO. 55928 This Second Amendment and Fourth Renewal to Fort Worth City Secretary Contract No. 55928 ("Second Amendment and Fourth Renewal") is made between the City of Fort Worth ("City"), a home rule municipality in the State of Texas, and Carahsoft Technology Corporation ("Vendor"), a Virginia Corporation. City and Vendor are each individually referred to herein as a "parry" and collectively referred to as the "parties." WHEREAS, on June 3, 2021, the parties entered into City Secretary Contract No. 55928 (the "Agreement"), utilizing that certain Cooperative Agreement DIR-TSO-4288 ("Cooperative Agreement"), to provide an implementation of the Granicus software system; WHEREAS, City and Vendor entered into the First Amendment to add Exhibit A-2 to include the current Pricing Index from DIR-TSO-4288 and to add Exhibit B-2 to include the Quote No. 49091598 increasing the Agreement by $2,877.80 for a revised annual amount not to exceed $45,869.17; WHEREAS, pursuant to the Twelfth Amendment to the Cooperative Agreement, the Vendor and Texas Department of Information Resources ("DIR") have extended the Cooperative Agreement for ninety (90) days to expire on May 22, 2025; and WHEREAS, the parties wish to amend and renew the Agreement to include the DIR extension to May 22, 2025 and add four (4) one-year renewal options to the extent the Cooperative Agreement is extended or to the extent the Cooperative Agreement is followed up by a substantially similar cooperative agreement from DIR. NOW THEREFORE, known by all these present, the Parties, acting herein by and through their duly authorized representatives, agree to the following terms which amend the Agreement as follows: 1. AMENDMENTS 1. The Parties agree that the Agreement is hereby amended to extend the contract to May 22, 2025. 2. The Parties agree that if the Vendor and the Texas Department of Information Resources enter into a new cooperative agreement, the new cooperative agreement will be incorporated into this Agreement when the new cooperative agreement becomes effective. The Agreement is hereby amended to include four (4) one-year renewal options, each a "Renewal Term," to the extent the Cooperative Agreement is extended or to the extent the Cooperative Agreement is followed up by a substantially similar cooperative agreement from DIR. 2. RENEWALS The Agreement is hereby renewed for its Fourth Renewal Term, to begin on February 22, 2025, with pricing in accordance with Exhibit A-2, attached hereto and made a part thereof the Agreement. 3. MISCELLANEOUS All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. 4. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
