SECOND ADDENDUM TO AGREEMENT BETWEEN
ALL AMERICAN TIRE RECYCLERS, INC. AND
NORTH CENTRAL TEXAS COUNCIL OF GOVERNMENTS
This SECOND ADDENDUM TO AGREEMENT ("Agreement") is made and entered
into by and between TJP Enterprises, LLC dba All American Tire Recyclers ("Vendor"), a
Texas limited liability company, acting by and through its duly authorized representative, and the
City of Fort Worth ("City"), a home -rule municipal corporation of the State of Texas, acting by
and through its duly authorized representative, each individually referred to as a "party" and
collectively referred to as the "parties."
WHEREAS, the Vendor entered into a Vendor Services Agreement with the City, City
Secretary Contract Number 61989 ("Agreement"), to provide scrap tire disposal and recycling
services for tire collection events to be held on November 16, 2024 and February 22, 2025; and
WHEREAS, pursuant to City Secretary Contract 61989-AD1, the Parties executed an
Addendum to the Agreement, with Vendor agreeing to indemnify the North Central Texas Council
of Governments ("NCTCOG") and TCEQ; and
WHEREAS, NCTCOG has awarded the City grant funding to hold two additional scrap
tire collection events, to be held on March 22, 2025 and April 12, 2025; and
WHEREAS, Vendor is required to indemnify NCTCOG and the Texas Commission on
Environmental Quality ("TCEQ") under the terms and conditions of the grant agreement between
City and NCTCOG.
NOW THEREFORE, the Parties acting herein by and through their duly authorized
representatives agree as follows:
I.
Vendor hereby agrees to indemnify, defend, and hold harmless the NCTCOG and TCEQ
and their officers, employees, from and against all losses, liabilities, damages, and other claims of
any type arising from Vendor's performance of providing scrap tire disposal and recycling services
in connection with events, including those described in the recitals, pursuant to City Secretary
Contract Number 61989, including those arising from defect in design, workmanship, materials,
or from infringement of any patent, trademark, or copyright; or from a breach of applicable laws,
regulations, safety standards or directives.
