TEMPORARY PERMISSION FOR CONSTRUCTION ACCESS
THIS PERMISSION is given this ,Z7W day of 14/�dl , 2025, by the City of Fort Worth, Texas
("City"), a Texas home rule municipal corporation, whose mailing address is 100 Fort Worth Trail, Fort Worth
Texas 76102, and Event Facilities Fort Worth, Inc. ("EFFW"), a Texas non-profit corporation, to the Botanical
Research Institute of Texas ("BRIT"), a Texas non-profit corporation. As used herein, "BRIT" shall include any
successor or assignee of BRIT, BRIT's employees, consultants, contractors, agents, and representatives.
WITNESSETH
WHEREAS the City owns a tract of land for the benefit of the public known as the Fort Worth Botanic
Garden ("Botanic Garden"); and
WHEREAS BRIT is managing the Botanic Garden on behalf of the City pursuant to that certain
Management Agreement (City Secretary Contract No. 54201), as amended; and
WHEREAS EFFW, owns certain property adjacent to the Botanic Garden (the "EFFW Property"), as
generally depicted in Exhibit "A," attached hereto and incorporated herein for all purposes; and
WHEREAS the City has a certain 29' Storm Drain Easement (the "City's Easement") over and across
the EFFW Property as dedicated by plat recorded on June 29, 2012 as document number D212156447 in the
Official Real Property Records of Tarrant County, Texas and attached hereto Exhibit "B;" and
WHEREAS BRIT desires access over and across the EFFW Property and the City's Easement
(collectively, the "Property") as depicted in Exhibit "C," attached hereto and incorporated herein for all
purposes, in order to perform certain drainage repairs and improvements (the "Permitted Use"); and
WHEREAS the City, EFFW, and BRIT desire to enter into this Temporary Permission for Construction
Access (the "Agreement") to allow BRIT, at its sole cost and expense, access to the Property for the Permitted
Use.
NOW, THEREFORE, in consideration of the sum of One Dollar and No/100 ($1.00) and other good
and valuable consideration paid by BRIT, the receipt and sufficiency of which is hereby acknowledged, the City
and EFFW hereby consent and agree to allow BRIT the temporary right to enter upon the Property for the
Permitted Use subject to the terms and conditions hereof.
1. GRANT OF LICENSE. The City and EFFW hereby grant to BRIT a temporary license for BRIT to
access the Property for the Permitted Use during the Term (hereinafter defined). BRIT shall comply at all times
during the Term with all applicable federal, state and local laws, ordinances, rules and regulations in connection
with the Permitted Use.
2. TERM. The term of this Agreement (the "Term") shall commence and become effective as of March
10, 2025, and shall continue in full force and effect until May 31 ", 2025 (the "Termination Date"), unless
sooner terminated by the parties hereto or as otherwise expressly provided in this Agreement. Notwithstanding
anything else herein to the contrary, this Agreement shall automatically terminate and be of no further force and
effect (except as may be expressly provided herein) upon the completion of the Permitted Use.

3. USE AND CONDITION. The Permitted Use described herein shall be conducted in a manner that shall
be conducted at all times in a good and workmanlike manner. BRIT will repair, at BRIT's sole cost and
expense, any and all damage that it or its successors, assigns, employees, consultants, contractors, agents, or
representatives cause to any portion of the Property, EFFW's adjacent property, or the City's stormwater
infrastructure while conducting the Permitted Use during the Term. BRIT shall not permit to attach to any
portion of the Property, and BRIT shall keep the Property free and clear of any liens and encumbrances
(including without limitation any mechanic's or materialmen's liens). BRIT shall timely pay its contractor(s)
and materialmen for all work performed on and/or materials delivered to the Property. BRIT shall be solely
responsible for providing security for all tools, equipment, materials, or other personal property located on the
Property, and the City and EFFW shall not be responsible for any theft, vandalism, or loss to BRIT or any of its
contractors, employees, agents, permittees, licenses, or invitees of any tools, equipment, materials, or other
personal property on the Property.
4. APPROVAL OF PLANS AND INSPECTION. The Permitted Use within the City's Easement
authorized hereunder shall be constructed pursuant to plans and specifications (the "Plans") to be submitted to
and approved by the City prior to any activity within the City's Easement. No activities within the City's
Easement may commence until the Plans therefor have been submitted to and approved by the City. City, by
giving such approval, shall not assume any responsibility or liability with respect to such Plans. The City may,
at any and all times during the Term, inspect the work conducted within the City's Easement by BRIT to ensure
compliance with the Plans.
5. INSURANCE. BRIT or BRIT's contractors, as applicable, will carry the following minimum insurance
coverages during the Term:
a. Workers' Compensation Insurance with $500,000 limits or the statutory requirements;
b. Commercial General Liability Insurance with not less than $1,000,000 per occurrence and
$2,000,000 general aggregate for bodily injury and property damage;
c. Auto Liability Insurance with a combined single limit of not less than $2,000,000 per accident
for bodily injury and property damage; and
d. Primary insurance policies to insure all equipment and materials on the Property.
The City and EFFW shall be named as additional insureds on the aforesaid insurance policies required
hereunder and shall, upon request, be provided with evidence confirming such insurance coverage.
b. RELEASE. BRIT, on behalf of itself, its successors, assigns, employees, consultants, contractors, agents,
and representatives, hereby releases, relinquishes, and discharges the City, EFFW, and their respective officers,
directors, agents, servants, employees, representatives, affiliates, contractors, subcontractors of any tier and
attorneys, and their respective successors and assigns from and against any and all claims, demands, liabilities,
suits, causes of action, obligations, damages, injuries, losses, penalties, costs, (including, without limitation,
attorneys' fees, court costs, consultant fees, expert fees, and other litigation related expenses), of
whatsoever kind or character, directly or indirectly resulting from, arising out of or in connection with, or
relating to (i) any use of the Property by BRIT or any its successors, assigns consultants, contractors, agents,
and representatives; (ii) any condition of the Property or any condition of the structures, equipment, facilities, or
other improvements situated on or under the Property; and (iii) the construction, installation, reconstruction,
reinstallation, operation, maintenance, inspection, alteration, replacement, repair, or relocation of any
stormwater infrastructure within the Property. This release extends to and includes any and all claims for bodily
injury, death, sickness, disease, property damage or destruction, consequential damage, or economic loss caused
to or suffered by any person or property, including BRIT, and BRIT's successors, assigns, employees,
consultants, contractors, agents, and representatives, or any other person or entity. This release shall survive
termination of the Agreement.
7.INDEMNIFICATION. BRIT COVENANTS AND AGREES TO INDEMNIFY, HOLD
HARMLESS, AND DEFEND THE CITY AND EFFW AND THEIR RESPECTIVE OFFICERS,
DIRECTORS, AGENTS, SERVANTS, EMPLOYEES, REPRESENTATIVES, AFFILIATES,
CONTRACTORS, SUBCONTRACTORS OF ANY TIER AND ATTORNEYS, AND THEIR
RESPECTIVE SUCCESSORS AND ASSIGNS FROM AND AGAINST ANY AND ALL CLAIMS OR
SUITS FOR PROPERTY DAMAGE OR LOSS AND/OR PERSONAL INJURY, INCLUDING DEATH,
OF WHATSOEVER KIND OR CHARACTER; ARISING OUT OF OR ALLEGED TO ARISE OUT
OF OR IN CONNECTION WITH, DIRECTLY OR INDIRECTLY, THE USE, CONDITION, AND/OR
MAINTENANCE OF THE PROPERTY AND ANY AND ALL ACTIVITIES CONDUCTED BY BRIT
THEREON, OR IN CONNECTION WITH THE ACTS OR OMISSIONS OF BRIT, ITS
SUCCESSORS, ASSIGNS, EMPLOYEES, CONSULTANTS, CONTRACTORS, AGENTS, AND
REPRESENTATIVES UNDER THIS AGREEMENT AND SHALL INDEMNIFY AND HOLD
HARMLESS CITY AND EFFW FROM AND AGAINST ANY AND ALL INJURY OR DAMAGE TO
SAID PROPERTY OR ANY OTHER PROPERTY OF CITY OR EFFW ARISING OUT OF OR IN
CONNECTION WITH, DIRECTLY OR INDIRECTLY, THE USE, CONDITION, AND/OR
MAINTENANCE OF THE PROPERTY.
8. TERMINATION. City or EFFW shall have the right at any time during the term of this Agreement, for
any reason, to terminate this Agreement on no less than one day's notice, by written notice to BRIT, electronic
mail being acceptable.
9. SUCCESSORS AND ASSIGNS. This Agreement shall be binding upon, and inure to the benefit of,
Licensor's and Licensee's successors and assigns. This Agreement may not be assigned by BRIT, in whole or in
part, without the prior written consent of the City and EFFW. Any purported assignment without such written
consent shall be void and of no force or effect.
10. ENTIRE AGREEMENT. This Agreement constitutes the entire agreement between the parties hereto
pertaining to the subject matter hereof, and all prior and contemporaneous agreements, representations and
understandings of the parties hereto, oral or written, are hereby superseded and merged herein. No supplement,
modification or amendment of this Agreement shall be binding unless in writing and executed by the parties
hereto.
11. SEVERABILITY. If any provision of this Agreement shall be found to be unlawful or unenforceable,
that provision shall be deleted from this Agreement and the remaining provisions shall, insofar as possible, be
given full force and effect.
12. GOVERNING LAW. This Agreement shall be construed in accordance with, and governed by, the laws
of the State of Texas.
13. COUNTERPARTS. This Agreement may be executed in any number of counterparts, each of which
shall be an original and all of which shall constitute one and the same instrument. Delivery of an executed
signature page to this Agreement by fax or email or certificated electronic signature program (e.g., AdobeSign
or DocuSign) shall be as effective as delivery of an original signature page.

drainage pipe that has created a sinkhole in the parking lot. This issue is currently delaying
construction in the Botanic Gardens since the sinkhole impacts their construction access point.
