'VVZTl�ESSETH: 1. For and in considerati�n of �he payment by Grant�e of the charges set out below and the true and faiihful performance of the mutual covenants herein contained, City hereby grants to Gran�ee pezmission to temporarily encroach upon, Lises and occupy portions of #he space under, on and/or above the streets, alleys, sidewalks or other public rights--of way as follows: �j��� �-�-����" ��cswL Mtc�i+� 5� -�, �lley tC� �-�'��'�r �i.5 � s-� c�-� I�c� i 1 �-�- � �e'� i�.� n S�- . ������` ��� � R��'' �,��'� � ' ��� The location and description of said encroachment is more particularly described in Exhibit "B" attached hereto, incorporated herein and made a part hereof for all purposes. � All use a�ad occupancy of public streets, alleys, sidewalks or other � public rights-of-way under this agreement shall be in strict compliance with the Charter, Qrdinances and Codes o� City and in accordance with the directions of the Building Of� cial and ihe Director of Transportation and Public Works o�City. � � Upon expiration o�this agreem�nt and the pri�ileges grant�d hereund�r, there shall be no encroachment by Garante� in, under, an or above the suriace of th� public rights-of way invo�ved. � Grantee agrees to pay in advance an encroachment fee for the temporary przvilege of encroaching upon a portion of rhe public xights- o� way as describ�d in E�chibit "B". Said �ee is calculated in ihe manner , ; and amounts prescribed by the Building Code of the City o�` Fort Worth for temporary use or occupancy of public property. Grantee, at no expense to City, shall malce proper provision for the relacat�on andlor installation of any existing or future traffic control devices or other impxovements af�ected by such encroachment, �.lse and occup�ncy, including the s�curing of approval and consent from �he appropriate agencies of the State and its political subdivisions. In the ev�nt that any installation, reinstallation, relocation or repair of any existing or future traffic control device or impro�ement o�vned or construcied by or on behalf af the public or at public expense is made more costly by virtue of the existence of such encroachment and use, Gran�ee shall pay to City an additional amount equal to such additional cost as determined by City. 6. .� ���E� lz� � The term of this agreement sha11 be for � days, from'� 3-3���'Z L�. � to �provided, however, should the need for the encroachments g�anted hereunder at any time cease, Grantee agr,ees to immediately notify City of such condition; and, upon receipt of such nQtice by the Building Official of the Cif�r o� Fort Worth, this agreement shall terminate. �. It is expressly undersiood and agreed that ihis Consent Agreement is for a temporary encroachment in, under, over and upon the public prope�y as located and described in Exhibit "B". This agreem�nt shall not be construed as the granting o� a permanent easement, encroachment or �icense upon City's public str�ets, alleys, sidewallts or oiher rights-of- r�� � C�ty, through �ts duly author�zed repr�sentatives, sh�.11 have the full and unrestricied right to enter upor� all public rights-o#�way for the putpose of making inspections to determin� compliance with the terms, covenants and conditions herein. In the event that any ir�spectian shauld reveal a breach of any terms, covenan�s or conditians herein, City shall give Grantee nofice of such breach. Should such breach not be corrected by Grantee within twenty-four (24) hours of xeceipt oi the notice, or within such shorte:r pex�iod o�time as d�emed necessary by the Building Official for the protection of public health or safety, Gity may ternainate and cancel this agreement. ' � Upon expiration or termination of this agreement for any reason �hatsoever, Grantee shal�, at no �xpens� to City, restore the public rights-of way and adjacent supporting snlictures to a condition acceptable to th� Director of Transporta�ion and Public Works or his duly authorized representatfve and in accordance with then existing City specifications, and Granie� sha11 remove all barricades, equipment, supp�ies, materials or other property �rom said iocation. Grantee further cov�nants and agrees thafi for a p�riad of one (I) year aft�r the t�rmination o�'this Consent Agreement, Grantee will repair �ll conditions or damages too the streets and szdewalks or other rights-of way that have resulted from Grantee's use or occupancy of the streets and sidewalks or other rights-of-way, as de�ermined by the Director of Transportation and Publ�c Works or his designee. Grantee agrees to begin such repairs within thirty (30) days of receipt of notice from the Director of Transpartation and Pub�ic Works or his designee. All repai-rs .shall be performed in an expeditious and workmanlik� manner and shall comply with a11 applicable laws, codes, ordinances and Ciry specifications. In the event that Grantee �ails to camply with the co�enants herein con�ained with respect to such removal or restoration, the City shall have the right to remove or d'zspose of any barricades, equipment, supplies, materials or other property and repair any condit�ons which in �he opinian of ihe City are necessary �o bring the pubiic rights�of way �o tlae condition prescx�ibed herein, and City shall not be responsible far � trespass or any other damage ox liability in connection with such removal or res�oration. Grantee shall reimburse City for the cost and expense of such removal and/or repaixs immediately fa�lo�ng billing for same by City. Nothing herein shall be construed as a waiver by City to �nforce penal sanctions prescribed by the Code of the City of Fort VL�orth and the laws of the State of Texas for Graniee's continued encroachment upon the public rights-of-way �ollowmg termination of this Cansent Agreemeni. l 0. It is further understood and agreed between the parties hereto that City holds the city streets, alleys, sidewalks and oth�r public rzghts-of way, including the portions of such streets used and encroach�d upon as described herein, as trustee for �he public; that City exercises such powers over the streets as have been d�legated to it by the Constitution of the State of Texas or by the Legislature; and that City cannot con�ract away zts duty and its legislative power to control the streets �'or �he use and benefit of the public. Ii is accordingly agreed that if the governing body of City, to wit, its City Council, should at any time during the term her�of determine in its sale disc��tion to use or eause or permit to be used for any public purpose tihe said encroached portion of �he st�reets, then this agreement shall be automatically canceled and terminated. �I. Grantee agrees to comply fu11y �viih alI applicable federal, state , and local laws, .statutes, ordinances, codes or regulations in connection with the construction, operation and maintenarice of said encroachments and uses. � 12. Grantee agrees to pay promptly �vhen due al1 �'ees, taxes or rentals provided �or by this agreement or by any �ederal, state or �oeal statute, la�v or regulation. 13. Grantee covenants and agrees that it sha11 exe�rcise a�l rights and privileges granted hereundcr as an independent contractor, and not as an o�ficer, agent, servant or employee o� City; that Grantee shall have exclusive control of and the exclusive right to contral th� details of its operations and activities on said described public property and all � persons performing same, and sha11 be solely responsible for the acts and omissions of its o�ficers, agents, servants, employees, contraciors, subcontractors, l�censees and invitees; that the doctrine o�respondeat superior shall no� apply as between City and Grantee, its afficers, agentis, scrvants, emplo�ees, contractors and subcontractars, and nothing herein shall be construed as creating a partnexship or joint enterprise betvveen City and Grantee. 14. Grantee covenants and agrees to indemnify, and does.hereb}� indemni�y, hnld harmless and d�fend City, its officers, agents, servanis and employees, from and against any and alI claims or suits for property damage or loss and/or personal injury, including death, ta any and a11 persons, of whatsoever kind or charact�r, whether real or asserted, ari�ing out of or in connection with, directly or indirectly, the maintenance, occupancy, use, exisience or location of said encroachment and uses granted Iaereunder, whether or not caused, in whole or in part, by alleged negligence o� officers, ag�nts, servants, employe�s, contractors, subcon�ractors, licensees or invitees of City; and grantee hereby assumes all liability and r�sponsibility of City, its officers, agents, servanis and employees, �or such claims or suits. Grantee shall liker�vise assume all liability and respansibiliiy and shall indemnify �ity for any and all injury or damage to City prope�ty, arising out of or in cannection with any a�d all acts or omissions of Grantee, its officexs, agents, servants, emplayees, contractors, subcontractors, licensees, invitees or trespassers. 1.5, Grante� agrees to furnish City ti�+ith a Certificate o� �nsurance, naming City as certificate holder, as proo�that it has secured and paid for a policy of public liability insurance covering all public risks related ro tlae proposed use and occupancy of public property as located and described in Exhibit "B" The amounts of such insurance sha11 be not less than the followi�g; Property damage, per occurrence $� 00,000 Bodily �njur}r, per person $250,4Q0 Bodily injuzy or death, per occurrence $540,000 With the understanding of and agreernent by Grantee thafi such insurance amounts shall be revised upward at City's option and that Grantee sha11 so 1 revise such amourits immediately following notice ta gra��ee af such requirement. Suck� i.nsurance policy shall provide that it cannot be canceled or arr�ended without at least thirty (30) days' priar written nntice to t�e Building C��ficial of #he City of Fort Worth. .A copy o�' such Certificat� of Insurance is attached as Exhibit "A". Graniee agrees to submit a szmilar Certif cate of Insu�rance annually to City on the anniversary date of the execution of this agreement. Graniee agrees, binds and obliga.tes itself, its successors and assigns, to maintain and keep in force sucla public liability insurance at all times during the term of this agreement and until the removal of all encroachments and the cleaning and res�oration of the city streets. All insL�rance coverage required herein shall include coverage of all of Grantee's contractors. 16. Grantee covenants and agrees that it will not assign all or any of its rights, privileges or duties under this cont�'act without �he prior written approval of City, and any attempted assignment without such prior written approval sha11 be void. xi. This agreement shall b� binding upon the parties hereto, their successors and assigns. : Should any action, whether real or asserted, at law or in equity, arise out o#'the terms and conditions of this agreement or out of� the use and occupancy of City property as permitt�d hereunder, v�nue for said action shall be in Tarrant County, Texas. 19. In any action brought by City for th� enforcement of the obligations of Grantee, City shall be entztled to recover in�e�est and xeasonable attorneys' fees. ,..
