For and in consid�ration o�the payment by G�ranfee af the
charges set out belo� and the true and £aithfu] performance of �he
muival covenan�s herein contained, City hereby grants to Grantee
p�rnussi.on to �emporarily ancroach upon, uses and occupy portions of
fhe space under, on and/or above #he str�ets, alleys, s�dewalks qr� a�lier

The location and description of saxd encroachment is more particularly
described in Exhi,bit "B" attached hereto, incorporated hexein and made
a part hereof for all purposes.

A1� use and occupancy v�'public six�et�, �alleys, sid�walks ar other
public rights�of way under this agreement shall be �.n str�.ct compliance
with the Charter, �rdinances and Codes of C�iy and in accvrdance w�th
the clirections of the Building Official and #he .Director of Transportati.on
and Publzc Warks of City.

Upon exp�ration of �his agreement and the privi�eges granted
hexeunde�r, theze shall �be na encroachment by Grantee in, under, on or
above xh� surface of the public righ�s-of way involved.

Grantee ag7ees to pay zn advanc� an encroachment fee for the
ti temporaxy privilege of enc�oaching upon a portzon of th� puhlic rights�
� of way as described in Exhi.bit `B", Said fee is ca�culated in the manner
and amounts prescribed by the Building Code of �he Ci.ty of Fort Worth
for temporaxy use or occupancy of public property. The estimated total

Granta�, at no expense to City, shall make proper provision for
the reZocation and/or installa�ion of a�iy existing or fui�are tr�,ffic contxoZ
devices or othez improvements affected by such encroachment, use and
occuparicy, inc�uding #.he securing af approval and consent from the
appropriate agencies of �he S�ate and its po�ifi�cal subdivisions. �ii the
event that any installation, reinstalla�ion, relocafion or repair of any
existirig or future iraf�ic contxol device or improvement owned ar
constructed by or an behalf of �iae public ar� at public expense is ma.de
more.costly by vu-tue of the existence of such encroachment a.nnd use,
Grantee shall pay �o City an addi�onal amount equal to such additi.onal
cost as detern�ined by .City.

It is �xpxessly understaod and agreed �hat �his Consent Agreement

nat be cons#ru.ed as the granting �f a permanent easem�en.t, encroachment .
or license u�on Crty's public sfreeis, alleys, sidewalks or othar rights�of

and unrestrzcted right �o en�er upon a1I public rights�of-way fox t�.e
purpo�e af making inspe�tions �o determin.e compliance �uith fih� �ern�s, .
cavenants and conditions herein.. �n the event f,hai any inspectifln shou�d
r�veal a breach of any tenns, covenants or conditians herein, City shal�
give Crra�.�ee notice o� such breach. Should such b�each not be �
corrected by Crrantee withiri tweniy four {24j havrs of receipt of the
no�,ce, or within such shorter period of time as deemed necessa� by ihe
Build'uig Officia� for tlae prot��rion o�public health or �afety, City may
t�nninate and cancel this agreen�en�.

Upon exp�rat�on or terminatian of tb.zs agreement for any reason
whatsoever, Grantee shall, at r�o expense �o City, restoxe tihe public
righfs�of way and adjacent supportiYng struc�es to a conditian
acceptable to the Director of Transpartation and Public tiV��ks ox his
duly authorized� representative and in accordance with tlaen �xisting (;i�� �. ,

terr�aination af �us Consent Agxeement, Grantee wil� repa.�r all condxtions
or damages foo the stree#s ar�.d sidewalks ar other righ.ts-of way that
have result�d from Crantee's use �r occupancy of the sbreets and
sidewalks or other rights�of way, as detern�ined by the Director of
Transportation and Public Works or h�,s designee. C`rrantee agrees to
begin such repaixs within thirty (3Q} days of receipt o�natice fron�. the
Directar of Transpariari.on and Public �orks or his designee. All �
repairs shall be performed in an e�peditious and wurknkv�like mann�r
and sha1l �omply witl�. all applicable laws, codes, ordinances and City
specifications.
�i the event �h.at Grantee fails to comply w2th the covenauts herein
contained w�i�h respect ta such removal or restoration, the City shal�. have
the right to remov� or clispose of any barricades, equiprn.ent, suppZies,
ma�erials or other property and repair any canditions which in the
opinion of the City are necessaxy to bring �he public rights-of way io the
condition prescribed herein, and City shall no� be responsible for
trespass or any other damage or liability in connection with such rexnova.l
or restora�ion. Grantee shall reimburse City for the cost and expense of
such removal andlor repairs immediately following billi�g for same by
City. .
Nothing herein shall be cvnstrued as a waiver by Ciiy to enfarce
p.enal sanctions prescribed by the Code of the Ci�r of Fox-� Worth and
the �aws of �he State of Texas for Grantee's continued encroac�rr���?t

City holds the city streets, alleys, sidewall�s and other public rights�o�
way, including the portaions of sueh stxeets used and encroached upan as
described hereln, as trustee for the public; �hat City exercises such
powers over the str�ets as have been delegat�d to it by th� Constituiion
af �he State of Texas or by the Legislature; and that City cannot �contract
away its duty and its lagislative power to cant�ol the streets for the use
and benefit of �he public. It is accaxclingly agreed ihat if the gov�ming
body of City, to wit, its Ciiy Coun�il, should at any tim� dwring the term
hereof detemline in iis so�e discretion to use or cause or perm�.t to be �
used for any pub�ic purpose the said encroached poz-t�on of the, streets,
then this agreement shall be automa.iically canceled and temvi�.ated.

Grantee agrees to compl�r �ul1y wrth aI1 applicable federa�, stat�
a�d local laws, .siaiufes, ardinances, codes or regulations in connection
wi�i the construction, operation and maintenance of said encroachmen�s
and uses.

Garantee agrees to pay promptly when due all fees, �aaLes or rentals
provided for by this agreement or �by any fedexal, state ar local statute,

Grantee covenants and agrees that it shall exercise alI rights and
pr�vi�eges gran�ed hereunder as an independent contractor, and not as an �
officer, agent, sexvant or employee of Gity; fhat Grantee sh�l have
excluaive control of and the exclusive right io control �h� deta�ls of its
opera�.ons and activities on said de�cribed public propex�ty and aIl
persons perfornvng same, and sha�l be solely r�sponsible for xhe acts
ar�.d amissions of its officers, agents, sexvants, employees, contractors,
subcantxactors, licen:sees and �nvitees; that the doctrine of respondeat
superior shall �ot apply as between City and Crran�ee, Yis officers, agents,
servants, employees, contractozs and sub�antractors, and nothing herein
shax� be construed as creati.ng apaxinership or joini �nterprise between
City and Grantee.

Grantee covenants and agrees io �nd�mnify, and does hereby
indemnify, hold harmless and defend City, its afficers, agents, servants
and �mployees, from and agaan.st any and a11 cla%ms or sui.t� for property
darnage or loss and/or p�rsonal injury, incluclYrig death, to any and a11
persoris, of whatsoever kind or character, whether real or asserfed,
arising out of or in connection with, direc�.y or indi�ect�y, the
mainten.ance, occupancy, use, existence or loeat�on of said .
�nczoachment and us�s granted hereunder, whe�her or not• caused, �n.
whole or in part, by alleged negligenc� of officers, agents, �ervants,
employees, contxactors, subcontractors,licensees ox invitees of CitSr; �

City as certif ca,te holder, as proof that it has secured and paid for a polrcy of
public liability in.su�ance covering a11 public risl�s related to �he p�oposed use
and occupancy of public prop,erty as located a�.d described in Exhibit `B".

�iih the undexs#anding of and agreement by Grantee that such insurance
amounts sha11 be revised upward at City's op#ion and �hat Grantee shall so

requirement. Such insurance policy �ha11 provide thaf it cannot be canceZed
or amended wifh.out at leas� t�i�rYy (30} days' prioz written notice to the
Building 4f�icial of the City of Fort Worth. A copy of such Ceztificate oi
Insurance is a�tached a� Exhibit "A". Grantee agrees to submit a simzlar
Certi�.cate of �nsurance annua�ly to City on the anniversary daie of �he
execution of �iis agireement.

Grantee agrees, binds and oblig�.�es itself, it� successoxs and assigns,
to maintain and keep in force such public liability insurance at all times
during the term of this agreement and until �he remova� of all encroachmenis
and �he cleaning and restoration of �.e city streets. A�1 insuxance coverage
required herein sha11 include coverage of all of C'rrantee's contrac�ors.

Grantee covenants and agrees fhat it wi�.l not assign a].1 or any of its
rights, priv�ileges or duties undex this conixact without t�ie prior written
approval of Cit�r, and any attempted assignment without such prior wri,tten
approva3 shall be vozd.
19.
Th�.s agreement shall be binding upon �lie parties hereto, �heir
successors and assigns.
18.
Should any action, whether real or asserted, at law or in equit�, arise
ou� of the� �erms and conditions of this agreement or� oui of �.ie use and �
occupancy of Cify property as pernutted hereunder, venue for saYd action
sha.11 be in Tarrant County, Texas. .

In any action brought by City for the enforcemenf of the obligations o�
Grantee, City shall b� entitled to recovex interesr and reasonabl� a�torneys'
fees.
