�VIT�T]E��ETH:
1.
For and in consideration of the payment by Graniee of the
charges set out below and the true and faithful performance of the
mutual covenants herein contained, City hereby grants to Grantee
permissian ta temporarily encroach upon, uses and occupy portions of
the spac� under, on and/or above the streets, alleys, sidewalks or other
ptlblzc rights-of-way as fo ows:

The location and descriptian of'saxd encroachment is moxe particularly
described in Exhibit "B" attached hereto, incozporated herein and made
a part hereof fox all purposes.
2.
A�1 uso and occupancy of public streets, alleys, sidewalks or other
public rights-o£ way under this agz'eement shall be in s�rict compliance
yvith the Charter, Ordinances and Codes o� City and in accordance with
the direct�ons of the Building Official and the Director of Transportatian
and Public Works of City.
3.
Upon expiration of this agreement and the privileges granted
hereunder, there shail be no encroachment by Grantee in, under, on or
aUove tlae surfac� of the public righis-of-way involved.

Grantee agrees to pay in advance an enexaachment fee for �he
temporary privilege of encroaching upan a portion of the public rights-
of way as d�scribed in Exhibi# "B", Said fee is calcu�ated in the manner
axld amounts prescribed by the Building Code o� the Gity of Fort Worth �
for temporary use or occupancy vf pubxic pxoperty. The estimated total

5.
Grantee, at no expense to City, shall make proper provision for
�l�e relocation andlor installation o�' any existing or iuture traffic control
devzces or other improvements affected by such encroachment, use and
occupancy, including �he securing of approval and consent from the
appropxiate agencies of the State and its political subdivisions. In th�
�vent that any znstallation, reinsiallation, xelocatian or repair of any
e,Yisting or fi.kture �raffic control device or improvement owned or
constructed by or on behalf of th� public or at public expense i� made
���ore costly by virtue of the �xistence of such encroachment and use,
Gi-antee sha11 pay to City an additzona� amount equal to such additional
cast as determined by City.

The term of this agreement shail be for ��� days, from ��' �� 4��
to t�' �•� �°, provided, however, should the need for the encroachments
gr�nted hereunder at any time cease, Grantee agrees �o immediately
notify City of such condition; and, upon receipt of such natic� by the
Btulding Official of the City of Fort Worth, this agreement shall
terilunate.

It is �xpressly understood and agreed that this Consent Agreement
is far a temporary encroachment in, under, over and upon the public
property as located and described in E�ibit "B". This agreement sha11
not be construed as fihe granti.ng of a permanent easement, �ncroachment
o�• license upon City's public streeis, alleys, sidewalks or othex xights-of
way.

City, tl�rough 1ts duly authorized representat�ves, shall have the full
�nd unr�stricted right to enter upon all public rights-of-way for the
pur�ose of mal�ing inspect�ons to determine camplianc� wiih the terms,
covenants and conditions herein. In the event that any inspection should
reveal a breach of any turms, covenants or conditions herein, City sha11
give Grantee notice of such breach. Should such breach noi be
coz-��ected Uy Grantee within twenty-four (24) hours of rece�pt of the
1�otice, or within such shorter period of time as deemed necessary by the
Building Oificial for the pro�ection of public health or safety, Czty may
t�rminate and cancel this agreement.

Upon expiration or termination of this ag�eement for any reason
whatsoever, Gzantee shall, at no expense to City, resiore the public
x�i�Ilts-o� way and adjacent supporting struclures to a condition
acceptable to the Directox of Transportation and Public Works or his
duly au�horized representative and in accordance with then exis�i?�<� �.i��
s�ecificarions, and Grantee sha11 remave all barricades, equxpm�n�� ,,,
, �� ,
s��pplies, n���ez�ials or other property from said locatzon. Grantee fur�h�r
covenants and agrees that for a period of one (1) year after the
terinination of this Consent Agreement, Crrantee will repair a11 conditions
or damages too the streets and sidewalks or other rights-o#�way that
have resulted from Grantee's use or occupancy o� the streets and
sid�wallcs or other rights-of-way, as determin�d by the Director of
Tra�lspnrtation and Public Warks o� his designee. Grantee agrees to
vegiil such repairs wzihin thirty (30) days o�receipt of notice from the
Director af Transportation and Public Works or his designee. Al1
repairs shall be performed in an expeditious and workmanlike manner
and sl�all camply wit� a11 applicable laws, codes, ordinances and City
specifications.
Xn �he event that Grantee fails to comply with the covenants herein
ca�ltained with respect to such �emoval or restoration, the Ciry sha1l have
the right fio remove or dispose of any barricades, equipment, supplies,
z����terials or other praperiy and repair any conditions which in the
opinion of �he City axe necessazy to bring ihe public rights-of way to the
cor�dition pr�scribed herein, and City shall not be responsible for
trespass or any othe� damag� o� liability in connection with such remo�al
03� restoration. Grantee sha11 reimburse City for the cosi and expense of
such reznoval andlor repairs immediaiely following billing �'or same by
City. .
Nothing herein shall be construed as a waiver by City to enforce
pe��al sanctions prescribed by the Code of the City of Fort V.��-��--
tlle laws af the State of Texas far Grantee's continued encrc�ac;��n.r.
upon the public rights-of-way followi.ng termina�ion of this Consent
Agz eernent.

It is �uxther unde�rstood and agreed between the parties hereto that
City hold5 the city streets, alleys, sidewalks and other public rights-o�
ti1�ay, includ�ng the portions o� such str�ets used and encroached upon as
descrzbed herein, a� trustee �o� the public; that City exercises such
powers over the streets as have been delegafied fio i.t by the Constitution
of tl�e State of Texas or by the Legislature; and that City cannat contract
a�vay ifs duty and ita legislative pow�� to control the streets for �he use
a��d benefit of the public. It is accordingly agreed that if the governing
vody of City, to wit, its City Council, should at any time during the ierm
h���eo� detezmine in its sole discretion to use or cause or permii to be
used far any public purpose the said encroached portion of the streets,
t��en this agreement shall be automatically canceled and terminated.
11.
Grantee agrees to comply fu11y with all applicable federal, state
��icl local laws, statutes, ordinances, codes or �egulations in connection
�vitli lile construc�.on, operation and maint�nance of said encroachments
a�1d uses.

Grantee agr�es to pay promptly when due all fees, t�es ox ren�als
p�-ovided for by �his agreement ar by any federal, state or lo��I �t��e.�
la�v or regulation.

Grantee cavenants and ag�rees that it shall exercise all rights and
p�-ivileges gxanted hexeunder as an independent cont�actor, and not as an
officer, ag�nt, servant o�r employee of City; that Grantee sha11 have
e�clusive control o� and the exclusive right to control the details of its
operations and activities on said described public property and a11
persons p�rfornung same, and shall be sole�y responsible for the acts
a�zcl o�nissions of its offzcers, agents, servants, employees, coniractors,
sL�l�cont�ractors,licensees and invitees; #hat the doctrine ofrespondeat
s��perior shall not apply as between City and G�antee, i�s officer�, agen�s,
sc:�v���ts, e���ployees, cont�actors and subcontractors, and nothirig herein
sliall �e construed as creating a partnership ox joi.nt enterpris� between
C i i�y �«d Grantee.
14.
Grantee covenants and agrees to indemnify, and does hereby
indenu�ify, hold harm�ess and defend City, its offic�rs, agents, servants
and E�nployees, from and against any and all claims or suits for property
d��z�age or loss and/or personal injury, including death, to any and all
��i'S011S, of whatsoevex kind or characte�, whether real or asserted,
a c i s i �� g out of or in connection with, direc�ly or indirectly, the
n��iL�tenance, oceupancy, use, existence o�r location ofsaid
encroachment and uses gran�ed hereunder, whether or not caused, in
�vl�ole or in part, by alleged neg�igence of officers, agents, senrants,
enl}�loyees, contractors, subcontractors, licensees or invitees of �:�.+-vr_ �._.___ ,..,_

officers, agents, servants and �mployees, for such claim� or suits,
Grantee shall likewise assume a111iability and responsibility and sha11
i��c�en�nify City for any and all injury or damage to City property, arising
oL�k of or in connection with any and all ac�s or omissions of Grantee, its
otf�c�:rs, agents, servants, employees, contractors, subcontractors,
license�s, i�lviiees or trespassers.

Grantee agrees to �'urnish City with a Certificat� of Insurance, naming

City as certificate halder, as proof that it has secured and paid for a policy of
p��Ulic liability insurance covering all public risks re�ated to the proposed use
ai�ci accupancy of public property as Ioc�ted and described in Exhibit "B".
The ainounts of such insurance sha11 be not less than the following:

With the Lulderstanding o� and ag�reement by Grantee that such insurance
an�ouilts shall be rev�sed upward at City's option and that Grantee shall so
revise sucll amounts imm�diately following notic� to grantee of such -
requireil�ent. Such insu�ance policy shall provide that it cannot be canceled
o�• a�nended without at least thiriy (30) days' prior written notice io the
Buildi��g Official of th� City of Fort Worth. A cop� of sueh Ceztificate of
Insuranee is attached as E�hibit "A", Grant�e agrees #o submit a similar
Certificate of Iilsurance annually to Gity on the anniversarg c��, ��'.r�ie
e�ecution of this agreement:

Grantee agrees, binds and obligates itself, its successors and assigns,
to maintain and keep in force such public liability insurance at all times
durin� the ferm o�this agreem�nt and uniil the removal of all eneroachments
and t�1� cleaning and res�oration of the city streeis. A�l insurance coverage
required li�rein shall include coverage of a11 of Grantee's contractors.

Graniee covenants and agzees that ii will not assign all or any of its
� ights, p� ivileges or duties und�r this contract vvithout the prior written
approval of City, and any attempted assignment without sueh prior written
appraval shall be void.

successors �nd assigns.

Sl�ould any action, whether real or asserted, at law or in equxty, arise
oui o�' tlie terms and condirions of this agreement or out of the us� and
ncc��pancy o�' City property as permitted hereunder, venue for said action
shall be in Tarran� County, Texas.

In any action broughi by City for the enforcement of the obligations of
Grantee, City shall be entitled to recover interes� and reasonable attorrieys'
fees.
