AMENDMENT NO. 3 TO CITY SECRETARY CONTRACT NO 24252
CITY OF FORT WORTH COMMUNICATIONS FACILITY LEASE AGREEMENT
This Amendment No. 3 to City of Fort Worth Communications,Facility Lease Agreement("'Third Amendment"),effective as
of the date last signed below ("Effective Date"), amends a certain City of Fort Worth Communications Facility Lease Agreement
between Sprint Spectrum Realty Company, L.P., a Delaware limited partnership, successor in interest to Sprint Spectrum L.P.
C'Sprlint') and City of Fort Worth ("Clity"or"'Landlord"), styled as City of Fort Worth City Secretary No�. 24252, dated September
241 1998:, as amended by that c,eMin consent letter dated August 21, 20�08 and further amended by that Amendment,No. 2 to City
Secretary Contract No. 24252 Renewal Agreement dated September 24, 2008. (collectively the "'Agreement"). Landlord is a home
rule municipal corporation situated in Tarrant, Denton and Wise Counties, Texas acting by and through Karen L. Montgomery, its
duly authorized Assistant City Manager
BACKGROUND
Sprint desires to allow its affiliates to use some portion of Premises,for the deployment of advanced wireless services.
Sprint and Landlord therefore desire to modify the provisions of the Agreement as provided below.
AGREEMENT'
For good and valuable consideration the receipt and sufficiency of which is acknowledged, Landlord and Sprint agree as
follows:
1. Modification to the Faciffiffies. Exhibit B of the Agreement is amended to include Exhibit B I, consisting of lease drawings
A-l� A",2., A-3, and A-�4, a copy of which is attached and made a part hereof. Upon frill execution of this Amendment, Sprint is
permitted to do all work necessary to prepare,maintain and alter the Premises to install,modify or otherwise relocate the Premises,all as
more fully described and contemplated in Exhibit B 1.
2. Asslignment and Subletting. Pursuant to Section 18.3 of the Agreement, Landlord hereby consents to the subleasing of a
portion of the Premises to Sprint's affiliate Clear Wireless LL C, a Nevada limited liability company, a copy of such sublease is
attached hereto as Exhibit C and made, a part hereof Landlord's consent to this sublease shall not be deemed to be a consent by
Landlord to any subsequent sublease proposal.
3. Modirication to Rent. In consideration for the revisions contemplated by this Third Amendment,effective upon the earlier
of either the first day of the month following the date the Antenna Facil i ties are modified or September 3:0, 2011, the annual rent will
be increased by$7,172.11 to$32,036.62 partial years,to be prorated and will escalate in accordance with the Agreement

4. Expiration or Termination of'Subtease. If Sprint's sublessee or sub�licensee(i);does,not install,construct or add equipment
to the Premises,or(ji)installs equipment,but later removes the equipment,then upon written notice to Landlord,Sprint may terminate
this Third Amendment. After terminating, this Third Amendment, the terms and conditions of the Agreement as they existed
immediately prior to the Effective Date shall be deemed ratified, and shall continue in full -force and effect. Rent shall revert to the
amount in effect immediately prior to the Effective Date of this Third Amendment, plus any rental increases, including annual
escalators or rent increases due to other site modifications made by Sprint, which occurred during the period of time between the
Effective Date and the termination date of this Third Amendment. In the event Sprint terminates this Third Amendment pursuant to
this Section 4, Sprint shall be responsible for removal of sublessee's equipment and restoration of the Premises to the condition that
existed prior to such installation,ordinary wear and tear excepted.

a All capitalized terms used in this Third Amendment,unless otherwise defined herein,will have the same Meaning as
the terms contained in the Agreement..

conditions contained in this Third Amendment,the ten-ns and conditions herein will control.. Except as set forth herein,all provisions
of the Agreement are ratified and remain unchanged and in ft ill farce and effect.,
