Home My WebLink AboutContract 60344-A2R2CSC: 60344-A2 R2 SECOND AMENDMENT AND SECOND RENEWAL TO CITY OF FORT WORTH CITY SECRETARY CONTRACT NO. 60344 This Second Amendment and Second Renewal is entered into by and between the CITY OF FORT WORTH (hereafter "City"), and ForeverLawn, Inc. ("Vendor"). City and Vendor may be referred to individually as a Party and collectively as the Parties. WHEREAS, on October 23, 2023, the Parties entered into CSC No. 60344 for City to purchase artificial turf and associated installation from Vendor ("Agreement"); and WHEREAS, it is the collective desire of both City and Vendor to amend the Agreement to replace Exhibit A Price List; and WHEREAS, it is the collective desire of both City and Vendor to amend the compensation portion of the Agreement to increase the compensation amount by $21,453.68 for a new total compensation of $166,453.68; and WHEREAS, it is the collective desire of both City and Vendor to add Exhibit D to the Agreement; and WHEREAS, it is the collective desire of both City and Vendor to renew the Agreement, as amended, for an additional year term; and NOW, THEREFORE, the Parties, acting herein by and through their duly authorized representatives, enter into the following agreement: 1. AMENDMENT TO AGREEMENT The following terms are hereby amended to replace any conflicting terms in the Agreement and shall be binding and enforceable as if they were originally included therein and the amended agreement shall be referred to as the Agreement in all future documents: Amendment One Exhibit A, which is attached hereto and incorporated herein, is made a part of this Agreement for all purposes, replacing the previous Exhibit A. Amendment Two Paragraph 2, the Compensation provision of the Agreement, shall be deleted in its entirety and amended to read as follows: OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX Second Amendment and Second Renewal to Fort Worth City Secretary Contract No. 60344 Page 1 of 4 CSC: City shall pay Vendor in accordance with the fee schedule in Exhibit A, including the Quote in Exhibit D, and in accordance with the provisions of this Agreement. Total payment made under this Agreement shall not exceed $166,453.68. Vendor shall not provide any additional items or services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City shall not be liable for any additional expenses of Vendor not specified by this Agreement unless City first approves such expenses in writing. Amendment Three Exhibit D, Sellers Quote, which is attached hereto and incorporated herein, is made a part of this Agreement for all purposes. 2. RENEWAL OF AGREEMENT The Agreement, as amended herein, is hereby renewed for its Second Renewal Term, beginning May 27, 2025, and ending May 26, 2026. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. 4. ELECTRONIC SIGNATURE This Amendment and Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal.
