SECOND AMENDMENT TO CITY SECRETARY CONTRACT NUMBER 60545
BETWEEN THE CITY OF FORT WORTH AND
BROWN MOUNTAIN ART RESTORATION
This SECOND AMENDMENT TO CITY SECRETARY CONTRACT NO. 60545 ("Second
Amendment") is made and entered into by and between the City of Fort Worth ("City"), a home-rule
municipal corporation of the State of Texas acting by and through Dana Burghdoff, its duly authorized
Assistant City Manager, and Brown Mountain Art Restoration ("Conservator"), a sole proprietorship
acting by and through Laura Pate, its authorized agent. City has designated the Arts Council of Fort
Worth and Tarrant County, Inc. d/b/a Arts Fort Worth ("Contract Manager") to manage this Agreement
on its behalf. The Contract Manager shall act through its designated Public Art collection manager.
WHEREAS, on November 27, 2023, City and Conservator entered into a non-exclusive
professional services agreement for specific services for the purpose of assisting with the care and
maintenance of the City's Public Art Collection, said agreement being City Secretary Contract ("CSC")
No. 60545 (the "Agreement"); and
WHEREAS, pursuant to the Agreement, Conservator performs services for the City on an as
needed basis pursuant to individual addenda; and
WHEREAS, City and Conservator previously reduced the total annual compensation amount
under the Agreement to forty thousand dollars and zero Cents ($40,000.00) during the First Renewal
Term (CSC No. 60545-R1A1AD3); and
WHEREAS, City and Conservator now wish to amend the compensation amount during the First
Renewal Term by increasing the total contract amount by $20,006.29 for a new total First Renewal Term
contract amount of sixty thousand six dollars and twenty-nine cents ($60,006.29) for additional services
that were previously approved in the Fourth Addenda (CSC No. 60545-AD4);
NOW, THEREFORE, City and Conservator do covenant and agree as follows:

The first, unnumbered paragraph under "Section 3. COMPENSATION'' of the Agreement shall
be amended by replacing it in its entirety with the following:
3.COMPENSATION.
City shall pay Conservator the hourly rates of Conservator's personnel who
perform specific services under this Agreement in accordance with the provisions of this
Agreement and Exhibit B (Conservator's Rate and Fee Schedule). Total payment made
under this Agreement by City during the Initial Term shall be in an annual amount not to
exceed FIFTY THOUSAND DOLLARS AND ZERO CENTS {$50,000.00). Total
payment made under this Agreement by City during the First Renewal Term shall be in
an annual amount not to exceed SIXTY THOUSAND SIX DOLLARS AND
TWENTY-NINE CENTS ($60,006.29). Payment hereunder shall constitute full
compensation for any and all costs associated with this Agreement, including, but not

limited to, all Services performed and materials furnished by Contractor under this
Agreement.
Total payment made under the Agreement by City during any subsequent
renewal periods shall be an annual amount not to exceed FIFTY THOUSAND
DOLLARS AND ZERO CENTS (,$50,000.00� Conservator shall not perform any
additional services or bill for expenses incurred for City not specified by this Agreement
unless City requests and approves in writing the additional costs for such services. City
shall not be liable for any additional expenses of Conservator not specifed by this
Agreement unless Contract Manager first approves such expenses in writing.

All terms and conditions of the Agreement shall remain in full force and effect unless specifically
amended herein.
3.
All terms in this Second Amendment that are capitalized but not defined herein shall have the
meanings assigned to them in the Agreement.
