AND THE TOWN OF EDGECLIFF VILLAGE FOR THE TRANSFER OF CERTAIN

L ONTRACT NO. 4
WHEREAS, the City of Fort Worth owns and operates a wastewater treatment
plant, together with sanitary sewer collectors and appurtenances associated therewith; and
WHEREAS, the City of Fort Worth and the Town of Edgecliff Village have entered
into a contract whereby the City of Fort Worth provides wastewater service to the Town of
Edgecliff Village; and
WHEREAS, the Town of Edgecliff Village owns and operates its own wastewater
collection system within it's jurisdiction; and
WHEREAS, the City of Forth Worth has completed certain improvements to its
wastewater collection system, thereby malting certain sanitary sewer mains and manholes
no longer useful to the City of Fort Worth; and
WHEREAS, the sanitary sewer system of the Town of Edgecliff Village would
benefit from the transfer of those sanitary sewer mains and manholes no longer useful to
the City of Fort Worth; and
WHEREAS, the City of Fort Worth desires to transfer to Edgecliff Village those
sanitary sewer mains and manholes no longer useful to it and the Town of Edgecliff Village
desires to accept such transfer.
NOW THEREFORE KNOW ALL BY THESE PRESENTS:
The City of Fort Worth, acting herein by and through Mike Groomer, its duly
authorized assistant city manager, hereinafter referred to as Fort Worth, and the Town of
Edgecliff Village, acting herein by and through Ed Lucas, its duly authorized Mayor,
hereinafter referred to as Edgecliff Village, agree as follows:
1. For and in consideration of the payment of ten dollars ($10.00) and other good and
valuable consideration, the receipt of which is hereby acknowledged, Fort Worth transfers
to Edgecliff Village, the following sanitary sewer mains, together with all manholes, all as
more particularly shown on Exhibit A attached hereto:
Main 283 — From Station 12+62 to Station 36+87
Main 216 — From Station 36+87 on Main 283 to Station 101+94
Main 216A- From Station 101+94 on Main 216 to Station 1+35E
Main 254 — Station 1+35E on Main .216A to Station 62+00
2. It is expressly recognized that the sewer mains transferred herein were constructed
years ago and have been in continuous operation since they were constructed with normal
maintenance. Edgecliff Village has had the opportunity to inspect the sewer main and
manholes to satisfy itself concerning their condition. THE SEWER LINES AND
MANHOLES BEING TRANSFERRED H.eREUNDER ARE CONVEYED AND
ACCEPTED "AS IS" AND "WHERE IS". FORT WORTH MAKES NO
REPRESENTATIONS OR WARRANTIES REGARDING THE CONDIT�0�1 OF 3E
SEWER MAINS AND MANHOLES AND ALL WARRANTIES, ( o D
IMPLIED, ARE EXPRESSLY DISCLAIMED. As of the effective4`�� Il

maintenance and operation responsibilities shall be transferred and assumed and
thereafter performed and paid for by Edgecliff Village, and Fort Worth shall be relieved of
and released from any further responsibility to operate and maintain same.
2. The sewer mains and manholes being transferred hereunder constitute an
insubstantial part of Fort Worth's sanitary sewer system and the transfer will not
substantially impair the revenue or operations of Fort Worth's sanitary sewer system.
3. The governing bodies of each part have authorized this contract. The governing
bodies have determined that the terms and provisions of this contract are in the best
interests of each party.
5. This contract is executed in multiple counterparts, each of which shall be consid,eeLrI�O
an original. his contract is dated and shall be effective for all purposes as of the /,51 ay
of �' 1999.

SUBJECT AGREEMENT BETWEEN THE CITY OF FORT WORTH AND THE TOWN OF
EDGECLIFF VILLAGE FOR THE TRANSFER OF CERTAIN SANITARY SEWER LINES
AND MANHOLES
RECOMMENDATION:
It is recommended that the City Council authorize the City Manager to execute an agreement with
Edgecliff Village for the transfer of certain sanitary sewer lines and manholes.
DISCUSSION:
On October 24, 1995 (M&C C-15096), and December 5, 1995 (M&C C-15167), the City Council
authorized the construction of Sanitary Sewer Main 216 (Phases I and II) Relief. The completion of
these new sewer lines resulted in separation of the Fort Worth wastewater flow from the Town of
Edgecliff Village. This separation allows the City to install wholesale customer meter stations to monitor
the wastewater flow from Edgecliff Village.
The original sanitary sewer mains, which remain within the corporate boundary of Edgecliff Village, are
now only serving Edgecliff Village customers and residences.
Under this agreement, the City will transfer ownership and maintenance responsibilities for the sewer
mains listed below, together with the appropriate appurtenances such as manholes, to Edgecliff Village.
