HomeMy WebLinkAboutContract 61533-A2CSC No. 61533-A2 SECOND AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 61533 This Second Amendment to Fort Worth City Secretary Contract No. 61533 ("Second Amendment") is made between the City of Fort Worth ("Fort Worth"), a municipal corporation and EMA, Inc., a Minnesota corporation ("Vendor"). WHEREAS, Fort Worth and Vendor entered into an Agreement identified as Fort Worth City Secretary Contract No. 61533 beginning June 7, 2024 (the "Agreement"); and WHEREAS, the contract was previously amended to correct a rounding error on the Compensation and Payment Schedule; WHEREAS, it is the collective desire of both Fort Worth and Vendor to amend the Agreement to increase the spending authority and to extend the term of Phase I to end when the RFP has been developed, as was approved in M&C 24-0235, thus moving the expiration of both Phase 1 and the contract from June 7, 2025 to July 31, 2025; NOW THEREFORE, known by all these present, Fort Worth and Vendor, acting herein by the through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: 1. The Agreement is hereby amended to do the following: a. Extend Phase 1, thus moving the expiration of the contract from June 7, 2025 to July 31, 2025; b. Increase the current spending authority of $385,178.00 for Phase I by an additional $69,310.00, for a total spending authority of $454,488.00 in accordance with Exhibit B-1, attached hereto and incorporated herein by reference for all purpose. 2. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect.
