This VENDOR SURVICIES AGREEMENT ("Agrmnent") is made and cniured into by and

for all purposes, to the even.L of my conflict between the IeiTns and conditions of Exhibits A, B, or C and
the terms and conditions set forth in the body of this Agrteincn 4 the terms -arid conditions of this Agreement
shall control,
11 5eape cif Services. Vendor will provide FoTensie Crrade Orenorae Sequencing services to
assist Police Dcl-manienl w.d case decctivc; in developing and identifying suspects in cold crises
("Services"), which are set forth in more detail in L?Xltibit "A" (""Scope of SMices), attaChed hereto and
incorporated herein for all purposes,
7. Ter-m. The 1-iidal Term of this Agreement is for One (t) year, beginning On the date that
this Agreement is execulcd by rho Ci Ly's Assistant City Mnnagcr ("Effective Date") and expires on the elate
itn3nt5digtely preceding the fort annivcisary of the Effec'tivc Datc {the LLExpiratiou Date"}, unless tcrminalcd
earlier in accordance with tM5 Agreement. The parties, upon ntutual written approval for each renewal,
will have the option w renew this Agreerneur under [he saTne then -current terms and conditions, for up to
four (4) one-year renewal option(s) (each a "Renewal Term"); pi-ovided, howover, if the parties agree to
nwdify any such term or concition for any such Renewal Term, the parties shall cuter into an ammidment
reflecting suolr modified tertrrs and conditions.
3. Conroe-osation.
3.1 Total compensation under- thus Agreement will not exceed one hundred ninety--
five thousand dollars and zero carts {$195,000.00).
3_2 City will pay Vendor in accordance with the Prompt Payment Act (Chapter 2.251
of the Texas Govetnn=t Cody.) and the previsions of this Agt nren(, including Exhibit "B"

4. Ternninaticm.
4.1, Writtum Notice. City or Vendor may terminate this Agrcelnentatany tithe and for
any reason by providing the other pail-y with at Ieast. 30 days} written notice of termination.
4.2 Non-Anni-onrialicyn of F ndr, In the event no fitnds -or• insufficient hinds are
appropriated by City in any fiscal period for any paymcnIL9 duc ho-cunder, City will notify Vendor
of such owurronce a W this Agreement wilt tertninate on the last day of the: i"incal pepind for which
afpprotpriatiorLw were reoeiv-M withou t penalty or expense to Ci ty of any kind whatsoever, except as
to the portions of the payments herein agreed upon for which funds have been appropriated.
4.3 Duties and Oblif_ uions of Parties, 1n the event that dais Agreement is
terminated prior to the'Expiration Date, City Will pay Vcudor for scrviccs actually rendered up to
the efFective date of tvTnination, and Vendor will continue to provide City with services requested
by City and in ac:.cordaricc with this Agrccntent tip to the effective date of termination. Upon
termination of this Agiturnimt for any reason, Vendor will provide City with copies of all
completed or partially completed documents prcpai,ed under this Agreement, in the event Vendor
has rceeived access to City Information or data as a requiremcnt to pei-Corm services b=under,

5, J Disclwure of Conflicts. Vendor hereby watyants to City that Vendor has made ful I
disclosure in writing of any existing or potential conflicts of interest related to Vendor's services
under this Agrmment. In tht event that any caut]icts of interest arise alter the Effective hate of Lh is
Agueemern, Vendor hm-eby agrees in nwdiatcly fo make full disclasure to pity in writ!ng.
5,2 Confidential Wormation. Vendor, for itself and its offieers, agents, and
emplo}r g, agrees that it will treat al l information provided to it by City ("City Infom atinn") as
confidra,tial and will not-diminse any such information to a third party without the prior written
approval of €:ity.
5.3 Publi; Information Act. City is a goverrunmit entity utrda- the laws of the S tate of
Texas, and all documents held or maintained for City are subject to disclosure ender I ie Texas
Public Information. Act, in the cyr-ot there is a request for information marked Confidential or
Proprie[ary, City will promptly notify Vendor. It will be th.4 r,:sponsibility of Vendor to subirut

State of Texas or by a court of competent jurisdiction.
5A )Unauthorized Ace ss. Vendor muststore and maintain 0ty information in a secup+e
manner and will not allow unauthorised users to access, modify, delete, or otherwise eon-vpt City
Information in any way. Vendor mast notify City immediately if the security or integrity of any

Vendor will, in good faith, use all conurievcially reasonable efforN to coopera[e with City in

G. Right to Audit. Vendor agrees that City will, until the expiration of three (3) year after
final payinent under this Agreement or the final conclusion Uf any audit commenced during the said three
years, have access to and the rightw examine a[ reasonable tirnes any directly pertinent books, documents,
papers, and rccards, including, but not limited to, all electronic records of Vendor involving transactio,rs
elating to this Agreement at no additional coat to City. Vendor agrees that City will have access during
normal working hours to all necessary Vendor facilities and will be provided adequate and appropriate work
splice in order to conduct audits in compliance with tlic provisions of this sactinn_ City will give Vendnr'
r--asonable advance notice of intended audits.
7. Independent Contractor. It is expressly uixderstoW acid agreed that Vendor will operate
as an indepemdent contractor m to all right.t and privileges and work performed under this Agreement and
not m an agent, representative, or employee of City. Subject to and in accurdance with the coriditions and
provisions of this Agreement. Vendor will have the exclusive right to cxxntrol the details of its operations
and activities and shall be solely responsible for the acts and omissions of its officers, agents, servants,
employees, vendors, and subYontmctots. Vendor acknowledges that the doctrine of r,esporrdeot supprior
will not -apply as between City, its gflieers, agents, wrvants, and employees, and Vendor and Vendor's
officers, agents, amployecs, servants, contratbtors, and sub-intraaors. Vendor further awes that nothing
herein will be construed as the creation of a partnership or joint cnLeiprigc beLwocn City and Vendor_ It is
furtlter understood that City will in no way be considered a ca-employer cr a joint employer of Vendor or
any of its is#ficera, ago*, servants, employees, contractors, or 8ubcontractars, Neither Vendor, nor any
officers, agents, servants, cmployccs, contractors, or subenntraetprs of Vclydor, will be entitled to any
employment benefits from City. Vendorwill be responsibli� and liable forany and all paymentand repo»irig

9. Assignment and Subcontracting,
q.1 s, i,&nrnent, Vendor will not assign or subcontract any of its dralie;i, obligations,
or lights under this Agreement without the prior written consent of City. If City grants consent to
an assignment, the assignee will execute a written agreement with City and Vendor under which

9.2 Subcontract. if City Wants consent to a subcontract, the subcontractor will C.xCZute
a written agpceementwith Vendor referencirwg this Agreement under which subcontractor agrees to
be bound by the duties and obligations of Vcndar under this Agiteinent as such duties and
obligations may apply, 'Vendor must provide City with a fully executed copy of any such
subc:onbact.
10. Insteraince. Vendor must provide City with cer ificate(s) of irnurancc documenting

Professional E&O. Either is acceptable if coverage meets all other requirements.

10,2 General RPP103-eme111s
(a) The commercial general liability and autornobile liability policies must
name City as an additional insured thereon, as its interests may appear. The term
City includes its employees, officers, -officials, agents, and volunteers with ru8pect
to the contracted services,
(b) The orkm" compensation policy must include a Waiver of Subrogation
(Right of Recovffy) in favor of City.
(c) A rninimurn of thily (30) days' notice of cancellation or reduction in
limitf of coverage must be provided to City. At I -east ten (10) days' notice will be
auec table in the event of cancellation due to tron-payment of prernium. Notice
must be sent w the Risk Mankger, City of Fort WorLh, 200 Texas Street, Fart
Worb, Texas 76102, with copies to the Fart WoAh City Attorney at the address
below,
(d) The insurers for all policies must be licensed and{or approved to do
business in the Stott ofTi3xas. All insuivs must Nave a rniniintun rating of A- V11
in tltecnnrent A.M. Best Key Rating Ouide, or have reasonably NuivOent finan6al
strength mud solvency to the satisfaction of Risk Mauaganent_ If the rating is
below that required, written approval ofRisk Managcmcnt is ivquired.
(e) Any failure on the park of City to request required insurance
documentation will not constituW a waiver of the, insurance requirement_

insurance will be delivered to the City prior to Vendor proceeding with any work
pursuant to this Agreement,

perforrnan a of its obligations hereunder, it will comply with all applicable federal, state, and kcal laws,
ordinances, rules, and regulations and that any work it produces iii connection with this Agreeutient will
also comply with all applicabIc federal, state, and local laws, ordinan=s, rules, and regulations, Ir City
notifies Vendor of any violation of such laws, ordinances, rules, or regulations, Vendor must. immediately
desist from and co rest the violalion,
12. Non-Diacrimunalien Covenant. Vendor, for itself, its personal representatives, assigns,
contractors, subcorttractar-S, and successors in interest, as part of theconsidcration herein, agrcaN that in the
performance of Vendor's duties and obligations hereunder, it will not digciiminatc in the b'c:atment or
employment of any individual or group of individuals on any basis prohibited by law, IF ANY CLAIM
ARISH; FROM AN ALLEGED VIOLA" 10N OF THIS NON-DISCRI M INATION COVENANT
BY VENDOR, ITS PERSONAL REPRESENTATIVES, ASSIGNS, CONTRACTORS,
SUBCONTRACTORS, OR SIICCESSOBS IN INTEREST, VENDOR AGRFFS TO ASSUME
SUCH LIABILITY AND TO II' DJEMNIFY AND DEFEND CITY AND HOLD CITY HARMLESS
FROM SUCH CLAIM.

14. Solickation of Employees. Ncithu City nor deriders wit[, duririg the term of this
Agreement and additionally for a period of one year after its teAynination, solicit for employment -or employ,
whether as employee or independent contractor, any persoa who is or has been employed by the adder
during die term of this Agreetnemt, without the prior written consent of the other party. Notwithstanding the
foregoing, this provision will lint apply to an employee afcither party whe responds to a general solicitation

Inc. in_ the amount of $195.000.00 annually for Forensic -Grade Genome Sequencing@ services with

The Fort Worth Police Department CQId Case Unit currently has a backlog of nearly 'I ,100 cases in
which all conventional investigatory leads have been exhausted. Othram, Inc_ developed Forensic -
Grade Genome Sequencing technology bringing adv;an :ed genealogical testing to Iaw enforcemenI.
applications, The Forensic, -Grade Genome S-aquoncingO (FGGSc§) testing is used by Jocal, state, and
federal law enforcement agencies across the United Skates and internationally to break through
formerly impenetrable forensic DNA barriers and close previously un!�olvable cases. The FGG
technology allows access to genetic information from forensic evidence that has failed or is unsuitable
for testing with other Iabs and iab methods_ This includes highly degraded, contaminated, chemically
damaged, and mixed source DNA,
FGGSQD will potentially assist police Department Cold Case detectives in developing and identifying
suspects on cases that have no other leads. This technology provides the highest probabikily of
solving those cases that have no other chance of resolution and providing closure to the surviving
friends and family of victims. The Othram specialized testing costs are average of $10,000-00 per
test. The Malice Cold Case Unit currently has seventeen tests that are ready to be processed.
This Mayor and Council Cumrnunication (M&C) requests authorization to execuW a Sole Source
Agreement with Gthram, Ino, h the amount of $195.000.01) annually, with four (4) one-year renewal
opfrons. Funding is budgeted in the General Operating & Maintenance category in the General Fund
and the State Asset Forfeiture Fund for the Police Department.
DVIN-BE: This project was approved for a walver per the Chapter 252 exemption, as a sole source by
the Legal Department_ Theretare, the business equity goal requirement is not applicable.
ADMINISTRATIVE CHANGE ORDER: An administrative change order or increase may be made by
the City Manager up to the amount allowed by relevant law and the Fork Worth City Code and does
not require specific City Council approval as long as sufficient funds have hero appropriated.
AGREEMENT TERM: Upon City Council's approval, the term of the Agreement will becorne effective
upon City Secretary Contract execution and expire twelve (12) months after.
RFN[=-ML OPTIONS. The Agreement may be renewed for up to four (4) one-year renewal terms, at
the City's option. This action [toes not require specific City Council approval provided that the City
Council has appropriated srFfficient funds to satisfy the Clty's obligations during the renewal period_
