Home My WebLink AboutContract 45777-A4R9CSC No. 45777-A4R9 FORT WORTH, AMENDMENT 4 AND RENEWAL 9 TO CITY SECRETARY CONTRACT NO. 45777 This Amendment and Renewal is executed by and between the CITY OF FORT WORTH ("City"), a Texas home -rule municipality, and INNOVATIVE INTERFACES, INC. ("Vendor"), a corporation authorized to do business in the State of Texas, each individually referred to herein as a "Party" and collectively as the "Parties." WHEREAS, Parties have previously entered into City of Fort Worth City Secretary Contract No. 45777 ("Agreement") on July 24, 2014; WHEREAS, Agreement was executed for Vendor to provide the City with an Integrated Library System ("ILS") referred to by the product name ("Polaris ILS"); WHEREAS, original term of Agreement was for five years with unlimited one-year renewals; WHEREAS, Agreement allows for renewals so long as Parties agree to renew the Agreement; WHEREAS, Agreement was previously renewed for an additional one-year term which ended on June 30, 2024; WHEREAS, Agreement was previously amended on February 28, 2023 to align the term dates with the Vendor's service period; WHEREAS, Parties now wish to amend the Agreement to replace Attachment A in the Agreement with the new Attachment A; and WHEREAS, Parties now wish renew the term of Agreement for continued services for an additional one-year term, specifically from July 1, 2025 to June 30, 2026. AMENDMENT OF AGREEMENT The attached Attachment A hereby replaces Attachment A in the Agreement. 2. RENEWAL OF AGREEMENT The term of the Agreement is hereby renewed, as amended, for an additional year —specifically from July 1, 2025 to June 30, 2026—unless terminated earlier in accordance with the Agreement. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. 4. ELECTRONIC SIGNATURE This Amendment and Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original. Roy 000 tit innovative Statement of Work This Statement of Work (the "SOW") dated June 13, 2025, is entered into pursuant to the CITY SECRETARY CONTRACT NO. 45777 between Fort Worth Public Library ("Client") and Innovative Interfaces Incorporated ("Innovative") effective as of July 24, 2014 (the "Agreement"). Innovative and Client may each be referred to as "Party" from time to time or collectively as "Parties". A. Purpose of this Statement of Work The SOW provides an overview of the scope of the project and fees to complete the engagement based on DBgy,4fiXC& prior experience with similar projects and preliminary discussions with Client. The Client hereby acknowledges that the SOW is not meant to capture all detailed requirements but documents the hioh level requirements and implementation approach discussed and that additional detailed requirements discussions will be required to outline the full scope of work between the Parties. B. Project Scope of Services The Scope of the project includes the following set of professional services: 1) Polaris Software Release Upgrade (Off Hours) a) Innovative will provide a Polaris software release upgrade on the production servers during off hours. No work will be performed, on the client's production environment, without prior notification to, and approval from, the client. Work will be performed in pre -specified maintenance windows, as agreed upon in advance by the client and Innovative. C. Innovative Services Team The Services Team will have the following resources available for this project: 1. System Engineer — System Engineers work with the Library on ILS setup and configuration as well as release upgrades, network connections, and infrastructure configuration. D. Client Implementation Team 1. Librarian Lead — Works closely with System Engineer to ensure requirements are dear and representative of the needs of the library. The Librarian Lead will coordinate with key members of the team as required. 2. Technical Lead - Will be responsible for assisting with Client responsibilities related to server access as well as any other system level duties required by Client. E. . Implementation Assumptions 1. Timeline for the completion of this project will be established, through joint planning conversations between the client and Innovative during the initial stage of the project. 2. Client will have adequate resources available to ensure timely completion of any library tasks outlined in the project schedule. Client will provide a technical point of contact who is able to provide, or coordinate access to, necessary information and library resources. This includes information related to server access, collecting and providing any prerequisite information required to support installation and configuration of software, and other needs that may arise during the project. 4. The library role in the project includes the following: Coordination of the maintenance window with library staff and library patrons, as required 5. Innovative needs 24x7 Internet access to servers during the entire period of activity associated with this work. If this access cannot be provided, the work will need to be rescheduled. 6. Innovative requires super -user (root) access and must be able to connect to the system via the Secure Shell (SSH) service. If the client has not installed SSH, please provide telnet access and ensure that the firewall allows SSH access so that Innovative can install the SSH software and discontinue the use of telnet as quickly as possible. 7. Internet bandwidth and connection stability, from the client site to the Internet, must be sufficient, in the consideration of Innovative, to support completion of the specified work in a timely manner. F. Fees and Payment Terms Fees for Services delivered under this SOW will be charged on a fixed price basis as set forth in the attached Pricing Exhibit herewith and are made in good faith based on the activities, approach, and assumptions contained within the SOW. Payment terms for this SOW are as set forth in the Agreement. Any additional Change Requests will be performed at a blended rate of $200 per hour for all resources. Additionally, Client is responsible for all reasonable out-of- pocket costs and expenses incurred during this SOW. Pricing assumes that deliverables in this Statement of Work are completed within six months or additional Services fees will apply.
