AND CITY OF FORT WORTH This Sixth Amendment ("Amendment") is entered into by and between the City of Fort Worth ("City"), a Texas home -rule municipal corporation, and Axon Enterprise, Inc. ("Vendor"), a Delaware corporation, individually referred to as a "Party" and collectively as the "Parties". WHEREAS, on April 26, 2022, through the approval of M& C 22-0316, the City Council authorized the City to execute a Master Services and Purchasing Agreement with the Vendor to provide City with Axon Devices and Services ("Agreement"); WHEREAS, on April 27, 2022, the Parties executed the Master Services and Purchasing Agreement, City Secretary Contract No. 57477 ("Agreement"); WHEREAS, the Parties executed the First Amendment to the Agreement to add pricing for Axon Devices and Services for the City's Marshal Division ("First Amendment"); WHEREAS, the Parties executed the Second Amendment to the Agreement to add pricing for additional Axon Devices and Services for the City's Marshal Division ("Second Amendment"); WHEREAS, the Parties executed the Third Amendment to the Agreement to add pricing for additional Axon Devices and Services for the City's Marshal Division; WHEREAS, the Parties executed the Fourth Amendment to the Agreement to add pricing for additional Axon Devices and Services for the City's Environmental Services Department; WHEREAS, the Parties executed the Fifth Amendment to the Agreement to add pricing for additional Axon Devices and Services for the City's Police Department; WHEREAS, execution of this Sixth Amendment to the Agreement shall not increase the City's total spending authority or contract capacity under the Agreement; and WHEREAS, the Parties currently desire to amend the Agreement to add additional Axon Devices and Services for the City's Marshal Division. NOW, THEREFORE, the Parties, acting herein by and through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: OFFICIAL RECORD CITY SECRETARY FT. AMENDMENT Axon's Quote, beginning on page 40 of the Agreement, is hereby amended to include the additional quotes for Axon Devices and Services attached hereto as Exhibit A. II. ALL OTHER TERMS SHALL REMAIN THE SAME All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. III. ELECTRONIC SIGNATURE This Amendment may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as an original.
