HomeMy WebLinkAboutContract 57631-A2R4CSC No. 57631-A2R4 AMENDMENT NO. 2 AND RENEWAL NO.4 TO CITY OF FORT WORTH CONTRACT 57631 This Amendment and Renewal is entered into by and between the City of Fort Worth ("City"), a Texas home -rule municipality, and Quadient, Inc. ("Vendor"). City and Vendor shall be referred to individually as a "Party" and collectively as the "Parties". WHEREAS, on May 31, 2022, the Parties entered into City Secretary Contract 57631 to provide office equipment and maintenance ("Agreement"); WHEREAS, the Parties previously amended the Agreement to increase total payment authority; WHEREAS, the Agreement may be renewed for up to three (3) one-year renewal options by the written agreement of the parties according to the original terms; and WHEREAS, Parties now wish to amend the Agreement to allow for four (4) one-year renewals due to an extension of the underlying cooperative, and simultaneously the Parties wish to renew the Agreement for an additional term from March 1, 2026, to February 28, 2027. NOW, THEREFORE, the Parties, acting herein by the through their duly authorized representatives, enter into the following agreement: 1. AMENDMENT The following terms are hereby amended to replace the referenced terms in the Agreement: The 51' paragraph is hereby replaced by the following language: The term of this Agreement is effective beginning on the date signed by the Assistant City Manager (" Effective Date") and expires on February 28, 2023. The City shall be able to renew this agreement for four (4) one-year renewal options by the written agreement of the parties. 2. RENEWAL The term of the Agreement, as amended, is hereby renewed for an additional year to begin on March 1, 2026, and expire on February 28, 2027, unless terminated earlier in accordance with the Agreement. 3. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX remain in full force and effect. 4. ELECTRONIC SIGNATURE This Amendment and Renewal may be executed in multiple counterparts, each of which shall be an original and all of which shall constitute one and the same instrument. A facsimile copy or computer image, such as a PDF or tiff image, or a signature, shall be treated as and shall have the same effect as anoriginal.
