RENEWAL #3 AND #4 TO CITY SECRETARY CONTRACT NO. 55411 This Renewal is executed by and between the City of Fort Worth, a home -rule municipal corporation of the State of Texas (hereafter "City"), and Eight 20 Consulting LLC, DBA ZacTax, a California limited liability company (hereafter "Vendor"). City and Vendor are each individually referred to herein as a "Party" and collectively as the "Parties." WHEREAS, the Parties entered into an agreement for Vendor to provide City with analytical services for City's confidential sales tax data and property tax data, that contract being Fort Worth City Secretary Contract No. 55411 (the "Contract"); and WHEREAS, the Contract provides for an initial one-year term and allows for consecutive, unlimited one-year renewals at City's option; and WHEREAS, the initial term of the Contract expired on March 14, 2022; and WHEREAS, after March 14, 2022, the Parties continued operating under the same terms and conditions and intended to renew the Contract but initially neglected to document such renewal; and WHEREAS, in 2023, the Parties executed an instrument to memorialize their extension of the Contract for two renewal terms - Renewal #1 from March 15, 2022 to March 14, 2023 and Renewal #2 from March 15, 2023 to March 14, 2024 — that instrument being Fort Worth City Secretary Contract No. 55411-R1R2 ("Prior Renewal"); and WHEREAS, the Prior Renewal expired on March 14, 2024; and WHEREAS, after March 14, 2024, the Parties continued operating under the same terms and conditions and intended to renew the Contract but again neglected to document such renewal; and WHEREAS, City and Vendor now wish to document the extension of the Contract for an additional two renewal terms - Renewal #3 from March 15, 2024 to March 14, 2025 and Renewal #4 from March 15, 2025 to March 14, 2026. NOW, THEREFORE, City and Contractor, each acting herein by and through their duly authorized representative, enter into the following agreement to renew the Contract: City of Fort Worth and Eight 20 Consulting LLC — Renewal 3 and 4 Page 1 of 2 OFFICIAL RECORD CITY SECRETARY FT. WORTH, TX 1. The term of Fort Worth City Secretary Contract No. 55411, as renewed and extended by Fort Worth City Secretary Contract No. 55411-R1R2, is hereby renewed and will cover all services provided and costs incurred for the period beginning March 15, 2022 and will expire on March 14, 2026, unless terminated earlier in accordance with the Contract. All payment shall be made in accordance with the terms of the Contract.
