Home My WebLink AboutContract 57376-A557376-A5 CSC No. FIFTH AMENDMENT TO NON-EXCLUSIVE ELEVATOR AND ESCALATOR MAINTENANCE AND REPAIR SERVICES AGREEMENT FORT WORTH CITY SECRETARY CONTRACT NO. 57376 This Fifth Amendment ("Amendment") to the NON-EXCLUSIVE ELEVATOR AND ESCALATOR MAINTENANCE AND REPAIR SERVICES AGREEMENT (Fort Worth City Secretary Contract No. 57376) is entered into by and between the CITY OF FORT WORTH ("City"), a home rule municipal corporation of the State of Texas, and AMERICAN ELEVATOR TECHNOLOGIES, LLC ("Vendor"), a Texas limited liability company, each individually referred to as a "party" and collectively referred to as the "parties." WHEREAS City and Vendor entered into an agreement for elevator and escalator maintenance and repair services, said agreement being identified as Fort Worth City Secretary Contract No. 57376 and having an effective date of April 7, 2022 (the "Agreement"); and WHEREAS on February 20, 2023, City and Vendor amended the Agreement for the first time to allow for a five percent (5%) increase to the line -item unit pricing included in the Agreement's price schedule and to more accurately reflect the Agreement's scope of services (Fort Worth City Secretary Contract No. 57376-A1R1); and WHEREAS on March 9, 2025, City and Vendor amended the Agreement for the second time to add a location and three elevators to the Agreement's Scope of Services and to increase to the line -item unit pricing included in the Agreement's price schedule (Fort Worth City Secretary Contract No. 57376-A2R3); and WHEREAS on April 21, 2025, City and Vendor amended the Agreement to specify the monthly pricing for the elevators at 1301 Commerce Street. WHEREAS the Agreement has been renewed to expire on April 1, 2026 (Fort Worth City Secretary Contract No. 57376-A2R3); and WHEREAS on May 28, 2025 City and Vendor amended the Agreement to add a service location and one hydraulic elevator to the Agreement's Scope of Services and update the Agreement's price schedule (Fort Worth City Secretary Contract No. 57376-A4); and WHEREAS City and Vendor now wish to amend the contract to add a service location and one hydraulic elevator and one traction elevator and to update the Agreement's Price Schedule to reflect the additional building and services. NOW THEREFORE, City and Vendor, acting herein by and through their duly authorized representatives, agree to amend the Agreement as follows: 1. Amendment of the Price Schedule. Exhibit B — "Price Schedule" Under the Agreement is deleted in its entirety and replaced with Exhibit A-1 of this Amendment as if they had been originally set forth in the Agreement.
