Home My WebLink AboutContract 62101-A4R1CSC No. 62101-A4R1 FOURTH AMENDMENT AND FIRST RENEWAL TO VENDOR SERVICES AGREEMENT BETWEEN THE CITY OF FORT WORTH AND YEAR- ROUND, LLC D/B/A MAJESTIC CHRISTMAS COMPANY FORT WORTH CITY SECRETARY CONTRACT NO.62101 This Fourth Amendment and First Renewal ("Amendment") to Fort Worth City Secretary Contract No. 62101 ("Agreement"), between the CITY OF FORT WORTH ("City"), a Texas home rule municipal corporation and YEAR ROUND, LLC DB/A MAJESTIC CHRISTMAS COMPANY ("Vendor"), a Texas limited liability company, each individually referred to as a "party" and collectively referred to as the "parties." WHEREAS City and Vendor entered into the Agreement for fall and winter holiday decorations and related services for the City's New City Hall building located at 100 Fort Worth Trail, Fort Worth, Texas, 76102, said agreement being identified as Fort Worth City Secretary Contract No. 62101 and having an effective date of October 9, 2024; and WHEREAS on November 4, 2024, City and Vendor amended the Agreement for the first time to include additional holiday decorating services (Fort Worth City Secretary Contract No. 62101-A 1); and WHEREAS on November 25, 2024, City and Vendor amended the Agreement for the second time to include additional holiday decorating services (Fort Worth City Secretary Contract No. 62101-A2); and WHEREAS On December 3, 2024, City and Vendor amended the Agreement for the third time to include additional holiday decorating services (Fort Worth City Secretary Contract No. 621010-A3); and WHEREAS City and Vendor now wish to amend the Agreement for the fourth time to (i) amend Section 2 "Term" to adjust the initial term to end at the end of August which will allow for more streamlined scopes of service that can begin earlier in the year for future renewals, if executed; (ii) outline the decorating services for this renewal term and amend Section 3 "Compensation" to reflect an increased contract capacity available each year which will now be in an amount up to One Hundred Thousand Dollars ($100,000.00); and WHEREAS City and Vendor also wish to renew the Agreement for the first renewal term commencing on September 1, 2025 and expiring on August 31, 2026. NOW THEREFORE, City and Vendor, acting herein by and through their duly authorized representatives, agree to the following terms: 1. Section 2. This Agreement will begin on the date signed by the Assistance City Manager below ("Effective Date") and will expire on August 31, 2025 ("Expiration Date"), unless terminated earlier in accordance with this Agreement ("Initial Term"). City will have the option, in its sole discretion, to renew this Agreement under the same terms and conditions, for up to four (4) one-year renewal option(s) (each a "Renewal Term"). 2. Section 3. "Compensation." of the Agreement is hereby deleted in its entirety and replaced with the following: 3. Compensation. City will pay Vendor in accordance with the provisions of this Agreement. Total compensation under this Agreement will not exceed One Hundred Thousand Dollars and 00/100 ($100,000.00). Vendor will not perform any additional services or bill for expenses incurred for City not specified by this Agreement unless City requests and approves in writing the additional costs for such services. City will not be liable for any additional expenses of Vendor not specified by this Agreement unless City first approves such expenses in writing. 3. The Agreement, through this Amendment, is hereby renewed for the first renewal term of the four available under the Agreement. 4. Scope of Services and Payment Schedule for First Renewal Term. The services and fees included in Exhibit A-1 attached to this Amendment are incorporated into the Agreement and establish the scope of services and payment schedule for this Renewal Term. 5. All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. Total payment made under the Agreement shall not exceed One Hundred Dollars and 00/100 ($100,000.00).
