KNOW ALL MEN BY THESE PRESENTS
That ONCOR ELECTRIC DELIVERY COMPANY LLC, a Delaware limited liability
company, hereinafter referred to as Granter, for and in consideration of TEN AND NO/100
DOLLARS ($10.00), and other good and valuable consideration to it in hand paid by the
City of Fort Worth, a Texas Municipal Corporation, hereinafter referred to as Grantee, has
granted, sold and conveyed and by these presents does hereby grant, sell and convey unto
said Grantee a nonexclusive easement and right of way for the purpose of constructing,
reconstructing, replacing, maintaining and operating one twenty-four inch (24") waterline
crossing hereinafter referred to as Grantee's Facility, in, over, under, across and along the
property described and shown on the attached Exhibit "A"
SEE ATTACHED EXHIBITS
There is also granted to Grantee, its successors or assigns, a nonexclusive
easement to use only so much of Grantor's adjoining land during temporary periods, as
may be necessary for the construction, maintenance, and repair of said Grantee's Facility
as shown on Exhibit "B" Exhibit "C" and Exhibit "D". Such use shall not interfere with
Grantor's use of such property in the operation of its business and Grantee shall properly
maintain such property during construction and at the conclusion of such construction
remove all construction debris and other materials from such property and restore such
_p ogert to the same condition it was in grior to the commencement o Grantee's
construction thereon or in proximity thereto. Additional general construction limitations on
easement are described and listed, but not limited to, in Exhibit "E", attached hereto and
by reference made a part hereof. Use of draglines or other boom-type equipment in
connection with any work to be performed on Grantor's property by the Grantee, its
employees, agents, representatives or contractors must comply with Chapter 752, Texas
Health and Safety Code, the National Electrical Safety Code and any other clearance
requirements. Notwithstanding anything to the contrary herein, in no event shall any
equipment be within fifteen (15) feet of the Oncer 138,000 volt or less power lines or within
twenty (20) feet of the Oncer 345,000 volt power lines situated on the aforesaid property.
Grantee must notify Fort Worth Transmission, (817-600-4325) at least 48 hours prior to the
use of any boom-type equipment on Grantor's property except in an emergency. Granter
reserves the right to refuse Grantee permission to use boom-type equipment.

Grantee s�all reimburse Grantor for any and all costs and expenses in�urred by Granforfor
any relocation or alteration af fts faciGties located on ❑r n�ar #he �as�meni t}�at Grantvr, in
its sole discretian, dete�mines are subject ta interFerer�ce fram the said Grantee's Facifity or
from the exercise by Grantee of any vf its rigY�ts hereunder.
This e�semeni is grantEci upan the candit�ans that Grant��'s Fa�ility tv be
�onstructed shall be maintained and operated by Granfee at no expens� to Grantor and
Grantor shall nvt �e responsible for any costs of constructian, reconstruction, operation,
maintenan�e or remaval vf Grantee's Fa�ility.
Grantee, ia the exte�t allawable by T�xas law, agr�es to defend, ind�mnify and hvld
harmless Grantor, its officers, ager�ts and employees, from and against any and a�l clairris,
demands, causes vf action, loss, damage, liabilities, costs and expenses �including
attorn�y's fees and court castsj of any and �very kind or character, knawn ar unknown,
fix�ci or can#ingent, €or personal inj�ary (including death}, property damag� or ather harm fvr
which recovery o� damages is saught vr suffered by any person vr persons t�at may arise
out �f, or he v��asioned by, the neg9igence, miscon�uct vr omission of Granteer ItS OfFICE'rS�
agents, associates, employees, c�ntractors, subcontractors, subconsultants, vr any other
person entering onta #he �asement ar may arise out of ar b� o�casion�d �y Grantee's use
❑f the easement, except that the indemnity provided for in this paragraph shall not apply to
any lia�ility resulting �ram the sole negligence of Grantar, its officers, agents, arsmpl�yees
or se�arate contrac�ors, and in the ev�r�t of jvint and �oncurrent negiigenc� of �vth Grantor
anc€ Granfee, responsibility and indemnity, if any, shall be apportioned com�arati�ely ir�
accardan�e with the laws vf the State of Texas. Nothing cv�tained herein shall ever be
�vnstrued so as to require Grantee to assess, levy and coll�ct any tax to fund its
at�ligations under this para�raph. Art�cle XI S�ction 5 vf the Texas CanstitUtion provides
that a city is prahi3�ited from creating a debt unless t�� city levies and collects a sufficient
tax to pay the interest an the �ebt and provides a sinking fund. Graniee has nat and will not
create a sinking fund vr cvfle�t arty tax to pay any obligation created u�der this sectian.
Grantee shall, at its own cast and expens� comply with a!l appliGa�l� laws, in�luding
but not limitea� to existing zaning ordinances, governmental rules and regulations �r�acted
�r promuEgaied by any go�ernmental authority and shall promptly execute and fiulfill al(
arders and requirements imposed by such g�vernmental auiharities for the c�rrectian,
preventivn ar�d abatement af nuisances in ar upan or conne�ted wi�h said premises
because of Grantee's us� ther�af.
This easement, subject to all liens of r�cord, si�all can#inue only s❑ long as Grantee
shall use this righf of way far the purpose herein describ�d and #he same shail immediately
lapse and Eermina#e upon cessat�or� af su�h use.
