To certify which, witness my hand and official seal of the City Texas, this the __day of-_ 193_, at _ j, - Sheet 7 1V 01 --'d'ity Secretai7, of the City of Sheet � R Ordinance (Underpass,) STATE OF TEXAS COUNTY OF TRAVIS This AGREEMENT, made this day of 1936, by and between the State of Texas, hereinafter called the "State", Party, of the First Part; and hereinafter, whether one or more, called the "Railroad Company", Party of the Second Part; and the City of County, Texas, acting by and through its duly authorized officers under an Ordinance passed the _day of 1.936, hereinafter called the "City", Party of the Third Part: W .1 T 2 S S E T H WHEREAS, the City has authorized the construction of an underpass project by Ordinance passed on the clay of 1936, on Street in the City, over, on, and across the rails and property of the Railroad Company; and WHEREAS, the United States Government has allotted money to the State so that said State may use this money to aid in the construction of overpass and underpass projects within the corporate limits of municipeo,l-L- ties, in order to eliminate railroad grade crossings and the hazards created by and incident to such railroad grade crossings; and WHEREAS, the City has requested the State to contribute financial aid in the construction of said underpass project; and WHEREAS, the State has made it known to the City that it will assist the City in the construction of said underpass project by furnishing the necessary funds for the actwAl construction of said underpass project and by preparing plans, awarding of construction c attract, and supervising construction, providing the City approves the plans, specifications, grades and alignment of same, and. after construction, maintain said underpass project at its sole cost and expense, and provided further that the City assumes responsibility for all damages including damages to adjoining, abutting, and other property occasioned by or resulting from the installation, construct- ion, existence, use and maintenance of said underpass project and the passage and enforcement of the Ordinance hereinabove referred to. 4-36-509 Sheet 1 11R11 Indemnification (Underpass) A G R E E M E 9 T : NOW, therefore, in consideration of the premises and of the mutual covenants and agreements of the parties hereto to be by them respectively kept and performed, as hereinafter set forth, it is agreed as follows! 1. As its contribution to the building of the above mentioned underpass projact on Street in the City of .,-..P the State agrees to prepare or provide plant and specifications, and super- vise construction 'thereof and to pay all of the cost of the actual construe- tion of said above mentioned underpass project. 3. The City will maintaJn or cause to be maintained the street, siao- walks, light system and drainage under the street upon and across the Railroad Company' s property. The City assumes the entire responsibility of such mainten- ance as above described, and nothing contained herein shall ever be construed to place upon the Railroad Company and/or the State any manner of liability for injury to, or death of persons, or for damage to, or lose of property arising from or in any manner connected with the maintenance or use of the portion of said highway located upon the Railroad Company3s right-of-way. and the City will save the Railroad Company and the State harmless from any damaegzes arising fr,om the maintenance and/or the use of said roadway in connection with said project. The Railroad Compar4r will maintain the grade separatiOn Vaperstructure end its substructure. 4. It is understood and agreed by and, between the parties hereto that the City, by virtue of the provisions of (its charter and) the laws of the State of Texas, has exclusive control and jurisdiction of all streets and public ways within the incorporated limits of said City, and that the City has requested and has consented to the construction of the underpass prf,,)ject here- inabove namedo and the State in the construction of the above named underpass 4­36-509 Sheet 2 1►R11 Indemnification (Underpass) project does so at the special instance and request of the City and that the plans and specifications showing and describing among other things the grades and alignment for said project, copeis of which are attached hereto and made a part hereof, are hereby expressly approved by the City and in so construct- ing said underpass project, the State Highway Department of the State of Texas acts as the agent of the City in the construction thereof. 5. The Railroad Company hereby grants to the City, license and permission for the installation, ocnstruction, existence, use and maintenance of the aforesaid underpass project across its property and under its tracks. In granting said license and permission, however, the said Railroad Company does not waive or relinquish any title that it may have in said street, nor in accepting said license and permission, the City does not waive any title in said street which it may possess. 4-36-509 Sheet 3 'tR" Indemnification (Underpass) IN TESTIMONY WHEREOF, the parties hereto have caused these presents to be executed in triplicate on the day above stated,.
