HomeMy WebLinkAboutContract 49751-R8A4CSC No. 49751-R8A4 RENEWAL EIGHT AND AMENDMENT FOUR TO FORT WORTH CITY SECRETARY CONTRACT NO. 49751 This RENEW AL EIGHT AND FOURTH AMENDMENT is made and entered into by and between the City of Fort Worth, a home-rule municipal corporation of the State of Texas ("City"), acting by and through its duly authorized Assistant City Manager, and MdE Inc, a Maryland Corporation ("Consultant), acting by and through Lisa Reaver, its duly authorized President and CEO, each individually referred to as a "Party" and collectively referred to as the "Parties". WHEREAS, City and Consultant previously entered into an agreement for Consultant to provide technical support and program updates for ADORE software and provide one day on-site training for the City of Fort Worth (City) Police Department (FWPD) on an as-needed basis, the same being Fort Worth City Secretary Contract No. 49751 (the "Agreement"), effective October l, 2017;and WHEREAS, under the terms of the Agreement, services began October 1, 2017 ("Effective Date") and expired on September 30, 2018 ("Expiration Date"), with three (3) one­ year renewal options (each a "Renewal Term"); and WHEREAS, the Agreement was amended May 23, 2021, to reflect changes to "Section 3. Compensation," "Exhibit A -Scope of Service" and "Exhibit B -Payment Schedule"; and WHEREAS, on November 5, 2021, the Parties amended the Agreement to add four (4)additional one-year renewal options (each a "Renewal Term") for the maintenance and support services portion of the Agreement and renew the Agreement for its fourth renewal term; and WHEREAS, the current renewal term ends September 30, 2025; and WHEREAS, the Parties mutually wish to add one ( 1) additional renewal option ( a "Renewal Term") for the maintenance and support services portion of the Agreement, renew the Agreement for its eighth renewal term, and replace "Exhibit B -Payment Schedule"; and NOW, THEREFORE, the Parties, acting herein by and through their duly authorized representatives, enter into the following amendment and renewal: I. AMENDMENT TO AGREEMENT A.Section 2 of the Agreement, Term, is hereby amended to be and read as follows: 2.TERM. FourthAmendmentto City Secretary Contract No. 49751 Page 1 of2 This Agreement shall commence upon October 1, 2017 ("Effective Date") and shall expire on September 30, 2018, unless terminated earlier in accordance with the provisions of this Agreement. The Agreement may be renewed for up to eight (8) additional one-year periods by mutual written agreement of the parties. The parties agree that the eighth renewal term will be for a period of six months. B. Exhibit B— Payment Schedule is deleted in its entirety and is hereby replaced with the attached Exhibit B. 2. RENEWAL The Agreement is hereby renewed, as amended, for its eighth renewal term, beginning October 1, 2025, and ending Apri130, 2026. ALL OTHER TERMS SHALL REMAIN THE SAME All other provisions of the Agreement which are not expressly amended herein shall remain in full force and effect. The current hosting agreement is set to expire on October 31, 2025. It is our understanding that a proposal was requested for MdE to extend the hosting Agreement for six months to enable continued web-access to ADORE (and end-user support). Initial those to be procured, and sign below to allow MdE to invoice for the services selected: � Yes, I would like the hosting agreement prorated for six (6) months. This provides web-access to ADORE and end-user support through Apri130, 2026. This cost is $4,970.00. If, over the years, the agency is unaware if this has been successfully captured and/or would prefer MdE to provide a complete package upon discontinuing ADORE, we can provide a quote.
