HomeMy WebLinkAboutContract 61462-A2CSC No. ___________ Second Amendment to Fort Worth City Secretary Contract No. 61462 Page 1 of 4 SECOND AMENDMENT TO FORT WORTH CITY SECRETARY CONTRACT NO. 61462 This Second Amendment to Fort Worth City Secretary Contract No. 61462 (“Second Amendment”) is made between the City of Fort Worth (“City,”) a Texas home rule municipality, and CDW Government, LLC. (“Vendor.”) City and Vendor are each individually referred to herein as a “party” and collectively referred to as the “parties.” WHEREAS, on March 18, 2024, Vendor and the Texas Department of Information Resources entered into that certain agreement known as DIR-CPO-5303 (the “Underlying Cooperative Agreement”), which contained an initial term with one (1) optional two-year renewal and two (2) optional one-year renewals (each a “Renewal Term”); WHEREAS,On May 24, 2024, the parties entered into City Secretary Contract No. 61462 (the “Agreement”) pursuant to which Vendor agreed to provide software and related services to the City; WHEREAS, the Agreement currently reflects a term ending on March 17, 2026, which does not align with the expiration date of the initial term of the Underlying Cooperative Agreement; WHEREAS, the parties now wish to amend the Agreement to align the initial term with the Underlying Cooperative Agreement and to divide the term into annual segments; WHEREAS, the Parties further wish to clarify that the Agreement includes four (4) one- year renewal terms, consistent with the Underlying Cooperative Agreement; WHEREAS, the parties further wish amend the Agreement to include, Exhibit A-1, the Statement of Work; and WHEREAS,the total annual contract amount will remain at an amount not to exceed $100,000.00. NOW THEREFORE, known by all these present, City and Vendor, acting herein by and through their duly authorized representatives, agree to the following terms, which amend the Agreement as follows: I.AMENDMENTS 1.The Agreement is hereby amended to align with the initial term of the Underlying Cooperative Agreement, which expires on March 18, 2026. The Agreement shall be divided into annual segments as follows: Initial Term Segments Beginning Date of Term Term Expiration Date First Segment May 4th, 2024 March 18, 2025 Second Segment March 19, 2025 March 18, 2026 Second Amendment to Fort Worth City Secretary Contract No. 61462 Page 2 of 4 2. The Agreement is hereby amended to clarify that it includes four (4) one-year renewal terms, consistent with the Underlying Cooperative Agreement. 3. The total annual amount of the Agreement will remain at an amount not to exceed $100,000.00. II.MISCELLANEOUS All other terms, provisions, conditions, covenants and recitals of the Agreement not expressly amended herein shall remain in full force and effect. If there is a conflict between this SOW and the Agreement, then the Agreement will control, except as expressly amended in this SOW by specific reference to the Agreement. ENGAGEMENT SCOPE This Statement of Work (SOW) is valid 60 days from the SOW Date, unless executed prior. KEY OBJECTIVES & REQUIREMENTS After our initial conversations and review of the provided information, our understanding of the engagementscope is that Customer desires ITIL Training. Requested start and completion dates are not guaranteed; subject to SOW execution, mutual agreement between Customer and Provider, resourcing, and scheduling considerations. Training and Support o ITIL Foundation 3-Day (3 Classes 10 participants each) o ITIL Awareness 1-Day (1 Class 20 participants) regulatory guidelines or restrictions and work with the Customer to provide services remotely. PROVIDER AND CUSTOMER RESPONSIBILITIES Proprietary and Confidential Page 2 SLED-50041 | CDW Government LLC SOW 173095 Category Provider Responsibilities Customer Responsibilities Security and Compliance Provider will comply with all applicable Customer facility safety and security rules and procedures as provided in advance and in writing. Provider will implement and follow industry best practices for security in handling Customer data but is not responsible for lost or stolen equipment unless solely due to misconduct. Customer will ensure that Provider receives all necessary safety and security policies in writing before engagement begins. Customer is responsible for security at all Customer-Designated Locations and for safeguarding any equipment provided to Provider. Resource Availability Provider will allocate the necessary personnel with the required expertise and ensure their availability throughout the engagement. Customer will provide the required resources, including executive decision makers, project teams/leadership and management, subject matter experts, and technical resources, and ensure active participation to facilitate a successful implementation. Technical Expertise Provider will offer mentorship and best ServiceNow Administrator(s) to enhance their expertise. their ServiceNow Administrator(s), must be certified in ServiceNow Administration (and other application/suite training or certifications related to this engagement) before the engagement begins. CONTACT PERSONS Contact Person Customer Contact Person is authorized to approve materials and Services provided by Seller, and Seller may rely on the decisions and approvals made by the Customer Contact Person (except that Seller understands that Customer may require a different person to sign any Change Orders amending this SOW). The Customer Contact Person will manage all communications with Seller, and when Services are performed at a Customer-Designated Location, the Customer Contact Contact Persons shall be authorized to approve changes in personnel and associated rates for Services under this SOW. CHANGE MANAGEMENT This SOW may be modified or amended only in a writing signed by both Customer and Seller, generally in the form provided Change Order separate SOW or Change Order. In the event of a conflict between the terms and conditions set forth in a fully executed Change Order and those set forth in this SOW or a prior fully executed Change Order, the terms and conditions of the most recent fully executed Change Order shall prevail. PROJECT SCHEDULING Customer and Seller, who will jointly manage this project, will together develop timelines for an anticipated schedule Anticipated Schedule contained in the Anticipated Schedule, in this SOW or otherwise, are estimates only, and the Parties will not rely on them for purposes other than initial planning. Proprietary and Confidential Page 5 SLED-50041 | CDW Government LLC SOW 173095 The following scheduling scenarios that trigger delays and durations to extend beyond what's been planned may require a Change Order: Site preparation, such as power, cabling, physical access, system access, hardware/software issues, etc. must be completed in a timely manner. Project tasks delegated to Customer PMs/Engineers/Techs/Management/Resources must be completed in a timely manner. For example, in the event a project 's prioritization is demoted, and Customer resources are reallocated causing the project's schedule to extend on account of experiencing interruptions to its momentum requiring complete stop(s) and start(s). External projects/dependencies that may have significant impact on the timeline, schedule and deliverables. It is Seller's assumption that every reasonable attempt will be made to mitigate such situations. TOTAL FEES Total Fees Services Fees Expenses Seller will invoice for Total Fees. Customer will pay invoices containing amounts authorized by this SOW in accordance with the terms of the Agreement. Unless otherwise specified, taxes will be invoiced but are not included in any numbers or calculations provided herein. The pricing included in this SOW expires and will be of no force or effect unless it is signed by Customer and Seller within thirty (30) days from the Date listed on the SOW, except as otherwise agreed by Seller. Any objections to an invoice must be communicated to the Seller Contact Person within fifteen (15) days after receipt of the invoice. This SOW may include multiple types of Services Fees; please reference below Services Fees section(s) for further details. SERVICES FEES Services Fees hereunder are FIXED FEES, meaning that the amount invoiced for the Services will be $53,400.00. The invoiced amount of Services Fees will equal the amount of fees applicable to each completed project milestone (see Table below). Seller will charge actual costs for these expenses. Any projected expenses set forth in this SOW are estimates only. Travel time will not be billed for this project.
