CITY OF FORT WORTH, TEXAS
STANDARD AGREEMENT FOR GENERAL PROFESSIONAL SERVICES
This agreement ("Agreement") is between the City of Fort Worth, a Texas home-rule
municipality ("City"), and ECS Southwest, LLP authorized to do business in Texas
("Consultant"), for a project generally described as: Bob Bolen Generators ("Project") -
Project No. 104467.
Article I
Scope of Services
(1)Consultant hereby agrees to perform professional services as set forth in this
Agreement and the Scope of Services, attached hereto as Attachment "A"
("Services"). These Services shall be performed in connection with the Project.
(2)Additional services, if any, will be memorialized by an amendment to this Agreement.
(3)All reports, whether partial or complete, prepared under this Agreement, including
any original drawings or documents, whether furnished by City, its officers, agents,
employees, consultants, or contractors, or prepared by Consultant, shall be or
become the property of City, and shall be furnished to the City, prior to or at the time
such services are completed, or upon termination or expiration of Agreement.
Article II
Compensation
Consultant shall be compensated an amount up to $8,763.50 ("Contract Amount") in
accordance with the Proposal shown in Attachment "A". Payment shall be considered full
compensation for all labor (including all benefits, overhead and markups), materials,
supplies, and equipment necessary to complete the Services.
Consultant shall provide monthly invoices to City. Payments for services rendered shall be
made in accordance with the Texas Prompt Payment Act (Texas Government Code Ch.
2251).
Acceptance by Consultant of said payment shall release City from all claims or liabilities
under this Agreement for anything related to, performed, or furnished in connection with the
Services for which payment is made, including any act or omission of City in connection with
such Services.
Article Ill
Term
Time is of the essence. The term of this Agreement shall commence on the Effective Date and
shall continue until the expiration of the funds or completion of the subject matter pursuant to

the schedule, whichever occurs first, unless terminated in accordance with the terms of this
Agreement. Unless specifically otherwise amended, the original term shall not exceed five
years from the original effective date.
Article IV
Independent Contractor
Consultant shall operate hereunder as an independent contractor and not as an officer, agent,
servant, or employee of City. Consultant shall have exclusive control of and the exclusive right
to control the details of the work to be performed hereunder and of all persons performing
same, and shall be solely responsible for the acts and omissions of its officers, agents,
employees, contractors and subcontractors. The doctrine of respondeat superior shall not
apply as between City and Consultant, its officers, agents, employees, contractors, and
subcontractors, and nothing herein shall be construed as creating a partnership or joint venture
between City and Consultant.
Article V
Professional Competence
Work performed by Consultant shall comply in all aspects with all applicable local, state and
federal laws and with all applicable, standards, codes, rules and/or regulations promulgated
by local, state and national boards, bureaus and agencies. Approval to proceed by City of
Consultant's work or work product shall not constitute or be deemed to be a release of the
responsibility and liability of Consultant or its officers, agents, employees, contractors and
subcontractors for the accuracy and competency of its performance of the Services.
Article VI
Indemnification
CONSULTANT, AT NO COST TO THE CITY, AGREES TO INDEMNIFYAND HOLD CITY,
ITS OFFICERS, AGENTS, SERVANTS AND EMPLOYEES, HARMLESS AGAINST ANY
AND ALL CLAIMS, LAWSUITS, ACTIONS, COSTS AND EXPENSES OF ANY KIND,
INCLUDING, BUT NOT LIMITED TO, THOSE FOR PROPERTY DAMAGE OR LOSS
(INCLUDING ALLEGED DAMAGE OR LOSS TO CONSULTANT'S BUSINESS AND ANY
RESULTING LOST PROFITS) AND/OR PERSONAL INJURY, INCLUDING DEATH, THAT
MAYRELATE TO, ARISE OUT OF OR BE OCCASIONED BY CONSULTANT'S BREACH
OF (i) ANY OF THE TERMS OR PROVISIONS OF THIS AGREEMENT OR (ii) ANY
NEGLIGENT ACT OR OMISSION OR INTENTIONAL MISCONDUCT OF CONSULTANT,
ITS OFFICERS, AGENTS, ASSOCIATES, EMPLOYEES, CONTRACTORS (OTHER
THAN THE CITY) OR SUBCONTRACTORS RELATED TO THE PERFORMANCE OR
NON-PERFORMANCE OF THIS AGREEMENT. THIS SECTION SHALL SURVIVE ANY
TERMINATION OR EXPIRATION OF THIS AGREEMENT.

Article VII
Insurance
Consultant shall not commence work under this Agreement until it has obtained all insurance
required under Attachment F and City has approved such insurance.
Article VIII
Force Majeure
City and Consultant shall exercise their best efforts to meet their respective duties and
obligations as set forth in this Agreement, but shall not be held liable for any delay or
omission in performance due to force majeure or other causes beyond their reasonable
control, including, but not limited to: acts of the public enemy, fires, strikes, lockouts, natural
disasters, epidemics/pandemics, wars, riots, material or labor restrictions by any
governmental authority and/or any other similar causes.
Article IX
Transfer or Assignment
Consultant, its lawful successors and assigns, shall not assign, sublet or transfer any interest
in this Agreement without prior written consent of City.
Article X
Termination of Contract
(1) City may terminate this Agreement for convenience by providing written notice to
Consultant at least 30-days prior to the date of termination, unless Consultant agrees
in writing to an earlier termination date.
(2) Either City or Consultant may terminate this Agreement for cause if either party fails
to substantially perform, through no fault of the other and the nonperforming party
does not commence correction of such nonperformance within 5 days after receipt of
written notice or thereafter fails to diligently pursue the correction to completion.
(3) If City chooses to terminate this Agreement, upon receipt of notice of termination by
Consultant, Consultant shall discontinue Services on the date such termination is
effective. City shall compensate Consultant for such services rendered based upon
Article II of this Agreement and in accordance with Exhibit "B".
Article XI
Right to Audit
(1) Consultant agrees that City shall, until the expiration of three (3) years after final
payment under Agreement, have access to and the right to examine any directly
pertinent books, documents, papers and records of Consultant involving transactions
relating to Agreement. Consultant agrees that City shall have access during normal

working hours to all necessary facilities and shall be provided adequate and appropriate
workspace in order to conduct audits in compliance with the provisions of this section.
City shall give Consultant reasonable advance notice of intended audits.
(2) Consultant further agrees to include in all its subcontracts hereunder, a provision to
the effect that the subcontractor agrees that City shall, until the expiration of three (3)
years after final payment under the subcontract, have access to and the right to
examine any directly pertinent books, documents, papers and records of such
subcontractor(s), involving transactions to the subcontract, and further, that City shall
have access during normal working hours to all subcontractor facilities, and shall be
provided adequate and appropriate work space in order to conduct audits in
compliance with the provisions of this article. City shall give Consultant and any
subcontractor reasonable advance notice of intended audit.
(3) Consultant and subcontractor(s) agree to photocopy such documents as may be
requested by City. City agrees to reimburse Consultant for the cost of copies at the rate
published in the Texas Administrative Code in effect as of the time copying is performed.
Article XII
Business Equity Participation
City has goals for the full and equitable participation of minority business and/or women
business enterprises in City contracts greater than $100,000. In accordance with City's
Business Equity Ordinance No. 25165-10-2021 (as codified in Chapter 20, Article X of the
City's Code of Ordinances, as amended, and any relevant policy or guidance documents),
Consultant acknowledges the MBE and WBE goals established for this Agreement and its
execution of this Agreement is Consultant's written commitment to meet the prescribed MBE
and WBE participation goals. Any misrepresentation of facts (other than a negligent
misrepresentation) and/or the commission of fraud by Consultant may result in the termination
of this Agreement and debarment from participating in City contracts for a period of time of not
less than three (3) years.
Article XIII
Observe and Comply
Consultant shall at all times observe and comply with all federal, state, and local laws and
regulations and with all City ordinances and regulations which in any way affect Agreement
and the work hereunder, and shall observe and comply with all orders, laws ordinances and
regulations which may exist or may be enacted later by governing bodies having jurisdiction or
authority for such enactment. No plea of misunderstanding or ignorance thereof shall be
considered. Consultant agrees to defend, indemnify and hold harmless City and all of its
officers, agents and employees from and against all claims or liability arising out of the violation
of any such order, law, ordinance, or regulation, whether it be by itself or its employees or its
subcontractor(s).

Article XIV
Immigration Nationality Act
Consultant shall verify the identity and employment eligibility of its employees and
employees of all subcontractor(s) who perform work under Agreement, including completing
the Employment Eligibility Verification Form (I-9). Upon request by City, Consultant shall
provide City with copies of all I-9 forms and supporting eligibility documentation for each
employee who performs work under Agreement. Consultant shall adhere to all Federal and
State laws as well as establish appropriate procedures and controls so that no services will
be performed by any Consultant employee who is not legally eligible to perform such
services. CONSULTANT SHALL INDEMNIFY CITY AND HOLD CITY HARMLESS FROM
ANY PENALTIES, LIABILITIES, OR LOSSES DUE TO VIOLATIONS OF THIS
PARAGRAPH BY CONSULTANT, CONSULTANT'S EMPLOYEES,
SUBCONTRACTORS, AGENTS, OR LICENSEES. City, upon written notice to Consultant,
shall have the right to immediately terminate Agreement for violations of this provision by
Consultant.
Article XV
Venue and Jurisdiction
If any action, whether real or asserted, at law or in equity, arises on the basis of any provision
of Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas
or the United States District Court for the Northern District of Texas — Fort Worth Division.
Agreement shall be construed in accordance with the laws of the State of Texas.
Article XVI
Contract Construction/No Waiver
The parties acknowledge that each Party and, if it so chooses, its counsel, have reviewed
and revised Agreement and that the normal rule of contract construction, to the effect that
any ambiguities are to be resolved against the drafting party, must not be employed in the
interpretation of Agreement or any amendments or exhibits hereto.
The failure of City or Consultant to insist upon the performance of any term or provision of
this Agreement or to exercise any right granted herein shall not constitute a waiver of City's
or Consultant's respective right to insist upon appropriate performance or to assert any such
right on any future occasion.
Article XVII
Severability
The provisions of Agreement are severable, and if any word, phrase, clause, sentence,
paragraph, section or other part of Agreement or the application thereof to any person or
circumstance shall ever be held by any court of competent jurisdiction to be invalid or

unconstitutional for any reason, the remainder of Agreement and the application of such
word, phrase, clause, sentence, paragraph, section, or other part of Agreement to other
persons or circumstances shall not be affected thereby and Agreement shall be construed
as if such invalid or unconstitutional portion had never been contained therein.

Notices regarding Articles IX or X are to be provided to the other Party by hand-delivery or
via U.S. Postal Service certified mail return receipt requested, postage prepaid, to the
address of the other Party shown below:

Article XIX
Prohibition On Contracts With Companies Boycotting Israel
Consultant, unless a sole proprietor, acknowledges that in accordance with Chapter 2271 of
the Texas Government Code, if Consultant has 10 or more full time-employees and the
contract value is $100,000 or more, the City is prohibited from entering into a contract with
a company for goods or services unless the contract contains a written verification from the
company that it: (1) does not boycott Israel; and (2) will not boycott Israel during the term of
the contract. The terms "boycott Israel" and "company" shall have the meanings ascribed
to those terms in Section 808.001 of the Texas Government Code. By signing this
contract, Consultant certifies that Consultant's signature provides written verification
to the City that if Chapter 2271, Texas Government Code applies, Consultant: (1) does
not boycott Israel; and (2) will not boycott Israel during the term of the contract.

Article XX
Prohibition on Boycotting Energy Companies
Consultant acknowledges that in accordance with Chapter 2276 of the Texas Government
Code, the City is prohibited from entering into a contract for goods or services that has a
value of $100,000 or more, which will be paid wholly or partly from public funds of the City,
with a company (with 10 or more full-time employees) unless the contract contains a written
verification from the company that it: (1) does not boycott energy companies; and (2) will not
boycott energy companies during the term of the contract. The terms "boycott energy
company" and "company" have the meaning ascribed to those terms by Chapter 2276 of the
Texas Government Code. To the extent that Chapter 2276 of the Government Code is
applicable to this Agreement, by signing this Agreement, Consultant certifies that
Consultant's signature provides written verification to the City that Consultant: (1)
does not boycott energy companies; and (2) will not boycott energy companies
during the term of this Agreement.
Article XXI
Prohibition on Discrimination Against Firearm and Ammunition Industries
Consultant acknowledges that except as otherwise provided by Chapter 2274 of the Texas
Government Code, the City is prohibited from entering into a contract for goods or services
that has a value of $100,000 or more which will be paid wholly or partly from public funds of
the City, with a company (with 10 or more full-time employees) unless the contract contains
a written verification from the company that it: (1) does not have a practice, policy, guidance,
or directive that discriminates against a firearm entity or firearm trade association; and (2)
will not discriminate during the term of the contract against a firearm entity or firearm trade
association. The terms "discriminate," "firearm entity" and "firearm trade association" have
the meaning ascribed to those terms by Chapter 2274 of the Texas Government Code. To
the extent that Chapter 2274 of the Government Code is applicable to this Agreement,
by signing this Agreement, Consultant certifies that Consultant's signature provides
written verification to the City that Consultant: (1) does not have a practice, policy,
guidance, or directive that discriminates against a firearm entity or firearm trade
association; and (2) will not discriminate against a firearm entity or firearm trade
association during the term of this Agreement.

define or limit the scope of any provision of Agreement.

Dear Ms. Watts:
As requested, ECS Southwest, LLP (ECS) is pleased to be selected for this project and following is our scope and
fee for Construction Materials Testing and Observation services for this project. Based upon our extensive
experience of construction means and methods, quality assurance and quality control, building construction, and
our experience within the multiple markets in Texas, we feel ECS can offer unparalleled service and value to your
project.
Our staff of professional engineers and certified technicians will provide responsive and professional services to
your project team. In addition, our paperless field reporting system will provide you with nearly real time Project
Principal reviewed testing and inspection reports within 24-48 hours of the actual observation and/or testing
date.
ECS operates a nationally accredited laboratory. The concrete laboratory handles all testing for compression
testing of concrete, masonry, cores, and other specialty testing. The soil laboratory provides testing of soil
including Proctor tests, classifications, among others.

PROJECT INFORMATION
We understand that the project consists of the construction of three (3) new generators and two (2) equipment
apparatus pads with associated sidewalks and utility improvements. The equipment pads will have a conventionally
reinforced slab on grade supported with a conventional shallow foundation system and bear on recompacted controlled
fill. The PCC pavements will bear on recompacted subgrades.
We have made some assumptions while developing our cost estimate. Those major assumptions are as follows:
• Storm/Utility backfill will be tested in 1 trip.
• Storm/Utility structures will be completed in 1 concrete placements.
• Mass earthwork testing will be completed in 1 trip.
• Foundation will be completed in 4 concrete placements.
• Structural Steel will be inspected over 3 trips.
• Pavement/Hardscape Subgrades will be tested over 2 trips.
• Pavement/Hardscapes will be completed in 2 small concrete placements.
We anticipate that our services on this project may include observation and testing of subgrades, concrete, reinforcing
steel, structural masonry, and structural steel. Specific test procedures, frequencies, and quantities will be performed
in accordance with the project testing specifications and observation requirements on an on-call basis.
SCOPE OF SERVICES
Our construction materials engineering and testing services scope is limited to our providing periodic or continuous
testing and/or observations for the construction of the above-noted structures and features of this project. We
anticipate that the project general contractor or their designated representative will be scheduling our services on an
on-call, as-needed basis.
Unless otherwise directed by the client, items such as service cancellations while our staff is in transit to the project
site or once at the project site, onsite delays and standby time, and failed tests are not factored into our scope and
estimated fees provided with this proposal.
Perform as-scheduled earthwork (soils) observation, sampling, and testing services including:
1. Obtain (pick up) soil samples and perform laboratory soil tests generally including moisture/density relationship
(Standard Proctor) tests, soil classification tests (Atterberg Limits and percent finer than the no. 200 sieve) for each
requested soil-type. Additional soil testing may be required depending on project-specific requirements.
2. Observe proof-rolling of prepared subgrade areas.
3. Observe placement and compaction of backfill materials (as scheduled)
4. Perform in-place moisture/density tests on placed and compacted soils and prepared subgrades.
S. Perform lime gradations and lime depth measurements for lime-treated subgrades.
6. As-requested, periodically observe excavation operations to document removal of unsuitable materials including
but not limited to deleterious materials, trash, debris, frozen soil, or stones.

Perform as-scheduled observation, sampling, and testing services for foundation installation events including:
1. Observe foundation excavation including prepared subgrade surfaces (shallow foundations, footings, etc) and
bearing strata, penetration depth, and end bearing surface (deep foundations, piers, DCP, etc).
2. Observe reinforcing steel layout and concrete placement (see following section).
Perform as-scheduled observation and testing services for concrete pavement.
1. Observe proofrolling of subgrades and suggest and observe corrective action at excessively soft areas prior to
placement of subbase course.
Observe placement of subbase course and perform appropriate in-place density tests as directed by specifications.
Provide documentation of events in the field and notify the appropriate persons upon recognition of deficiencies.
Perform as-scheduled observation, sampling, and testing services for concrete placement events including:
1. Observe reinforcing steel layout for size, spacing, cleanliness, length, splices, and positioning.
2. Observe concrete placement, contractor procedures, and limited initial curing.
3. Perform concrete field tests and associated measurements including slump, air content, unit weight, and ambient
air & concrete temperature. Sample placed concrete materials.
4. Pick up concrete sample cylinders the following workday and transport them to the ECS concrete laboratory for
processing, moisture curing, and subsequent compressive strength testing.
Structural Masonry
Perform as-scheduled sampling and testing services for masonry installation including:
1. Perform masonry field tests and associated measurements (as applicable) including slump, ambient air and
material temperature.
Sample placed masonry materials (grout and mortar).
Pick up masonry samples the following workday and transport them to the ECS materials laboratory for
processing, moisture curing, and subsequent sample preparation and compressive strength testing.

Perform as-scheduled observation and testing before, during, and after structural steel erection including.
1. Observe general structural steel erection and assembly.
2. Observe completed welds and connections.
Project Managers and Principal Engineers will manage the project as follows:
1. Attend the Pre-Construction meeting (if held).
2. Coordinate field and lab services with the project general contractor and dispatch our field staff as scheduled.
3. Process, finalize, and distribute all field and laboratory reports.
4. Manage our project operation and services delivery as well as provide general material engineering consultation.
Our field staff or project professionals will provide documentation of events in the field and notify the project general
contractor and the client (as needed) upon recognition of deficiencies.

The following services are not included in the Scope of Services and will be considered as Additional Services, if and
when they are required, requested, or occur:
1. Construction materials observation, sampling, or testing for non-structural components.
2. Additional construction material samples for laboratory testing including early test samples or additional sample

strives to provide the most economical design without sacrificing quality or compromising safety. ECS provides
value engineering within all our major disciplines. Recent examples include:
• Increasing bearing capacity to reduce the size and cost of foundation systems.
• Changing deep foundation systems (such as caissons or piles) to conventional shallow spread footing systems.
• Changing the compaction requirement during mass grading from Modified to Standard. This allows the
contractor to achieve results with less time and effort, and ultimately reduces the cost of the work without
changing the engineering properties;
• Utilizing technological advances in geosynthetics to provide economical solutions to stabilize subgrades during
mass grading for slabs and pavements;
• Recommending the use of segmental block retaining walls instead of conventional concrete retaining walls to
reduce costs;
• Accurately analyzing slab or pavement subgrades to reduce over design;
• Utilizing technologically advanced and more cost effective methods for treatment of contaminated soils and
ground water;
• Providing documentation of field activities during construction to reduce confusion with regard to claims for
extras.
ECS is often asked to review and revise recommendations performed by other firms. This is done by fully utilizing the
engineering properties of the subsurface conditions. ECS thoroughly understands the capabilities of the subsurface
conditions having performed extensive field and laboratory testing on the major soil and rock types within the geologic
area. In many cases ECS' fee is "paid for" by providing recommendations that result in overall time and cost savings for

ECS approaches providing testing services based on the requirements set forth by the local jurisdictions and project
specifications. Having served on numerous projects requiring Special Inspections, ECS is thoroughly familiar with the IBC
inspection requirements. Our personnel have served as Special Inspections Engineer of Record on hundreds of projects
in areas of the country where IBC has been implemented.
ECS proposes to assign technicians qualified for the required services. A Project Manager based in the Fort Worth, TX
office will supervise the technician(s). The Project Manager's responsibilities are to coordinate the field services, attend
meetings and correspond with the project team, review field and laboratory reports, provide engineering consulting as
necessary, and to prepare final certifications. In addition, a Principal Engineer of ECS will be assigned to the project to
provide additional technical review and support. All technical reports will be submitted with signatures of both the
Principal Engineer and Project Manager.
In order to meet the requirements of the Special Inspections programs, ECS has developed in house training programs
that produce certified technicians at all levels. Our proposed technicians hold related certifications. In addition, we have
access to hundreds of certified technicians through our other regional offices. Some of our technician certifications

ry", involved the rendering of, or the fail-
ure to render, any professional architec-
tural, engineering or surveying services.
4. This Paragraph A. does not apply to addi-

vision - Automatic Status When Required

This insurance does not apply to:

C. The insurance afforded to additional insureds

This insurance applies only if the "bodily inju-

During the policy period; and
2. Subsequent to your execution of the writ-
ten contract or written agreement, or the
issuance of a written permit or written au-
thorization, described in Paragraphs A.
and B.
F. Except when G. below applies, the following is
added to Section IV - Commercial General
Liability Conditions, Other Insurance, and
supersedes any provision to the contrary:
When Other Additional Insured Coverage
Applies On An Excess Basis
This insurance is primary to other insurance
available to the additional insured described in
Paragraphs A. and B. except:
1. As otherwise provided in SeCtion IV -
Commercial General Liability Condi-
tions, Other Insurance, b. Excess In-
surance; or
2. For any other valid and collectible insur-
ance available to the additional insured as H.

This endorsement modifies insurance provided by the following:

With respect to the coverage provided by this endorsement, the provisions of the Coverage Form apply unless
modified by this endorsement.
A. Blanket Waiver of Subrogation
SECTION IV - BUSINESS AUTO CONDI-
TIONS, A. Loss Conditions, 5. Transfer of
Rights of Recovery Against Others to Us is
amended by the addition of the following:
We waive any right of recovery we may have
against any person or organization because of
payments we make for "bodily injury" or
"property damage" arising out of the operation
of a covered "auto" when you have assumed
liability for such "bodily injury" or "property
damage" under an "insured contracY', provid-
ed the "bodily injury" or "property damage" oo-
curs subsequent to the execution or the "in-
sured contract".
B. Noncontributory Insurance
SECTION IV - BUSINESS AUTO CONDI-
TIONS, B. General Conditions, 5. Other In-
SuranCe C. is deleted in its entirety and re-
placed by the following:

D. Employee Hired Auto

Audio, Visual and Data Electronic Equip-
ment
SECTION III - PHYSICAL DAMAGE COV-
ERAGE, C. Limit of Insurance is amended
by adding the following:
4. The most we will pay for all "loss" to au-
dio, visual or data electronic equipment
and any accessories used with this
equipment as a result of any one "acci-
dent" is the lesser of:
a. The actual cash value of the dam-
aged or stolen property as of the time
of the "accidenY ;
b. The cost of repairing or replaang the
damaged or stolen property with oth-
er property of like kind and quality; or
C. $2,500.
Provided the equipment, at the time of the
"loss" is:
a. Permanently installed in or upon the
covered "auto" in a housing, opening
or other location that is not normally
used by the "auto" manufacturer for
the installation of such equipment;
b. Removable from a permanently in-
stalled housing unit as described in
Paragraph 2.a. above; or
c. An integral part of such equipment.
F. Who is an Insured -Amended
SECTION II - LIABILITY COVERAGE, A.
Coverage, 1. Who is an Insured is amended
by adding the following:
The following are "insureds":
1. Any subsidiary which is a legally incorpo-
rated entity of which you own a financial
interest of more than 50% of the voting
stock on the effective date of this cover-
age form.
However, the insurance afforded by this
provision does not apply to any subsidiary
that is an "insured" under any other au-
tomobile liability policy or would be an "in-
sured" under such policy but for termina-
tion of such policy or the exhaustion of
such policys limits of insurance.
2. Any organization that is newly acquired or
formed by you and over which you main-
tain majority ownership. The insurance
provided by this provision:
a. Is effective on the date of acquisition
or formation, and is afforded for 180
days after such date;
b. Does not apply to "bodily injurY' or
"property damage" resulting from an
"accidenY' that occurred before you
acquired or formed the organization;
C. Does not apply to any newly acquired
or formed organization that is a joint
venture or partnership; and
d. Does not apply to an insured under
any other automobile liability policy or
would be an insured under such a
policy but for the termination of such
policy or the exhaustion of such poli-
cys limits of insurance.
3. Any of your "employees" while using a
covered "auto" in your business or your
personal affairs, provided you do not own,
hire or borrow that "auto".
G. Liability Coverage E�ensions - Supple-
mentary Payments - Higher Limits
SECTION II - LIABILITY COVERAGE, A.
Coverage, 2. Coverage Extensions, a. Sup-
plementary Payments is amended by:
1. Replaang the $2,000 Limit of Insurance
for bail bonds with $4,000 in (2); and
2. Replaang the $250 Limit of Insurance for
reasonable expenses with $500 in (4).
H. Amended Fellow Employee Exclusion
SECTION II - LIABILITY COVERAGE, B. Ex-
clusions, 5. Fellow Employee is modified as
fol lows:

I. Hired Auto - Physical Damage
If hired "autos" are covered "autos" for Liability
Coverage, then Comprehensive and Collision
Physical Damage Coverages as provided un-
der SECTION III - PHYSICAL DAMAGE
COVERAGE of this Coverage Part are ex-
tended to "autos" you hire, subject to the fol-
lowing:
1. The most we will pay for "loss" to any
hired "auto" is $50,000 or the actual cash
value or cost to repair or replace, which-
ever is the least, minus a deductible.
2. The deductible will be equal to the largest
deductible applicable to any owned "auto"
for that coverage, or $1,000, whichever is
less.
3. Hired Auto - Physical Damage coverage
is exoess over any other collectible insur-
ance.

4. Subject to the above limit, deductible, and
excess provisions we will provide cover-
age equal to the broadest coverage appli-
cable to any covered "auto" you own in-
sured under this policy.
Coverage indudes loss of use of that hired au-
to, provided it results from an "accidenY' for
which you are legally liable and as a result of
which a monetary loss is sustained by the
leasing or rental concern. The most we will
pay for any one "accidenY' is $3,000.
If a limit for Hired Auto - Physical Damage is
shown in the Schedule, then that limit replac-
es, and is not added to, the $50,000 limit indi-
cated above and the deductibles shown in the
Schedule are applicable.
J. Rental Reimbursement
SECTION III - PHYSICAL DAMAGE COV-
ERAGE is amended by adding the following:
We will pay for rental reimbursement ex-
penses incurred by you for the rental of
an "auto" because of a'9oss" to a covered
"auto". Payment applies in addition to the
otherwise applicable amount of each cov-
erage you have on a covered "auto". No
deductible applies to this coverage.
2. We will pay only for those expenses in-
curred during the policy period beginning
24 hours after the "loss" and ending, re-
gardless of the policys expiration, with
the lesser of the following number of
d ays:
a. The number of days reasonably re-
quired to repair the covered "auto". If
"loss" is caused by theft, this number
of days is added to the number of
days it takes to locate the covered
"auto" and return it to you; or
b. 30 days.
3. Our payment is limited to the lesser of the
following amounts:
a. Necessary and actual expenses in-
curred; or
b. $50 per day.
4. This coverage does not apply while there
are spare or reserve "autos" available to
you for your operations.
K. Transportation Expense - Higher Limits
SECTION III - PHYSICAL DAMAGE COV-
ERAGE, A. Coverage, 4. Coverage Exten-
Sions is amended by replacing $20 per day
with $50 per day, and $600 maximum with
$1,500 maximum in Extension a. Transpor-
tation Expenses.
L. Airbag Coverage
SECTION III - PHYSICAL DAMAGE COV-
ERAGE, B. Exclusions, 3.a. is amended by
adding the following:
However, the mechanical and electrical
breakdown portion of this exclusion does not
apply to the accidental discharge of an airbag.
This coverage for airbags is excess over any
other collectible insurance or warranty.
M. Loan or Lease Gap Coverage
1. SECTION III - PHYSICAL DAMAGE
COVERAGE, C. Limit of Insurance is
deleted in its entirety and replaced by the
following, but only for private passenger
type "autos" with an original loan or lease,
and only in the event of a"total loss" to
such a private passenger type "auto":

(1) The amount due under the terms
of the lease or loan to which
your covered private passenger
type "auto" is subject, but will not
include:
(a) Overdue lease or loan pay-

(b) Financial penalties imposed
under the lease due to high
mileage, excessive use or
abnormal wear and tear;
(C) Security deposits not re-
funded by the lessor;
(d) Costs for extended warran-
ties, Credit Life Insurance,

"Bodily injury" means bodily injury, sickness or
disease sustained by a person, induding men-
tal anguish and death sustained by the same
person that results from such bodily injury,
sickness or disease. "Bodily injury" does not
include mental anguish or death that does not
result from bodily injury, sickness or disease.
