INTERLOCAL AGREEMENT BETWEEN CITY OF FORT WORTH
AND THE NORTH CENTRAL TEXAS COUNCIL OF GOVERNMENTS
FOR REGIONAL INTEROPERABLE COMMUNICATIONS
This Amendment No. 2 ("Amendment") is entered into by and between the CITY OF FORT
WORTH ("City), acting by and through its duly authorized Assistant City Manager and the
NORTH CENTRAL TEXAS COUNCIL OF GOVERNMENTS ("NCTCOG") acting by and
through its duly authorized Executive Director, each referred to separately as a "party" and
collectively as the "parties."
WHEREAS, the City and the NCTCOG have previously entered into City Secretary Contract
("CSC") No. 39791 (the "Agreement") for the installation of equipment for a Regional
Interoperable Communications System (the "Equipment"), whereby NCTCOG procured T1 lines
for City to connect to the Dallas Fort Worth International Airport ("DFWIA") switch site; and
WHEREAS, the parties amended the Agreement via CSC No. 39791-A1 to extend the term
through June 20, 2011; and
WHEREAS, NCTCOG's Public Safety Interoperable Communications (PSIC) grant funds were
used to pay for the T1 lines connecting Fort Worth and DFWIA; and
WHEREAS, NCTCOG's PSIC funding ceased on May 31, 2011; and
WHEREAS, non-federal funds are needed to pay T1 connection costs following termination of
PSIC funding to maintain the equipment.
NOW THEREFORE it is hereby agreed that the Agreement is hereby amended as follows:
1. NCTCOG hereby agrees to transfer the Equipment to the City as evidenced by the
Property Transfer Record Agreement, which is attached hereto as Exhibit "A" and
incorporated into this Agreement for all purposes.
2. Subject to Section 3 herein in this Amendment, the City agrees to pay T1 connection
costs of $295.70 monthly ($3,548.40 annually), as set forth in the Texas Department
of Information Resources Contract TEXAS 2000-SWB-LS Local Contract (DIR), with
payments beginning June 1, 2011 and ending May 31, 2014.
3. In the event no funds or insufficient funds are appropriated by the City in any fiscal
period for any payments due hereunder, the City will notify NCTCOG with 30 days'
notice, or as much advanced notice as reasonably possible of such occurrence and
this Agreement shall terminate on the last day of the fiscal period for which
appropriations were received without penalty or expense to the City of any kind
whatsoever, except as to the portions of the payments herein agreed upon for which
funds have been appropriated.
4. The term of the Agreement shall be extended to May 31, 2014 ("Expiration Date").

5. The City agrees to maintain the Equipment at the Burnet Plaza site located at 801
Cherry Street, Fort Worth, Texas, as listed and set forth in the equipment list, which
is attached hereto as Exhibit "B" and incorporated into this Agreement for all
purposes.
6. The City shall maintain the Equipment in accordance with prevailing industry
standards through the Expiration Date.
7. Prior to the expiration of this Agreement, the City shall have the right, subject to the
written approval of NCTCOG , to assign this Agreement to any government entity, in
whole or in part, including the right to assign and transfer the Equipment. However, if
the assignment is for the sole purpose of expansion of the Regional Overlay System,
NCTCOG shall have the right to consent to the assignment, which such consent
shall not be unreasonably withheld. Any assignee must agree to the same terms and
conditions to which the City is obligated.
8. In any instance of assignment, the Assignee shall be wholly liable for maintenance of
the Equipment.
9. Upon Expiration of the Agreement, all right, title, and interest in and to the Equipment
shall vest in the City. The City shall have full ownership rights of the Equipment. In
the event either party terminates this Agreement prior to its expiration, subject to
section 3 herein of this Amendment, the terminating party shall be liable for any and
all outstanding payments and or maintenance of the system.
10. This Amendment shall be effective upon the last day executed by all parties.
11. All other terms and conditions of the Agreement not modified or amended herein
shall remain in full force and effect.

$142,573.75, Provide Maintenance and Other Services at the Annual Cost to the City in an Amount Not to Exceed
$20,000.00 and Adopt Appropriation Ordinance(ALL COUNCIL DISTRICTS)
RECOMMENDATION:
It is recommended that the City Council:
1. Authorize the execution of an amendment to City Secretary Contract No. 39791, an existing interlocal Agreement with the North
Central Texas Council of Governments, to extend the length of the Agreement, assume ownership of the Tarrant County portion of
the Regional P25 Trunked Overlay Radio System, provide maintenance and other services at an annual cost to the City of Fort
Worth in the amount not to exceed $20,000.00; and
2. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations in the Grant Capital Projects Fund
in the amount of$142,573.75.
DISCUSSION:
In 2010, (M&C C-24028)the City Council authorized the City of Fort Worth (City) to participate in a Regional P25 Trunked Overlay
Radio System(P25 Overlay System) and to receive four base station repeaters funded by a Public Safety Interoperable
Communications grant through the North Central Texas Council of Governments(NCTCOG). The interlocal Agreement associated
with the Mayor and Council Communication has expired and must be amended to extend the Agreement and complete the transfer
of ownership.
The P25 Overlay System has been implemented and coordinated through the NTCOG to establish a four county interoperable
radio communications system for the region's first responders. Radio sites are located in Tarrant, Dallas, Denton and Collin
counties and operate as a seamless communications system for local, state and federal public safety personnel. The Tarrant
County site is located at the City's leased radio site at Burnett Plaza in downtown Fort Worth.
Under the amended interlocal Agreement, the City will execute a Property Transfer Form with the NCTCOG assigning title of
ownership to the City of four base station repeaters and associated equipment valued in the amount of$142,573.75. In exchange,
the City will be responsible for the costs of a network connection to tie the Tarrant County site to the remainder of the regional
system. Those costs are estimated in an amount of$3,548.40 annually. Also, the City will be responsible for maintenance of the
four base station repeaters. Those costs are estimated approximately in the amount of$16,000 annually.
For auditing and accounting purposes, funds are being appropriated to account for the value of the equipment. The Agreement will
expire May 31. 2014
