THIS AGREEMENT is made and entered by and between the City of Fort Worth, Texas, a
municipal corporation situated in Tarrant, Denton,Parker,and Wise Counties,Texas,hereinafter called the
"City", acting herein by and through Fernando Costa, its duly authorized Assistant City Manager, and
Hahnfeld Hoffer Stanford., hereinafter called the "Architect", acting herein by and through Michael J.
Hoffer, AIA, its duly authorized representative, for the purpose of providing Phase 1 services (for
Programming and Schematics Design) for the renovation and expansion of the General Terminal Building
at Meacham International Airport located at 4201 N. Main Street, Suite 200 in Fort Worth,Texas.
WITNESSETH:
That for and in consideration of the mutual covenants and agreements herein contained,City and Architect
do hereby covenant and agree as follows:
SECTION I SERVICES OF THE ARCHITECT
1.1 The City hereby contracts with Architect as an independent contractor, and the Architect hereby
agrees to perform, within the professional standards normally accepted in the State of Texas,
professional services in connection with the following general scope of work:
Provide Phase 1 services (for Programming and Schematics Design)for the renovation
and expansion of the General Terminal Building at Meacham International Airport
located at 4201 N. Main Street, ,Suite 200 in Fort Worth, Texas ("Project"). Phase 1
services will include the renovation option and the renovation and expansion to a third
floor option. Upon completion of the Phase 1 Schematic Design phase, the City will
proceed with the Phase 2 design services (renovate the existing facility only or
renovate the existing facility and expand to the third floor) or stop any further design
development. The scope of services is described more fully in Attachment "A" for
Phase 1 and Phase 2 renovation option and Attachment"B" for the Phase 1 and Phase
2 renovation and expansion of a third floor option of this Agreement.
SECTION II PERSONNEL
1. The following personnel will be assigned to this Project:

1.2. Architect
1.2.1.Principal in Charge: David R. Stanford,AIA
1.2.2. Project Manager: Eric Claycamp, AIA, LEED, AP
1.2.3. Project Architect: Lee Hill, AIA
2. Neither party may change key personnel without the prior written agreement of the other party.
SECTION III CHARACTER OF ARCHITECT'S SERVICES
1. Architect shall consult with the City to clarify and define City's requirements relative to they Pro'ects
and review available data.

2. Architect agrees to commit the personnel to each Project assignment as necessary in order to complete
the assignment in an expeditious manner.
3. The Architect shall advise City as to the necessity of City's providing or obtaining additional services
and data from others required in connection with the Projects at City's cost and expense (which
services and data Architect is not to provide hereunder but on which Architect may rely in performing
services hereunder), and act as City's representative in connection with any such services of others.
4. The Architect shall pay for the printing of contract documents required for design submittals and
presentations as a part of the reimbursable allowance.
5. The Architect shall perform services for Phase 1 only as outlined in the Hahnfeld Hoffer Stanford
letter, dated March 9, 2010, subject: Proposal for Design Services — Phase 1 and Phase 2, Eight
Million Dollar Budget - Option 1 Only, City of Fort Worth, Texas, Meacham Airport Terminal
Building Renovation which is attached hereto as Attachment"A" and made a part of this Agreement.
The Architect shall perform services for Phase 1 only as outlined in the Hahnfeld Hoffer Stanford
letter, dated March 10, 2010, subject: Proposal for Design Services—Phases 1 and 2, Twelve Million
Dollar Budget — Option 2 Only, City of Fort Worth, Texas, Meacham Airport Terminal Building
Renovation which is attached hereto as Attachment`B"and made a part of this Agreement.
6. If at any time in the course of the design,the City expands the scope of services,or the Architect
believes the City has requested services that are beyond the scope of this Agreement, the Architect
shall submit a proposal for additional fees and a written agreement shall be reached on said proposal
prior to the Architect proceeding with the work considered to be beyond the scope of this Agreement.
Architect shall not perform any additional services without a written agreement with City. Any
services provided prior to reaching an agreement on additional fees will be non-compensable.
7. Architect shall apply for building permits and provide such service as may be necessary for the
building permits to be issued. The City shall pay any fees for such Building Permits.
SECTION IV SPECIAL SERVICES OF ARCHITECT
1. If authorized in writing by City, Architect shall furnish or obtain from others special services
necessary to complete the Projects. These special services are not included as part of the Basic
Services outlined in SECTION I - SERVICES OF THE ARCHITECT and Attachments"A" and"B."
These special services will be paid for by City as indicated in Section V.
SECTION V COMPENSATION TO ARCHITECT
1. The total compensation for all of the assignments to be performed by Architect to complete the
Projects as described in CHARACTER AND EXTENT of ARCHITECT'S SERVICES and
Attachment "A" hereof shall be $234,675.00, hereinafter referred to as the "total fee," plus up to
$13,200.00 in reimbursable expenses.
2. Architect shall be paid the following percentages of the total fee at the following stages of the project:
2.1 Phase 1 Programming 20%
2.2 Phase 1 Schematics Design Options—Preliminary 40%
2.3 Phase I Schematics Design Options—Prefinal 80%
2.4 Phase I Schematics Design Options-Final Acceptance by City 100%
2.5 Reimbursement of allowable expenses shall have prior approval of the City. Allowable expenses
include:
2.5.1. Printing Costs
2.5.2. Enhanced CAD drawings for public and City meetings.

2.5.3. Long distance phone calls
2.5.4.Postage and courier expenses
2.5.5. Other costs with prior approval of the City
SECTION VI RESPONSIBILITY FOR CONSTRUCTION BUDGET
1. The Construction Budget for the Schematics Design phase for the Project is $8,000,000.00 for the
renovation option and is $12,000,000.00 for the renovation and expansion to a third floor option. In
the event the City abandons the project,the City may terminate this Agreement,and the Architect shall
be entitled to completed stage in Section V,paragraph 2 above plus allowable reimbursement.
2. The Architect shall inform the City in writing of the probable construction costs during the Schematics
Design phase.
SECTION VII METHOD OF PAYMENT
1. The Architect shall be paid not more frequently than once per month on the basis of statements
prepared from the books and records of account of the Architect, such statements to be verified as to
accuracy and compliance with the terms of this Agreement by an officer of the Architect. Payment
according to statements will be subject to certification by the Director, Transportation and Public
Works Department or his duly authorized representative that such work has been performed.
2. The above charges are on the basis of prompt payment of bills rendered and continuous progress of the
work on the Projects until completion. If City fails to make any payment required herein for services
and reimbursable expenses within sixty days after approval of Architect's statement thereof, Architect
may, after giving seven days written notice to City, suspend services under this Agreement until
Architect has been paid in full all amounts due for services actually performed and reimbursable
expenses incurred.
SECTION VIII PROCEDURES FOR PROVIDING DESIGN SERVICES
1. Programming and Schematic Design Phase:
I.I. The Architect shall visit the site and make himself familiar with the scope of the Project.
1.2. The Architect shall prepare alternative site plans, floor plans, architectural concepts, elevations,
and finish plans and area-based cost estimates.
2. Design Phase:
2.1. The Architect shall prepare presentation graphics using plans necessary for the design and attend
one City meeting(if required).
2.2. Architect, at its sole cost and expense, shall engage a consultant to prepare "Elimination of
Architectural Barriers Registration" and submit the applications to the Texas Department of
Licensing and Regulation. The City will pay all fees required for TDLR reviews and inspections.
All designs shall be in conformance with the Architectural Barriers Act, State of Texas, and the
City of Fort Worth Building Codes.
2.2.1. The Architect shall reimburse the City of Fort Worth for all costs and fees incurred in
modifying a facility in the event it is constructed in accordance with the Architect's designs
and is subsequently determined to be in non-conformance with the above Act or Codes.
2.2.2.The City will bear the construction costs associated with enhancements. The Architect will
reimburse the City for costs to replace or rework features that were constructed in
accordance with the design but fail to meet accessibility requirements or building codes.

2.3. The Architect shall submit estimates of probable construction cost for each stage of design to the
City.
2.4. The City shall acknowledge the probable construction costs and scope in writing at each stage of
design.
2.5. Upon written approval of the final design, the Architect shall make whatever final changes are
necessary and submit the drawings and technical specifications to the City for use in bidding.
2.6. The Architect shall provide electronic files in PDF or DWF format for posting to the Internet.
3. All designs, drawings, specifications, documents, and other work products of the Architect,whether in
hard copy or in electronic form, are instruments of service for this Project, whether the Project is
completed or not. Reuse, change, or alteration by the City or by others acting through or on behalf of
the City of any such instruments of service without the written permission of the Architect will be at
the City's sole risk. The City shall own the final printed designs, drawings, specifications and
documents. Transfer of ownership of the contract documents does not constitute sale of the
documents.
SECTION IX CITY RESPONSIBILITIES
1. Provide criteria and information as to City's requirements and designate a person with authority to act
on City's behalf on all matters concerning the Projects.
2. Assist Architect in obtaining existing studies, reports and other available data and services of others
pertinent to the Projects and in obtaining additional reports and data as required.
3. Upon reasonable notice arrange for access to and make all provisions for Architect to enter upon
public and private property as may be required for Architect to perform services hereunder.
4. Designate in writing qualified persons who will act as City's representatives with respect to the Project
for the purposes of transmitting instructions, receiving information, interpreting and defining City's
policies and decisions with respect to Architect's services.
5. Review all reports, recommendations and other documents and provide written decisions pertaining
thereto within a reasonable time.
6. Upon reasonable notice provide labor and safety equipment to expose structural elements, to make
temporary repairs, and to operate mechanical and electrical systems as required by the Architect in the
development of the design.
7. Examine all studies, reports, sketches, drawings, specifications, proposals and other documents
presented by Architect, obtain advice of an attorney, insurance counselor and other architects as it
deems appropriate for such examination and render in writing decisions pertaining thereto within a
reasonable time so as not to delay the services of Architect.
8. Provide "Instructions to Offerors" and "General Requirements" for use in assembling the Project
Manual.
9. Prepare easements and right-of-way acquisition conveyance documents, from description provided by
Architect, contact owners, negotiate for or condemn all easements and right-of-way, pay all filing and
legal fees associated therewith.
10. Provide such legal, accounting, insurance and other counseling services to City as may be required for
the Project.
11. Bear all costs incident to compliance with this Section.

SECTION X TERMINATION
1. The City may terminate this Agreement at any time for convenience or for any cause by notice in
writing to the Architect. Upon receipt of such notice, the Architect shall immediately discontinue all
services and work and the placing of all orders or the entering into contracts for supplies, assistance,
facilities and materials in connection with the performance of this Agreement and shall proceed to
cancel promptly all existing contracts insofar as they are chargeable to this Agreement.
2. If the City terminates this Agreement under the foregoing paragraph, the City shall pay the Architect
for services performed in accordance herewith prior to such termination, less such payments having
been previously made. Such payment shall be based upon the work completed up to the date of
termination of the Agreement in accordance with the method of compensation prescribed in Sections
V and VI hereof. Architect shall also be compensated for all termination-related expenses such as
meeting attendance, document reproduction, transfer of records, etc. Provided, however, Architect
shall not be entitled to any compensation that exceeds the total fee to be paid hereunder at the
applicable phase as stated in Section V.
3. Upon early termination or conclusion of this Agreement, the Architect shall provide the City
reproducible copies of all completed or partially completed engineering documents prepared under this
Agreement that shall become the property of the City and may be used by the City in any manner it
desires. The Architect shall not be liable for the use of such materials for any project other than the
project described in this Agreement.
SECTION XI INDEMNITY AND INSURANCE
I. Approval by the City of contract documents shall not constitute or be deemed to be a release of the
responsibility and liability of the Architect, its officers, agents, employees and consultants, for the
accuracy and competency of the services performed under this Agreement, including but not limited to
surveys, location of subsurface investigations, designs, working drawings and specifications and other
Engineering documents.
2. Such approval shall not be deemed to be an assumption of such responsibility and liability by the City
for any negligent act, error or omission in the conduct or preparation of the subsurface investigations,
surveys, designs, working drawings and specifications and other Engineering documents by the
Architect, its officers, agents,employees and consultants, it being the intent of the parties that approval
by the City signifies the City's approval of only the general design concept of the improvements to be
constructed.
3. In this connection the Architect shall indemnify and hold the City and all its officers, agents, servants
and employees harmless from any loss, damage, liability or expenses, on account of damage to
property and injuries, including death, to all persons, including but not limited to officers, agents, or
employees of the Architect or consultants, and all other persons performing any part of the work and
improvements, which may arise out of any negligent act, error or omission in the performance of the
Architect's professional services or in the preparation of designs,working drawings, specifications and
other documents.
4. The Architect shall defend at its own expense any suits or other proceedings brought against the City,
its officers, agents, servants and employees, or any of them on account thereof, and shall pay all
expenses and satisfy all judgments which may be incurred by or rendered against them arising out or
the indemnification; provided and except, however, that this indemnification provision shall not be
construed as requiring the Architect to indemnify or hold the City or any of its officers, agents,
servants or employees harmless from any loss, damages, liability or expense, on account of damage to
property or injuries to person caused by defects or deficiencies in design criteria and information
provided to Architect by City, or any deviation in construction from Architect's designs, working
drawings,specifications or other documents.

5. Without limiting the above indemnity, Architect shall maintain a policy of comprehensive general
liability insurance coverage with carriers acceptable to City in at least the following amounts:
Commercial General Liability $1,000,000 Per Occurrence
$2,000,000 Aggregate Limit
Workers Compensation
Coverage A: Statutory limits
Coverage B:Employers Liability Insurance
$100,000 Each Accident/Each Occurrence
$100,000 Disease—per each employee
$500,000 Bodily Injury/Disease—Policy Limit
Automobile Liability
$1,000,000 each accident on a combined single basis
OR
$250,000 Property Damage
$500,000 Bodily Injury per person per occurrence
Professional Liability Insurance
(Errors and Omissions) $1,000,000 Per claim
$2,000,000 Annual aggregate
6. Architect shall furnish City a Certificate of Insurance in at least the above amounts. Certificate shall
contain a provision that such insurance cannot be canceled without 30 days prior written notice to
City. The City reserves the right to revise insurance requirements specified in this Agreement to the
best interests of the City.
7. General Insurance Requirements
7.1. Commercial General Liability coverage shall be endorsed to name the City an Additional Insured
thereon. The term "City" shall include its employees, officers, officials, agents, and volunteers as
respects the contracted services.
7.2. Certificate(s) of insurance shall document that insurance coverage specified are provided under
applicable policies documented thereon.
7.3. Any failure on part of the City to request required insurance documentation shall not constitute a
waiver of the insurance requirements.
7.4. A minimum of thirty days notice of cancellation, non-renewal in coverage shall be provided to the
City. A ten days notice shall be acceptable in the event of non-payment of premium. Such terms
shall be endorsed onto Architect's insurance policies. Notice shall be sent to the Architectural
Services Manager, Transportation and Public Works Department,401 West 13`h Street,Fort Worth,
TX 76102.
7.5. The City shall not be responsible for the direct payment of any insurance premiums required by this
Agreement. It is understood that insurance cost is an allowable component of the Architect's
general overhead.
7.6. The City reserves the right to revise insurance requirements specified in this agreement according to
the best interests of the City.

7.7. Insurers for all policies must be authorized to do business in the state of Texas or be otherwise
approved by the City; and, such insurers shall be acceptable to the City in terms of their financial
strength and solvency.
7.8. Deductible limits, or self-insured retentions, affecting insurance required herein may be acceptable
to the City at its sole discretion; and, in lieu of traditional insurance, any alternative coverage
maintained through insurance pools or risk retention groups must be also approved. Dedicated
financial resources or letters of credit may also be acceptable to the City.
7.9. The City shall be entitled,upon its request and without incurring expense,to review the Architect's
insurance policies including endorsements thereto and,at the City's discretion,the Architect may be
required to provide proof of insurance premium payments.
7.10.All insurance, except for the Professional Liability insurance policy, shall be written on an
occurrence basis.
7.11.The Professional Liability policy shall be written on a"claims made"basis, and shall be in effect
for the duration of this Agreement and maintained for a period of six years following the issuance
of the Certificate of Substantial Completion by the Architect. The City shall be notified at least
30 days prior to cancellation or substantial change in coverage. An annual certificate of
insurance submitted to the City shall evidence such insurance coverage.
8. The City shall require its General Contractor to include the Architect as an additional insured on its
general liability insurance.
SECTION XII HAZARDOUS MATERIALS
1. City acknowledges Architect will perform part of the work at City's facilities that may contain
hazardous materials, including asbestos containing materials, or conditions, and that Architect had no
prior role in the generation,treatment, storage,or disposition of such materials. In consideration of the
associated risks that may give rise to claims by third parties or employees of City,City hereby releases
Architect from any damage or liability related to the presence of such materials.
2. The release required above shall not apply in the event the discharge, release, or escape of hazardous
substances, contaminants, or asbestos is a result of Architect's negligence or if Architect brings such
hazardous substance,contaminant,or asbestos onto the Projects.
SECTION XIII RIGHT TO AUDIT
1. Architect agrees that the City shall,until the expiration of three(3)years after final payment under this
Agreement, have access to and the right to examine any directly pertinent books, documents, papers
and records of the Architect involving transactions relating to this Agreement. Architect agrees that
the City shall have access during normal working hours to all necessary Architect facilities and shall
be provided adequate and appropriate workspace in order to conduct audits in compliance with the
provisions of this section. The City shall give Architect reasonable advance notice of intended audits.
2. Architect further agrees to include in all its subcontracts hereunder a provision to the effect that the
subconsultant agrees that the City shall, until the expiration of three(3)years after final payment under
the subcontract, have access to and the right to examine any directly pertinent books, documents,
papers and records of such subconsultant, involving transactions to the subcontract, and further, that
City shall have access during normal working hours to all subconsultant facilities, and shall be
provided adequate and appropriate work space, in order to conduct audits in compliance with the
provisions of this article. City shall give subconsultant reasonable advance notice of intended audits.
3. Architect and consultants agree to photocopy such project-related documents as may be requested by
the City. The City agrees to reimburse Architect and consultants for the costs of copies at the rate
published in the Texas Administrative Code.

SECTION XIV SUCCESSORS AND ASSIGNS
1. The City and the Architect each bind themselves,their successors and assigns,to the other party to this
Agreement and to the successors and assigns of each other party in respect to all covenants of this
Agreement.
SECTION XV ASSIGNMENT
I. Neither party hereto shall assign, sublet or transfer its interest herein without prior written consent of
the other party, and any attempted assignment, sublease or transfer of all or any part hereof without
such prior written consent shall be void.
SECTION XVI INDEPENDENT ARCHITECT
I. Architect shall perform all work and services hereunder as an independent Architect, and not as an
officer, agent, servant or employee of the City. Architect shall have exclusive control of, and the
exclusive right to control the details of the work performed hereunder, and all persons performing
same, and shall be solely responsible for the acts and omissions of its officers, agents, employees and
consultants. Nothing herein shall be construed as creating a partnership or joint venture between the
City and the Architect, its officers, agents, employees and consultants, and doctrine of respondent
superior has no application as between the City and the Architect.
SECTION XVII M/WBE GOALS
I. In accordance with City of Fort Worth Ordinance No. 15530,the City has goals for the participation of
minority and woman business enterprises in City contracts. Architect acknowledges the M/WBE goal
of 24%is established for this Agreement and its commitment to meet that goal. Any misrepresentation
of facts (other than a negligent misrepresentation) and/or the commission of fraud by Architect may
result in termination of this Agreement and debarment from participating in City contracts for a period
of time not less than three years.
SECTION XVIII OBSERVE AND COMPLY
1. Architect shall at all times observe and comply with all Federal and State laws and regulations and
with all City ordinances and regulations which in any way affect this Agreement and the work
hereunder, and shall observe and comply with all orders, laws, ordinances and regulations which may
exist or may be enacted later by governing bodies having jurisdiction or authority for such enactment.
No plea of misunderstanding or ignorance thereof shall be considered. Architect agrees to defend,
indemnify and hold harmless City and all its officers, agents and employees from and against all
claims or liability arising out of the violation of any such order, law,ordinance,or regulation, whether
it be by itself or its employees.
SECTION XIX MISCELLANEOUS
I. If any action, whether real or asserted, at law or in equity, arises on the basis of any provision of this
Agreement, venue for such action shall lie in state courts located in Tarrant County, Texas or the
United States District Court for the Northern District of Texas—Fort Worth Division. This Agreement
shall be construed in accordance with the laws of the State of Texas.

2. The parties acknowledge that each party and, if it so chooses, its counsel have reviewed and revised
this Agreement and that the normal rule of construction to the effect that any ambiguities are to be
resolved against the drafting party must not be employed in the interpretation of this Agreement or any
amendments or exhibits hereto.
3. This Agreement shall inure only to the benefit of the parties hereto and third persons not privy hereto
shall not, in any form or manner, be considered a third party beneficiary of this Agreement. Each
party hereto shall be solely responsible for the fulfillment of its own contracts or commitments.
IN TESTIMONY THEREOF,the City of Fort Worth has caused this instrument to be signed in triplicate in
its name and on its behalf, by its City Manager and attested by its City Secretary, with the Corporate Seal
affixed; and the Architect has also properly executed this instrument in triplicate copies, each of which is
deemed an original.

Meacham Airport Terminal Building Renovation
Dear Mr.Munryama:
On behalf of Hahnfeld Floffer Stanford I am very pleased to present to you our proposal for
professional design services. We look forward to working with the City of Fort Worth and the city
Aviation Department to renovate the Terminal Building into state of the art office facilities for the city
and for your tenants.This Is an important project to Hahnfeld Hoffer Stanford and we look forward to
beginning work on this project.
This fee proposal is based on our previous discussions in two pre-proposal meetings, and
represents the agreed scope developed in those meetings. This scope also addresses the scope
provided by the City of Fort Worth and the City in the Request for Proposals,
PROJECT DESCRIPTION
Our proposal is also based on the following scope:
✓ Design for an $8,000,000.00 renovation of the existing 66,000 sq ft Meacham Terminal
Building,including the basement and 1'`and 2nd floor.
✓ Landscape & Cnn1 Design for an approximate 6.9 acre site immediately surrounding the

BASIC SERVICES
Our proposal includes Programming and Schematic Design, (Phase 1), Design Development,
Construction Documents, Bidding Phase Services, and Construction Administration Phase services
(Phase 2) for the Meacham Terminal Building Renovation. Basic Services include Architectural
Design, Interior Design, Structural, Mechanical, Electrical, and Plumbing Engineering Design,
supervision of the project design team, and specifications for the above disciplines.Also included
are:
✓ Preparation of base project renovation Schematic Design drawings, ($8,000,000.00 scope),
and Schematic Design documents for a 24,000 sq.ft. expansion, ($4,000,000.00 scope),
either above the building or to the side in Phase 1.
✓ Phase 2 Construction Documents drawings of the renovation project, ($8,000,000.00
project).
✓ Preparation of CAD drawings to scale of the existing building and tenant spaces.This plan
would be of existing conditions for documentation of demolition, and of tenant lease
spaces.
✓ Preparation of a general code analysis for occupant exiting and fire code compliance
requirements.
✓ Preparation of a potential LEED Certification score sheet and order of magnitude cost.
✓ Preparation of an existing conditions site plan showing the building outline, and paved
surfaces.This would not include any existing utilities or grading for the site.
✓ Preparation of Interior Materials Selections board with actual samples for review and
approval by the Owner.
✓ Design Team Meeting reports and distribution to the project team.

We propose to provide the above basic services for the lump sum of $674,775 (Six hundred
seventy four thousand,seven hundred seventy-five dollars and no cents).This fee is divided as
follows:
✓ Phase One- $188,775.00
✓ Phase Two- $486,000.00
This fee includes only Basic Services design as defined in this proposal, the AE Fee Summary
attached, and the attached fee proposals from those consultants for the Mechanical, Electrical,
Plumbing, and Structural engineering design. This fee does not include additional services
described below including LEED design and submittal fees, Additional Services fees for our
consultants,or fees for specialty consultants such as Civil Design,Landscape Design,Acoustic and
Network Design, Cost Consulting. The fees for these consultants are provided to you under a
separate cover and proposal. The Basic Services fees would be billed monthly to the Owner as a
percent complete of the total project scope.
ADDITIONAL SERVICES
ADDITONAL SERVICES-SPACE PROGRAMMING
We propose to provide interior programming services to the Owner during Phase 1 for the base
project 66,000 sq ft, including all tenant spaces, core, mechanical, and circulation spaces.We also
include a proposed program of space for the 24,000 sq.ft.expansion.The program will be used in
the Schematic Design for the allocation of space and would include a list of all current tenants and
allocated area. Deliverables for the Program of Spaces would be a letter size report and Excel
Spreadsheet. For this Additional Service we propose a lump sum of $10,000.00 (fen thousand
dollars and no cents).
ADDITONAL SERVICES-LEED DESIGN AND LEED SUBMITTAL TO USGBC
We propose to provide design services,documentation,and preparation of submittal information to
LEED Online for certification of the project under LEED 2009 New Construction in Phase 2 for the
lump sum fee of $59,293.00 (Fifty-nine thousand two hundred ninety-three dollars and no
cents).This fee also includes supervision of the LEED certification process,and management of the
on line submittal. Certification level included in this proposal would be LEED Silver. Certification to
LEED Gold or Platinum would require additional work and fees. LEED certification to Gold or
Platinum levels can be provided UPON REQUEST.
This fee includes Mechanical, Electrical, Plumbing, Landscape, and Civil submittals for LEED
Certification.This fee does not include monitoring,or preparation of the Contractor's LEED submittal
points, or the estimated LEED Commissioning Agent's fees. This fee also does not include LEED
registration and review fees. These fees would be billed as a direct reimbursable cost and is
estimated to be$3,000.00 to$4,200.00.

This revised Pro posa VCon tract will constitute an Agreement between Hahnfeld Hoffer
Stanford (Client)and Campos Engineering, Inc. (CEI)for professional Mechanical, Electrical
and Plumbing (MEP) Engineering Services for the above referenced project
SCOPE OF WORK shall be defined as follows:
GENERAL.
The City of Fort Worth's primary goals for the Meacham Terminal Building is to transform the
existing Terminal Building into a fully functional office building. This includes updating the exterior
facade of the building, improving interior circulation, replacing the mechanical/electrical systems,
and creating suitable leasable space for existing and future tenants.
Two options will be considered during the program and SD phases. Option 1 is to demolish the
building down to the frame and replace the architecture and MEP systems. The budget is $8
million. Option 2 is to perform the Option 1 Scope of Work and construct a second floor(approx.
20,000 SF) on top of the existing structure or build a new 20,000-SF building adjacent and
connected to the existing structure. The budget for this option is$12 million.
The existing building consists of the following gross square footages:

The second level has limited floor to ceiling clearance (approx. 11.5 feet). The first level has
sufficient floor to ceiling clearance to accommodate typical office requirements and lay-in ceiling
heights. It may be necessary to use an open ceiling concept for Level 2.
The Basis for Design for Options 1 and 2 Is to demolish the existing building skin and interior
including all MEP systems to the building structural frame. The City of Fort Worth will perform all
demolition and asbestos abatement MEP demolition documents will not be required.

It may be necessary to construct the improvements with the building partially occupied,or it may be
more practical to relocate the existing tenants to other City facilities or portable office structures.
The phasing concept will be determined during the Program and Schematic Development phases.
The cost/concept design for temporary electric, water and sewer for the portable office facilities is
not included,but can be provided as Additional Services.
The Owner desires to evaluate the cost/benefit of a geothermal heating /cooling system and the
building will be designed to achieve a LEED Silver Certification. The Owner's decision will be
finalized before proceeding to the Design Development phase.
The final design will include tenant finish-out for each tenant that elects to renew a lease. At this
time, most tenants are expected to renew leases. The tenant finish-out for existing tenants that
choose to renew will be performed concurrently with the shell building design services. Any tenant
finish-out design for existing tenants that is not performed concurrently with the shell building
design will be performed as an Additional Service.
The MEP design should include provisions for a future sandwich shop or similar facility.
The design team includes Code,AudioNisual,Security and Cost Consultants.
Work Clarifications
1. Public space lighting will be designed by CEI and CEI will perform lighting calculations and
coordinate lighting level requirements with the Architect, Owner's Program Requirements,
Energy Codes and Industry Standards and CEI will provide the design and the
documentation of electrical power and circuiting of all lighting fixtures selected /
recommended as part of Basic Services.
2. Special systems such as computer networks; telephone within tenant spaces; sound;
MAN; and security, including cabling, etc., shall be designed by specialty consultants.
Basic services include environmental, power and empty conduit/raceway requirements,
based on the information provided. Power/Signal Outlet Plan(s) will indicate any special
outlet/power requirements. This includes copiers, clean power, details for pre-wired
furniture systems, etc. Outlets not so designated will be circuited as normal convenience
outlets. Where special outlet locations are required, all necessary dimensioning will be
shown by the Client on the Architectural documents.
3. The design for the telecommunication system within the building shall include the switch /
router at the de-mark in the main telephone room and distribution cabling from the switch /
router to tenant terminal equipment in the local telephone closets for use by up to twelve
tenants. Distribution within each tenant's space will be the responsibility of that tenant.
Provisions for wireless sending and receiving are not included.
4. MEP system provisions and rough-in for a future sandwich shop or similar food and
beverage service is included in CEI Basic Services. The design will be based upon
information provided by the Client.

5. Landscape irrigation, landscape lighting will be designed by a specialty consultant.
Documentation and circuiting of landscape irrigation and lighting designed by others is
included in CEI Basic Services. CEI Basic Services include exterior building security
lighting and parking lot lighting for a new 226-car(approximate)parking lot.
6. CADD record documents will be prepared by the respective MEP subcontractor(s). This is
a standard CEI specification requirement. The documents will be reviewed for conformity
to the speed requirements.
7. Geothermal Engineer for a groundwater source heat pump system for the building will be
provided by a subconsultant to CEI.
8. Design of the following systems will be provided by other Consultants and is excluded from
CEI Basic Services.
a. Civil Engineering i.e., site drainage, extension of utilities to within five feet of the
building exterior wall, relocation of any existing utilities,off-site utility work,etc.
b. Acoustical,Audio-visual,Specialty Code Evaluation and Cost Estimating Services.
C. Design of interior or exterior water effects(other than supply of basic utilities and
services,which are included in Basic Services).
9. Design for building energy performance is limited to complying with the requirements of
LEED 2009 for New Construction for Silver Certification as follows:
a. Attend one 4-hour (maximum) meeting with the LEED Consultant and provide
technical assistance to identify the applicable MEP design credits for achieving
LEED Silver Certification.
b. Incorporate the approved LEED list of MEP design prerequisites and credits.
C. Provide additional interface with the Cost Estimating Consultant to clarify any
cost impact(s)of LEED credit(s) upon system types and probable materials at the
submittal milestones.
d. Attend one 4-hour (maximum) meeting with the LEED Consultant and the
Commissioning Agent after the Design Development submittal and the 95%
design submittals to review the design progress. Respond to questions and
comments, coordinate the design, and incorporate agreed upon adjustments.
e. Attend one 4-hour (maximum) pre-construction meeting with the LEED
Consultant and the Commissioning Agent to review the Commissioning Scope of
Services, answer questions and respond to comments.
f. Respond to RFIs and issue design clarifications related to the LEED
commissioning.

g. Provide information to the LEED consultant in order to allow the LEED consultant
to complete/submit LEED paperwork.
h. Respond to questions and comments and provide clarification at the one-year
warranty milestone as part of the published final certification process.
L The current published MEP credits to achieve Silver Certification require
optimized energy performance calculations and associated annual energy costs
credits analyses. These services are included in Basic Services.
j. Whole Building Energy Simulation as required by EA Prerequisite 2 Option 1 is
included. Optimized Energy Performance defined in EA Credit 1 is also included.
k. Rain water harvesting and photovoltaic and wind power are excluded from the
basic design scope of services but can be provided as an Additional Services.
BASIC SERVICES shall include the following:

1. Review existing facility drawings and proposed concept drawings (new layouts). The Client
shall provide drawings several days prior to the scheduled field visit.
2. Visit the site and visually survey the existing facility. The purpose will be to determine
locations and space requirements for new key equipment and concept ideas for routing of
system services.
3. Provide verbal consultation and sketches to establish the locations and sizes of mechanical
and electrical spaces and ceiling clearances.
Schematic Desion (Option 1 or Option 2)
The Schematic Design Scope of Worts shall be based upon Option 1 or Option 2 and shall consist
of:
1. Neat, CADD-plotted floor plans and sketches focusing on spatial requirements of MEP
equipment and mechanical and electrical room block layouts for either Option 1 or Option
2. Equipment capacity calculations will be based on square footage and function. Layout of
ductwork, lighting fixtures, power outlets or other equipment outside the mechanical and
electrical rooms is not included.

Design Development
This submittal shall be based upon a single (Option 1 or Option 2) approved Schematic Design
Concept.The Scope of Work shall consist of:
1. Systems narrative and detailed outline specifications for the mechanical, electrical,
plumbing, and fire protection systems,and shall include:
a. HVAC system descriptions including major equipment quantities such as air
handling units, terminal units, pumps, chillers, boilers and cooling tower or ground
source heat pump equipment. The outline specifications will indicate capacities,
manufacturers, model numbers, and features. Capacity calculations will be based
on square footage and function.

d. Layout of typical lighting fixture locations and switching configuration of non-

BIDDING
1. Attend one pre-bid meeting at the site.

CONSTRUCTION PHASE SERVICES
1. Attend one pre-construction meeting at the site.
2. Assistance in evaluating pricing limited to a maximum of four hours of Project Manager's
time.
3. Standard shop drawing and submittal review services to include one initial submission
review,and one re-submission review, as required in the project specifications.
4. Six 4-hour site visits will be provided during construction. tt is recommended that these
visits be scheduled at the rough-in and final completion stages.
DRAWINGS
1. Drawings will be produced on 18#Translucent bond provided by CEI.
2. CEI utilizes AutoCAD Software - Release 2004 and PC-based hardware. Our proposal is
based upon the Client providing background drawings in AutoCAD. CEI will provide CADD-
plotted reproducible drawings at the various submittal levels as required. The Client will be
responsible for the reproduction of all submittals and for providing one record set of each
submittal to CEI.
3. This proposal is based upon utilizing CFI's standard layering criteria and guidelines.
Additional work to modify electronic layering or formats to comply with Owner's Contract
requirements unknown to CEI during Contract negotiation will be performed as an

1. CEI will provide technical specifications for the project following the three-part CSI Division
15 and Division 16 numbering system and, using the CEI standard format and Microsoft
Word 6.0 Software. CEI will provide one reproducible copy of the specifications at the

EXISTING CONDITIONS
1. CEI will perform field investigations to gather information regarding existing conditions,
capacities of existing equipment and other pertinent field data.
2. The Owner and Client will assist CEI in obtaining "AS-BUILT' drawings and any other
pertinent data that is available. CEI will provide technical direction to identify required
data.
CLIENT RESPONSIBILITIES
This proposal is based upon the Client providing the following:
1. Industry standard design team leadership and coordination of responsibilities between
design team members. The Client shall be the general administrator of the professional
services for the Project, and shall facilitate the exchange of information among the
consultants retained by the Client,as necessary for coordination of this part of the Project.
2. Except as authorized by the Client, all communication between CEI and the Owner,
Contractor or other consultants for the Project shall be forwarded through the Client.
3. Provide a reasonable schedule for deliverables and project milestone deadlines for all
consultants at the start of the project in order for CEI's services to be performed in a
manner, sequence and timing that coordinates with those of the Client and other
consultants for the Project.
4. Provide required copies of any Owner guidelines and design criteria.
5. Identify the presentation format for design narratives and design analyses at the start of the
project. CEI wig endeavor to comply with these formats. This will make it easier for the
Client to incorporate these into the final submittal.
6. Identify MEP requirements and locate any Owner-furnished equipment prior to the start of
the Design Development phase. CEI will provide technical direction to identify the
information required. Site investigations, calling equipment manufacturers to secure
required data or extensive telephone calls to user personnel are not included in Basic
Services.
7. Secure from the Owner approval of the basic floor plan including locations of major
mechanical and electrical rooms and equipment at the Design Development review. Major
floor plan revisions and equipment relocations that cause the movement or redesign of
MEP systems will cause project delay and will result in Additional Services.
8. Construction Documents will be CADD prepared. Client will furnish electronic files
cleared of all extraneous information (i.e., door/partition notations, dimensions, and
architectural symbols) in AutoCAD format with companion hard copy plots. CEI design
work will be prepared in these files, and will become the basis for the respective

mechanical, piumbing, and electrical Construction Documents. Floor plan revisions will
be processed in a similar manner. Coordination information shall be provided to CEI on
one set of neatly marked prints or electronic files clearly showing changes. One set of
electronic data in AutoCAD format shall be provided by e-mail.
9. Prepare agendum for all design team meetings and provide to CEI at least three working
days in advance of the meeting. Schedule CEI's involvement to minimize meeting times.
Attendance at unorganized meetings or meetings that are not relevant to MEP services
may result in Additional Services.
10. Schedule one formal coordination meeting at the completion of the 95% construction
document submittal phase. The meeting will involve all design team disciplines at
scheduled times. The purpose of the meeting will be to perform a detailed, sheet-by-sheet
review and coordination between disciplines. Note: At least four hours should be
scheduled forthe ArchitecturaVMEP review.
11. Support CEI in the enforcement with the Contractor of the requirements for payment to CEI
should more than one shop drawing re-submittal and review become necessary. This is a
standard CEI specification requirement
12. Communicate the stage of construction regularly to enable CEI to schedule site visits at
rough-In for the mechanical, plumbing and electrical trades. Provide CEI a minimum of five
working days'notice prior to scheduled site visits or meetings during construction
13. Monitor the Contractor during construction to assure compliance with the "Record Drawing"
requirements of the Division 15 and Division 16 specifications. CEI will provide reasonable
assistance coordinated with scheduled site visits. The ability of the Design Team and CEI
to comply with any Owner's "Record Drawing" requirements will be dependent upon the
accuracy and quality of the documents prepared by the Contractor. Preparation of"Record
Documents" from information that does not comply with the Division 15 and Division 16
specifications is not included in Basic Services.
14. Provide one complete copy of all formal submittal documents to include the Bidding and
Final Conformed Construction Documents.
TERMS AND CONDITIONS
1. In the event the project is abandoned or not carried to completion, our services for that
portion of the work that has been completed will be paid for at the hourly rates shown on
the attached Professional Fee Schedule.
2. The Contract Drawings and Specifications or reproduction of them, in whole or in part, shall
not be used on any other project without the written approval of CEI.
3. Client agrees to furnish CEI with plans and other necessary information required for the
production of the Contract Documents.

4. CEI shall not be responsible for the acts or omissions of the Owner, Client, Client's and
Owners other consultants, Contractor, Subcontractors, their agents or employees,or other
persons performing any of the Work.
5. CEI has no control over construction costs or equipment prices. Any construction cost
estimates or consulting are provided on the basis of experience and judgment as design
professionals. CEI cannot and does not guarantee proposals, bids or costs will not vary
from these estimates.
6. The CEI services shall be performed as expeditiously as is consistent with professional skill
and care and the orderly progress of the Work. CEI shall not be responsible for delays
beyond CEI's control.
7. IF THE SERVICES covered by this Agreement have not been completed within 24 months
of the date hereof, through no fault of CEI, the amounts of compensation, rates and
multiples set forth herein shall be equitably adjusted.
8. The CEI Scope of Services shall be limited to five feet outside the building perimeter wall,
except that CEI will coordinate electrical and telephone service requirements with the
appropriate utility companies and existing services.
9. Terms and conditions of this Agreement shall be based on the AIA Form of Agreement
between Architect and Consultant and the standard City of Fort Worth contract.
10. The terms and conditions of this Agreement are as outlined in this proposal. Additional
terms and conditions that may exist between the Client and Owner have not been
presented to CEI and therefore are not part of this Agreement.
This proposal will be honored thirty days after date of issue and will be subject to re-negotiation
after that date.
HOURLY RATES
For the purpose of this Agreement, our standard hourly rates as indicated on the attached CEI
2010 Professional Fee Schedule, dated January 1, 2010,are hereby made part of this Agreement.
These rates are periodically updated and are subject to change upon advance written notice.
REIMBURSABLE EXPENSES
Reimbursables are billable in addition to the fees for Basic Services as indicated on the attached
Professional Fee Schedule.

PAYMENT
1. Invoices to be submitted monthly based upon an estimated percentage of completion with

At your request, we have assembled a preliminary proposed scope of services and fees for
structural engineering services on the referenced project above. Our preliminary proposal is
based on the guidelines provided by your e-mail dated January 25, 2010 and a meeting on
January 27, 2010 and information provided on March 05, 2010. It is our understanding that the
project consists of several phases based on the guidelines. The structure will consist of steel
and concrete framing construction.The foundation system for the building is considered to be a
structurally supported floor system on piers.
We propose to provide structural engineering services for 0.875 % of total construction cost
basis.The fee for this project will be as follows.
1: For the total project budget cost of$12 million, the structural involvement will be with new
construction of$4 million and renovation of$2 million, our fee through SD will be at$9,975.00.
2: if the project continues through CD phase, based on$8 million budget the additional fee will
be$3,000.00.
3: If the project continues through CD phase, based on $ 12 million budget the additional fee
will be$39,900.00.
This preliminary proposal is based on one phase through construction documents. Separate
phases for construction will be an additional fee if required.
On site temporary swing space and any other additional requirement if required will be an hourly
basis.

3. SPECIAL SERVICES: SPECIAL SERVICES shall be any service provided by the
ENGINEER which is not specifically included in BASIC SERVICES as defined above or
delineated in Attachment 'A'. SPECIAL SERVICES shall include, but shall not be limited
to:
a.) Subcontract charges not described in BASIC SERVICES or Attachment'A';
b.) Environmental Assessments;
c.) Traffic Impact Analysis;
d.) Property Rezoning or SUP;

ATTACHMENT 'A'
ITEMIZED SCOPE OF SERVICES
Teague Nall and Perkins, Inc., (TNP) shall render the following professional services (BASIC SERVICES)
necessary for the development of the project.
Protect Description
The limits of the projects is an area approximately 7-acres of the east portion of the airport terminal area.
The limits include the area around the terminal building and that portion east to Main Street in Fort Worth.
The scope will include additions and or improvements to the existing terminal building building, new
parking improvements that will add approximately 250-parking lot and misc. drainage, water, sewer
improvements.
TOPOGRAPHIC SURVEY
Prepare a topographic survey showing one foot contour intervals with an accuracy of 0.1 feet. Survey the
exterior portions of the building terminal, site improvements and all visible features that are necessary for
engineeringlplanning. Locate all water, sewer and drainage utilities vertically and horizontally using the
City's GPS monuments as control. The limits of the survey will be the area shown on the attached exhibit
which equates to approximately 7-acres.
ENGINEERING
The general scope for design of the site improvements is a follows:
Dimensional Control Plans
Paving Plans for internal drives and parking
Grading Plan
Drainage Plans
Water and Sanitary Sewer Plans
Erosion Control Plans
Details
Specifications
Plans for the site improvements will be prepared at several different stages of design. Plans will be
submitted for Design Development (DD), 50% Construction Documents (CD), 95% CD and Final CD.
The Consultant will assist in coordination with the architect and all members of the design team throughout
the project by electronic and hard copy exchange of documents and attending design coordination
meetings as necessary. It is assumed that all necessary water and sewer improvements will be at the site
at the time of construction and no offsite extension of these improvements will be necessary.
Further coordination and assistance will be provided through the bidding process and construction. The
Civil Team will review applicable shop drawings, RFI's and assist in any change orders. Upon completion
of the project, the Civil will prepare a written punch list of all site improvements and assist in a final
acceptance of the project.

ON-SITE IMPROVEMENTS
Horizontal Control: A computer generated horizontal control plan will be prepared based on the
site plan provided by the Architect. The Architect will prepare building footprints in a digital format
compatible with AutoCAD 2009 for use by Consultant. Consultant will be responsible for
developing coordinates for staking purposes. Horizontal control to be provided for all elements of
the site.
On-Site Water and Sanitary Sewer Plans: On-site water and sewer plans will be prepared in
accordance with City requirements. Plans will cover all main line extensions within the site
necessary to provide domestic services and fire sprinkler lines (if required) to within five feet (5') of
the buildings. Size of lines required for domestic water service and fire sprinkler service (if
required)shall be in accordance with that specified by the MEP and fire sprinkler consultants.
Drainage Area Map and Private Storm Drainage Plans: Storm drainage plans will be prepared in
accordance with City requirements. The design of roof drains and locale drainage will be
coordinated with the Architect.
Grading Plan: A grading plan will be prepared showing proposed finished floor, site and flatwork
elevations. The grades will address all ADA access requirements and drainage away from the
building structure.
Civil Technical Specifications: Specifications for work performed by Consultant will be prepared in
a format acceptable to the Architect.
DOCUMENT SUBMITTALS
The scope of services may be authorized in phases or units of work, as follows:
Desian Development(DD) Phase
Prepare preliminary plans for delivery to the architect. Plans will consist of sufficient detail and
scope to enable the architect and owner to determine the impact of site improvements and develop
preliminary cost for such improvements. Engineer/Landscape Architect will meet with the architect
and/or owner as necessary to refine the scope or make changes as may be necessary to
compliment the Architect's building design and the District's budget.
Contract Document (CD) Phase
Once the Architect and/or Owner have approved the DD Phase Plans, preparation of the CD's will
commence. The Engineer agrees to meet the attached scheduled provided by the Architect. The
Engineer will coordinate his work as necessary to interface with other consultants on the design
team. The Engineer Architect will submit plans to the Architect at incremental stages of
completion. Once final plans have been completed in accordance with the project schedule, the
Engineer will deliver original plan documents with Engineer's seal and signature, sufficient for
printing and distribution for bidding. Engineer will meet with the architect, Owner and Municipal
entities to facilitate the final completion of plans. It is understood that during this design phase,
that only minor site and building floor plans will occur as final coordination and plan preparation is
completed. Should the District and/or Architect make alterations to the site layout in such a
manner to significantly alter or change the scope, then the Engineer will be entitled to
compensation as outlined in Article ll, Special Services.
Biddinci Phase
Once final plans have been delivered to the architect, the Engineer will provide, as necessary, any
supplemental documents or information to clarify the Contract Documents. This clarification may

be in the form of addendums, verbal or written response or clarification and attendance of pre-bid
meeting.
Construction Phase
The Engineer will attend a pre-construction meeting as required by the Architect or Owner. The
Engineer/Landscape Architect will review all shop drawing pertinent to the scope of work contained
within the civil plans. The Engineer will provide written responses to RFI's, Change Orders or other
written documents required for completion of the work. The engineer will be available to attend
periodic site meetings, no more the one per month, as may be required to review progress of the
work. At the completion of the work and upon notification from the Architect, the Engineer or his
representative will prepare a written punch list with a follow up to any outstanding items or issues
until Final Acceptance of the work is give to the Contractor.
ATTACHMENT 'B'
PROJECT PHASE / SCHEDULE
Project Schedule:
TNP shall endeavor to accomplish the work in accordance with the schedule requested by the
CLIENT. However, prior to beginning work on this assignment, TNP shall be advised of the
anticipated schedule for the project, including specific dates for various submittals and reviews by
the CLIENT and/or others. TNP shall inform CLIENT of any conflicts with the proposed schedule
within three (3) days of receipt of this information.
It is understood and agreed that the objective of all involved in this project is produce and provide
quality and complete information and deliverables, which requires a considerable amount of
coordination and cooperation, as well as adequate time for research, analysis and development. It
is also understood that TNP's ability to perform our scope of services is dependent upon
information being provided and reviewed by others in a timely manner, and that adjustments in
schedule may be required should information or reviews be delayed.

components we believe will provide the most efficient use of water for site irrigation.

Terms and Conditions
The Firm shall perform the services outlined in this agreement for the stated fee arrangement.
Access To Site:
Unless otherwise stated,the Firm will have access to the site for activities necessary for the performance of the services. The
Firm will take precautions to minimize damage due to these activities,but has not included in the fee the cost of restoration
of any resulting damage.
Dispute Resolution:
Any claims or disputes made as a result of consulting services between the Client and Firm shall be submitted to non-binding
mediation.Client and Firm agree to include a similar mediation agreement with all contractors,subcontractors,sub-
consultants,suppliers and fabricators,thereby providing for mediation as the primary method for dispute resolution between
all parties.
Billings/Payments:
Invoices for the Firm's services shall be submitted,at the Firm's option,either upon completion of such services or on a
monthly basis.Fees for accessibility review and inspection under the Texas Department of Licensing and Regulations Texas
Accessibility Standards are due prior to review or inspection as applicable. Invoices are due on receipt of invoice.If the
invoice is not paid within 30 days of date of invoice,the Firm may,without waiving any claim or right against the Client,and
without liability whatsoever to the Client,terminate the performance of the service.Retainers shall be credited on the final
invoice.
Late Payments:
Accounts unpaid 60 days after the invoice date may be subject to a monthly service charge of 5%on the then unpaid balance.
In the event any portion or all of an account remains unpaid 90 days after billing,the Client shall pay all costs of collection,
including reasonable attorney's fees.
INDEMNIFICATION:
THE CLIENT SHALL,TO THE FULLEST EXTENT PERMITTED BY LAW,INDEMNIFY AND HOLD HARMLESS THE FIRM,HIS OR HER

allocated such that the Client agrees that to the fullest extent permitted by law,the Firm's total liability to the Client for any
and all injuries,claims,losses,expenses,damages or claim expenses arising out this agreement from any cause or causes,
shall not exceed the amount of the fee. Such causes include,but are not limited to,the Firm's negligence,errors,omissions,

Project Approach
Aside from our initial inspection of the facility at the project onset,AppliedTech Group's
design work will commence in the Design Development phase proceeding through the delivery
of Bid Document drawings and Division 27 specifications.
Our services will include RFI support during Construction Procurement and will continue
through Construction Administration through the generation of a final punch list for the
telecommunications and data infrastructure.
We understand that the project consists of two options that will be presented in the Schematic
Designs. Option 1 is the renovation of the existing facility. Option 2 is the renovation of the
existing facility and the addition of one floor to the structure. At completion of Schematic
Designs, the Owner will decide which option the design team will proceed to design. Our fee
remains the same for either option.

Scope of Services
AppliedTech Group will adhere to the project schedule and coordinate with the design team as
appropriate to ensure that the technology infrastructure design is properly integrated into the
design of the facility. The following services form the basis of AppliedTech Group's
responsibilities and deliverables for this project:
Telecommunications and Data Infrastructure Services
• Establish baseline design parameters based on technology design guidelines
provided by the City of Fort Worth.
• Coordinate technology designs with Hahnfeld Hoffer Stanford(HHS), the structural
engineer,the MEP and other consultants on the design team.
• Conduct an inspection of the existing facility to determine entrance facilities and
any current IT backbone and pathways that need to be preserved during designs.
• Design the building backbone cabling infrastructure focusing on the MDF,
secondary equipment rooms,and feeder cable between them. This will include
infrastructure components as appropriate,defining installation requirements.
• The technology plans will include detailed designs and layouts of the
telecommunication rooms,including detailed elevations.
• Identify feeder cable endpoints and routing between each tenant's telecom
demarcation point(estimate 12 to 14)and the building's main telecom demarcation.
• Coordinate feeder cable pathway and conduit requirements with other consultants
on the A/E team.
• Generate 100%Design Development drawings; 50%and 90%%Construction
Documents(drawings and Division 27 specifications);and Bid Documents.
• Assist in the bid review process by responding to any requests for clarifications.
• Provide Construction Administration services including onsite inspections of work
when relevant to the telecommunications infrastructure.
• Assist in the review of technology related submittals during contractor's installation.
• Prepare and submit a punch list of work items to be completed by the contractors
prior to the final acceptance.
• Inspect the accuracy of the contractor's as-built and final documentation packages.

AppliedTech Group's fixed fee for this scope of work is$17,000. All normal and customary
expenses are included in this amount.

professional design servIces. We look forward to working with the City of Fort Worth and the city
Aviation Department to renovate the Terminal Building Into state of the art office facilities for the city
and for your tenants.This is an Important project to Hahnfeld Hoffer Stanford and we look forward to
beginning work on this project.
This fee proposal is based on our previous discussions in two pre-proposal meetings, and
represents the agreed scope developed in those meetings. This scope also addresses the scope
provided by the City of Fort Worth and the City in the Request for Proposals.
PROJECT DESCRIPTION
Our proposal is also based on the following scope:
✓ Design for an $8,000,000.00 renovation of the existing 66,000 sq ft. Meacham Terminal
Building,including the basement and 1"and Zld floor. .
✓ Landscape & Civil Design for an approximate 6.9 acre site immediately surrounding the
Meacham Terminal building,as agreed in Exhibit C.
✓ Design during Schematic Design (Phase 1) for a$4,000,000.00(approximately 24,000 sq.
ft) expansion to the renovation scope for a new floor above the existing 2ntl floor, or
attemate location determined by the project team during design
✓ Preparation of the two options in a drawing package, (in Phase 1) for City evaluation and
selection,including cost estimates.
✓ Renovation plans based on removal and replacement of exterior curtain walls, interior walls
ceilings, and floor finishes, in all tenant spaces, and removal and replacement of the
electrical and mechanical equipment Renovations include the remodeling of the core area
toilets and stairways to meet current Accessibility Codes,and City Building and Fire Codes.
✓ Space Programming and Planning for the base$8,000,000.00 dollar renovation project

✓ Planning for Tenant Relocation Onsite during construction.
SCOPE NOT INCLUDED IN THIS PROPOSAL.
✓ Airside design or planning including aircraft parking, fueling, tarmac lighting, and taxiway

✓ Offsite utility design or planning.
BASIC SERVICES
Our proposal includes Programming and Schematic Design, (Phase 1), Design Development,
Construction Documents, Bidding Phase Services,and Construction Administration Phase services
(Phase 2) for the Meacham Terminal Building Renovation. Basic Services include Architectural
Design, Interior Design, Structural, Mechanical, Electrical, and Plumbing Engineering Design,
supervision of the project design team, and specifications for the above disciplines. Also included
are:
• Preparation of base project renovation Schematic Design drawings, ($8,000,000.00 scope),
and Schematic Design documents for a 24,000 sq.ft. expansion, ($4,000,000.00 scope),
either above the building or to the side in Phase 1.
• Phase 2 Construction Documents drawings of the renovation&24,000 square foot addition
project,($12,000,000.00 project).
• Preparation of CAD drawings to scale of the existing building and tenant spaces.This plan
would be of existing conditions for documentation of demolition, and of tenant lease
spaces.
✓ Preparation of a general code analysis for occupant exiting and fire code compliance
requirements.
✓ Preparation of a potential LEED Certification score sheet and order of magnitude cost.
✓ Preparation of an existing conditions site plan showing the building outline, and paved
surfaces.This would not include any existing utilities or grading for the site.
✓ Preparation of Interior Materials Selections board with actual samples for review and
approval by the Owner.
✓ Design Team Meeting reports and distribution to the project team.
• Once weekly Site Visits during Construction Phase
• Attendance in twice monthly Owner/Architect/Contractor Meetings

We propose to provide the above basic services for the lump sum of$971,675.00 (Nine hundred
seventy-one thousand, six hundred seventy-five dollars and no cents). This fee is divided as
follows;
✓ Phase One- $188,775.00
✓ Phase Two- $782,900.00
This fee includes only Basic Services design as defined in this proposal, the AE Fee Summary
attached, and the attached fee proposals from those consultants for the Mechanical, Electrical,
Plumbing, and Structural engineering design. This fee does not include additional services
described below including LEED design and submittal fees, Additional Services fees for our
consultants,or fees for specialty consultants such as Civil Design, Landscape Design,Acoustic and
Network Design, Cost Consulting. The fees for these consultants are provided to you under a
separate cover and proposal. The Basic Services fees would be billed monthly to the Owner as a
percent complete of the total project scope.
ADDITIONAL SERVICES
ADDITONAL SERVICES-SPACE PROGRAMMING
We propose to provide interior programming services to the Owner during Phase 1 for the base
project 66,000 sq ft, including all tenant spaces,core, mechanical, and circulation spaces.We also
include a proposed program of space for the 24,000 sq.ft.expansion.The program will be used in
the Schematic Design for the allocation of space and would include a list of all current tenants and
allocated area. Deliverables for the Program of Spaces would be a letter size report and Excel
Spreadsheet. For this Additional Service we propose a lump sum of $10,000.00 (Ten thousand
dollars and no cents).
ADDITONAL SERVICES-LEED DESIGN AND LEED SUBMITTAL TO USGBC
We propose to provide design services,documentation,and preparation of submittal information to
LEED Online for certification of the project under LEED 2009 New Construction in Phase 2 for the
lump sum fee of $59,293.00 (Fifty-nine thousand two hundred ninety-three dollars and no
cents).This fee also includes supervision of the LEED certification process,and management of the
on line submittal. Certification level included in this proposal would be LEED Silver. Certification to
LEED Gold or Platinum would require additional work and fees. LEED certification to Gold or
Platinum levels can be provided UPON REQUEST.
This fee includes Mechanical, Electrical, Plumbing, Landscape, and Civil submittals for LEED
Certification.This fee does not include monitoring,or preparation of the Contractor's LEED submittal
points, or the estimated LEED Commissioning Agent's fees. This fee also does not include LEED
registration and review fees. These fees would be billed as a direct reimbursable cost and is
estimated to be$3,000.00 to$4,200.00.
ADDITIONAL SERVICES-OTHER
Other Additional Services and Basic Services not listed above can be provided to the owner as an
hourly rate fee.Our hourly rates are attached to this proposal as Exhibit B.

HEARING:
SUBJECT: Authorize the Execution of an Architectural Services Agreement with Hahnfield, Hoffer
and Stanford in the Amount of$234,675.00 Plus Up to $13,200.00 in Reimbursable
Expenses for Programming and Schematic Design to Renovate and Expand the General
Terminal Building at Meacham International Airport, Authorize Project Management
Expenses for the Transportation and Public Works Department, Architectural Services, in
the Amount of $50,000.00 and Adopt Appropriation Ordinances (COUNCIL DISTRICT 2)
RECOMMENDATION:
It is recommended that the City Council
1. Authorize the use of existing revenue derived from gas well drilling on City-owned airports in the
amount of$297,875.00 for the evaluation of renovation or replacement of the Terminal Building at
Meacham International Airport;
2. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations in the
Airports Gas Lease Project Fund "Unspecified" in the amount of$297,875.00 from available funds;
3. Authorize the transfer of revenue from the Airports Gas Lease Project Fund "Unspecified" in the
amount of$297,875.00 to Project "Terminal Renovation;"
4. Adopt the attached appropriation ordinance increasing estimated receipts and appropriations in the
amount of$297,875.00 in the Project "Terminal Renovation;" and
5. Authorize the City Manager to execute an Architectural Services Agreement with Hahnfield, Hoffer
and S_-nford in the amount of$247,875.00 plus up to $13,200.00 for reimbursable expenses for the
progra iming and schematic design to renovate the terminal building at Meacham International
Airport and allow payment of $50,000.00 to cover architectural services and project management
expenses for the Transportation and Public Works Department.
DISCU7`~ION:
The Meacham International Airport Terminal Building has not been renovated since being built in
1967 except for small alterations to portions of the facility. The building needs to be renovated to
mode; - z.e the exterior and interior lease spaces, meet the American's with Disabilities Act (ADA)
requirements, become more energy efficient and update the heating, ventilation and air conditioning

The r ,est for Qualifications from architectural design firms was advertised in the Fort Worth-Star-
Telegram on June 18, 2009, and June 25, 2009. Twenty-four firms provided submittals. City staff
ranked he submittals, interviewed the top five firms in November 2009, and selected Hahnfield,
Hoffer End Stanford as the best qualified firm.

Tota 1 $297,875.00
Hahnficll, Hoffer and Stanford is in compliance with the City's M/WBE Ordinance by committing to 24
percent M/WBE participation. The City's goal for this project is 22 percent.
The p, -t is physically located in COUNCIL DISTRICT 2 but will serve Fort Worth residents in ALL
COUr,',,._ DISTRICTS.
