STANDARD AGREEMENT' FOR PROFESSIONAL SERVICES
This AGREEMENT is between the City of Fo�rt Worth, a Texas Morns-rule rnunicip lity
(the "CITY"), and KSA Engineers,, Inc., authorized to do husin ss in Texas, an independent
c ntra t ,r ("Consultant"),nsultant"), for a PROJ ECT generally described as: Airport lmprovernents at
'pinks Airport.
Article I
Scope Services
(1) Consultant hereby agrees to perform as an independent contractor the services set
forth in the Scope of Services attached hereto as Attachment "A". These services
shall be performed in connection, with Airport Improvements at Spinks Airport.
(2) additional services, if any, will be requested in writing, by the City. City shall not pay
for any work performed by Consultant or its subs nsult nts, subcontractors and/or
suppliers that has not been ordered in writing. It is specifically agreed that
Consultant shall not be compensated for any alleged additional work resulting from
oral orders of any person.
Arficle 11
Com pensafi r
Consultant shall be compensated in accordance with the Fee Schedule shown in
Attachment "B". Payment shall be considered full compensation for all labor, matori ls,
supplies, and e uipment neoossary, to complete the services described in Attachment "A".
However the total fee paid by the City shall not exceed a total of L45,0001.00 unless the
City and the Consultant mutu l,ly agree upon a foe amount for additional services and
mend this Agreement accordingly.
The Consultant shall provide monthly invoices to the City. Payment for services rendered,
shall be due within thirty 3 days of the uncontested performance of the p articular
services so ordered and receipt by City of Consultant's invoice for payment of same.
Acceptance by Consultant of said payment shall operate its and shall release the City from
all claims or liabilities under this Agreement for anything related to, done, or furnished in
connection with the services for which payment is madio, including any act or omission of
the City, in connection with such services

Unless terminated pursuant, to the terms herein, this Agreement ,shall be for a term of five (5)
years, beginning upon the date of its execution,1 or until the completion of the subject matter
contemplated herein, whichever occurs first.
Article IV'
Independent Contractor
Consultant shall operate hereunder as an independent contractor,1 and not as an officer,
agent, servant, or employee of the City. Consultant shall have exclusive control of and the
exclusive right t ntroll the details of its work to be performed hereunder, and all persons
performing same, and shall be solely responsible for the acts and omissions of its officers,
agents, empiloyees, contractors, and subcontractors,., the doctrine of respondent, sup rior
shall not apply as between City and Consultant, its officers, agents,, employees; contractors,
and subcontractors, and nothing herein shall be construed as creating a partnership or joint
venture between City and Consultant.
Article, V
Professional Competence and Indernnification
(1) Work performed by n,s,u,ltan,t shall comply in all aspects with all applicable local,
state and federal laws and with al�l applicable rules, and regulations promulgated by
the local,, state and national boards,, bureaus and agencies. Approval by the City
shall not constitute or be deemed to be a release of the responsibility and liability of
Consultant or its officers, agents, employees, contractors and subcontractors for the
accuracy and competency of its services performed hereunder.
(2) In accordance with Texas Local Government Code Section 271.904, the
Consultant shall indemnify, hold harmless, and defend the City against
liability for any damage caused by or resulting from, an act of negligence,
intentional tort, intellectual property infringement, or failure to pay a
subcontractor or suppili r commi"tted, by the Consultant or Consultant's, agent,
coinsul�tant under contract, or another entity over which the Consultant's,
exercises control.

VII
Insurance
(1) Consultant shi all not commence work under this Agreement until it has obtained all
insurance required under this Article and the City has approved such insuiraince, nor
shall Consultant allow any subcontractor,to commence work on its subcontract until
all similar insurance of the subcontractor has been so obtained and approval given
by the City; provided, howev r, Consultant may elect to, add any siubcoinisultant as
an additional insured under its liability policies.
Commercial General Liability

Automobile Liability
$ 1,000,000 each accident (or reasonably equivalent limits of
coverage if written on a split limits basis). Coverage shall be
on any vehicle used in the course of the Project.

(2) Additional Insurance Requirements
a. Except for eimpiloyeir's liability insurance coverage under Consultant's worker's
compensation insurance, policy, the City, its officers, employees and servants, shall
be endorsed as an additional insured on Consultant's insurance policies.

b. Certificates of insurance shall be delivered to the Aviation Department, Attention:
Rus,eena Johnson, 4201 North Main Strut, Ste 200, Fort Worth, TX 761016, prior
to commencement of work.
c. Any failure on part of the City to request required insurance documentation shall
not constitute a waiver of the insurance requirements specified herein.
d. Each insurance policy shall be endorsed to provide the City a minimum thirty days
notice of cancellationt non-renewal, and/or material change in policy terms or
coverage. A ten, days notice shall be acceptable in the event of non-payment of
premium.

e. Insurers must be authorized to do business In the State of Texas and have a
current A.M. Best rating of A.- V11 or equ I ivalent measure of financial strength and
solvency.
f.: Other than worker's compensation insurance, in lieu of traditional, insurance�, City
may consider alternative coverage or risk treatment measures through insurance
pools, or risk retention groups. The City must approve in writing any alternative
coverage.
g. Workers' compensation insurance p licy(s) covering employees employed, on the
Project shall be endorsed with a waiver of subrogation provid'ing rights of recovery
in favor of the City.
h. City shall not be responsible for the direct payment of insurance premium, costs
for Consultant"s insurance.
i. Consultant's insurance policies shall each be endorsed to provide that such
insurance is primary protection and any self-fun,ded or commercial coverage
maintained by City shall not be called upon to contribute to loss recovery.
j. In the course of the Agreement, Consultant shall report, in a time,ly manner, to
City's officially designated contract administrator any known loss occurrence which
could give rise to a liability claim or lawsuit or which, could result in a property loss.
k. Consultant's liability shall not be limited to the specified amounts of insurance
required herein.
L Upon the request of City, Consultant shall provide complete copies of all
insurance policies required by these Agreement documents.
Article V11
Transfer or Assignment
City and Consultant each bind themselves, and their lawful successors and assigns, to this

Agreement. Consultant, its lawful successors and assigns,gns, shall not assign, sublet or transfer
any interest in this Agreement without prior written consent of the City.
Article Vill
Termination of Contract
(1) City may termi�nate this Agreement for its convenience on 30 days' written notice.

Either the City or the Consultant for cause may terra ,inate this Agreement if either
Party fails substantially to perform through no fault of the other and does not
commence correction of such nonperformance with 5 days of written, notice and
diligently cornplete the correction thereafter
(2) If City chooses to terminate this Agreement under Article 8, upon receipt of not,i'ce of
termination, Consultant shall discontinue services rendered, up to the date f'such
termination and City shall, compensate Consultant based upon calculations in Article
2 of this Agreement and Exhibit "B" attached hereto and incorporated herein.,
(3) All reports, whether partial or complete, prepared under this Agreement, including
any original drawings or documents, whether furnished by the City, its officers,
agents, employees, consultants,, or contractors, or prepared by Consultant, shall be
or become the property of the City, and shall be furnished to the City prior to or at
the time such services are completed, or upon term ination or expiration of this
Agreement.
Article IX
Right to Audit
(1) Consultant agrees that the it shall, until the expiration of three (3) years after final
payment under this Agreement, have access to and the right to exa in any directly
pertinent books,, documents, papers and records of Consultant involving transactions
relating to this Agreement. Consultant agrees, that the City shall have access during
normal, working hours to all necessary facilities and shall be provided adequate and
appropriate workspace in order to conduct audits, in compliance with the provisions, of
this section. City shall give Consultant reasonable advance notice f'intended audits.
(2) Consultant further agrees to include ire all its subcontracts hereunder, a provision to
the effect that the subcontracting consultant agrees that the City shall, until, the
expiration of three (3) years after final payment under the subcontract, have access,
to and the right to exam�ine any directly pertinent books, documents, papers and
records of such sub-consultant) involving transactions to the subcontract, and
further, that City shall have access during normal wolrki,n,g hours to all sub-
consultant facilities, and shall be provided, adequate a,n,d appropriate work space i,n
order to conduct audits in compliance with the pirov I is,ions of this article. City shall
give Consultant and any sub-,consultant reasonable advance notice of intended
audit.
(3) Consultant and pub-consultants agree to photocopy such documents, as may be
requested by the City. The City agrees to reimburse Consultant for the cost of copies
at the rate published, in the Texas Administrative Code in effect as of the time copying

Article X
Minority Business and Small Business Enterprise (MBE) (S BE) Parficipat"ion
In accordance with the City's Business Diversity Enterprise Ordinance No. 2-2011,
as amended, the City has goals for the participation of m,in city business enterprises and/or
smail business enterprises in City contracts. Consultant acknowledges the MBE and SBE
goals established for this Agreement and its accepted written commitment to MBE and SBE
participation. Any misrepresentation of facts (other than a negligent misrepresentation)
and/or the commission of fraud by the Consultant may result in the termination of this
Agreement and debarment from participating in City contracts for a period of tiara of not less
than three (3) years.
Article X1
Observe and Comply
Consultant shall at all times observe and comply with all federal, state, and local laws and
regulations and with all City o�rdinances and regulations which in any way affect, this
Agreement and the work hereuinder, and shall observe and comply with all orders, laws
ordinances and regulations which may exist or may be enacted later by governing bodies
having jurisdiction or authority for such enactment. No plea of misunderstanding or ignorance
thereof shall be considered. Consultant agrees to defend, indemnify and hold harmless City
and all of its officers, agents and employees from and against, all claims or liability arising out
of the violation of any such order, law, ordinance, or regulation, whether it be by itself or its
employees.
Article X11
Venue and Jurisdiction
If any action, whether real or asserted, at law or in equity, arises on the basis of any
provision of this Agreementl vensue for such action shall lie in state courts located in
Tarrant County, Texas or the United States District Court for the Northern District of Texas
— Fort Worth Division. This Agreement shall be construed in accordance with the laws of
the State of'T xas.

and revised this Agreement and that the normal rule of construction to the effect that any
ambiguities are to be resolved against the drafting party must not be emp�loyed in the
interpretation of this Agreement or any amendme�nts or exhibits hereto.
Article XIV
Seve,rability
The provisions of this Agreement are severable, and if any word, phrase, clause,
sentence, paragraph, section or other part of this Agreement or the application thereof to
any person or circumstance shall ever be held by any court of competent,jurisdiction to be
invalid or unconstitutional for any reason, the remainder, of this Agreement, and the
application, of'such word, phrase, clause, sentence, paragraph, section, or other part of'this
Agreement, to other persons or circumstances shall not be affected thereby and this
Agreement shall be construed as if such invalid or unconstitutional portion had never been
contained therein.

Scope for Engineering Design Related Services for Airport Improvements
The scope set forth herein defines the work to be performed by the ENGINEER in
completing the project. Both the CITY and ENGINEER have attempted to clearly define the
work to be performed and address the needs of the Project.,
OBJECTIVE
The project is for engineering services to design, bid and perform construction
administration duties for various projects at Fort Worth Spinks Airport that may include but
shall not be limited to Airfield Pavements, Airfield Electrical, Airport Studies, Facility
Development, and Infrastructure and Site Improvements as may be directed by the CITY.
WORK TO BE PERFORMED

ENGINEER will manage the work outlined in this scope to ensure efficient and effective use
of ENGINEER's and CITY's time and resources. EINGINEER will manage change,
communicate effectively, coordinate internallli y and externally as needed, and proactively
address issues with the IT 's Project Manager and others as necessary to make progress
on the work.

With respect to coordination with permitting authorities, ENGINEER shall
communicate with permitting, authorities,such that their regulatory requ�iremeints are
appropriately reflected in the designs. ENGINEER shall,work with reguilatory
authorities to obtain approval of the designs, and make changes necessary to meet
their requirements, as part of the design scope.
Personnel and Vehicle Identification: When conducting site visits to the project
location, the ENGINEER or any of its sub-consultants shall carry readily visible
information identifying the name of the company and the company representative.

TASK 2. CONCEPTUAL DESIGN (30, PERCENT).
The Conceptual Desigin shall be submitted to CITY per the approved Project Sched�ulle.
The purpose of the conceptual design is for the ENGINEER to identify, d�evel!op,
communicate through the defined deliveralbles, and recommend the design concept that
successfully addresses the design problem, and to obtain the CITY's endorsement of this
concept.
ENGINEER will develop the conceptual design of the infrastructure as follows. 2.1.

In addition to data obtained from the CITY, ENGINEER will research and make
efforts to obtain pertinent information to aid in coordination of the proposed
in with any planned future improvements that may influence the
project. ENGINEER will also identify and seek to obtain data for existing
conditions that may impact the project including; utilities, agencies, Jx and,
railroads), City Master Plans, and property ownership as available from the Tax
Assessor's office.
The data collection, efforts will' also, include conducting special coordination
meetings with affected property owners and businesses as necessary to develop
sewer re-routing plans.
2.2. Subsurface Utility Engineering
Provide Subsurface Utility Engineering (SUE) per Task 7.
2.3. The Conceptual Desigin, Package shall include the following- Preliminary cover and
index of sheets including project limits, area location map and beginning and end station
limits.
SUE Plan sheets sealed by a licensed professional enginieer registered in the
Sate of Texas.
• Conceptual Construction Phasing Plan- Develop a construction phias,iing, plain
that details the impacts to the Airport Operations Areas.
• Proposed phasing, of any water, sanitary sewer, and/or drainage work that is
included In this project documented in both the project schedule and l narrative
form.
• Proposed pavement sections of the pavement to be constructed along with
proposed typical sections which outline the proposed improvements. Typical
sections shall include Runway and Taxiway Safety Areas and pavement widths.
Pavements shall' be designed in accordance with FAA Advisory Circular
150/5300-13A.
• Conceptual plan and profille sheets showing existing and proposed horizontal
alignments, existing drainage structures, city owned and franchise utillii'ties, and
existing and/or proposed vertical alignments (profiles).
• Documentation of key design decisions.
Estimates of probable construction cost.
ASSUMPTIONS
ENGINEER shall not proceed with Preliminary Design activities without written
approval by the CITY of the Conceptual Design, Package.

TASK 3. PRELIMINARY DESIGN (60 PERCENT).
Preliminary plans and specifications shall be submitted to CITY at the end of the design
periods per the approved Project Schedule.
ENGINEER will develop the preliminary design of the infrastructure as follows
3.1. Development of Preliminary Design Drawings and Specifications shall include the
following-
0 A Project Control Sheet, showing all Controll Points, used or set while gathering
data. Generally on a scale of not less than 1:400. The following information shall
be indicated for each Control Point.* Identified X, Y and Z Coordinates,, in an
identified coordlinate system, and a referred bearing base. Z coordinate on City
Datum only; descriptive location (i.e. set in the centerline of the inlet in the South
curb line of North Side Drive, at the East end of radius at the Southeast corner of
North Side Drive and North Main Street).
0 Details to include curbs, curb expans ion joints, and Pavement details.
0 ENGINEER will dlelineate the watershed based on c ntouir data and field
verification and document existing storm drain capacities for the subject site. A
drainage area map will be drawn at maximum 1 If = 2,00' scale -from available, 2-
foot contour data with the contours labeled. Data source and year will be
provided by the CITY. Calculations regarding drainage facility capacities and
design discharges (51-year and 1 00-year frequencies) at selected critical locations
will be provided. Capacities of existing storm drain will be calculated and shown.
All calcullationis shall, conform to CITY criteria, delineated in the C,ITY's Storm
Water Management Design M'anual. All locations in the project area where 1010!-
year runoff exceeds, available storm drain and right-of-way capacities, shall be
clearly identified. The ENGINEER's responsibility includes recommendations,for
improvements of the existing, system as deemed' reasonable and consistent with
CITY standards.
Storm drain layout sheets showing location and' size of all inlets, manholes,
junction boxes,, culverts and piping to include storm drain profiles showing existing
and proposed flow lines, flows, lengths and slopes of plilple, top, of ground profile
over pipe and connections to existing or proposed storm sewer systems.
Signing, pavement marling, and airfield siiignage and lighting,.
Documentation of key design decisions.
Estimates of probable construction cost.
Bearings gliven on all proposed centerlines, or baselines.
Station equations relating utilities to paving, when appropriate.
3.2. Geotechnical Investigation/Pavement Design
Solill investigations, including field and laboratory tests,, borings,1 related
engineering; analysis and recommendations for determining soil conditions will be

made, In ad'd'ition to the above in�vestigatio�ns,, borings and appropiriiate field and
laboratory analysis will be made at reaso�nab,le, intervals along the project
alignment for the Contractor's use in determining soil conditions for preparing
bids: and a Trench Safety Plan.
61 The ENGINEER shall prepare a detailed geotechnical engineering study and
pavernent design in conformance with City of Fort Worth Pavement Design
Standards Manual, 2005 for landside pavements and FAA Advisory Circular
15015320-6,E, Airport Pavement Design and Evaluation and FAA Design,
Software FAQ,RFIELD 1.302 for airfield pavements.
3.3. Utility Clearance
The ENGINEER will consult with the CITY's Transportation and Public Works
Department, Water Department, and other CITY departments, public utilities,
private utilities, private Utilities and' government agencies to determine the
approximate location of above and underground utilities, and other facilities
(current and future) that have an impact or influence on the project. ENGINEER
will design C,ITY facil�ities to avolid or minimize conflicts with existing utilities, and
where known and possible consider potential future utilities in designs.
The ENGINEER shall deliver approved preliminary construction plans,to the
CITY's Utility Coordinator for forwarding to,all utility companies which have facilities
within the limits of the project.
ASSUMPTIONS
All storm water calculations and design shall conform to the City of Fort Worth
Storm Water Management Design Manual, March 2006.
Half size plans will be reviewed at a project update meeting
The FAAs,front end and technical specifications will be used, The ENGINEER
shall supplernent the technical' specifications if needed.

• The ENGINEER shall submit a final design estimate of probable construction cost with
both the 9101% and 11 % design packages. This estimate shall use standard CITY and
FAA bid items.

• The ENGINEER shall upload all plans,and contract documents onto Buzzsaw for
access to potential bidders,. Contract documents shall be uploaded in pdf files
and the plans in pdf and Awf files.
• The ENGINEER shall sell contract documents and maintain a Plan holders list
from documents sold, and downloaded from Buzzsaw.
• The ENGINEER will develop and implement piroceidures for receiving and
answering bidders' questions and requests for additional information. The
procedures,shall include a log of all significant bidders questions and requests
and the response thereto, The ENGINEER will, provide technical' interpretation of
the contract bid' documents and will prepare proposed responses,to all bidders
questions and requests, in the form of addenda. The ENGINEER shall upload all
approved addenda onto Bulzzsa,w and mail addenda to all plan holders.
Attend the prebid conference in support of the CITY.
Assist the CITY in determining the qualifications and acceptability of prospective
contractors, subcontractors, and suppliers..

• When substitution prior to award of contracts is allowed in the contract

in evaluating bids, nand recommend award of the con,tract.

TASK 6. CONSTRUCTION PHASE SERVICES.
ENGINEER mill support the construction phase of the project as follows.
6.1 Construction Support
The ENGINEER shall attend the precons,truiction conference.,
The ENGINEER shall visit the project site at requested intervals as construction
proceeds to observe and report on progress.
The EN,GIINEER shall review shop drawings, samples and other submittals
submitted by the contractor for general conformance with the design concepts and
geineral compliance with the requirements of the contract for construction. Such
review shall not relieve the Contractor from its responsibility for performance in
accordance with the contract for construction, nor is such review a guarantee that
the work covered by the shop, drawings, samples and submittals is free of errors,
inconsistencies or omissions. The ENGINEER shall log' and track all shop
drawings, samples and other submittals.
As requested by the CIITY, the ENGINEER shall provide, necessary interpretations,
and clarifications of contract documents, review change orders, and' make
recommendations as to the acceptablility of the work.
When authorized by the CITY, prepare change orders or supplemental
agreements, as appropriate, for ordering changes in the work from that originally
shown, on the Plans,and Specifications. If re-design or substantial engineering is
required sin the preparation of these documents, payment for extra services
involved will be made in addition to the payment provided in basic engineen,ng
services.
The ENGINEER shall attend the "Final" project walk throulglh and assist with
preparation of final punch list.

TASK 7. SURVEY AND, SUBSURFACE UTILITY ENGINEERING SERVIICES,.
ENGINEER will provide survey support as follows.
7.1. Design Survey
• ENGINEER will perform field, surveys to collect horizontal' and vertical elevations,
and other information needed by ENGINEER in design and preparation of plans
for the project. Information gathered during the survey shall inclludle topographic
data, elevations of all sainitary and adjacent storm sewers, rim/i'nvert elevations,
location of buried utilities, structures, trees (measure caliper, identify overall
canopy, and have quialified arborist identify species of trees), and other features
relevant to the finial plan sheets. Existing drainage at intersections will be verified
by field surveys. Spot elevations will be shown on intersection layouts,with cross
slope to,fit intersecting grade lines.
• The minimum survey information to be provided on the plans, shall, include,the
folilowilng-
- A Project Control Sheet, showing ALL Control Points, used or set while
gathering data. Generally on a scale of not less than 1-400:
- The following information about each Control Point;

7.2- Subsurface Utility Engineering
Provide Subsurface Utility Engineering (SUE) to Quality Level as described below.
The SUE shall' be performed in accordance with CIASCE 38-02.
Quality Level D
• Conduct appropriate investigations, (e.g., owner records,, amount y/CiTY records,
personal interviews, visual inspections, etc.), to, help identify, utility owners that
may have facillities within, the project limits or that may be affected by the project.
• Collect applicable records (eg.; utility owner base maps, "as built 1''or record
drawings, permit records, field notes, geographic information system data, oral
histories, etc.) on the existence and approximate location of existing involved
utillities.
Review records for: evidence or ind'i'cation of additional available records,
• duplicate or conflicting information; need for clarification.
Develop SUE plan sheets and transfer information on all involved utilities to
appropriate design plan sheets, electronic files, and/or other documents as
required. Exercise professional judgment to resolve conflicting information. For
iniformiation depicted, indicate- utility type and ownership;, date of delpliction;
quality level(s); end, points of any utility data; line status (e.g,., active, abandoned,
out of'service line size and coind'iti�oin- number of jointly buried cables; and
encasement.
Quality Level C (includes tasks as described for Quality Level DI
40 Identify surface features, from project topographic data and from field
olb!servationis, that are surface appurtenances of subsurface utilities.
Include survey and correlation of aerial or ground'-mOLin:ted utility facilities in
Quality Level' C tasks.
Survey surface features of subsurface utility facilities,or systems,: if such features
have not already been surveyed by a professional surveyor. If previously
surveyed, check survey data for accuracy and completeness.
• The survey shall also include (in addition to subsurface utility features,visible at
the ground surface): determination of invert elevations of any manholes and
vaults; sketches showing, interior dimensions and line connections of such
manholes and vaults; any surface markings denoting subsurface utilities,
furnished by utility owners for design purposes.
Exercise professional judgment to correlate data from dlifferenit sources, and to
resolve conflicting information.
Update or prepare) plan sheets,1 electronic files, and'/or other documents to
reflect the integration of Quality Level D and Quality Level C information.
Recommend follow-up investigations (e.g., additional surveys, consultation with
utility owners,1 etc.) as may be needed to further resolve discrepancies,.
Provide Quality Level C to identify overhead utilities on the project and provide
the overhead utillilty information on the SUE plan sheets.

expenses associated with delivery of' the work; plus applicable sales, use, value
added, business transfer, gross receipts, or other similar taxes,.
iii. Subcoin�tra,ct Expenses., Subcontract expenses and outside services shall' be
reimbursed at cost to ENGINEER plus a markup of ten percent (10%).
iv. Budgets. ENGINEER will make reasonable efforts to complete the work within
the budget, and will keep the City informed of progress toward that end so that the
budget or work effort can be adjusted if found necessary.
ENGINEER is not olb:l�i�g�alted to incur costs, beyoln�d the indicated budgets, as may be
adjusted, nor is the City obligated to pay ENGINEER beyond these limits.
If ENGINEER projects, in the course of providing the necessary services, that the
PROJECT cost presented in Article 2 of'this Agreement will be exceeded, whether by
change in scope of the project, increased costs or other conditions, the ENGINEER
shall immediately report such fact to the City and, if so instructed by the City, shall
suspend all work hereunder.
When any budget has been increased; EN GINEER's excess costs expended prior to
such increase will be allowable to the same extent as if such costs had been incurred
after the approved increase.
B. The ENGINEER shall be paid monthly payments as described in Section 11 - Method
of Payment.
III. Method of Payment
A. The ENGINEER shall be paid by the City based upon an, invoice created on the
basis of statements prepared from the books and records of account of the
ENGINEERI based on 'the actual hours and costs expended by the ENGINEER in
performing the work.
B. Each invoice shall be verified as to its accuracy and compliance with the terms of
this Agreement by an officer of the, ENGINEER.
C. ENGINEER shall prepare and submit involices in the format and including content as
presented in Exhibit B-1.
D. Payment of invoices will be subject to certification by the City that such work has
been performed.
